Request to ammend Special Permit to include shared driveway
Dear Mr. Scott,
We repectfully request that the Planning Board in their capacity as Special Permit granting
authority incorporate their approval of the shared driveway as a part of Site Plan Review. The
proposed access is shared in order to simplify traffic patterns at the end of Flagship Drive as well as
to provide a more gradual transition to the plane of the proposed site improvements. This condition
was noted by the board at the initial public hearing and its approval by the board was believed to be
included in the current permit application. We are bringing this to the board's attention to assure that
a subsequent filing will not be required which would involve additional attention by the town's board
and staff
Attached is a copy of the recorded document which addresses both the easement and the
maintenance agreement as specified in zoning section 2.30.1. Please contact me if you have any
questions or comments.

dated April 25, 1985 and recorded with the Essex North District Registry of Deeds in Book
1962,Page 50, as amended (the "Trust"), having a mailing address of c/o Channel Building
Compariy, lric., 355 Middlesex Avenue, Wilmington, Massachusetts 01887 and Flagship, LL C,
a Massachusetts limited liability company having a mailing address of 150 Flagship Drive, North
Andover, Massachusetts 01845 ("Flagship").

WHEREAS, the Ttwtand Flagship each desire to confirm ammoemenn for the corr
use of access ways, drainage and utility areas and other amenities on the Property and the
adjoining land owned by the Trust shown on the Plan as Map 25 Lot 75 (the "Trust Property
NOW THEREFORE, in consideration of the mutual promises contained herein and
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledge
the parties hereto agree as follows: C

I The Trust hereby reserves for its benefit and the benefit of all persons claimir
by, through or tinder the Trust, which shall include, for purposes of this Agreement, without
limitation, all customers, employees and agents of the Trust, employees and agents of the Tc T
of North Andover, and visitors and vendors doing business at the Trust Property, subject to t
terms and provisions of this Agreement, for the appurtenant benefit of the Trust Property, thi

with first class property operation and management practices, but, in the event that the Trust
exercises its rights heretuider, the Trust shall be responsible, at its sole cost and expense, for the
repair and restoration of the Access, Utility and Drainage Easement to substantially the same
condition that it was in immediately prior to such exercise by the Trust in a good and workVan-
like manner. The Trost agrees to exercise its rights hereunder with respect to the Access, Utility
and Drainage Easement area in such a manner so as not to unreasonably interfere with the
business operations conducted by Flagship on the property, and only upon seven (7) days'
advance written notice. For so long as the Trust uses the Access Utility and Drainage Easement

Easement area located on the Property in a safe and prudent Manner consistent with first class
property operation and management practices,except that all work performed by Flagship in
connection,,vith,the in-sWiation, repair and maintenance of utilities in the Utility Easement area
will be performed by Flagship in a good and workmanlike manner and at its sole cost and
expense. Flagship further agrees

its sole cost and expense, restore the Utility Easement area to substantially the same condition
that it was in immediately prior to such exercise in a good and workman-like manner.
3. The Trust hereby grants to Flagship, for the appurtenant benefit of the property,
subject to the teens and provisions of this Agreement, the irrevocable appurtenant right and
easement to pass and repass over, grade, install, maintain, repair and replace drainage pipes,
utility lines(but, in the case of utility lines, only in the 5' x 100' area designated specifically for
utilities)and other related improvements on the Trust Property in the cross-hatched locations
designated on the Easement Plan as 30'x 200' GRADING,UTILITY AND DRAINAGE
EASEMENT(the"Grading and Drainage Easement"), Any such work performed pursuant to
the terms hereof shall not unreasonably interfere with the use of or the drainage on, over, under
or from the Trust Property or with any of the utilities located thereon, The Trust agrees to
maintain the Grading and Drainage Easement area in a safe and prudent manner consistent with
first class property operation and management practices,except that all work performed by the
Flagship in connection with the grading, installation, repair and maintenance of such drainage
pipes or utility lines in, on or under the Grading and Drainage Easement area pursuant to the
terms hereof will be performed by Flagship in a good and workmanlike manner at its sole cost
and expense. Flagship further agrees that in the event that it exercises its rights hereunder, it
shall, at its sole cost and expense,repair and restore the Grading and Easement area to
substantially the same condition that it was in immediately prior to such exercise in a good and

appurtenant right and easement to pass and repass over, install, maintain, repair and replace
drainage pipes, catch basins and other related improvements on the Property in the cross.-hatched
locations designated on the Easement Plan as DRAINAGE EASEMENT and 20' DRAINAGE
EASEMENT and DRA[NACjF-/DETEN*riON EASEWNT (collectively, the
"Drainage/Detention Easement"). Any such work performed by the Trust pursuant to the terms
hereof shall not unreasonably interfere with the use of or the drainage on, over, tinder or from the
Property. Flagship agrees to maintain the Drainage/Detention Easement area in a safe and
prudent manner consistent with first class property operation and management practices, except
that all work performed by the Trust in cormection with the installation, repair and maintenance
of such drainage pipes, catch basins and other related improvements in, on or under the
Drainage/Detention Easement area pursuant to the terms hereof will be performed in a good and
workmanlike manner at the sole cost and expense of the Trust, The Trust further agrees that in
the event that it exercises its rights hereunder, it shall, at its sole cost and expense, repair and
restore the Drainage/Detention Easement area to substantially the same condition that it was in
itrunediately prior to such exercise in a good and workman-like manner.
5. The Til and Flagship each agree that the rights contained herein are designed to
afford continuous and unobstructed use of all of the easement areas depleted on the Easement
Plan and that such easement areas shall be properly maintained by the party responsible therefor
tinder the terms hereof, so as not to constitute a hazard to the Trust Property or the Property, as
the case may be, or a threat to the safety of any individual enjoying the use thereof,and without
barriers or obstructioas that would interfere with the easement rights of the other party granted
herein. Neither patty shall change the layout or configuration of the easement areas on the

Easement Plan without the prior written consent of the other party. The Trust and Flagship each
agree that no structure will be erected within the easement areas as depicted on the Easement
Plan. Notwithstanding the foregoing, paving,parking control, directional signs, curb stops and
landscaping may be placed within the aforesaid Grading and Access Easement area.
6. In the event of any failure by either party to perform, fulfill or observe any
agreement herein to be performed, fulfilled or observed by such party, or any breach by either
party hereof, in either event continuing for thirty(30) days, or in situations involving potential
danger-to the health or safety of persons, in , on or about, or substantial deterioration of the
easement areas as depicted on the Easement Plan or any portion thereof, in each case at least
twenty-four(24)hours after written notice specifying such failure or breach without being
waived, or its effect cured, or cure thereof commenced and diligently prosecuted at all times
thereafter, the other party may at its election, cure such failure or breach for and on behalf of the
defaulting party,and any amount which the party so electing shall expend for such purpose, or
which shall otherwise be due by either party to whom due shall be paid on demand, together with
interest thereon at the rate of 18%per anmmn from the date of expenditure or the date when the
same shall have become due to the date of payment thereof. 'Ile provisions of this paragraph
shall be in all respects subject and subordinate to the lien of any mortgagee at any time or from
time to time on the land of the defaulting party and the rights of the holder or holders thereof.
Either party shall at the request of the other party execute a certificate in recordable form
certifying that all such charges have been paid and none are due. . -±
7. This Agreement and the rights contained herein,including any and all changes or
modifications that may be made, shall be binding upon and inure to the benefit of, the parties and

Re: Lot 2A Flagship Drive - Common Driveway Special Permit
Dear Mr. Wiech,
I am writing in response to you request to have the Planning Board approve the common
driveway between 150 Flagship Drive and Lot2A Flagship Drive as part of the Site Plan Review
approval. Unfortunately, as we discussed on the telephone last week, you will need to file
separately for a common driveway special permit. The Planning Board has indicated support for
the proposed common driveway therefore I do not anticipate any issues with the approval of this
special permit.
As we discussed, the next available submittal date is on October 20, 1997 for the November 18,
1997 Planning Board meeting. My office faxed the required forms to you last week as requested.

I have been made aware of the work to be performed upon my property
due to the proposed development of the adjacent lot as depicted on the
"Grading and Utilities Plan" prepared by MHF Design Consultants, Inc. dated July
28, 1997. The work as shown does not appear to have a negative impact upon
our property and we agree to provide any legal easements required for the work
to be executed. We reserve the right to review and approve any substantial modi-
fications made during the permitting process which affect our property. Any sur-
vey, engineering or legal cost for work required to formalize the easement agree-

Grading and Drainage Easements
Dear Mr. Scott,
We have agreed to provide an easement for the work to be performed on
our property due to the development of the adjacent lot. The proposed work
consists of clearing, regarding and lawn planting within a temporary slope
easement up to 40' wide at our easterly property line as shown on the "Grading
and Utilities Plan" prepared by MHF Design Consultants, dated 9/29/97. As
described by Greg Wiech of Channel Building Company, the area with the
easement will be cut to provide a transition to the grades required for our
proposed expansion. We reserve the right to approve any substantial
modifications made during permitting which further affect our property. The
costs of any survey or legal work required to formalize the easement, for the
repair of damage to any improvements upon our property and liability insurance
shall all be born by the applicant.

On December 16, 1997 the Planning Board voted to modify Conditionl0 of the Site plan Review
Approval issued by the Planning Board on October 10, 1997 for Lot 2A Flagship Drive and
recorded as Instrument# 29172 at the Northern District of Essex County Registry of Deeds on
November 11, 1997. Condition 10 should now read as follows:
The hours for trucks entering the site for shipping, receiving and waste hauling shl be

Thank you for meeting with me at the subject property yesterday. On behalf of Business Park
Realty Trust, I am requesting the release of the$20,000.00 bond posted for this project.
Current status is as follows:
1. 1 submitted the as-built site plan to you yesterday. There were no significant changes from
the original plan.
2. The dead trees we observed (7 pines)will be replaced before 10/23/98.
3. The main ground sign will be installed prior to 10/23/98.
4. 1 will ask MHF to submit a letter stating the status of the project (compliance with permitted
plans).
5. The directional and handicap signs were installed today.
6. All of the items on MHF Design Consultants' letter dated 5/14/98 have been completed.

Site Plane Review Bond Reduction
Dear Mr. Diorio,
The Planning Board voted to retain$5,000 for the completion of Lot 2A Flagship Drive. Seven
pine trees must be replaced and the main ground sign must be installed. Please inform me when
this work is complete and I will conduct a site inspection. You must also submit a final letter
from MI-IF Design stating that site has been constructed in substantial compliance with the
Planning Board's decision.
If this work is completed prior to November 10, 1998 I will place this item on the November 17`h
agenda for final bond release. If you have any questions please do not hesitate to contact me at

Please let this letter serve as notice to the Town of North Andover Planning Department that the
following items have been completed at the subject property:
1. Replacement of 7 dead pine trees
2. Installation of entrance sign
I spoke with Frank Montiero today and he will forward the letter you requested before 11/4/98.
With this work completed, I would request the release of the remaining $5,000.00 bond to be
approved at the 11/17/98 meeting.
