Client shall compensate the Company(the "Payments")according to Schedule B: Price and Payment Schedule, and all amendments thereto. Client shall pay all invoices in accordance with Schedule B: Price and Payment Schedule 3) Responsibilities of the Company. The Company shall furnish any and all materials, labor,expertise,and supervision necessary for the performance and timely completion of the Work as outlined in Schedule A: Scope of Work.The Company shall act in good faith and perform tile Work in a good and workmanlike manner. 4) Responsibilities of Client. Client shall make the Payments according to Section 2 and at all times act in good faith. Client hereby covenants and agrees that Client shall reasonably cooperate with the Company and its representatives, including structural or environmental engineers, to permit them to carry out the Work, including providing reasonable access to the Property. 5) Building and Electrical Permits. The Company will obtain the necessary building and electrical permits. This Agreement is contingent upon successful attainment of the necessary building and or electrical permits from all applicable jurisdictions (city, county, or state). If the Company is unable to commence Work due to permitting issues, this Agreement shall be null and void and the Company will refund to Client the Deposit received less a fee not to exceed$500.00 (the "Administrative Fee"), The Administrative Fee shall cover administrative costs incurred with the Company's efforts to obtain proper permitting. 6) Acceptance of Interconnect Application.This Agreement is contingent upon acceptance of the Interconnect Application (Net Metering). If the Interconnect Application is not accepted by the local utility, this Agreement shall be null and void and the Company will refund to Client the Deposit received less a fee not to exceed $500.00 (the Interconnect Application Fee). The Interconnection Application Fee shall cover administrative costs associated with the Company's efforts to obtain all necessary approvals for the Interconnect Application. If both the Administrative Fee and the Interconnect Application Fee are due tinder Section 5 and Section 6, respectively, then the Company shall only charge Client a total amount not to exceed$500.00,which amount shall be deducted from Client's Deposit. 7) Warranties. The Company warrants that the Work performed and the PV Solar System shall be free of defects from installation. The Company shall repair or replace any -faulty equipment that is covered by an applicable manufacturer warranty for a period of 10 years at the Company's sole expense. The Company shall also resolve any system-related problems caused by improper installation for a period of 10 years at the Company's sole expense. This warranty is expressly in lieu of any other warranty, express or implied, including, but not limited to, merchantability or fitness for a particular purpose, and all other obligations or liabilities. It is understood that Client accepts and agrees to comply with the terms of this warranty. This warranty shall not apply to any damage caused to the PV Solar System due to misuse, maintenance neglect, abuse,vandalism,abnormal operation,or weather-related damages. Photovoltaic Modules.The photovoltaic modules installed by the Company are warranted by the 4.1116 ACE RESIMINTIAL SOLAR [31C;#182429 module manufacturer. The Company shall provide a copy of the manufacturer warranty to Client. The Company hereby disclaims any and all liabilities and warranties relating to the modules except those provided in Section 7. Inverters The inverter(s)installed by the Company are warranted ra the manufacturer.The . Company shall provide a copy of the manufactrrer warwarranty to Client. Notwithstanding anything herein to the contrary, the Company makes no representation or Warranty as to the Client's eligibility for receipt of any tax benefit, credit, deduction or rebate from any governmental agency or offset against any federal, state or local tax or charge based on the PV Solar System or completion of the Work. Nothing in this Agreement shall constitute legal or tax advice to Client. Client should consult Client's legal counsel, accountant and other advisors as to legal, tax, business, financial and related aspects of the Work and Client's Purchase of the PV Solar System. 15) Amendments and Change Orders. Any and all amendments and change orders to this Agreement, schedules, exhibits or attachments must be in writing and signed by the Company and Client. If any subsequent amendment or modification of law, rules or regulations materially alters a party's obligations hereunder to its detriment, the parties will negotiate in good faith a mutually-acceptable amendment of the affected obligations. 16) Assignment. This Agreement is not assignable by Client without the prior written consent of the Company. 17) Governing Law. This Agreement shall be interpreted and governed under the laws of the Commonwealth of Massachusetts(without reference to conflict of laws principles). 18) Relationship of the Parties. This Agreement creates no agency relationship between the parties hereto, and nothing herein contained shall be construed to place the parties in the relationship of partners or joint ventures, and Client shall have no power to obligate or bind the Company in any manner whatsoever, nor shall the Company have the power to bind Client in any manner whatsoever. 19) Injunctive Relief-, Other Remedies. The parties hereto may seek injunctive relief from the courts if necessary. In the event of non-payment the Company may pursue any and all remedies to enforce payment of the obligations created hereunder, including recording a mechanics lien. 20) Waiver. The waiver by either party hereto of a breach of a provision of this Agreement shall not operate or be construed to invalidate the balance of the provisions contained in this Agreement, which shall continue to remain in effect. 21) Severability. The finding by any court that a provision of this Agreement is invalid shall not operate or be construed to invalidate the balance of the provisions contained in this Agreement, which provisions shall continue to remain in full force and effect. 22) Counsel. The parties hereby expressly acknowledge that each Party has been given the opportunity to consult with separate legal counsel for advice on this matter. 23) Counterparts. This Agreement may be executed in any number of counterparts, each of which when so executed and delivered shall be deemed an original and all of which taken together shall constitute one and the same instrument. 24) Force Majeure. Neither party will be responsible for any failure to perform its obligations Linder this Agreement due to causes beyond its reasonable control,including,but not limited to,acts of God,war,riot, embargoes, acts of civil or military authorities, fire, floods, accidents, storms, lightning and earthquakes, sabotage or destruction by a third party of the Work, or a strike, walkout, lockout or other significant labor dispute, or a shortage in the supply of photovoltaic solar panels, or other causes beyond the affected party's reasonable control. 25) Headings.The headings of the sections of this Agreement are included merely for convenience of reference and shall not affect the meaning of the language included herein. 4.13.16 ACE RESIDEN,riAL SOLAR HIC#182429 26) Entire Agreement.This Agreement contains the entire agreement between the parties relating to the subject matter hereof,and all prior proposals,discussions or writings are superseded hereby. 27) Binding Authority. Roof Structure:2x6 rafters a, 16"O.C.w/sistered 2x8 at each rafter supporting solar panels. Roof Material:Composite shingles Based upon our review,it is our conclusion that the installation of solar panels on this existing roof will not adversely affect the structure of this house with the retrofit mentioned herein. The design of solar panel supporting members and connections is by the manufacturer and/or installer. The adopted building code in this jurisdiction is the 2009 International Building Code and ASCE 7-05. Appropriate design parameters which must be used in the design of the supporting members and connections are listed below: Ground snow load:50 psf per Massachusetts amendments to the IBC(verify with local building department) Design wind speed for risk category II structures: 123 mph(3-sec gust). Wind exposure:Category C We recommend a 2x8 be connected to each rafter with 16d sinkers in the area of the solar panels to support the additional weight of the solar panels. Solar panels will be flush-mounted, parallel to and no more than 6" above the roof surface. Regarding wind loads,we conclude that any additional forces will be negligible due to the low profile of the flush-mounted panel system.It is Our conclusion that any additional seismic loadings related to the addition of these solar panels is negligible. During design and installation,particular attention must be paid to the maximum allowable spacing of attachments and the location of solar panels relative to roof edges. The use of solar panel support span tables provided by the manufacturer is allowed only where the building type, site conditions, and solar panel configuration match the description of the span tables.Attachments to existing roof joist or rafters must be staggered so as not to over load any existing structural member. Waterproofing around the roof penetration is the responsibility of others. All work performed must be in accordance with accepted industry-wide methods and applicable safety standards. Vector Structural Engineering assumes no responsibility for improper installation of the solar panels. Please note a representative of Vector Structural Engineering has not plrysically observed the roof framing. Our conclusions are based upon the assumption that all structural roof components and other supporting elements are in good condition,free of damage and deterioration,and are sized and spaced such that they call resist standard roof loads. Design Loads for Buildings& Other Structures International Building Code 2012 Edition Other: AC428,Acceptance Criteria for Modular Framing Systems Used to Support PV Modules,dated Effective November 1,2012 by ICC-ES Aluminum Design Manual,2010 Edition The IronRidge XR100 Rail is an extruded aluminum section with an overall depth of 2.438 in. and a net area of 0.583 sq.in. The rails are used to support solar modules, typically, on the roof of a building. See Exhibit A—attached. The rails are clamped to aluminum angle brackets that are either attached directly to the roof framing or attached to a stand that is screwed to the roof framing. The rails are mounted across the slope with a small clearance (flush mounting) to the underlying roof structure. The installed solar modules are at the same slope as the underlying roof structure. All loads are transferred to the roof framing through the angle brackets by simple bi-axial flexure of the rails. The maximum span of the rails is governed by either the mid-span flexural stresses or the deflection requirement that the rail not come into contact with the roof. The effect of seismic loads (for all design categories A-F) have been determined to be less than the effect due to wind loads in all load conditions and combinations. Therefore,the maximum allowable spans for common load cases are shown in the tables below. Tables I A-9A are for modules with a maximum long dimension of 67.5 inches and Tables 1 B-9B are for modules with a maximum long dimension of 78.5 inches. Starling Madison Lofquist,Inc. Taggart, Vice President Products Subject: IronRidge F1ashFoot Dear Sir: This letter is a supplement to the standard letter for the IronRidge Roof Flush Mounting System to address the requirements for use with the IronRidge F1ashFoot. The IronRidge F1ashFoot comprises an aluminum block and flashing plate. An L-Foot base is attached using a 5116" lag screw with a 3 inch minimum embedment into a wood substrate. The wood substrate for the tests consisted of 1/2" CDX plywood over a 2x6 SAF #2 rafter with a specific gravity of 0.42. A full detail can be seen on the attached drawings. The testing data provided shows that the critical failure occurs in one of two ways, pullout of the lag screw from the base material or the shear failure of the L-Foot. Maximum allowable values for these failure conditions were derived using a safety factor of 3.0 on the lowest ultimate load provided by the testing. The maximum allowable uplift reaction of 717 lbs and the maximum allowable downslope (lateral)reaction of 341 lbs are based on the tested criteria. The allowable loads used to develop the tables below have been increased from the tested values above to reflect installation into a wood substrate with specific gravity of 0.50. The increase was determined using the ANSI/AF&PA NDS-2010 National Design Specification (NDS) for Wood Construction adjustment factor of I / 1-(0,50-G) where G is the tested specific gravity. Therefore,the maximum allowable uplift reaction is 779 lbs and the maximum allowable downslope (lateral) reaction is 370 lbs.
