The IUMP sum does not include permit fees, survey fees, expenses incurred in clearing, excavating, other than for piers, and/or re-grading the sight, providing extra viewing platforms and/or walkways other than those outlined above, or the installation and connection of utility service lines, 3.) "Installed" is to mean once materials have been, permanently attached to Owner's property. h. 7I Drawings Contractor has furnished their standard MA engineered stamped drawings in .pd€format. Owner to act as GC and submit and obtain all permits. 8)Guarantee Contractor guarantees that his work will be free from defects in workmanship and materials under normal use and service as follows: a ■ welds for a period of 5 years from installation. ■ applied aggregate surface for a period of 3 years from installation for adhesion. ■ remaining workmanship and materials from a period of 1 year from installation. ■ Light fixtures as is (we will demonstrate that they work). A defect in any part of the installation shall not, when said part is capable of being renewed, repaired or replaced, operate to condemn such installation. Guarantee is void if payment is not received as outlined in paragraph 18. This guarantee shall not apply to any materials or equipment furnished by Contractor which shall ha%ie been repaired or altered in any way by other than Contractor so as to affect its suitability, nor to any material or equipment which has been subjected to misuse, negligence, or accident. If equipment furnished hereunder is defective, Owner shall promptly advise Contractor in writing to this effect so that Contractor shall have the opportunity to inspect, repair and/or, replace the equipment'in question. Contractor asi§umes no liability for any back charges by Owner unless Contractor has given written authorization for such work. In no event does Contractor assume liability for delays resulting from repairs or replacement of materials. Contractor assumes no,risk for o consequential damages arising out of the use or misuse of materials and/or 0. Any interference by unions resulting in delay of the job and/or additional expenses incurred by Contractor to complete the job (including but not limited to labor, room and board) will be at Owners expense. 10 Satisfaction No payment by Owner or receipt by Contractor of an amount less than the amountcontracted by Contractor shall be deemed to be other than an account of the invoice amount, nor shall any endorsement on any check nor any letter accompanying such lesser payment without prejudice to Contractor's rights to collect the balance of such invoice amount. 991 Access of Site Contractor is familiar with the site and agrees that the site is accessible. jJ22 Use Constitutes Acceptance Upon completion of court by Contractor, court will be playable. Owner also agrees to inspect court upon completion and draft punch list, Contractor will make adjustments per list. Owner may withhold reasonable monies directly applicable to items on punch list that have not been corrected or addressed. Contractor will'address and direct all punch list items immediately following issuance of punch list by Owner. Owner must draft list immediately upon completion of court by Contractor while construction crew is still present so that construction crew can make any necessary repairs. 7 ment This contract shall have the effect of superseding any ' _ Effect o_f_Docu previous document. In the event of a.dispute Contractor and Owner agree to binding arbitration in lieu of a court hearing with the arbitration to be governed and controlled by the rules and procedures of the American Arbitration Association. 95 Taxes The prices stated in this contrast do include sales tax on the value of the materials, but do not include use, excise, personal'property or.gross income taxes or like taxes, or taxes or fees substituted in lieu thereof, which may now or may hereafter be imposed by federal, state, or local government by reason of our furnishing or installing this equipment. All of the forgoing levies except sales tax on the materials shall be the Owner's account and responsibility. 161 Schedullna Contractor will schedule installation of the courts for as soon after the permits are issued as possible. We are estimating to be onsite to install the piers in early June. We will coordinate with the club concerning deliveries and disturbances.
