Andover Olde Center Historic District Commission. This will allow for the installation of G additional solar panels (a total of 21) in a triangular array on the front south facing roof, 21 solar panels on the side and 9 on the rear roof of the 2014 new addition structure. This along with the previous certificate of appropriateness approved on February 11, 2016 represents a total of 51 solar panels approved. All solar panels are to be low profile black on black construction set in an all-black case and name structure raised approximately h inches off the roof surface and set back approximately 7 inches from the gutter line. Schrum .r, Jr, Chairman A� Martha Larson w Leslie-Frazier Harry Aznoi f This Solar Construction Agreement (the"Agreement") is entered into on between Sung«g Solar MC,a Delaware limited liability company whose mailing address is 411A ffighland Avenue, Somerville, MA 021.44 and whose offices are located at 11.65 Massachusetts Avenue,Arlington,MA 02476("ContCand North l Parish Church of Nortli Andover, 190 Acidemy Road,0184.5("Customer'),pis follows; Recitals A, Customer desires to engage Contractor to provide Customer with rooftop Solar Electric Power System for Customer's Site or Bost Facility located 190 Acaderny Rodd, 01845 and Contractor desli°es to provide such a Solar Electric Power System to Customer. B. Contractor and Customer (the"Parties") desire to set forth the terms and conditions of their transaction in this Agreement. AWVWltM Therefore*,in consideration of the mutual covenants contained herein,the parties hereby agree as follows: 1. Definitions. The following terms as used herein shall have the definitions given them below: (a) ►'.c The "Project" means the design, engineering, procurement, construction, and related services necessity for the construction and instillation of the System at the Site and,to the extent provided herein, made the responsibility of the Contractor, including providing, as necessary and per the terms of this Contract all personnel, supervision, and management, and all equipment and materials including supply, handling, packaging, and transportation for such services,subject however to stated conditions and exceptions herein. If the Customer is purchasing the System for the purposes of selling the energy or leasing the equipment to a 3rJ party, the site will mean the property owned by a designated Host,and the project will be sited at the Host's facility. Array: a ,egniented solar array of large-area, glass-super•str•ate solar electric modules. The array will be Installed utilizing Contractor's selected mounting system. See thea attached referenced Proposal and MOU for details. yj11yelurs:The output of the:solar power system will be converted to utility-grade power by one or more inverters that will he located convenient to the solar array and building service. The AC power will then be fed into the building's electrical distribution system at or near the point that it enters the building. All technical requirements fr0m the.local utility with regards to utility intcrconnection of the system will be dise«sseE! with the utility and satisfied. The utility may impose a separate charg►� for° installing a specia3I meter to provide net inetering for excess power credits. (g) Final Augj2jam-shall he achieved when all Work of the Agreement is complete, ail system tests have been performed and have demonstrated that the system is performing within its design parameters, the local utility has approved and installed a bidirectional riet meter,and the systern has!leen activated and commissioned. 2. Scope of Work. Contractor hereby agrees to sell and provide,and Custorner agrees to purchase, the Project in accordance with the terms and conditions set forth herein, to design,install and build the System at the Site. Project Schedute. (a) on the mutually agreed date that is as soon as practicable after tine date hereof(the "Commencement Date"),Contractor and Customer shall hold a'kick-off meeting at the Site.following the kick-off njecting;,Contractor shall proceed with the prt'paraticlrl of any necessary designs,drawings,and specifications,and permit applications. Contractor shall deliver draft design drawings and specifications (the "Construction Documents") to Customer as soon as such documents are prepared by Contractor. Customer shall diligently review anti respond to each d submission by Contractor in an effort to finalize the Construction Documents as quickly as reasonably practicable, In no event shall such response twice marc than ten (14) business days, unless agreed otherwise by the Parties, in writing, once the Construction Documents are approved,Cusionler shall not unreasonably withhold its consent to any modilications thereto that may be required by any governmental or quasi-governmental agency with 9 jurisdiction over the permitting of the System and/or the Project. 0 V (b) The Project is expected to be completed in phases as follows: (i) Phase One: Contractor will submit wiring diagrams,mounting details,and drawings needed for permit review,obtain necessary building permits,and order key System components with long lead times. tli) Phase Two: Contractor will obtain and install all System conlponent5, including sellar ]lands, mounting hardwares inverters,disconnect and all associated wiring. (c) Fach party shall use its reasonable efforts to carry out its obligations hereunder in a timely manner. Without lin►iting the foregoing,ContrWtor Shall use its reasonable efforts to complete the Project in accordance with the dates set forth lit the Project Schedule attached hereto as Exhibit A, ar• the Proposal, subject to adjustment as provided herein. Time is of the essence with respect to the Parties' obligation% hereunder, except as otherwise provided in this Contract. (d) No delay in performance by either party hereto shall constitute defantit hereunder or give rise to any claims for damage if,and to the extent,such delay is caused by Force Majeure occurrences beyond the control and without the fault or negligence of the party affected,which such occurrences are defined as including, but eat limited to,acts of God or the public enemy; expropriation or confiscation of facilities; inclement weather,changes in law or regulation; unanticipated Site conditions;delays in receipt of information from Customer or third parties not under contract to Contractor; compliance with any order of any governmental authority; acts of war, rebellion or sabotage, natural disasters, including fires, floods, or explosions; riots or unavoidable casualties; relocation or Constr'uetirrr► of ti'an51111SSi011 facilities, or the shutdown (if such facilities for the purpose of necessary repairs; permanent or temporary relocation of tine System, including due to re-roofing, or other performance-frustrating causes beyond the reasonable control of the per•ibrrning party.Such party, however, shall complete performance as required by this Agreement and the Project immediately after the removal or cessation of such cause of delay,and the Project Schedule shall be adjusted in accordance with the provisions of Section 9. The affected party shall give written notice to the other party as soon after becoming aware of the Force Majeure delay as is reasonably possible,but in any event within fourteen(14)bays after the beginning cll'such delay, and the Contractor shall work with Customer to mitigate the costs and impact of the delay. 4, contractor Responsibilities. Contractor will be responsible liar the turn-key design, engineering, procurement and installation of the System.Without limiting the foregoing,Contractor will be responsible for the following: (a) Contractor will be responsible for project management and will coordinate directly with the Customer's designated representatives. (b) Contractor shall design and engineer tine System, prepare drawings and calculations, and obtain electrical code and utility approvals for installation of the System. Contractor's structural analysis shall specify the building's ability to accent additional wind and snow loads imposed by the System. (c) Contractor shall source, procure and deliver the components described herein and the overall installation of the System. (d) Contractor will be responsible for start-up and Commissioning as well as initial training of Customer's personnel in the operating and maintenance(o&M)activities at the time of System commissioning, (e) Contractor shall contract for and supervise the work of a Massachusetts-licensed electrical contractor to complete the System instaallatioll,secure the electrical pernnit(s)required for Installation of the System and arrange for the inspection of the System upon Substantial Completion of the Project.Contractor shall coordinate with CuStotnler and provide advance notiflcatton for any power interruptions directly caused by Contractor during installation of the System. (f) Contractor shall be responsible for ohservKltion of and compliance with all applicable local, state and federal statutes,laws,rat dinances,regulations,rules and codes applicable to Contractors responsibilities under the Project. Vu tl Page 3 of 3 j 585 Construction Agreement 3 1 w p (g) Contractor shall obtain and carry insurances for the duration of this project for coverage it) the following areas and amounts: n • General Liability-$1,000,000 per occurrence;$2,000,000 aggregate • Automobile Liability- $1,000,000 combined single limit • Worker's Compensation-$1,000,000 • Professional Liability-$1,000,000 per claire;$2,000,000 aggregate ate Contractor will provide Customer a certificate of insurance upon request on or after the Commencement Date.Contractor will also require similar coverage be carried by its subcontractors. S. Customer Responsibilities (a) Customer shall assign a project manager("Custumer Representative")who shall be the coordinator for this solar project and the Icey contact for Contractor. (b) Customer shall upon request provide Contractor information concerning the Site and the building design; and Contractor shall inspect and review the bull(ling rout'and information to determine if it is in fact a lultable structurally strung subsurface upon which Contractor will erect and install the System. (c) Customer shall provide adequate Space for the installation of equipment required for the array, inverters and other balance-of-system components, and the location for the installation of the utility-required System disconnect.Contractor will provide a wall layout and the required electrical equipment details regarding the inverter installation and connection to Customer's power panel for review and approval. (d) Customer shall secure and provide to Contractor all consents and access rights necessary to permit Contractor to install and, if necessary, provide warranty service to the System, including without limitation any access agreement or easernent and any consent of any landlord, master landlord or mortgagee of the Site as Contractor may reasonably deem necessary or desirable, Without limiting the foregoing„ Customer shall provide Contractor direct and easy access to the interconnection point at the building interface for the System. (e) Customer shall make electricity, water and sanitation available on-site to support the installation process. (1) Title to file solar electric system components will transfer to Customer upon Final Acceptance by Customer, During the period of time between system installation and Final Acceptance, Customer shall carry insurance ora its facility that will cover the System from theft, vandalism rg damage not directly caused by COMPaC.tOr and its Subcontractors. (g) Customer will be responsible for reasonable upgrades and enhancement to the existing electrical system should they be necessary, (h) Custnnrer will be responsible for obtaining roof warranty extensirins, and paying for any inspections required by roofing manufacturers. Customer will be responsible for any roof remediation and/or structural modification to file roof or building design that may he required for the installation of the solar system. 6. Project Cost and Payment Schedule (a) Contractor proposes to provide the complete, turn-key System for the Sum of 566,096 (Sixty Six Thousand Nintey Six dollars)(tile"Project Price"). During construction,Contractor may bill Customer partial progress payments for construction work on a monthly basis. (c) Customer agrees and acknowledges that the unpaid and undisputed portion of the System and all apparatus and products; that are component parts thereof to be supplied hereunder shall continue to be treated as personal property subject to a purchase money security interest in favor of Contractor until such portions of the System are fully paid for by Customer, in the event of Customer's default in payment,and without limiting any other remedies that Contractor might have,Contractor shall be entitled to take such steps as are necessary to remove such portions of the System that remain subject to the purchase money security interest from the Site, including property that they have been fastened or connected to. disconnecting any wiring;anti detaching them from any pi 7. Change Orders, - (a) Contractor may request by change order, any change in the Project, whether such Changes ate accelerations, alterations,additions or deletions. All such changes shall be made in accordance with this Section 7 and upon acceptance by Customer shall be considered,for all purposes of this Agreement,as part of the Project, If the parties are unable to agree on an adjUstinenL to the payments to be made het-eunder, then such adjustment-shall be in an amount equal to one hundred ten percent(110%) of the additional direct costs incurred (or avoided,as the case may be),by Contractor to make such changes to the Project(such Direct Costs to include tlae salary related expenses of Contractor's personnel performing work necessary to make,or avoided by making,such changes,but excluding overhead,management,and administrative expenses of Contractor relating to such changes) as full and complete compensation for the change order. Page 5 of 5 585 Construction Agreement (c) Notwithstanding the above, and by providing Customer with written notice and a notification response period of five business days, Contractor shall have autliority to snake minor changes,so long as any such a tthlnor changes:(i)do not change the total Project Price,(it)do not materially Impact the Project Schedule(including Contractors ability to achieve Substantial Completion on or before the Substantial Completion Date as projected herein); provided that Contractor shall promptly inform Customer, in writing, of any such minor changes made during the course of the Project and shall make available to Customer,at the Site,a Stat of as-huilt drawings khat will be kept current to show those minor changes. For clarification purposes,minor changes tto not include any changes to agreed-upon manufacturer or type of modules,inverters,tracker,or balance of system components, 8, Substantial Completion and Final Acceptance. Contractor shall advise Customer in writing when Contractor considers that it has completed the Project, including all required submissions and deliveries to Customer as listed below, to the extent required to achieve Substantial Completion. When so advised by Contractor,Customer shall promptly complete an inspection and review of Project,and shall participate in the System Test as requested by Contractor, and shall either (i) provide Final Acceptance of Substantial Completion of the System or (it) advise Contractor in writing of any outstanding 'punch list' or other items which niust be supplied, completed or corrected for the System to meet the reyuirenients of Substantial Completion set forth herein. If the parties agree that additional work is required to achieve Substantial Completion, or if the System does not class lite System Test, then Contractor shall complete such additional work as Contractor may determine to be necessary and notify Customer when the additional work is completed. (a) During Final Acceptance of the System the Contractor shall furnish Customer with the following: (i) A written certificate in a form reasonably satisfactory to Customer that (I) tate System as installed by Contractor complies in all material respects with all applicable local,state and federal laws, regulations,and codes applicable to Contractor's responsibilities under the Project,and that(Z)all payrolls, materials and equipment hills and other indebtedness or claims arising out of or in connection with the;Traject by Contractor and its subcontractors avid vendors have been paid or otherwise satisfied. (ii) Satisfaction of conditional lien waivers and releases of all laborers', material nien's and mechanics' liens arising out of labor, materials and equipment or services furnished by or on behall'of Contractor or arty of its subcontractors, vendors or suppliers if and to the extent that arty such claims have been filed,along with evidence of title transfer,where relevant, (iii) Delivery to Customer of two copies of all as-built drawings, specifications, engineering and other documents to which Custonmr is entitled under this Agreement. (iv) Assignment to Customer of all vendor warranties for equipment purchased by Contractor,to the extent the same can be assigned. (v) Evidence of Utility Interconnection. 9. Warranties, e (a)Each party represents and warrants.that; (i) It is duly registered, licensed, validly existing and in good standing under the laws of Massachusetts and is duly registered, licensed and qualified to do business and is in good standing in all counties, municipalities and states where such registration, licensing and qualification is required to perforni any part of the Project or any other obligation hereunder. (ii)It is duly authorized to enter into this Agreement and perforin its obligations Itcretinder. SRS Constfoction Agreement Page 6 of G i It: (iii) The execution, delivery and performance of this Agreement and the Project shall not cottstiltite a breach orany provision of uppliciiblc law or contained in any agreement to which it is a party. (b) Contractor warrants that: (i) As to all apparatus and products manufactured by third parties that are component parts of tite System,Contractor shall to the fullest extent practicable,obtain for and pass through to Customer such warranties or guarantee as are obtainable fr'oln 1he manufacturers of such component pails. Stich warranties or guarantees shall extend over the longest period of lisle obtainable in (his instance without payment by Contractor of additional consideration therefore. (ii) Contractor rurther warrants to Customer that upon Final Acceptance, Customer shall acquire rill richt, title and interest in the System and that the System as designed and built by it will be free of any liens or cnaumbrnnces, limits on use or rights of others of any kind. If there are any such liens or encumbrances, limil.s on use or rights of others, Contractor will cause there to be discharged promptly xller notification from Customer of their existence. F'actor's such as dust,shading,%now, ice, weather and other natural and man-made elements, including usage, can adversely affect energy production during any perlod of a day,a season,or a year, (iv) Contractor shall utilize materials out the Project which conform to the warranty and technical specifications set forth in the Minimum 'rec)hnical Requirements included in the Agreement Documenus(as of the Commencement tate defined in the Agreement). (c) SECTION 9(b)ABOVE EXPRESSLY SETS FORTH ALL.OF CONTRACTOR'S WARRANTIES PERTAINING TO THE WORK AND THE SYSTEM,THE EXPRESS WARRAN'T'IES IN THE ABOVE SECTION 9(b)ARE IN LIEU OF ANY WARRANTY OF 6' PRCHANTABILITY OR OF FiTNESS IFOR A PARTICULAR PURPOSE AND ARE IN LIEU OF ALL OTHER WARRANTIES OF ANY KIND,EITHER EXPRESS Olt IMPLIED,IN FACT OR BY LAW. (d) IN NO EVENT WILL EITHER PARTY BE LiABLE FOR SPECIAL, INDJRF.CT, CCONSEQUEN PIAL,EXEMPLARY OR PUNITIVE DAMAGES,INCLUDING" ANY LOST PROFITS,OR ANY AND ALL OTHER LOSSES Olt DAMAGES TO THE(OTHER PARTY OR ANY THIRD PARTIES. EACII PARTY UNDERSTANDS,ACKNOWLEDGES AND AGREES THATTHE OTHER PARTY WAIVES ALL SUCH LIABILITY,TO THE I XTENl'NOT EXPLICITLY CXEMPTE D FROM THE PROVISIONS OF THE PRECEDING SENTENCE,AND EACH PARTY CONSENTS TOTHE OTHER PARTY'S WAIVER,EVEN IF T14E:OTHER PARTY HAS BEEN ADVISED OFTHF. POSSIBILITY OF SUCH DAMAGES. (e) Notwithstanding,any other provisions of this Contract,the total liability of either party and its respective employees,agents,representativesand subcontractors hereunder for breach of contt'act(including,but not limited to failure i to Meet warranties and patent infi'ingcment)or in tort,whether in connection with performance,nonperformance of otherwise,shall be,limited to uggregatc total of the Project Price hereunder,except(Q the cxterrt such liability results from a breach of the confidentiality or intellectual property provisions of this Contract or otherwise results from the gross negligence or willful misconduct ofa Party hereunder. The Contractor warrants to the Custorner(s) that all materials and equipment incorporated in the Work by Contractor will be new unless otherwise specified,and that the Work shall be of good quality, free from material defects and in material cant'onnance with the Agreement Documents(as modified by Change Orders or other Customer(s)' directive) system design and workmanship, and the System as installed shall confortrt in all material respects to the specifications herein.All work not conforming to these requirements may be considered defective. (i) 11',during the Warranty Period,any part ofthc System is found to have been materially defective or dammed at the time it was installed by Contractor, then at Contractor's option it shall either be repaired or replaced by a similar part.
