I have no way of knowing. Local and state regulation requires the columns to be 5 feet from the edge of the tank and 10 feet from any leach area. If it were a full foundation, it would be 2x that distance. We also require,for building permits on houses that have on site waste water systems, that the system location be placed on the same plan as the proposed addition. It must be to scale. Once received,the Health Dept. will verify the distance and approval should be granted. If you have any questions. CONTRACT DOCUMENTS 1.1 The contract documents consist of this agreement, general conditions,construction documents, specifications,allowances, finish schedules,construction draw schedule, information disclosure statement, all addenda issued prior to execution of this agreement and al I change orders or modifications issued and agreed to by both parties. All documents noted herein shall be provided to the Contractor by the Owner. These contract documents represent the entire agreement of both parties and supersede any prior oral or written agreement. - ARTICLE 2. SCOPE OF WORK 2.1 The Owner agrees to purchase and the Contractor agrees to construct the above mentioned structure and fixtures attached thereto in North Andover, MA according to the construction documents, allowances, finish schedules,all addenda,change orders, modifications and specifications set forth in the specification booklet. ARTICLE 3. TIME OF COMPLETION 3.1 The approximate commencement date of the project shall be February 2010. The approximate construction time of the project shall be three to five Months,however any change orders and/or unusual weather might delay, shortage of materials or labor or otherwise affect the completion date. 3.2 Any decisions that need to be made by the owner, shall be made within 72 hours for progress to be made. The owner may contact the contractor by phone, fax, or email when a decision has been made. ARTICLE 4. THE CONTRACT PRICE 4.1 The purchase price of the project shall be set at the sum of one hundred twenty-two thousand seventy-six dollars and six cents, ($122,076:06), subject to additions and deductions pursuant to Initialed by: Own e Contractor Fixed Contract Amount Lindau Renovation Page 2 of 7 authorized change orders and allowances. 4.2 Time and Material Items: Based upon applications for payment and all supporting documentation submitted to Owner by Contractor, Owner shall make a progress payment to Contractor as provided below. The amount of each progress payment shall be calculated by adding the labor hours and materials plus the contractor's fee of 25%. 4.2.1.1 Owner shall reimburse Contractor the Cost of the Work. The term "Cost of the Work" shall mean costs necessarily incurred by Contractor in good faith and in the proper performance of the work. The Cost of the Work shall include the items set forth in this section. 4.2.1.1.1 Rate Schedule for Contractor's Personnel WORKER RATE All carpenters: $50 per hr. 4.2.1.2 Labor Costs: Wages of construction workers directly employed by Contractor to perform the construction work("In-House Labor")will be paid as established by the Rate Schedule for Contractor's Personnel set forth below.,This rate schedule is the gross amount to be charged for each worker(any and all applicable labor burden, medical and retirement benefits, bonuses, etc. have been factored into these rates). 4.2.1.3 Contractor's Supervisory Personnel: When Contractor or Contractor's employee is performing both carpentry work and supervisory work,there shall be no duplication of payment for such labor(i.e., payment for both carpentry work and supervisory work at the same time). Owner will be billed for Contractor or Contractor's supervisory personnel performing off-site coordination activities or off-site job-related meetings directly related to the progress of the work. 4.2.1.4 Cost of Time Spent Picking Up Materials and Mobilizing Job: Time spent by Contractor and his employees at lumberyards and material supply houses(including travel time to and from) to pick up materials, and time required to move tools and equipment onto the job site at the start of the project and away from the site at the end of the project, is part of the Cost of Work. 4.2.1.5 Subcontract Costs: Payments made to Subcontractors in accordance with the requirements of the Subcontracts is part of the Cost of Work for the project. ARTICLE 5. PROGRESS PAYMENTS 5.1 The Owner will make payments to the contractor pursuant to the attached construction draw schedule as work required by said schedule is satisfactorily completed. Owner shall make draw payments to contractor within 10 days after request by contractor. Should the owner fail to make payment, contractor may charge a penalty of 1.5% monthly upon the unpaid amount until paid. 5.2 If payment is not received by the Contractor within 10 days after delivery of payment demand for work satisfactorily completed, contractor shall have the right to stop work or terminate the contract at his option. Termination by Contractor under the provisions of this paragraph shall not relieve the Owner of the obligations of payments to Contractor for that part of the work Initialed by: Owner Contractor Fixed Contract Amount Lindau Renovation Page 3 of 7 performed prior to such termination. Termination by Owner under the provisions of this paragraph shall not relieve the Owner of the obligations of payments to Contractor for that part of the work performed prior to such termination. ARTICLE 6. DUTIES OF THE CONTRACTOR 6.1 All work shall be in accordance to the provisions of the plans and specifications. All systems shall be in good working order. 6.2 All work shall be completed in a workman like manner, and shall comply with all applicable national, state and local building codes and laws. 6.3 All work shall be performed by licensed individuals to perform their said work, as outlined by law. 6.4 Contractor shall obtain all permits necessary for the work to be completed. Cost of the permit is not included in the contract and will be billed on a time and material basis. 6.5 Contractor shall remove all construction debris and leave the.project in a broom clean condition. 6.6 Upon satisfactory payment being made for any portion of the work performed, Contractor shall furnish a full and unconditional release from any claim or mechanics' lien for that portion of the work for.which payment has been made. ARTICLE 7. -OWNER 7.1 The Owner shall communicate unicate with subcontractors only throughh the Contractor.actor. Contractor is responsible for all communications with subcontractors. 7.2 The Owner will not assume any liability or responsibility, nor have control over or charge of construction means, methods,techniques, sequences, procedures,or for safety precautions and programs in connection with the project, since these are solely the Contractor's responsibility. 7.3 Owner agrees to promptly furnish Contractor with all details and decisions about unspecified construction finishes,and to consent to or deny changes in the Scope of Work that may arise so as not to delay the progress of the Work. Owner agrees to furnish Contractor with continual access to the job site ARTICLE 8. CHANGE ORDERS 8.1 A Change Order is any change to the original plans and/or specifications. All change orders need to be agreed upon in writing, including cost,additional time considerations,approximate dates when the work will begin and be completed,a legal description of the location where the work will be done and signed by both parties. 50% of the cost of each change order will be paid prior to the change, with the final 50%paid upon completion of the change order. A 25% fee shall be added to all change orders and overages in excess of initial allowances. INSURANCE 9.1 The Owner will keep in force a Builder's Risk Insurance Policy on the said property to protect both owner's and contractor's interests until construction is completed. 9.2 The Owner will purchase and maintain property insurance to the full and insurable value of the project, in case of a fire, vandalism, malicious mischief or other instances that may occur. 9.3 The Contractor shall purchase and maintain needed Workman's Compensation and Liability insurance coverage as required by law and deemed necessary for his own protection. ARTICLE 10. GENERAL PROVISIONS 10.1 If conditions are encountered at the construction site which are subsurface or otherwise concealed physical conditions or unknown physical conditions of an unusual nature,which differ naturally from those ordinarily found to exist and generally recognized as inherent in construction activities,the Owner will promptly investigate such conditions and, if they differ materially and cause an increase or decrease in the Contractor's cost of, and/or time required for, performance of any part of the work, will negotiate with the Contractor an equitable adjustment in the contract sum, contract time or both. 10.2 Contractor will use his best efforts to match existing finishes and materials. However, an exact match is not guaranteed by Contractor due to such factors as discoloration from aging, a difference in dye lots, discontinuation of product lines,and the difficulty of exactly matching certain finishes,colors, and planes. Custom milling of materials has not been included in this Agreement, unless specifically stated in the Scope of Work section above. Unless custom milling of materials is specifically called out in the plans, specifications, or Scope of Work description above, any material not readily available at local lumberyards or suppliers is not included in this Agreement. if Owner requires an exact match of materials or textures in a particular area, Owner must inform Contractor of this requirement in before signing this Agreement. After that time,all test patches, materials submittals, or any removal and replacement of materials already installed in accordance with the terms of this section will be performed strictly as Extra Work on a time- and-materials basis by, and at the discretion of,the Contractor. Any owner supplied materials that must be picked up by the Contract, will incur a time and material invoice to the owner. 10.3 PUNCHLIST: From time to time and upon substantial completion,the owner or the owner's designated representative shall inspect the house in the contractor's or contractor's representative's presence. At the time of the final inspection for substantial completion,the owner will give the contractor a signed punch list that identifies any alleged deficiencies in quality of work or materials. 10.3.1 The contractor shall correct any items on the owner's punch list that, in the good faith judgment of the contractor,are deficient in the workmanship and/or materials according to the standards of construction relevant to the community or an area in which the project is located. The contractor shall correct those defects at its cost within a reasonable period of time. If any deficiencies are found after the punch list has been signed,those items will be considered warranty items and will be corrected upon the receipt of the final payment. (See Section 111.L. Warranty) ARTICLE 11. HAZARDOUS MATERIALS,WASTE AND ASBESTOS 11.1 Both parties agree that dealing with hazardous materials,waste or asbestos requires specialized training, processes, precautions and licenses. Therefore, unless the scope of this agreement includes the specific handling, disturbance,removal or transportation of hazardous materials, waste or asbestos, upon discovery of such hazardous materials the Contractor shall notify the Owner immediately and allow the Owner/Contractor to contract with a properly licensed and qualified hazardous material contractor. Any such work shall be treated as a Change Order resulting in additional costs and time considerations. ARTICLE 12. ARBITRATION OF DISPUTESI 12.1 Any controversy or claim arising out of or relating to this contract,or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association under its Construction Industry Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. 12.2 Any controversy or claim arising out of or relating to this contract,or breach thereof, involving an amount less than $5,000.00 (or the maximum of limit of the court)must be heard in the Small Claims Division of the Municipal Court in the county where the Contractor's office is located. 12.3 Regarding any controversy or claim arising out of or related to this contract, or beach thereof, which is over the dollar limit of the Small Claims Court: The Contractor and the Owner hereby mutually agree in advance that in the event the contractor has a dispute concerning this contract, the contractor may submit such a dispute to a private arbitration service which has been approved by the Office of Consumer Affairs and Business Regulations and the consumer shall be required to submit to such arbitration as provided in MGL. C. 142A. Owner's Signature Contractor's Signature 12.4 NOTICE: The signatures of the parties above apply only to the agreement of the parties to alternative dispute resolution initiated by the Contractor. The Owner may initiate alternative dispute resolution even where this section is not signed by the parties. 12.5 The prevailing party in any legal proceeding related to this Agreement shall be entitled to payment of reasonable attorney's fees,costs,and expenses. ARTICLE 13. WARRANTY 13.1 At the completion of this project, Contractor shall execute an instrument to Owner warranting the project for one year against defects in workmanship or materials utilized. No warranty is provided by Contractor on any materials furnished by the Owner for installation. No warranty is provided on any existing materials that are moved and/or reinstalled by the Contractor within the dwelling(including any warranty that existing/used materials will not be damaged during the removal and reinstallation process). One year after substantial completion of the project,the Owner's sole remedy(for materials and labor)on all materials that are covered by a manufacturer's warranty is strictly with the manufacturer, not with the Contractor. 13.3 Repair of the following items is specifically excluded from Contractor's warranty: Damages resulting from lack of Owner maintenance;damages resulting from Owner abuse or ordinary wear and tear; deviations that arise such as the minor cracking of concrete, stucco,ceramic, plaster; minor stress fractures in drywall/plaster due to the curing of lumber; warping and deflection of wood; shrinking/cracking of grouts and caulking; fading of paints and finishes exposed to sunlight. ARTICLE 14. TERMINATION OF THE CONTRACT 14.1 Should the Owner or Contractor fail to carry out this contract, with all of its provisions,the following options and stipulations shall apply: 14.1.1 If the Owner or the Contractor shall default on the contract,the non-defaulting party may declare the contract is in default and proceed against the defaulting party for the recovery of all damages incurred as a result of said breach of contract, including a reasonable attorney's fee. In the case of a defaulting Owner,the Earnest money herein mentioned shall be applied to the legally ascertained damages. 14.1.2 In the event of a default by the Owner or Contractor,the non-defaulting party may state his intention to comply with the contract and proceed for specific performance. 14.1.3 In the case of a defaulting Owner,the Contractor may accept,at his option the earnest money as shown herein as liquidated damages, should earnest money not cover the expenses to date,the Contractor may make claim to the Owner for all work executed and for proven loss with respect to equipment, materials,tools, construction equipment and machinery, including reasonable overhead, profit and damages applicable to the property less the earnest money. 14.1.4 In the event of a default,the non-defaulting party shall notify the defaulting party pursuant to paragraphs 14.1.1 — 14.1 .3 by first class mail. ARTICLE 15. ATTORNEY FEES 15.1 In the event of any arbitration or litigation relating to the project,project performance or this contract,the prevailing party shall be entitled to reasonable attorney fees, costs and expenses. ARTICLE 16. ACCEPTANCE AND OCCUPANCY 16.1 Upon completion,the project shall be inspected by the Owner and the Contractor,and any repairs necessary to comply with the contract documents shall be made by the Contractor. If any of the provisions or a portion of any provision of this Agreement is held to be unenforceable or invalid by a court of competent jurisdiction,the validity and enforceability of the enforceable portion of any such provision and/or the remaining provisions will not be affected 17.2 This Agreement will be governed by the laws of the-Commonwealth of Massachusetts without regard to conflict of law principles. 17.3. Counterparts. This Agreement may be executed in two(2)or more counterparts, each of which will be considered an original, but which together will constitute one and the same agreement. ARTICLE 18.
