Dear Peter:
This letter is to confirm that the provisions of 780 CMR 3409.0 govern buildings and
structures which are legally designated as historic buildings. These provisions preempt
all other regulations of 780 CMR, the Commonwealth of Massachusetts State Building
Code. Section 3409.IA of 780 CMR defines"historic buildings" or structures to include
those which are evaluated by the Massachusetts Historical Commission to be contributing
buildings within a National Register or State Register District. The buildings of the
Davis and Furber Machine Company are specifically identified as the physical core of the
Machine Shop Village National Register District in the National Register nomination
dated August 24, 1982.
Section 3409.3.11 deals specifically with Energy Conservation and states that partially
preserved buildings are exempt from the energy requirements of 780 CMR 13 and the
energy requirements of 780 CMR 36, except for additions. "Partially preserved
buildings" include any building or structure certified as a historic building by the
Massachusetts Historical Commission and not designated as a totally preserved building.
A"totally preserved building" is one whose principal use is as an exhibit of the building
or structure itself which is open to the public at least 12 days per year and is listed in
Appendix H of 780 CMR. Totally preserved buildings, which do not include the Davis
and Furber Building, are specifically enumerated in Appendix H of 780 CMR.
Because the buildings of the East Mill project in North Andover qualify as "partially
preserved buildings"by virtue of their designation as "historic buildings"by the
Massachusetts Historical Commission, they are exempt from the energy requirements of
780 CMR 13 and 780 CMR 36, as applicable.

1. Obligations of the Parties
Obligations of the Contractor:
The Contractor accepts the relationship of trust and confidence established bythis Agreement and
covenants with the Owner to cooperate with the Architect and exercise the Contractor's skill and
judgment in furthering the interests of the Owner; to furnish efficient business administration and
supervision; to furnish at all times an adequate supply of workers and materials; and to perform
the Work in an expeditious and economical manner consistent with the Owner's interests and in
compliance with all applicable governmental codes and regulations.
The Contractor shall keep full and detailed accounts and exercise such controls as may be
necessary for proper financial management under this Contract.
The Contractor shall keep full and detailed records of all books, records, permits, licenses,
correspondence, receipts, instructions, data, and drawings associated with the Project including all
Subcontractor contracts, invoices, vouchers, insurances, lien waivers, and other correspondence.
The Owner and Owner's Accountants shall have access to review, audit, and copy•all Contractor
documentation. The Contractor shall retain these documents for a period of three years after final
payment.
The Contractor shall maintain insurance at the following levels with the Owner listed as a co-
insured:

Upon request, and at the cost of the Owner, the Contractor shall obtain a performance bond up to
the total Cost of Work. Such costs shall be added to the Construction Volume.
The Contractor understands that the Project will be financed by a construction lender and, then, by
a permanent lender. The Owner may assign any of its rights under this Contract to the construction
lender and the Contractor hereby consents to any such transfer provided no such assignment shall
relieve the Owner of any of its obligations under this Contract, unless agreed to in4writing by the
Contractor. The Contractor shall execute any certificates, lien waivers, releases; receipts, and other
documents as may be reasonably required by the construction lender or permanent lender including
a subordination of its mechanic's lien rights to the construction lender's and,permanent lender's
mortgage or deed of trust. The construction lender for the Project will be:

Obligations of the Owner:
The Owner agrees to furnish or approve, in a timely manner, information required by the
Contractor and to make payments to the Contractor in accordance with the requirements of this
Agreement.
Dispute Resolution:
Claims, disputes or other matters in question between the parties to this Agreement shall be
resolved by mediation or by arbitration. Prior to arbitration, the parties shall endeavor to reach
settlement by mediation.

2. Contract Sum
Cost of Work:
The Contractor shall provide a detailed estimated Cost of Work to the Owner(see Exhibit A). The
sum of these costs, including the fee is as shown below:

Change Orders:
The Contractor does not guarantee the Contract Sum in any form. In the event of changes to the
Contract Sum, the Contractor will present written changes to the owner for costs that exceed the
Contract Sum in the form of a Change Order. The Contractor will review all Subcontractor Change
Orders before submittal to the Owner and Architect and make a recommendation for payment or
non-payment. The Contractor's Fee will be calculated including any approved Change Orders.
The Owner, Architect and Contractor will negotiate disputed Change Orders in good faith.
Contractor's Fee:
15%of total construction volume up to $1 million, and 10% of construction volume over$1
million. This includes pre-construction and project management services, and field personnel and
associated management overhead. The fee is based on actual costs incurred, with final true up,
and is booked monthly in arrears. Specifically,
1. The cost of pre-construction and construction management services provided by RCG
personnel is booked monthly in arrears based on the hours reported by each employee.
2. Hours are billed at the standard hourly billing rate established from time-to-time for each
employee. The hourly billing rates effective 1/1/2007 are shown below.
3. The cost of pre-construction and construction management services provided by
independent contractors is booked when invoiced and carried within the fee.
4. RCG Builders personnel functioning as tradesmen outside their management duties will
be charged according to their hourly billing rate.
5. If a project is terminated or suspended by the Owner prior to completion, RCG Builders
LLC is compensated for the actual cost of services provided prior to receipt of notice of
termination or suspension from the Owner.
6. Total Construction Volume includes all construction trades, general requirements,
insurance, bonds and miscellaneous costs deemed necessary to perform the
construction of the project, but excludes permits and fees. Permits and Fees shall be
paid directly by the Owner.
7. Construction management labor, standard tools and equipment, and labor-related
overhead are covered "within the fee". Specialty tools or equipment; trade labor supplied
by Builders personnel and approved transportation and meals costs shall be charged
directly to the Owner without a fee.

Subcontractors:
The Contractor plans to hire Subcontractors to perform the majority of construction associated with
this project. The Contractor shall provide the Owner and Architect information on all of the bids
received by Subcontractors and the names of the Subcontractors selected. Owner shall have the
right to reject a proposed Subcontractor; however, in the event that this leads to a higher Cost of
Work, the Owner shall pay for the difference. The Contractor reserves the right to reject any
Subcontractor, even if it is the lowest bid, and to dismiss Subcontractors from the job that have
been previously approved by the Owner.

Payments:
The Owner shall make progress payments on the Contract Sum according to the Requisition
process described below.
The Contractor shall, at the conclusion of each calendar month on the project, present to the
Owner an application for payment(Requisition)for costs incurred during that month. The
Requisition shall include all invoices, vouchers, partial releases of liens, expense reports, and any
other evidence to support the validity of the Requisition amount. The Contractor may requisition
for completed, but unpaid work based on an expectation of payment upon receipt of funds. The
Owner, the Architect, or their representatives shall be afforded five(5) business days to review
such application and question the Contractor about its contents. In the event there are no
disputes, the Owner shall pay the Contractor within 10 business days of receipt of the Requisition.
Payment by the Owner does not represent that the Owner or Architect have made a detailed
examination of the documentation, inspection of the work, or verification of the accounting.
At the completion of the project, the Owner shall make a final payment to the Contractor based on
a final Cost of Work with a truing up of fees. If further corrections to work are required that are not
covered under warranties with Subcontractors, or that are not the outcome of negligence or poor
workmanship by the Contractor, the Owner shall pay the Contractor for any work associated with
performing the corrections based on the hourly rate agreed to in this contract.
Retainage:
The Owner shall not hold back any fees to the Contractor to ensure completion of the work. The
Contractor will be expected to hold back fees from Subcontractors to ensure their performance
based on the terms below:

Termination of Contract:
The Owner shall reserve the right to terminate or suspend the Contract at its sole discretion.
Within 15 days of termination or suspension, the Contractor shall present an accounting of all its
costs incurred for reimbursement by the Owner. If the Owner elects to proceed with the project
without the Contractor, the Owner shall have the right to assume the Subcontracts.and
agreements related to the Project.
Working Capital:
RCG Builders shall not bear the costs of Working Capital for the project. If the,Owner would like
the Contractor to gain beneficial pricing on its behalf by paying subcontractors ahead-of the
Requisition schedule, the Owner shall either(1) put on deposit with the Contractor a sufficient
amount of Working Capital for the Contractor to pay these Subcontractors, or(2) make immediate
payment upon request from the Contractor outside of the normal Requisition process. Provision of
Working Capital shall entitle the provider to all discounts and savings associated with that capital.

3. Project Schedule
Date of Commencement:
The Contract Time shall be measured from the date of commencement. The date of
commencement of the Work shall be the date of this Agreement, unless a different date is stated
below or provision is made for the date to be fixed in a notice to proceed issued by the Owner.

Contract Time:
The Contractor shall provide to the Owner a Project Schedule (see Exhibit B). This Schedule is
based on assumptions reached prior to the signing of this contract, which assumptions the
Contractor shall attempt to clarify in the Schedule. However, the Schedule always assumes the
Owner and the Architect respond promptly to requests for information and do.not request any
significant changes to the construction program. In the event that the Owner or Architect find any
discrepancies with the Schedule or its Assumptions, they will promptly notify the Contractor, who
shall make adjustments to the Schedule as necessary. ^.
According to the attached Schedule, the Contractor shall achieve Substantial Completion of the
entire Work as follows:
The Contractor does not guarantee the date of completion. However, the Contractor shall not be
entitled to additional fees based on delays in the project unless those delays can be shown to
incur extra costs for the Contractor and were caused by the actions or requests of the Owner or
Architect.
The Contractor shall present an updated Project Schedule to the Owner and Architect on a weekly
basis for their review.

3) Sprinkler system
a) The design of the fire sprinkler system has been based on engineering criteria as
defined in NFPA 13 and the Commonwealth of Massachusetts CMR 780.
b) The entire building is currently sprinklered. The renovated portion will be
protected by a sprinkler system designed as per NFPA 13.
1) Sprinklers in the residential units and adjoining corridors will be quick
responsel type. Sprinklers will be spaced in accordance with their listing and the
system will be designed to provide the rated flow for the sprinklers based on
coverage area. A 100 gpm.hose allowance shall be included.
2) Sprinklers in other areas of the building will be quick response type and the
system will be designed to deliver 0.10 gpm per square foot over the most
remote 1500 square feet minus any allowable reduction for quick response
sprinkler heads per NFPA 13 - 11.2.3.2.3.1. A 100 gpm hose allowance shall be
included.
3) Storage areas will be designed to deliver 0.15 gpm per square foot over the most
remote 1500 square feet minus any allowable reduction for quick response
sprinkler heads per NFPA 13 - 11.2.3.2.3.1. A 250 gpm hose allowance shall be
included.
c) The system will have two system risers both monitored by floor control
assemblies. All flow switches, pressure switches and tamper switches will be
connected to the fire alarm system.

d) The two egress stairs have an existing standpipe with 2-1/2"hose connections
with a 2-1/2"x 1-1/2"reducer at each floor.
e) The system will be supplied by two existing 4"risers.
f) The existing sprinkler& standpipe systems have an existing 2 %2"x 2 '/a" x 4"
siamese type fire department connection located in the rear parking lot.
g) See sprinkler system layout drawings for details.
4) Fire Protective Signaling System
a) The design of the fire alarm system shall be based on engineering criteria as
defined by the Massachusetts State Building Code, CMR 780, and NFPA 72.
b) The fire alarm system shall be completely new and fully addressable with
expansion to support future scope of work. The residential units shall have a new
dedicated fire alarm panel. The new fire alarm panel shall be connected to the
existing base building fire alarm system. All new devices are to match those
previously installed in the building.
c) The common areas of the renovation will be protected automatically with system
smoke detectors, duct smoke detectors, heat detectors, and manual pull stations.
All sprinkler flow switches and tamper switches shall be monitored with
addressable monitor modules.
d) Individual residential units will be protected locally with 120 VAC local smoke
detectors and sprinkler devices. System heat detectors shall be located inside each
residential unit. In the event of a fire emergency in another section of the building,
individual apartments will be equipped with audible horns that are system general
alarm activated.
e) The building shall have a dedicated fire alarm control panel, audible/visual
circuits, SLC loop, and output control functions such as fire door control and
elevator recall. The elevator is currently not in the scope of work for this
renovation.
f) Fire alarm activity will annunciate at the remote panel located at the building
entrance for the new tenant spaces.
g) The fire alarm system will be powered by the building power supply and fully
supported by a secondary battery supply capable of supporting 60 hours of full
supervisory operation followed by 15 minutes of alarm.
h) Manual pull stations will be located within five feet of each exit. The
audible/visible notification appliances shall have a sound level of at least 15 dBA
above the average ambient sound level, or 5 dBA above the maximum sound level
having a duration of at least 60 seconds. The horns shall be rated at not less than
85 dBA. Visible notification appliances are located in all public toilet rooms. All
audible/visible notification appliances are to be mounted 80 inches above the
finished floor.
i) The new fire alarm control panel shall provide fire department notification via the
existing fire alarm system.
B) Sequence of Operation
1) The operation of a manual station or activation of any automatic alarm initiating
device(system smoke, system heat detector, water flow) shall initiate a system-wide
response according to established response procedures and as follows:

a) Initiate the transmission of the alarm directly to the Municipal Fire Station via
local energy master box, as well as via a connection to an approved Central
Monitoring Station.
b) All audible alarm indicating appliances shall sound a synchronized three-pulse
temporal pattern in accordance with NFPA 72 until silenced by an alarm silence
switch at the control panel.
c) Upon activation of the evacuation tone, all visual signals shall activate
throughout the evacuation area. Visual notification shall be synchronized in
accordance with applicable code requirements and NFPA 72 guidelines.
d) Flash an alarm LED and sound an audible signal at the FACP. Upon
Acknowledgment, the alarm LED shall light steadily and the audible shall
silence. Subsequent alarms shall re-initiate this sequence.
e) Visually indicate the alarm initiating device type and location via the LCD
display at the Fire Command location and related system annunciator.
f) Automatically shut down affected Supply and Return fans, and control HVAC
equipment to initiate smoke control functions as required.
g) Operate prioritized outputs to release all magnetically held smoke doors and
magnetically locked doors throughout the building.
h) All system events shall be stored in an event history file,print out on the system
event printer, and be reported via email notification to building management
personnel via an Internet communications Interface Card as described herein.
System events shall be reported to designated building staff and emergency
response personnel via email/pager notification as described herein.
i) Activate the exterior weatherproof beacon.
2) The operation of any tamper switch, duct-mounted smoke detector, charging of a pre-
action system, or activation of other device designated to initiate a system
Supervisory condition shall cause the following to occur:
a) Flash a Supervisory LED and sound an audible tone at the FACP. Upon
Acknowledgment, the LED shall light steadily and the audible shall silence.
Subsequent Supervisory conditions shall re-initiate this sequence.
b) Initiate reporting of the event to the approved Central Monitoring Station and to
designated staff members via email notification as required and described herein.
c) Visually indicate the device type and location via the LCD display located at the
FACP.
d) Visually annunciate the type of initiating device and its zone, floor or area as
required on all system annunciators. In addition, a Supervisory LED and an
audible tone will sound. Upon Acknowledgment, the LED shall light steadily
and the audible shall silence. Subsequent Supervisory conditions shall re-initiate
this sequence.
e) Record the event in the event history log and print a record of the event on the
system printer where applicable. All restorations shall likewise be recorded.
3) In the event of any System Trouble condition such as a device removed, loss of AC
Power or wiring fault, a system Trouble condition shall occur as follows:
a) Flash a Trouble LED and sound an audible tone at the FACP. Upon
Acknowledgment, the LED shall light steadily and the audible shall silence.
Subsequent Trouble conditions shall re-initiate this sequence.

b) Initiate reporting of the event to the approved Central Monitoring Station and to
designated staff members via email notification as required and described herein.
c) Visually indicate the device type and location via the LCD display located at the
FACP.
d) Visually annunciate the type of initiating device and its zone, floor or area as
required on all system annunciators. In addition, a Trouble LED and an audible
tone will sound. Upon Acknowledgment, the LED shall light steadily and the
audible shall silence. Subsequent Trouble conditions shall re-initiate this
sequence.
e) Record the event in the event history log and print a record of the event on the
system printer where applicable. All restorations shall likewise be recorded.
C) Testing Criteria
1) General
a) The contractor shall be responsible for the coordination of all required acceptance
testing and shall schedule a meeting with the fire inspector for review and
verification at least five days in advance of the test acceptance date.
b) All fire protection systems applicable to the building shall be pre-tested for proper
operation.
c) The fire protection systems shall be tested as a system with all equipment ready
for operation.
d) The following personnel shall be on site on the day of the test with one set of the
individual as-built drawings of the specific fire protection systems:
(i) General contractor
(ii) Fire protection engineer or P.E.
(iii) Sprinkler contractor
(iv) Fire alarm contractor
e) The Fire Department shall direct and witness all testing.
f) The following tests shall be performed with all equipment and devices to be
tested:
(i) Sprinkler flow, inspector's test valve
(ii) Tamper switches
(iii) Main drain
(iv) Fire alarm system including: each device, wiring supervision, wiring
connection. Proper mounting of equipment, notification appliance,
related control features, central station connection shall be checked.
(v) Verification of fire stopping
(vi) Fire extinguisher placement
(vii) Verification of equipment function signs, charts, tags
(viii) Verification of lock box, with keys to all building access doors and
emergency equipment rooms.
2) Sprinkler system
a) Sprinkler system will be hydrostatically tested at 200 psi and shall maintain the
pressure without loss for 2 hours. All tests will be in accordance with NFPA 13
and NFPA 24.

a) All fire protection systems shall be tested with all equipment ready for operation.
The following tests shall be performed with all equipment and devices to be
tested:
(i) Control Equipment
(ii) Batteries
(iii) Control Panel Trouble Signals
(iv) Conductors
(v) Initiating Devices
(vi) Alarm Notification Devices

existing boiler plant.

A) Signs for identification and operation of fire protection systems will be provided by the
sprinkler contractor and shall be in accordance with the requirements of NFPA 13.
16. Fire protection system alarm/supervisory signal transmission method and location.
A) The system shall be a true 100% Class "A" independently supervised signaling line
circuit. There shall be independently supervised and independently protected indicating
appliance circuits for alarm horns and flashing alarm lamps. Disarrangement conditions
of any circuit shall not affect the operation of other circuits. The system shall be installed
in accordance with the requirements of NFPA 72 and the Massachusetts State Building
Code, 780 CMR. The system shall have provision for central station service that
monitors all trouble, supervisory and alarm signals.
