DEMOLITION, SITE WORK AND FOUNDATION 1. Remove all surfaces and fixtures as described on the Plans. 2. Remove the existing sun porch and "closet room' in the back entirely. Remove foundations underneath these rooms as required. 3. Demolition includes the removal and trucking of all construction debris. 4. All demolition will be done in accordance with EPA RRP Regulations as enacted on 4/21/2010 as applicable. 5. Remove the existing roof and truss framing over the garage area. 6. Remove the existing roof over the front entry area of the house as shown. 7. Remove the existing front entry door unit. 8. Plumbing includes removal of all existing plumbing and installation of all new drains, supply and vent piping as shown for new bathrooms. 2. All new hot and cold water piping will be Pex tubing. 3. The term"Work" means the construction and services required by the Contract Documents and includes all other labor, materials, equipment and services provided by the Contractor to fulfill the Contractor's obligations. 2. Except as otherwise provided herein, the Contractor shall pay for all labor, equipment, materials and services required to complete the Work as described in the Contract Documents. 3. The Contractor shall promptly correct any deficiencies in the Work, and/or any Work not in accordance with the Contract Documents. 4. The Contractor shall supervise and direct the Work, using its best skill and attention and it shall be solely responsible for all construction means, methods, techniques, sequences and procedures and for coordinating all portions of the Work under the Contract, except for items provided by the Owner. III. DATE OF COMMENCEMENT AND COMPLETION Commencement: The week of December 19th, 2011 or as soon thereafter as a building permit can be obtained from the Town of North Andover Building Department. Completion: The Contractor shall achieve substantial completion of the Work within six months from Commencement adjusted by delays caused by the weather, change orders, delivery of Owner supplied or special ordered items or other occurrences beyond the control of the Contractor. IV. ADDITIONAL TERMS AND CONDITIONS A. At the close of each workday, the Contractor shall leave all common areas in broom clean condition,free from construction materials,dust and debris. B. The Owner hereby allows the Contractor to take photographs of the project before,during and at the completion of the Project. The Owner further gives the Contractor permission to use any such photographs in his marketing materials. The Contractor hereby agrees not to identify the Owner's name or location of the project in these materials. All such photographs shall be the sole property of the Contractor. C. CHANGE ORDERS: Any changes to the specifications or Work described in this Contract must be authorized by written Change Orders. All Change Orders must be signed by the Owner and the Contractor before the additional work is commenced. The Owner will pay the Contractor the following amounts for any additional work,included in the scope of all Change Orders: $90.00 per hour for each carpenter; $65.00 per hour for each carpenter's assistant; costs for all materials,subcontractor work and any other associated costs plus 25%of the total costs for overhead and profit. If concealed or unknown physical conditions are encountered at the Project that differ materially from those indicated in the Contract Documents or from those conditions that are ordinarily found to exist, the Contract Sum and Contract Time shall be adjusted by written Change Order.In addition,if the Contractor is delayed at any time n1 the progress of the Work by changes ordered in the Work, by labor disputes, fire, delay in transportation, adverse weather conditions, unavoidable casualties, or any other causes beyond the Contractor's control, then the Contract Time shall be extended by Change Order for a reasonable time at least equal to the length of the delay. E. The Contractor will not be responsible for removal and/or disposal of any"oil"or"hazardous material", as defined by Massachusetts General Laws, c.21E, found to be present at the Project. The Contractor may stop work upon the discovery of such oil or hazardous material. It is the Owner's responsibility to arrange and pay for removal and disposal of any such"oil" or"hazardous material" excluding any such material placed on the site by the Contractor or any Subcontractor. F. Substantial Completion is the stage in the progress of the Work when the Work or designated portion thereof is sufficiently complete in accordance with the Contract Documents, so the Owner can occupy or utilize the Work for its intended use, G. The Contractor will submit a blank, "Final Punch List" Form to the Owner, at the time of Substantial Completion. The Owner will fill in the form and list all punch list items that the Owner believes must be completed or corrected. When the Contractor completes all of the items on the"Final Punch List"Form,which the Contract Documents require the Contractor to complete or correct, the Owner will a the Contractor the final a pay payment as outlined in Section V below. An subsequent items which the Contract Documents Y suq require the Contractor to complete or correct but were not on the Final Punch List will be dealt with as a service call and will not be added to the original"Final Punch List". In addition,no payments will be withheld for items not included in the original"Final Punch List". H. It is the responsibility of the Owner to deliver to the job site any materials, which are specified in this Contract as "provided by Owner". The Contractor will charge the Owner- $95.00 per hour including all travel time to and from the job site,for any such materials which the Contractor has to pick up and deliver to the job site. In addition,no payments under this Contract will be withheld or delayed due to any Owner supplied materials which are not on site when die Contractor is ready to install them. This includes, but is not limited to such items as bathroom accessories,appliances and fixtures of any kind. L FINISH ELECTRIC AND PLUMBING PAYMENT: For the purposes of this payment, finish electric and plumbing does not include the installation of any fixtures, which are being provided by the Owner, but are not on site or otherwise ready to be installed when the Contractor is ready to install them. Upon installation of all Contractor supplied fixtures and those fixtures that are provided by the Owner that are ready to be installed at the same time, this payment will be immediately due and payable. In addition, if the Contractor or its subcontractors has to return at a later time to install any fixtures which were provided by the Owner, but were either not on site or otherwise were not ready to be installed when the Contractor was ready to install them, the Contractor will charge the Owner $95.00 per hour for this installation work including all travel time to and from the job site. J. DEFECTIVE FIXTURES AND MATERIALS PROVIDED BY OWNER: The Contractor will charge the Owner an additional installation charge for any Owner supplied fixtures which have been installed by the Contractor,but which need to be replaced for any reason. In addition, the Contractor shall be held harmless for any damage to the premises caused by faulty or defective materials or fixtures provided by the Owner. Such damage shall be the sole responsibility of the Owner. The Remodeling Company 8. Larson Contract Dated December 2,2011 K. DELAYS DUE TO OWNER'S SUBCONTRACTORS: If the Owner contracts directly with any subcontractor to provide materials or services for the project and the subcontractor delays the project schedule,which in turn makes it impossible for the Contractor to complete a particular milestone in the project when it otherwise would have been completed, the Contractor will invoice the Owner for the affected milestone payment and the Owner hereby agrees to pay any such invoice in accordance with the terms of paragraph VI of this Contract. As an example: if the Owner contracts with a cabinet fabricator to provide and install cabinetry and this work is delayed so that the Contractor can not complete finish carpentry work around the cabinets, the payment for finish carpentry completion will be due and payable at the time it would have been due had the cabinetry been installed on time. L. The Contractor,as Owner's agent,shall secure and pay for all building permits,other permits and governmental fees and licenses necessary for the proper execution and completion of the work, unless otherwise agreed. The Owner shall cooperate with the Contractor in the acquisition of all necessary state and local permits or licenses. The Contractor is responsible for having all finished work inspected by appropriate state and local authorities. According to Massachusetts General Law Ch. 142A,homeowners who obtain their own construction related permits or who deal with unregistered Contractors will be excluded from the guaranty fund provisions of the law.The Owner will pay the cost of any testing required by governmental laws or regulations or building or fire departments. M. The Contractor warrants to the Owner that materials and equipment furnished under the Contract will be of good quality and new unless otherwise required or permitted by the Contract Documents, that the work will be free from defects not inherent in the quality required or permitted, and that the work will conform with the requirements of the Contract Documents. All labor and materials are guaranteed for a period of one year from the date of substantial completion. N. TRIM AND MOLDING SHRINKAGE: Separation of wood trim and moldings from plaster surfaces is caused by changes in relative humidity and usually will occur in winter months when the heat is on and the air inside the house is dry. Usually the wood trim returns to its original dimension in the warmer more humid months. The Contractor is not responsible for this movement in the wood. 0. CRACKS IN PLASTER: Small hairline cracks in new plaster may occur due to minor settling, shrinking of frame materials or changes in relative humidity. Cracks less than 1/16 inch wide are normal and not covered under warranty. See Residential Construction Performance Guidelines, Second Edition published by NAI-113. "The Contractor will repair cracks exceeding 1/16 inch in width only once during the warranty period. The Contractor will touch up paint repaired areas if the contractor was responsible for the original painting work. New paint cannot be expected to match existing painted surfaces exactly and the contractor is not required to paint an entire wall or room." P. ROOFING: This Contract includes the installation of an ice and water shield product under the new roofing at all drip edges(three feet wide) and in all valleys. However,this does not guarantee that ice dams will not form and cause damage to the house. The Contractor will not be held liable for damage from ice dams as long as the ice and water shield and roofing system have been installed properly. Q. It is understood that the workers on the job will have reasonable use of the Owner's utilities. Owner is to provide and pay for electricity and water to the project site and pay for heat. . If custom colors or dark colors are selected the Owner will be charged an additional amount for their application. This Contract may not waive any of the Owner's rights under M.G.L. c. 142A or other consumer protection laws,or 780 C.M.R R 6.An enumeration of other matters on which the Owner and Contractor lawfully agree may be added to the terms of the Contract as long as they do not restrict the Owner's basic consumer rights. W. This Contract represents the entire and integrated Contract between the parties and supersedes all prior negotiations,representations, or Contracts, either written or oral. The Contract may be amended or modified only by a written modification signed by both parties. X. This Contract shall be governed by the laws of the Commonwealth of Massachusetts without regard to its conflict of laws rules. PAYMENTS A. The Contractor will present the Owner with invoices for payment in accordance with the above-noted schedule. The Owner will then have three(3)business days to submit payment to the Contractor. Any payment not timely made shall be deemed a breach of this Contract and the Owner authorizes the Contractor to stop work immediately until said funds are paid. If the Owner's failure to pay continues for thirty days, the Contractor may terminate the Contract and recover all of its damages including, but not limited to, costs incurred, demobilization costs and lost profits. B. Payments due and unpaid under the Contract shall bear interest from five days after presentation of an application for payment at the rate of 1'/z%/month. C. Any deposit required to be paid in advance of the start of the Work SHALL NOT EXCEED one-third of the total contract price or the actual cost of any material or equipment of a special order or custom made nature which must be ordered in advance of the start of the work to assure that the project will proceed on schedule.
