The Owner and the Contractor, for the consideration hereinafter stated, agree to the following: 1. Scope of work to be performed by Contractor agrees to provide all materials as needed and labor to build a two car garage and breezeway atl 61 Raleigh Tavern Lane, North Andover, Massachusetts. 2. The Contractor will provide all materials per estimate. 3. The Contractor to supply all labor for the work to be done per the estimate. 4. Total $68,750.00 No payment shall be considered an acceptance of defective or improper work or materials. Final payment may be withheld on account of defective work not remedied or claims filed, or failure of the Contractor to make payment to subcontractors, suppliers or employees, or otherwise fail to comply with the terms of this Agreement. Should the Owner withhold final payment, he or she shall immediately notify the general Contractor in writing of the reason for withholding. Contractor's Insurance: the Contractor shall be liable for all costs arising from claims on account of injury or accident attributable to work under the terms of this agreement and arising form the negligence of the Contractor. The Contractor shall carry insurance in amounts sufficient to protect him from claims under the Workmen's Compensation Act and from any other claims for damages or personal injuries that may arise from the performance or work under this Agreement. The Contractor shall supply "Certificates of Coverage" to the Owner upon request. Owner's Insurance: the Owner shall, during the progress of the work, maintain full insurance on the premises on which said work is to be performed against loss or damage by fire, lightning, vandalism, theft, extended coverage or other casualties, except for those covered under the Contractor's "Builder's Risk" insurance. 11 Cleanup: the Con shall, during the progress of the work, maintain the side in a clean, safe and orderly manner, and shall cause all debris and waste materials to be removed from the premises as expeditiously as possible, At the completion of the work, the Contractor shall remove all of his waste materials and rubbish from the premises, as well as all of his tools, construction equipment and surplus materials not charged to the Owner. The premises shall be left in a Page 2 of 4 broom clean condition. All debris and waste materials shall be disposed of in a lawful manner. Warranty: the Contractor shall promptly remedy any defects that appear during the course of the work. The Contractor warrants that the work performed by him, his employees and subcontractors retained by him, shall be free of defects in materials and workmanship for a period of one year from the date of completion. Such warranties shall not extend to any work performed or materials supplied by the Owners or others retained by the Owner. The Contractors liability under said warranties should be limited to the repair or replacement of the defective items. "Design Conditions" shall be defined as the minimum/standard set forth by the Massachusetts State Building Code or such other governing authority as may apply in effect at the time that the work in question was performed. Changes: No alteration or deviation shall be made in the work form that specified in the construction drawings and above specifications except by agreement between the Owner and the Contractor. If such changes should require an increase or decrease in the agreed upon price, such adjustment shall be agreed to in writing by the parties prior to the execution of such changes. The Contractor shall not impose any administrative fees or charges for such changes other than normal overhead and profit. Approved samples: whenever the Owner may require, the Contractor shall furnish for approval samples of the materials and finishes to be used in the work, and the finishes and materials used thereafter shall be in strict conformity with the approved samples. Non-interference: the Owner shall not impede or interfere with the efforts of employees and subcontractors engaged by the Contractor in the performance of the work provided for in this Agreement. Specifically, the Owner shall not transmit to said employees or subcontractors any instructions or changes regarding the work that they have been engaged by the Contractor to perform. The Owner shall transmit any such desired changes or instructions directly to the Contractor or his designated representative, who shall instruct said employees or subcontractors accordingly as may be necessary. The Owner agrees to indemnity and save the Contractors and their agents harmless from and against any and all cost, loss, expenses, liability, damages, or claims for damages, including cost of defending any action on account of any injury or damage to buildings. Improvement or property or any persons arising or resulting from the work provided for, on account of any act, omission or negligence of the Owner. However, the Contractor cannot be responsible for damages caused by acts of God, such as high winds, snowstorms, hurricanes, etc., or acts of war or strikes.
