It is agreed and understood by the parties hereto that the work shall be subcontracted out to Lancaster Oaks Development, LLC,a limited liability company with Joseph M. Rizzari the sole member. Lancaster Oaks Development,LLC is not an assignee under the contract,nor is it a third party beneficiary, and its sole status is that of a subcontractor,answerable solely to the Contractor. INSPECTION The Owner shall have the right to inspect all work performed under this contract. As well it shall be a condition of this contract that all work that needs to be inspected or tested and certified by the engineer as a condition of any Building Dept, (or other State agency), or inspected and certified by the local health officer, shall be done at each necessary stage before further construction can continue. Any inspection fees, certifications or levies,beyond that contemplated within realm of the building permit, shall be borne by the owner. Contractor's initials Homeowner's initials Page 6 of 17 CONTRACTOR ARBITRATION The Home Improvement Contractor Law provides homeowners with the right to initiate an arbitration action (as an alternative to court action)if they have a dispute with a contractor.The same right is not automatically afforded to a contractor,however,the contractor would have to resolve any dispute he/she has with a homeowner in court unless both parties agree to the optional clause provided below. This clause would give the contractor the same right to arbitration as is afforded to the homeowner by the Home Improvement Contractor Law. As provided in the paragraph below, Contractor shall have the option of arbitration as provided in the below paragraph DISPUTES In the event of a dispute,Contractor or Owner shall have mutual option, should he/they desire,to arbitrate said dispute as provided for under M.G.L. 142A. Homeowner may elect not to arbitrate any dispute and may elect to withdraw consent to arbitration as provided by M.G.L. 142A and file suit in any appropriate forum he desires. DEFAULT The following are sample reasons for default and are by way of illustration, and not limitation: • Failure to begin work as noted in the Notice To Proceed • Failure to provide sufficient labor,equipment, or materials to ensure the scope of work is completed within the terms of the Contract • Unsatisfactory performance after seven(7)day written notice and an opportunity to cure; •Work stoppage without approval of the Owner, except in the case of nonpayment by Owner •Failure to remove and replace any work rejected by the Owner as unsatisfactory,except that either party may arbitrate the sufficiency of the work performed. •Failure of the Owner to furnish utilities,including heat,water,and electricity; • Failure to resume work that had been suspended with fifteen(15) days of notification to begin work •Insolvency or bankruptcy on the part of either party; •Any assignment of this Contract to benefit creditors; •Failure to pay in accordance with the schedule of payments. Payment on the dates enumerated or upon completion of a portion of the project as enumerated herein shall be construed strictly as time is of the essence on the part of the Owner. Failure to pay shall render this agreement a nullity and all payments hereunder shall be accelerated. Notwithstanding the foregoing, any further work by contractor shall not be deemed a waiver of this provision, and Contractor may exercise his rights under this agreement at any time thereafter,despite continuing to work; • Failure to protect,repair,replace or correct any damage or injury to Owner's property • Breach of any other article(s)of this Contract; •Failure to communicate with Contractor within 24 hours of an e-mail,telephone call,or text; •Violation of laws,ordinances, and/or regulations — D Contractor's initials Homeowner's initials Page 7 of 17 COSTS OF COLLECTION In the event that Homeowner fails to pay under the contract and litigation results from or arises out of any breach of this Agreement or the performance thereof,the homeowner agrees to reimburse the contractor's reasonable attorney's fees,court costs,and all other expenses,whether or not taxable by the court as costs,in addition to any other relief to which the contractor may be entitled. In the event that homeowner shall fail to pay or adhere to the above referenced payment schedule,then all work by contractor shall cease immediately, and Contractor shall not be responsible for mitigating and damages or completing the project, and accordingly,the risk of loss and/or property damage shall be borne and lie with the homeowner. CONTRACTOR'S SIGNAGE Homeowner agrees to allow Contractor to post signage on Homeowner's property provided that such signage(1) is in compliance with any and all city,town or municipality ordinances; (2) does not pose a safety or traffic hazard; (3)does not derogate from the work performed by Contractor for Homeowner; Homeowner agrees to allow such signage through completion and for a period not to exceed twenty-one (21)days after completion of the work. LUMP SUM CONTRACT AND SCOPE OF WORK This contract is a lump sum contract which is indivisible and not prorated. The contract is for the total amount to be paid by the Homeowner to the Contractor for Contractor's performance of the attached scope of work required by the Construction Contract.Any changes to the scope of work must be agreed to by and between the parties. To the extent the Contractually Defined Scope of Work is not mutually modified or altered, any itemized costs set forth by the Contractor in any quote or estimate is for illustrative purposes only,and Homeowner shall be entitled to any discount,reduction, or abatement. Homeowner shall not be entitled to any rebate or abatement for any amount under the allotted allowances herein, nor shall Contractor be required to disclose to Homeowner the actual costs incurred by the Contractor in performing the work. Absent changes in the scope of work,performance of the contractually defined scope of work entitles the Contractor to the lump sum amount, irrespective of whether the Contractor's actual costs are higher or lower than the lump sum amount. COVENANT NOT TO HIRE CONTRACTOR'S EMPLOYEES Owner,their agents, servants,hires, employees,affiliates,or any entity controlled or owned by Owner shall not hire,cause to hire, either directly or indirectly,any employees or sub Contractor of Contractor, or their affiliates for a period of eighteen(18)months from the conclusion of the contract. Any breach hereof shall conduct and entitle Contractor to actual damages plus be deemed willful deceitful and intentional g reasonable attorneys fees. Homeowner acknowledges that any dumpsters supplied are the property of the Contractor, and Homeowner agrees that he shall refrain from placing any items in the dumpster unless written authorization is given by Contractor. In the event Homeowner does place items in the dumpster,then Homeowner shall pay all fees associated with that dumpster, irrespective of the amount of materials Homeowner had placed in the dumpster. PUNCH LIST COMPLETION of the homeowner to generate a punch list prior to completion of the project shall be deemed accepted by Homeowner agrees to walk through the project with the Contractor not less than 48 hours prior to completion of the project, so as to generate any items that need addressing by the contractor. Each item that is not completed,yet to be completed, or has to be addressed by the contractor shall be noted on the punch list sheet(attached as Exhibit"A"). Failure the homeowner and that all of the work has been performed in a professional and workmanlike manner. Contract Acceptance -Upon signing,this document becomes a binding contract under law. Unless otherwise noted within this document,the contract shall not imply that any lien or other security interest has been placed on the residence. Review the following cautions and notices carefully before signing this contract. •Don't be pressured into signing the contract. Take time to read and fully understand it.Ask questions if something is unclear. •Make sure the contractor has a valid Home Improvement Contractor Registration. The law requires most home improvement contractors and subcontractors to be registered with the Director of Horne Improvement Contractor Registration. Parties are also advised not to sign the document until all blank sections have been filled in or marked as void,deleted,or not applicable. One original signed copy of the contract with attachments is to be given to the owner and the other kept by the contractor.Any modification to the original contract must be in writing and agreed to by both parties. Contracted work may not begin until both parties have received a fully executed copy of the contract,and the three day rescission period has expired. ACCELERATED PAYMENTS A contractor may not demand payments in advance of the dates specified on the payment schedule in cases where the homeowner deems him/herself to be financially insecure. By way of illustration,and not limitation,Contractor shall deem the Homeowner financially insecure when: Homeowner tenders a check to Contractor,or any third party to be paid on behalf of Contractor,that has insufficient funds or is returned; Homeowner indicated to Contractor,either by e-mail,writing,noncupatively, or verbally,that Homeowner has a present inability to pay Contractor, or has indicated to Contractor that Homeowner will refuse to adhere to the contract payment schedule; Homeowners fails to pay in strict adherence to the contract. The time for payment to contractor,as enumerated herein, shall be strictly construed as timely payment is of the essence; Homeowner attempts to change, alter, or amend the payment schedule in such a manner as to make the payment schedule longer than the contractual payment schedule;However,nothing herein shall be construed as financial insecurity if Homeowner wishes to pay earlier than required;Notwithstanding the foregoing,it shall not be grounds for financial insecurity if the Contractor and Homeowner agree, in writing only,to alter the payment schedule. Any such conduct, alterations,statements, actions increases the risk of financial loss of the Contractor; In instances where a contractor deems the owner to be financially insecure,the contractor may require that the balance of funds not yet due be placed in a joint escrow account as a prerequisite to continuing the contracted work. Check with local utility companies to make sure deck construction will not disturb piping or wiring. Deck function While planning your deck, determine how it will be used. Your climate While planning your deck, consider local weather. Take advantage of good views. Install ledger Install ledger to anchor deck to house. Ledger placement determines the deck floor level, normally 2-4"below floor line. If unsure about attaching a ledger board, consult a professional. Attach beams to posts Determine the desired deck floor height on the posts. Determine height for securing the top of the beam to the post. Attach joists Space joists 16"on center or 24"on center for tongue and groove planks. Joists are attached to ledger board with joist hangers or by toenailing. Determine where blocking will go and snap a chalk line, but make sure to stagger pieces for ease of nailing. Lay decking Attach boards brushed surface up. Do not butt boards together, ensure a gap of 1/8"minimum on all butt joints. The deck boards can be trimmed after they are installed. Refer to the written Installation Guide for further installation requirements. Railings Railings must be firmly attached to the framing members of the deck.
