Specification#70. This proposal covers equipment which complies with the manufacturer's interpretation of the mandatory requirements of the William-Steiger Occupational Safety & Health Act of 1970 (OSHA) as amended June 27, 1974. Mounting of control panels will provide for 30" minimum clearance in front of cabinets to comply with 1978 NEC Section 610.57. Floating rails shall not be used for runways. They may cause rapid wheel wear and overheating of the bridge motor due to the crane running out of square. Rails should be held firmly in all directions. DRAWINGS: Unless otherwise specified prior to the date of this proposal, Whiting Corporation shall submit three (3) prints of our standard crane general arrangement drawings for your approval. These drawings will show all critical clearance dimensions and other data that.is pertinent to your project. ASSEMBLY: Crane will be assembled at our works, marked for reassembling, and taken apart sufficiently for proper handling and shipment. The manner and extent the crane is broken down for shipment is at the sole discretion of Whiting Corporation. PAINTING: The crane will be cleaned and painted using rust inhibiting primer, and a finish coat of Ferrite Pigment type yellow. Special painting if required to be as follows: std Nuts, bolts, washers and piping shall be painted, or cadmium or zinclated. Electrical equipment p and purchased components will be furnished with manufacturer's standard finish. QUALITY ASSURANCE: Unless otherwise stated in this Proposal, Whiting Corporation will utilize our Standard Quality Assurance practices in accordance to our ISO 9001:2008 procedures. Because delays in inspection can interrupt production, disrupt schedules and increase costs, Whiting proposes the following notification procedure: When a single inspection is required (usually of the no-load running test), Whiting will establish a tentative date for this inspection and notify the customer accordingly. Within forty-eight (48) hours of the tentative date, Whiting will confirm or revise the exact date of inspection. The customer will be expected to be present for the inspection or authorize Whiting to proceed with work or shipment. When numerous inspections are required (e.g. running test, paint, loading), Whiting will give prior notice per contract requirements of a designated inspection period - approximately two (2) weeks - during which Whiting will require the inspector available on forty-eight (48) hour notice. Failure of the inspector to be present on the scheduled inspection date, or make other arrangements mutually agreed upon, will constitute a waiver of the requirement and work/or shipment will proceed. In the event that inspection has been waived, shipment shall not be rejected at the site by owner due to lack of shipping release. Such waiver shall not relieve Whiting Corporation in any way from its obligation under the contract. STORAGE OF EQUIPMENT: It is recommended that the equipment be stored indoors in a heated and dry building. This will prevent condensation in the gear cases, bearing housings, electrical equipment and other enclosed areas. THE EQUIPMENT SHOULD NOT BE STORED FOR MORE THAN THIRTY (30) DAYS Storage beyond 30 days may require very special provisions. It will be necessary for us to be provided with a complete description of the environment and conditions under which the equipment will be stored. We may be able to make recommendations but cannot warrant the equipment under storage conditions other than indoor, heated and dry conditions. RATED LOAD TESTING: Pursuant to the latest edition and interpretation of the Occupational Health and Safety Administration (OSHA) Regulation, 29 CFR § 1910.179 (k); each independent hoisting unit of a crane shall be given a rated load test not to exceed 125%, but not less than its rated load prior to putting the crane into service. The form of the rated load test is to be in accordance with requirements of the latest edition of OSHA regulation, 29 CFR § 1910.179 (k). A report of the rated load test is to be placed on file at a location accessible to the personnel assigned responsibility for the crane by the crane's owner. A rated load test is required for all new and altered cranes. ("Whiting") is asked to perform for Purchaser within (check one) 1 year, 3 years or 5 years of this Agreement. These terms, and any other incorporated attachments, set forth the entire understanding between the parties regarding the subject matter addressed herein, supersedes all prior agreements, arrangements and communications and may not be modified or amended except by mutual written agreement of both parties. In the event of inconsistency between any incorporated attachments and these terms, these terms shall control. 1. Standards of Performance; Cooperation and Participation. Whiting shall perform its Services in a professional and workman-like manner using technicians knowledgeable and .skilled in the fields of crane inspection, maintenance, repair and service, exercising the samedegree of skill and care as other national firms providing similar services. Whiting shall be entitled to rely on the accuracy and completeness of all information provided to it by Purchaser. Purchasers' management shall be solely responsible for applying its independent business judgment with respect to all decisions to implement Whiting's recommendations and shall be solely and exclusively responsible for such decisions. Whiting provides technical and/or advisory service only. In no event shall Whiting be construed as having been hired to.perform supervisory services for Purchaser, its employees or agents. Each party is an independent contractor With respect to the other. Neither Party shall be construed as having a fiduciary, supervisory, employment, partnership, or agency relationship with the other Party. Each party is solely responsible for its own employees, agents and subcontractors. 2. Agreed Upon Scope of Work. Whiting shall be obligated to perform only for the Services specified in the proposal, and for such changes in scope as are set forth in writing and duly executed by the Parties hereto; except that safety issues and/or minor. repairs discovered during routine inspection and maintenance which can be corrected at the time of discovery will be repaired immediately where possible up to $1,000 per incident. Estimates for all work in excess of$1,000 will be provided for Purchaser's approval prior to commencing work. To the extent specific details of the engagement are not fully documented, the parties shall work diligently and in good faith to document them at the request of either party. Unless expressly stated in an additional scope of work, no installation services are included in the contract price. 3. Delays/Rescheduling. Inspections will be rescheduled.without additional charge when Buyer provides at least 24 hour advance notice of the delay. Repair work will be rescheduled without additional charge only when Buyer provides 7 days advance notice of the delay. Absent timely notice, additional charges shall apply to any rescheduled work. Contractor shall immediate) invoice for all work and materials completed as of the date of Y p notice of delay and Purchaser agrees ees to pay such invoices in accordance with the Payment terms of the order. All schedules relating to the work shall be extended for the delay period plus a reasonable period for rescheduling and remobilization. 4. Breach of Contract. Should Purchaser fail to timely pay Contractor or otherwise breach the terms hereof, Contractor shall have the right to suspend performance and/or terminate all work upon written notice to the Purchaser. If Purchaser corrects the breach within ten (10) days of the notice, and reimburses all costs of the demobilization, storage and/or remobilization plus 25%, Work by Contractor will resume, with an extension of the required delivery date. Contractor shall be entitled to immediate payment of previously unbilled costs incurred to date if Purchaser fails to correct the breach. Business Risk Allocations. No liquidated damages' provision shall apply unless expressly stated and authorized by Whiting Senior management. 6. Warranty. Parts and equipment carry only the warranty given by the supplier, which warranty Contractor will assign to Purchaser without recourse to Contractor. The return of any defective part, transportation prepaid, will be required before any warranty claim is recognized. No warranty shall apply to any equipment or parts which show evidence of having been, (1) repaired or altered .by others in any manner so as to affect serviceability or proper operation; (2) subjected to improper handling, erection/installation, operation, lubrication, maintenance, repair or alteration; or (3) subjected to misuse or negligence (including without limitation side-pulling or overloading), accident, or deterioration occasioned.by chemicals, corrosion or erosion. Contractor warrants Contractor's work will be free from defects in material and workmanship for a period of 90 days from the date of performance by Contractor ("Warranty Period"), exclusive of typical wear, consumable items, improper use or improper maintenance. Contractor's obligation under its warranty, and Purchaser's exclusive remedy for the breach thereof, shall be limited to Contractor's re-performance of the services initially provided. In no event shall any warranty obligation exceed the total value of the order. Whiting reserves the right to refuse to honor warranty claims where payment has not been made in accordance with the terms of the contract. THE FOREGOING CONSTITUTES CONTRACTOR'S SOLE RESPONSIBILITY UNDER THIS WARRANTY AND AGREEMENT, AND PURCHASER'S EXCLUSIVE REMEDY FOR THE BREACH THEREOF. EXCEPT AS OTHERWISE EXPRESSLY SET FORTH IN THIS AGREEMENT, THERE ARE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 7. Indemnification. Whiting shall indemnify, defend and hold harmless Purchaser, its parents, subsidiaries, and affiliates, and the shareholders, officers, directors, agents, employees, successors and assigns of all of them (the "Purchaser Indemnified Parties") from and against losses, damages, costs, expenses (including reasonable attorney fees) penalties, fines, judgments and liabilities of every kind and nature suffered or incurred by the Purchaser Indemnified Parties as the result of claims, demands, actions, causes of action, suits or proceedings made or instituted against the Purchaser Indemnified Parties to the extent arising directly out of, or resulting directly from bodily injury (including sickness or death) to persons, including, but not limited to, Whiting's and its subcontractor's employees and agents or damage to property attributable to (A) Whiting's breach of this Agreement, or (B) negligent acts or omissions of Whiting, its subcontractors, agents and employees while on or about Purchaser's premises. No indemnity shall apply to any claim.of sole negligence, willful misconduct or recklessness against Purchaser or Purchaser Indemnified Parties. In claims against any Purchaser Indemnified Party by an employee of Whiting, its subcontractors, and anyone directly or indirectly employed by them or anyone for whose acts Whiting may be liable, the indemnification obligation under this Section S shall not be limited by a limitation on amount or type of damages, compensation or benefits payable by or for Whiting or its subcontractor under any workers' or workmen's compensation acts, disability benefit acts or other employee benefits acts. Liens. When Purchaser has made timely payment of amounts due hereunder, and a claim or lien is made or filed with or against Purchaser, its premises or personal property by any party claiming that Whiting or its subcontractor has failed to make payment for any labor, services, materials, equipment, taxes or other items or obligations furnished or incurred for or in connection with the Services, Purchaser shall have the right to retain from any payment then due or thereafter to become due to Whiting 115% of the amount claimed to be due to satisfy, discharge and defend such claim or lien. No warranty or indemnity will apply to any work for which timely payment is not made by purchaser. 9. Insurance. (A) Whiting shall purchase and maintain insurance of the following character at all times during performance of its Services: (1) commercial general liability insurance against claims for personal injury, bodily injury, death or property damage, with such insurance (a) to be on the so-called "occurrence" form with a general aggregate limit of not less than $2,000,000 and a per occurrence limit of not less than $1,000,000; and (b) to cover at least the following hazards: (i) premises and operations; (ii) products and completed operations; (iii) independent contractors; and (iv)contractual liability.. (2) Workers' compensation, subject to the statutory limits of the State of'Project Site;-; (3) Employer's liability insurance in an amount not less than $1,000,000 per occurrence; (4) Automobile insurance for all of its owned, hired, and non-owned automobiles with $1,000,000 combined single limit; (5) Excess liability insurance in an amount not less than $5,000,000 per occurrence on terms consistent with the commercial general liability insurance required under subsection (1) above; (B) All insurance provided for in paragraph 7(A) shall be obtained under valid and enforceable policies (collectively, the "Policies" or in the singular, the "Policy"). The Policies shall be issued by financially sound and responsible insurance companies authorized to do-business in the State of Project and having a claims paying ability rating of"A-VII" or better. Whiting shall deliver to Purchaser an Acord® certificate of insurance evidencing the Policies required hereunder prior to commencing performance of the Services. (C) All Policies shall be primary and non-contributory to any insurance maintained by Purchaser. All Policies, except for the workers' compensation policy, shall name Purchaser an Additional Insured, and shall contain severability of interest and cross liability provision by blanket endorsement. All policies shall waive all rights of subrogation against Purchaser under any and all such insurance Policies. 10. Assignment. Without the prior written consent of Purchaser, Whiting shall not assign, delegate or subcontract the scope of work, or any part thereof, to an unrelated third party. Assignment, delegation or subcontract without such consent shall be null and void, and without any legal force or effect whatsoever on Purchaser. 11. Severability. If any provision of this Agreement, or the application thereof to either party is finally determined by a court of competent jurisdiction to be illegal, invalid or unenforceable, such illegal, invalid or unenforceable provision shall be severed and deleted from this letter arrangement, and replaced with a provision that is legal, valid and enforceable to the fullest extent of applicable law, and such illegality, invalidity or unenforceability shall not adversely affect any other provision of this letter arrangement, or the application thereof to either party, all of which shall remain in full force and effect. 12.
