All of the above shall form the Contract (the "Contract") between the parties hereto and all are as fully a part of this Agreement as if attached hereto or fully set forth herein. A.schedule of all the Contract Documents is set forth in Exhibit "A". The Contract Documents are complementary and should be read so as to avoid inconsistent interpretations. However, in the event of irreconcilable conflicts or discrepancies among the Contract Documents,the provisions of this Agreement shall prevail. 1.2 Definitions: The term"day"shall mean calendar day unless otherwise specifically designated. "Project" and"Work"are used interchangeably herein to designate the total construction to be perfonned.hereunder. ARTICLE 2 THE WORK The Contractor shall perform all Work required by the Contract Documents for the Project, the Work being generally described.in Exhibit"B"hereto. ARTICLE 3 CONTRACTOR'S RESPONSIBILITIES 3.1 The Contractor shall review the Contract Documents and report to the Owner any errors, inconsistencies or omissions which the Contractor.discovers. The Contractor shall not be liable to Owner for failure to recognize or discover,or for any damages resulting from,errors,inconsistencies or omissions in the Contract Documents. III 3.2. The Contractor shall supervise and direct the Work. The Contractor shall be responsible for and have control of constriction means,methods,techniques,sequences and procedures and for coordination of the Work under the Contract Documents. 3.3 Unless otherwise provided in the Contract Documents, Contractor shall provide all labor, materials, equipment, tools, construction equipment and machinery, water, heat, utilities, transportation and other facilities and services necessary for the proper execution and completion of the Work. Contractor shall enforce good order and discipline among its employees and shall require its subcontractors to do the same with respect to their employees. 3.4 Unless otherwise provided in the Contract Documents, Contractor shall assist Owner in securing the building permit and other permits,fees,and licenses necessary for proper execution and completion of the Work within the scope of Contractor's responsibilities under the Contract Documents. Contractor shall comply with and give notices required by laws and regulations within the scope of Contractor's responsibilities under this Agreement. Contractor shall ensure that its employees and any subcontractors maintain all trade or individual permit necessary or required by law for completion of the Work. 3.5 Contractor shall.employ a competent superintendent and staff to coordinate and carry out the Work in accordance with the Contract Documents. 3 I 3.6 Contractor shall keep accurate and detailed written records of the progress of the Project during construction and shall submit monthly written progress reports to Owner, including information on thero ress of P g work of subcontractors and the percentage of completion. Contractor shall keep a daily log available to Owner. Contractor shall also maintain on a current basis records of all necessary n s ry co tracts,shop drawings,samples,purchases, materials, equipment, maintenance and operating manuals and instructions and any revisions thereto. At the completion of the Project,Contractor shall deliver all such records to Owner, including a complete and up-to-date set of Drawings,Specifications,and amendments thereto for the purpose of the Architect preparing as-built drawings. 3.7 Contractor shall be responsible for cutting,fitting,or patching required to complete the Work or to make its parts fit together properly. 3.8 Contractor shall keep the Project site free from accumulation of waste materials from operations under this Agreement. At completion of the Work, Contractor shall remove from the Project site all waste materials,tools, construction equipment and surplus materials. 3.9 Contractor warrants to the Owner that the Work shall be free of defects in workmanship and materials for a period of one year from the date of Substantial Completion and shall be conducted in a good and workmanlike manner in accordance with generally accepted construction and professional principles, standards, practices and professional codes;provided however that the provisions of any special warranties required by the Contract Documents shall take precedence to the extent that they are inconsistent with this warranty provision. As a condition of Contractor's warranty and guaranty obligations hereunder,Owner shall give prompt notice, in writing,to Contractor of any claim of breach of warranty or guaranty. Notwithstanding any other provisions of this Agreement,Owner shall not be entitled to a greater warranty from Contractor than Contractor can obtain from the manufacturer or supplier or any material or equipment warranted hereunder. Contractor shall use its best efforts to assign to Owner any warranties from third parties but shall have no warranty obligations to Owner with respect to any warranties as to which such third parties refuse to approve assignment. Contractor shall, at its sole cost, repair, replace or re-perform any defect in material or workmanship, including any costs of access to defective material or workmanship. To the extent Contractor fails to correct any such defect upon reasonable notice thereof, Owner may cause. such defect to be corrected, and Contractor shall pay Owner for all costs related thereto. 3.10 To the extent applicable,Contractor will cooperate with Owner's lender in connection with the financing of the Project. Notwithstanding the preceding sentence, Contractor shall be under no obligation to execute any document requested by lender which it has not had the opportunity to review and approve prior to the execution of this Agreement and against which Contractor has reasonable objection. In the event that any requirement of the lender, whether imposed by such documents or otherwise,causes additional expense or liability for Contractor,Owner agrees to approve a Change Order recognizing as an additional Cost of the Work the amount of such reasonable additional expense or liability incurred or to be incurred by Contractor as a result of lender's documents or other requirements. 3.11 Contractor shall keep the Project free and clear of mechanic's liens. Contractor may employ such means and methods as in its discretion it deems desirable to keep the project free and clear of such liens. Contractor shall not be in breach of this Agreement for failure to keep the Project free and clear of liens until such time as an actual final lien is placed on the real property constituting the Project by law or appropriate legal proceedings without being first satisfied,bonded,or otherwise removed. Contractor shall have no obligation to satisfy,remove,or otherwise deal with mechanic's liens caused in whole or in part by failure of Owner to pay amounts due to Contractor or subcontractors under this Agreement or caused in whole or in part by other acts or omissions of Owner, their contractors or consultants. 3.12 Contractor shall be responsible for compliance with all applicable laws and regulations, but only to the extent that such laws and regulations apply to Contractor's areas of responsibility,obligations and operations under this Agreement. Contractor shall not be responsible for compliance of the project with laws,regulations,or building codes, with respect to design matters which are the responsibility of Owner. Contractor shall ensure that Contractor employees and subcontractors comply with all safety training and precautions required by law or by Owner's safety policies and procedures(for work performed at Owner's site). 3.13 Except as otherwise provided herein, the services to be performed by Contractor hereunder shall not include any services required in connection with the detection, presence or removal of asbestos or other toxic or 4 t hazardous substances, or any substances or materials whose presence at the Project site may cause or be a violation of laws or regulations. In the event that Contractor encounters on the site material reasonably believed to be toxic or hazardous,Contractor shall immediately stop work in the affected area and report the condition to Owner. Work in the affected area shall not thereafter be resumed until Contractor is reasonably satisfied either that the substance in question is neither toxic nor hazardous or that the toxic or hazardous substance has been removed or effectively rendered harmless. Contractor shall not be required pursuant to Article 9 or any other provision hereof to perform work of any kind relating to such toxic or hazardous substances. Contractor shall be responsible for compliance with environmental laws and regulations only in connection with its operationsand responsibilities under this Agreement. 3.14 Contractor acknowledges the presence of lead in fly ash on Project Site. Contractor shall take all necessary precautions to properly notify,instruct, monitor,and protect its personnel and subcontractors from potential hazards associated with the presence of lead at the Project Site. 3.15 Notwithstanding any other provision of this Agreement, Contractor shall have no responsibility for design of the Project or for any services customarily performed by design professionals. As set forth in Paragraph 4.5, it is Owner's responsibility to retain design professionals who will provide all necessary design services for the Project. 3.16 Contractor understands that the Work to be performed hereunder is in connection with existing facilities and Owner will continue operation of the facilities.at which the Work is to be performed during the term of this Agreement. Contractor shall conduct the Work so as to cause minimal interference with Owner's operation of the facilities. Contractor shall coordinate and schedule all construction activities with Owner. ARTICLE 4 OWNER'S RESPONSIBILITIES 4.1 Owner shall provide all information regarding the requirements for the Project necessary for Contractor to perform its obligations hereunder. 4.2 Owner shall designate in writing a representative who shall be fully acquainted with the scope of the Work and who has the authority to, and shall, render decisions promptly and furnish information expeditiously so as not to delay the progress of the Work. 4.3 Owner shall furnish such legal services and such auditing services as it may require. 4.4 If Owner acquires actual knowledge of any fault or defect in the Project or non-conformance with the Contract Documents,it shall give:prompt written notice thereof to Contractor. 4.5 Owner.shall retain competent design professionals ('referred to herein as Engineer) to prepare all necessary design, engineering and construction documents for the Project. Contractor shall have the right to assume that documents provided by the Engineer represent the intent of Owner. Documents and other information shall be furnished by the Engineer to Contractor on a timely basis as needed to bid and award'contracts and to carry out the Work in accordance with the Project Time Schedule.. 4.6 Contractor will be furnished without charge all copies of Drawings and Specifications reasonably necessary for the execution of the Work. 4.7 Owner shall furnish all surveys describing the physical characteristics, legal limitations, and utility locations for the site of the Project and a legal description of the site. Except as otherwise specifically provided herein, Owner shall secure and pay for all necessary permits, zoning certificates and variances, approvals, easements, assessments and charges required for the construction, use, or occupancy of permanent structures or for permanent changes in existing facilities. 5 ARTICLE 5 PROJECT TIME SCHEDULE 5.1 The Project time schedule is set forth in the Contract Documents. Subject to the provisions of Paragraph 5.2 hereof, Contractor shall perform the Work in accordance with the Project Time Schedule. Contractor shall not be required to adhere to a schedule different than the schedule in effect at the time Contractor executed this Agreement or to a schedule previously agreed upon in the event that significant changes in the Contract Documents subsequent to the delivery of the previous schedule cause such schedule to be unreasonable or impractical. 5.2 If Contractor is delayed at any time in the progress of Work by any act or omission of Owner or the Engineer or by any employee of either,or by any consultant or separate contractor employed by Owner,or by failure or any of them to cooperate with or supply timely information or direction to Contractor,or by any erroneous information or direction furnished by any of them, or by occupation of the Project prior to Substantial Completion by Owner, Owner's tenants or their contractors, or by changes ordered in the Work, or by labor disputes, fire, unusual delay in transportation, unavoidable casualties, or any causes beyond Contractor's control, the Contractor shall be entitled to a Change Order extending the Project Time Schedule and recognizing the amount of any cost or expense caused by such delay as an additional Cost of the Work. 5.3 Owner has applied for Massachusetts Department of Environmental Protection (MADEP) Permits and the project schedule included in the Contract Documents is based on statutory permit application review periods by the MADEP. Should Owner receive permits such that Owner can issue Contractor a full Notice to Proceed with construction by October 15,2011,Contractor shall complete Work by December 31,2011. If full Notice to Proceed is not issued to Contractor by October 15,2011,the project schedule will be adjusted accordingly. ARTICLE 6 CONTRACTOR'S COMPENSATION 6.1 Owner shall pay to Contractor for the performance of the Work, subject to the provisions hereof, the Cost of the Work,as defined in Article 7 hereof,and a fee in the amount of One Hundred Eighty Nine Thousand Three Hundred Ninety Six Dollars($189,396.00)(the"Contractor's Fee"). The Contractor's Fee is based on the following: • Notice-to-Proceed being issued on/about the week of August 1,2011 • Field work start on/about October 1,2011 • Project complete by December 31,2011 • $4,246.243 million estimated project cost as broken down in the budget summary included in Exhibit A, Contract Documents • Primary Filter Press Equipment to be supplied by Owner • Project Staffing provided by Contractor per Exhibit`B" In the event that the project duration is extended(through no fault of the Contractor),and/or that the Owner requests the Contractor to provide additional Management Staff,the Contractor shall be entitled to additional Fee. Additionally, if the Cost of the Work exceeds$4,246,243.00,the Contractor's Fee will be in the amount of 5.06/o of the Cost of Work Owner and Contractor shall utilize Project Goals Incentive Plan for Safety,Cost Control,and Schedule compliance: • Place 1/2 of fee at risk for 3 Project Goals combined($94,500 at risk) • Fee Goal divided by 3 months,for each of 3 Goals($10,500 at risk for each Goal per month) • Project Goals: In an effort to better enable Owner to monitor and evaluate the performance of Contractor,and in an effort to provide Contractor with additional incentive to perform/provide its services at the highest level, the follow project goals(each a"Project Goal,"and together,the"Project Goals")are established: 1. Project Safety—minimizing the opportunity for accidents;maximizing loss prevention; 2. Subcontractor Cost Control — providing effective cost management and control, to limit potential subcontractor claims for additional compensation;effective and detailed evaluation of subcontractor requests for additional compensation;and 6 � r 3. Project Schedule—providing effective time management and subcontractor coordination,to maintain Owner-established Project Schedule. At the end of each month, Owner shall evaluate the performance of Contractor in providing the services required by this Agreement. Particular consideration shall be made of those services which affect achieving Project Goals noted above. Owner will evaluate Contractor's performance based on factors including,but not limited to, effective communications (with Owner, Engineer, subcontractors, plant personnel and all other parties involved with the project); control of subcontractors with respect to cost, schedule, safety, and quality; effective site coordination;satisfactory implementation and maintenance of procedures and controls to assure Project Goals are achieved (i.e., project logs, meetings and meeting minutes, checklists, inspections, value engineering,and related items). • If, in the opinion of the Owner, Contractor has been making reasonable efforts to achieve or exceed each of the Project Goals, Contractor will be authorized by Owner to bill for the entire fee for each of the Project Goals for that month • If,however, Contractor's efforts have not been acceptable to.the Owner,the CM will be denied authorization: to bill for the:full amount of the portion of the Contractor's Fee for that particular Project Goal for that month, and Owner shall only be required to pay half of the Contractor's Fee for that particular Project Goal for that month. • Owner to use reasonable judgment in making monthly evaluations, and take into account factors beyond reasonable control of the Contractor:that may affect or impact Contractor's abilities to achieve the Project Goals 6.2 In the event of a change in the.scope of the Project,Contractor shall be entitled to an equitable increase in its Fee to be agreed by the Parties. ARTICLE 7 COST OF THE WORK 7.1 The term"Cost of the Work"shall mean all actual costs necessarily incurred in the proper performance of the Work by Contractor or paid by Contractor or by Owner to Subcontractors, upon Contractor's approval and direction, including any costs incurred in connection with changes in the Work pursuant to Article 8 hereof. The Cost of the Work shall include the items set forth below in this Article 7. 7.1.1 Owner agrees to reimburse Contractor:for the Cost of the Work. Such payment shall be in addition to Contractor's Fee set forth in Article 6. It is intended that Contractor shall in no event be reimbursed more than once for any item cost which it incurs and for which it is entitled to reimbursement under this Agreement. 7.2 Cost Items to be Reimbursed 7.2.1 Management of the Work: Cost of Contractor's management personnel will be a Lump Sum amount of One Hundred Seventy Nine Thousand Five Hundred Dollars ($179,500.00) based on the Staffing Plan and Organization Chart (Exhibit`.113") (the "Management Fee"). The parties agree that the Management Fee includes all costs associated with the staffing of management for the purposes of the Work, including but not limited to costs of Contractor for salaries, benefits, overhead, cellular telephones and personal computers, travel and accommodation expenses, and all other expenses incurred which are necessary for Contractor to fulfill its obligations with respect to management of the Work in accordance with the Staffing Plan attached hereto: 7.2.2 General Conditions Items: When Contractor performs General Conditions Items involving the furnishing of job-site labor,supervision,materials or services(except supervision by Contractor's reimbursable job-site staff for whom Contractor is being reimbursed under other provisions of this Agreement)Owner shall reimburse it for all direct costs plus 10 percent overhead. Labor costs shall include wages and salaries, payroll taxes thereon and fringe benefits in accordance with Contractor's policies. 7.2.3 Cost of labor, supervision, materials and services incurred by Contractor when performing as a Subcontractor. Labor costs shall include those items set forth in Paragraph 7.2.2. 7 t y 7.2.4 The reasonable proportion of transportation,traveling and hotel expenses of Contractor or of its officers or employees incurred in discharge of duties connected with the Work. 7.2.5 Reasonable cost of all materials,supplies and equipment provided by Contractor and incorporated in the Work, stored on the Project site, or stored and insured off the Project site at a location deemed secure by Contractor, including cost of transportation thereof. Owner will be provided a bill of sale upon payment for any materials stored off the Project site. 7.2.6 Payments made by Contractor or Owner,if Owner is paying directly,to Subcontractors and suppliers for work performed or materials supplied. 7.2.7 Costs of overtime work required in the judgment of Contractor and with the prior approval of Owner to maintain the Project Time Schedule. 7.2.8 Cost, including transportation and maintenance, of all materials, supplies, equipment, temporary facilities and hand tools not owned by the workmen,which are employed or consumed in the performance of the Work, and cost less book or salvage value(whichever is greater)on such items used not consumed which remain the property of Contractor. 7.2.9 Rental charges of all necessary machinery,equipment, and tools used at the site of the Work, whether rented from Contractor or otherwise, including installation, repairs and replacements, dismantling, removal, costs of lubricants and fuel,transportation and delivery costs thereof. 7.2.10 Cost of premiums for all insurance required by this Agreement or deemed reasonably necessary by Contractor and Cost of premiums for all bonds required hereunder or deemed necessary by Contractor. Contractor's Liability Insurance will be billed at 0.9%of total gross billings. 7.2.11 Sales, use, gross receipts, or business license taxes calculated on the basis of the Cost of the Work or value of goods or services provided,or similar taxes,related to the Work,imposed by any governmental authority,and for which Contractor,Subcontractors or suppliers are liable. . 7.2.12 Permit fees, utility connection charges and fees, licenses, tests, royalties, damages for infringement of patents and costs of defending suits thereof,and deposits lost due to Owner fault. 7.2.13 Losses, expenses or damages, including insurance deductible amounts, resulting from casualty to the extent not compensated by insurance or otherwise(including settlement made with the written approval of Owner)or due to negligence or willful misconduct of Contractor or its subcontractors. Subject to the provisions of Paragraph 7.3, if such loss requires reconstruction and Contractor is placed in charge thereof,it shall be paid for its services a fee equal to 5 percent of such direct construction costs. 7.2.14 Costs of telegrams, long-distance telephone calls,telephone service at the site, facsimile transmissions, expressage,and similar petty cash items in connection with the work. 7.2.15 Reasonable cost of removal of all debris. 7.2.16 Reasonable cost incurred due to an.emergency affecting the safety of persons and property. 7.2.17 Reasonable cost of data processing services as required. 7.2.18 Reasonable legal costs growing.out of prosecution of the Work for Owner,including,but not limited.to, costs related to job site labor disputes and disputes with and claims by Contractor's subcontractors and legal costs arising from default by or insolvency of subcontractors. 7.2.19 All reasonable costs and expenses necessary for the operation of Contractor's field office. 8 t t 7.2.20 Reasonable costs incurred by Contractor in preparing and maintaining progress reports, schedules and other records required to be maintained under this Agreement. 7.2.21 Other reasonable costs necessarily incurred in the performance of the Work and not included in Contractor's Fee. 7.3 Contractor shall promptly take steps to cure any default or correct any failure of a subcontractor to construct the Project or any portion thereof in accordance with the Drawings and Specifications. If after diligent efforts Contractor is unable to recover the costs of such correction from the Subcontractor or Subcontractors responsible for such failure,or from the bonding company,or if the Subcontractor is not bonded,then Owner shall pay such reasonable costs as Costs of the Work. No provision of this Paragraph 7.3 is intended to affect the rights of Contractor or Owner with respect to any other party. ARTICLE 8 DISCOUNTS All discounts for prompt payment shall accrue to Owner to the extent the costs of the Work are paid directly by Owner or from a fund made available by Owner to Contractor for such payments. To the extent the costs of the Work are initially paid with funds of Contractor,all cash discounts shall accrue to Contractor. All trade discounts, rebates and refunds, and 'all returns from the sale:of surplus materials and equipment, shall accrue to Owner. Contractor shall make provisions so that such discounts, rebates, refunds and returns can be secured whenever practically possible. Wherever possible the Contractor will notify Owner of the availability of discounts for prompt payment so that Owner will have the opportunity to make such payments directly in order to receive the benefit of such discounts. ARTICLE 9 CHANGES IN THE WORK 9.1 Owner reserves the right to make changes in the Drawings and Specifications for the Project, including issuance. of additional instructions and Change Orders to require additional work or direct the omission of work previously ordered,within the scope of Work described in the Contract Documents. Any amendment or Change Order shall be in writing. If a.Change Order results in increased costs to Contractor, such costs shall be a Cost of the Work unless such Change Order is due to the fault or negligence of Contractor. Owner shall provide Contractor with reasonable assurance that there are funds to pay for such increased costs. Except as set forth below,no additional work shall be commenced unless such work is authorized by a written Change Order. 9.2 A Change Order is a written direction to Contractor, signed by Owner and Contractor, issued after the execution of this Agreement, authorizing a Change in the Project or the method of manner of performance and/or an adjustment in the Project Time Schedule or Cost of the Work. 9.3 Contractor shall recommend a change whenever, in Contractor's judgment, a change appears to be necessary. Upon receipt of any change suggested by a Subcontractor, Contractor and the Engineer shall review the merit thereof and either reject the suggestion or forward it to Owner with a recommendation thereon, together with a cost estimate. 9.4 Whenever Owner so directs, Contractor shall with respect to a proposed change, prepare a cost estimate, review applicable Drawings and Specifications (whether prepared by the Engineer or by the affected Subcontractor or Contractors), estimate additional time that may be required in the event a Change Order is issued, review the proposal received;and make such recommendation to Owner as Contractor may deem appropriate. 9.5 For any Change Order on which agreement has not been reached as to the amount of equitable adjustment in cost and time for affecting the change but which Owner has approved and directed in writing that work thereon commence prior to such agreement, Contractor shall be paid the Cost of the Work as defined in Article 7 and 9 shall be entitled to an equitable adjustment of the Project Time Schedule. Contractor shall have the right to include such costs in monthly statements submitted pursuant to Article 11 hereof. Owner shall not unreasonably delay or withhold approval of documented Change Order records and costs. 9.6 In the event that Owner requests that additional or changed work proceed without the written Change Order required by this Article 9,Owner shall sign and deliver to Contractor a written direction to proceed pending final preparation and approval of a Change Order. By execution of such written direction,Owner agrees that it will not later challenge the authority of Contractor to carry out or direct the work and further that Owner will not challenge the scope of the work undertaken by Contractor based on directions from Owner. 9.7 Contractor shall issue a Change Order setting forth the actual Cost of the Work as soon as firm prices are received for items covered by allowances. 9.8 Contractor shall maintain a control system to insure that Change Orders are presented to the appropriate parties for approval on a timely basis. 9.9 Contractor shall maintain a file of all field orders, Change Order proposals, directives and Change Orders. 9.10 In the event Contractor encounters subsurface or otherwise concealed physical conditions which differ materially from those indicated in the Contract Documents or unknown physical conditions of an unusual nature which differ materially from those ordinarily found to exist and generally recognized as inherent in construction activities of the character provided for in the Contract Documents,or in the event that Contractor believes it has incurred additional costs by an error, action, or failure to act on the part of Owner, Contractor shall have the right to request a Change Order recognizing such costs as Costs of the Work and/or authorizing an extension of the Project Time Schedule. Owner shall respond promptly to such requests. In the event that Owner refuses to approve the requested Change Order,Contractor shall be entitled to exercise all rights and remedies available under this Agreement or by law. 9.11 In any emergency affecting the safety of persons or property, Contractor shall act, at its discretion, to prevent threatened damage, injury or loss. Any reasonable additional time or Costs of the Work due to Contractor and/or Subcontractors on account of emergency work shall be authorized by Change Order. ARTICLE.10 SUBCONTRACTS 10.1 Unless otherwise stated in the Contract Documents,Contractor,as soon as practicable after award of the Contract,shall furnish in writing to Owner the names of all proposed Subcontractors and significant material suppliers. Owner shall promptly advise Contractor of any reasonable objection to any such Subcontractor or supplier. Failure to reply promptly on the part of the Owner shall be construed to mean that Owner has no reasonable objection. 10.2 In the event that Owner has a reasonable objection to a subcontractor or supplier, Contractor shall propose another as to whom Owner has no reasonable objection. Any additional costs caused by such substitution and Owner shall be recognized by Change Order as additional Costs of the Work. 10.3 Contractor shall direct and control the performance of subcontractors, and neither Owner nor Engineer shall communicate directly with subcontractors. The form of Subcontract shall be subject to prior approval of Owner. ARTICLE 11 PAYMENTS TO CONTRACTOR 11.1 Contractor shall submit to Owner a monthly statement on or about the first day of each month,showing in detail the amounts payable for the Cost of the Work completed during the previous month and the amount of the 10 k � Contractor's Fee based on such Cost of the Work without deduction for amounts retained pursuant to Paragraph 11.2 hereof. Contractor shall certify in each application for payment(and it shall be a condition precedent to receipt of payment therefor)that all subcontractors have previously been paid for Work performed(provided that Contractor has previously received corresponding payment from Owner), and for which an invoice has been received prior to such application. Payment shall be made for materials and equipment stored off the site provided Contractor has obtained insurance coverage for the full insurable value of such materials for the benefit of Owner and further provided that Contractor has executed.appropriate documents to vest title to such materials and equipment in Owner. Such payment shall include insurance,storage,and transportation costs for such materials and equipment stored off the site. Payment by Owner to Contractor of the statement amount shall be made within thirty(30)calendar days after it is submitted. In the event that undisputed amount shall remain unpaid for thirty days after the date on which it is due,Contractor shall have the right to stop the Work until such payment is made. Contractor shall have no liability to Owner for any consequences of Contractor's non-payment of Subcontractors or suppliers in the event that such non-payment is caused by Owner's failure to pay amounts due under this Agreement. 11.2 Owner may retain from each monthly payment 10% of the amount payable to each Subcontractor in such statement until 50% of the Work under the Subcontract has been completed to the satisfaction of Owner and Contractor,after which no additional retainage shall be paid. Owner shall release retainage under each Subcontract not later than thirty(30)days after the statement requesting final payment for the Work under such Subcontract has been submitted to Owner,provided that Work under the Subcontract has been completed to the reasonable satisfaction of Owner and Contractor,and Subcontractor has provided Contractor with all applicable warranties,guarantees,operating and maintenance manuals,etc,and has fully performed all of its contractual obligations. 11.3 In the event Owner disputes any amounts for which payment is sought in a monthly statement, the uncontested portion of such statement shall be paid. Ownershall, within ten.(.10).days of the date of submission of such statement, deliver to Contractor a detailed written explanation of the reasons such payment is disputed. Thereafter,Owner and Contractor shall negotiate in good faith in an effort to resolve such dispute. In the event that the dispute is not resolved within thirty(30) days of the date on which the statement containing such disputed item was payable,Owner and Contractor shall have the right to pursue any applicable remedies provided in this Agreement or by law. 11.4 The Date of Substantial Completion of the Work or a designated portion thereof is the date on which construction is sufficiently complete in accordance with the Contract Documents that Owner can occupy or utilize the Work or a designated portion thereof for the purpose for which itis intended. The Work shall be deemed substantially complete if it is capable of being so.used or occupied although it is in fact not used or occupied for reasons unrelated to fault on the part of Contractor or for reasons beyond Contractor's control. Upon substantial completion, Owner shall pay to Contractor final payment constituting the unpaid balance of all amounts payable to Contractor hereunder. If there should remain minor items to be completed,Contractor and Owner shall list such items and the estimated cost of completion for each item, and Contractor shall deliver, in writing, its unconditional promise to complete said items within a reasonable time thereafter. Owner may retain a sum equal to 125 percent of the estimated cost of the completing of any unfinished items. Thereafter, Owner shall pay to Contractor, monthly, the amount retained for incomplete items as each of said items is completed. 11.5 Before issuance of final payment,Contractor shall submit satisfactory evidence that all payrolls,material bills and indebtedness connected with the Work have been paid or otherwise satisfied. ARTICLE 12 INDEMNITY AND INSURANCE 12.1 Contractor's Indemnity Obligation and Liability Insurance. 12.1.1 Contractor shall indemnify and hold harmless Owner,its directors,officers,employees and agents,from all claims, damages, losses and expenses, including attorneys' fees, for bodily injury and property damage, in connection with the construction of the Project, arising directly from (a) the negligent act or omission or willful misconduct of Contractor,Subcontractors,their agents or employees;(b)breach or violation by Contractor of any of its 11 obligations hereunder.; (c) Contractor or subcontractor liens placed on the property of Owner relating to Work for which Owner has paid; and (d) any act or omission by Contractor that may result in any liability under any federal, state or local laws relating to pollution or protection of the environment, natural resources or human health or safety. Contractor shall have no indemnity obligation in connection with injuries or damage caused in whole or in part by Owner, Engineer, separate contractors or consultants employed by them, or by the officers, directors, agents, employees or contractors of any of them. Contractor shall purchase and maintain such insurance as will protect it from claims set forth below which may arise out of or from the operations of Contractor or of any Subcontractor: I claims under workers'compensation,disability benefit and other similar employee benefit acts; .2 claims for damages because of bodily injury,occupational sickness of disease,or death of Contractor's employees; .3 claims for damages because of bodily injury,sickness or disease or death of any person other than Contractor's employees; .4 claims for damages because of injury to or destruction of tangible property,including loss of use therefrom;and .5 loss resultingfrom employee dishonesty. 12.1.2 Contractor's Workers' Compensation, Comprehensive General Liability, Comprehensive Automobile Liability Insurance, and Excess Umbrella Liability Insurance coverage required by Paragraph 12.1.1 shall be as set forth below: l Workers'Compensation and Employer's Liability Insurance: Except as otherwise provided by law,Contractor shall,at all times, maintain and keep in force such insurance as will protect it from III claims under Workers'Compensation Acts and maintain and keep in force coverage"B"-Employers'Liability Insurance-at a limit of not less than five hundred thousand dollars($500,000). Contractor shall also require Subcontractor and their subcontractors to provide Workers'Compensation and Employers'Liability Insurance for their employees with the same limits. .2 Comprehensive General Liability Insurance: Contractor shall purchase and maintain during the term of this Agreement,Comprehensive General Liability Insurance at limits of not less than the limit set forth below,or required by law,whichever is greater: a. Bodily Injury $1,000,000 Each Occurrence $1,000,000 Aggregate (Completed Operations) b. Property Damage $1,000,000 Each Occurrence $1,000,000 Aggregate Such insurance shall include the following coverage's: 1. Contractor's Protective Liability Insurance; 2. Products-Completed Operations Insurance; 3. Contractual Liability Insurance; 12 t � 4. Personal Injury Liability Insurance which includes coverage for false arrest, detention or imprisonment or malicious prosecution, libel, slander, defamation or violation of right of privacy;wrongful entry or eviction or other invasion of right of private occupancy. .3 Comprehensive Automobile.Liability Insurance: a. Bodily Injury $1,000,000 Each Person $1,000,000 Each Occurrence b. Property Damage $1,000,000 Each Occurrence .4 Excess Umbrella Liability Insurance: Limit $10,000,000 12.1.3 Contractor shall require each Subcontractor to agree to indemnify and hold harmless Owner and Contractor from all claims for bodily injury and property damage that may arise from the Subcontractor's operations under its Subcontract. Contractor shall also require each Subcontractor to agree to purchase and maintain such insurance, including contractual coverage as will protect such Subcontractor from the kinds of claims set forth in Paragraph 12.1,with such limits as are acceptable to Owner,to the extent reasonably available, 12.1.4 Contractor shall file with Owner prior to commencement of the Work Certificates of Insurance with respect to all insurance required of Contractor by this Article 12. Contractor shall maintain a file of all such required Certificates of Insurance and shall notify Owner promptly of any material change in.any insurance required of Contractor. Each Certificate of Insurance shall contain.a provision that the coverage afforded under the respective policy will not be canceled without at least thirty (30) days prior written notice to.Owner. Contractor shall name Owner and its affiliates as additional named insured under each or the policies required by this Agreement(excluding i workers'compensation). 12.2 Insurance to be Procured by Owner. 12.2.1 Owner shall be responsible for purchasing and maintaining its own insurance and may purchase and maintain such insurance as will protect it against claims which may arise from operations under this Agreement. 12.2.2 Owner shall use reasonable efforts to cause any other contractor who may have a contract with Owner to perform construction,.installation or other work in the areas where Work will be performed under this Agreement,to agree to indemnify Owner and Contractor and hold them harmless from all claims,demands,awards,judgments,costs and expenses, for bodily injury and property damage (other than property insured under Paragraph 12.3), including attorneys' fees, that may arise from such contractor's operations. Such provisions shall be in a form satisfactory to Contractor. 12.3 Insurance to Protect Project. 12.3.1 Owner shall purchase and maintain property insurance in a form acceptable to Contractor upon the entire Work,including materials in transit,stored at the site or delivered to off-site storage locations,for the full cost of replacement as of the time of any loss. This insurance shall include as named insured(s) Owner, Contractor, Subcontractors, and their subcontractors, as their interests may appear, and shall insure against loss from the perils of Fire, Extended Coverage, and shall include "All Risk" insurance for physical loss or damage including, without duplication of coverage,theft, vandalism,malicious mischief,transit, collapse, flood, earthquake,testing,and damage resultingfrom defective design, workmanship, or material. Owner will increase limits of coverage, if necessary, to g P� g , rY� reflect estimated replacement cost. Owner will be r - p responsible for an co-insurance penalties or deductibles. If the P Y Project includes an addition to or is adjacent to an existing building, Contractor, Subcontractors, and their 13 I � subcontractors shall be named as additional insured(s)under the Owner's Property Insurance covering such building and its contents. 12.3.2 Owner shall purchase and maintain boiler and machinery insurance. Such insurance shall include the interests of Owner,Contractor,Subcontractors,and their subcontractors in the Work. 12.3.3 Owner shall purchase and maintain such insurance as will protect Owner and Contractor against loss of use of Owner's property due to those perils insured pursuant to Paragraph 12.3.1. Such policy will provide.coverage for expenses of expediting materials,continuing overhead of Owner and Contractor,necessary labor expense including overtime,loss of income by Owner,and other risks,and limits for each,determined by mutual agreement of Owner and Contractor. 12.3.4 "Owner shall file applicable Certificates of Insurance for all policies required of or procured by Owner hereunder with Contractor before an exposure to loss may occur. Copies of any subsequent endorsements will be furnished promptly to Contractor. Such policies will provide that Contractor will be given thirty(30)days' notice of cancellation,non-renewal,or any endorsements restricting or reducing coverage. If Owner does not intend to purchase such insurance, it shall inform Contractor in writing prior to the commencement of the Work. Contractor may then effect insurance which will protect its interests,and those of the Subcontractors and their subcontractors in the Project, and Owner shall approve a Change Order recognizing the cost of such insurance as an additional Cost of the Work. If Contractor is damaged by failure to Owner to purchase or maintain such insurance or to so notify Contractor, Owner shall bear all reasonable costs attributable thereto. 12.4 Property Insurance Loss Adjustment. 12.4.1 Any insured loss shall be adjusted with Owner and Contractor and made payable to Owner and Contractor as trustees for the insured(s),as their interests may appear,subject to any applicable financing documents. 12.5 Waiver of Subrogation. 12.5.1 Owner and Contractor waive all rights against each other and the Engineer; Subcontractors and their subcontractors for loss or damage to any equipment used in connection with the Project and covered by any property insurance. Contractor shall use its best efforts to require similar waivers from all Subcontractors and their subcontractors. 12.5.2 If the policies of insurance referred to in this Paragraph require an endorsement to provide for continued coverage where there is a waiver of subrogation,the owners of such policies will cause them to be so endorsed. 12.6 Contractor and Owner waive claims against each other for consequential damages in any manner arising out of or related to this Agreement or the Project and Contractor shall use best efforts to obtain a similar waiver from subcontractors. ARTICLE 13 TERMINATION OF THE AGREEMENT 13.1 Termination by Contractor. 13.1.1 If Owner is the subject of a voluntary or involuntary proceeding in bankruptcy or makes a general assignment for the benefit of creditors,or if a receiver is appointed on account of its insolvency,or if Owner repeatedly and unreasonably withholds requested approvals or repeatedly fails to provide information or approvals on a timely basis,or if Owner is otherwise guilty of a substantial violation of a material provision of the Contract Documents,or if Work has been stopped for a period of 45 days for failure of Owner to make any payment due Contractor hereunder or if the Work is stopped for a period of thirty days under an order of any court or other public authority having jurisdiction, or as a result of an act of government, such as a declaration of a national emergency making materials 14 t � unavailable,through no act or fault of Contractor,then Contractor,without prejudice to any right or remedy hereunder or at law or in equity, may upon thirty days written notice to Owner(during which time Owner fails to cure or take reasonable steps to cure such violation),terminate this Agreement and recover from Owner payment for all Costs of the Work actually incurred through the date of termination and for all losses,expenses,or damages sustained as a result of such termination consistent with its obligation to mitigate damages. 13.2 Termination by Owner. 13.2.1 if Contractor is the subject of a voluntary or involuntary proceeding in bankruptcy,or makes a general assignment for the benefit of creditors, or if a receiver is appointed on:account of its insolvency, or if it fails, in a material manner to supply enough properly skilled workmen or proper materials, or fails to make payment to Subcontractors as required hereunder or payment for materials or labor, or persistently disregards laws, ordinances, rules,regulations or orders of any public authority having jurisdiction or is otherwise guilty of a substantial violation of a material provision of the Contract Documents, then Owner, without prejudice to any right or remedy hereunder, at law or in equity, and after giving Contractor and its surety, if any, seven days written notice, during which period Contractor fails to cure the violation or fails to take steps to cure the violation if it is one which cannot be cured within said seven day period,may terminate this Agreement and take possession of the site and of all materials for the Project owned by Contractor on the site and may finish the Work by whatever method it deems expedient consistent with its obligation to mitigate damages. 13.3 This Agreement may be terminated for the convenience of Owner upon at least 14 days written notice to Contractor. Such termination shall be in Owner's sole discretion. in the event of termination for convenience, Contractor shall be paid all Costs of the Work for the portion of the Work completed as of the date of termination,and Termination Expenses.Termination Expenses are defined as all reasonable costs directly attributable to termination for which Contractor is not otherwise compensated, including; but not limited to, all costs related to closing down and securing the Project,all binding commitments and obligations entered into by Contractor pursuant to the terms of this Agreement which cannot be canceled or terminated and which require future payments,costs and expenses of settling; and payment of any outstanding claims of Subcontractors or suppliers, and costs in connection with all accounting, invoice preparation,and other services required in connection with documentation for Owner of all amounts payable in connection with such termination. ARTICLE 14 CONFIDENTIALITY 14.1 For purposes of this Agreement, the teen "Information" shall mean all written or oral information, now or hereafter disclosed.by Owner or its affiliates to Contractor. All Information disclosed by Owner or its affiliates to Contractor shall be deemed confidential and subject to the provisions of this article,except to the extent that Contractor can reasonably demonstrate that such Information (a) is now in or after the date hereof has entered the public domain through no fault of Contractor,(b)was known to Contractor prior to its disclosure by WTI or its affiliates, (c) was obtained by Contractor from a third party who is not known by Contractor to be prohibited by from disclosing such information,or(d) is required to be disclosed by Contractor as a matter of law or regulation, provided the Contractor shall (i)give prompt written notice of such requirement to Owner prior to such disclosure, (ii) reasonably cooperate with Owner in attempting to prevent such disclosure and (iii) in the event a protective order is not obtained, furnish only that portion of the Information which, in the written opinion of its counsel, it is legally compelled to disclose and exercise its best efforts to assure that confidential treatment is accorded any Information so furnished. 14.2 Except as otherwise provided in Section 14.1 hereof,Contractor agrees that: (a) it will maintain in confidence the Information and will not disclose or allow the disclosure of the Information to any person or third party other than its subcontractors, officers and employees, (collectively, "Representatives") who have a reasonable need-to-know the Information in connection with Contractor's performance under this Agreement(the"Permitted Purpose"); 15 (b) it will not, without Owner's prior express written consent, utilize the Information in any manner except for the Permitted Purpose;and (c) at any other time upon Owner's the request, it will promptly deliver to Owner all originals and copies of Information in its or its Representatives' possession or control and shall destroy any analyses, compilations, studies, summaries or other documents, or media containing any information and certify in writing to Owner that it has done so. 14.3 Contractor shall cause its Representatives to comply with this article and shall be liable for any breach of this article by its Representatives. 14.4 Owner makes no representations or warranties regarding the Information, and neither Owner nor any of its officers, directors,affiliates, employees or other representatives shall have any responsibility for the truth or accuracy of the Information. No rights or licenses, expressed or implied, are hereby granted to Contractorunder any patents, copyrights, trade secrets or other intellectual property rights of Owner or its affiliates as a result of or related to this Agreement. I 14.5 Contractor acknowledges that Owner's remedies at law for any breach of this article are inadequate, that Owner will suffer irreparable damage from any such breach,and that Owner shall be entitled to seek injunctive relief in the event of any such breach, which equitable remedy shall be in addition to all other rights and remedies available at law. In the event of any breach of this article by Contractor, Owner shall be entitled to recover such attorneys'fees and other costs and expenses as it may incur in enforcing its rights hereunder. 14.6 The restrictions and obligations of the parties under this article shall survive any expiration, termination or cancellation of this Agreement and shall continue to bind the parties and their successors and assigns for a period of two(2)years after the date hereof. ARTICLE 15 MISCELLANEOUS PROVISIONS 15.1 Neither Owner nor Contractor shall assign its interest in this Agreement without the prior written consent of the other,provided, however,that Owner may assign its interest to a lender financing the Project subject to the provisions of Paragraph 3.10 hereof and provided that such assignment does not in any way alter or diminish the rights of Contractor. 15.2 Any notices given hereunder shall be sent by certified mail, return receipt requested, or personally delivered,to the below named representatives of Owner and Contractor at the addresses set forth below: Contractor: The Whiting-Turner Contracting Company 1 Speen Street Suite 120 Framingham, MA 01581 Attn: Kevin P. Any rights and remedies provided herein shall be in addition to,and not in limitation of those available at law. 15.4 The Contract Documents as defined herein, constitute the entire agreement between the parties and supersede all prior understandings or writings with respect to the subject matter hereof. 15.5 If any provision of this Agreement is found to be illegal, invalid, inoperative or unenforceable for any reason.such provision shall not affect the validity.operation or enforceability of any other provision hereof. 15.6 This Agreement shall be construed and enforced under the laws of the State of Maryland without regard to principles of conflict of laws. Budget Summary Whiting-Turner Contracting Company 1.Page 8-Aug-11 Enclosure Wall and Dewatering Equipment Installations 33 EXHIBIT B DESCRIPTION OF WORK Wheelabrator Technologies has planned a project to improve management of ash and process water at the Millbury, North Andover, and Saugus Facilities. The project will include construction of enclosure walls around the back end of the plant so that the area around and under the air emission control equipment and ash conveyors is enclosed and better controlled. The project also involves installation of a new system to remove solids from the contact water system. The key component of the solids removal system will be a filter press. The filtrate will be available for reuse within the facility,and the solids will be reintroduced into the ash handling system. The details of the walls and the dewatering systems are fully described in Exhibit A, Contract Documents. Enclosure Walls The project will involve installing several enclosure walls up to approximately 33 feet tall, connecting existing buildings and existing walled equipment. The specific locations are shown in Exhibit A; Contract Documents. The walls will be curbed at the base to enhance containment and collection of storm water runoff within the enclosed area. The project also involves adding capacity to manage storm water that is generated within the enclosed areas. Current grading will be modified. Storm water will be collected in catch basins and pumped to the facility's contact water system for re-use within the plant. The catch basins and pumping system have been designed to accommodate a 100 year storm. Contact Water System Improvements The project will improve the facility's process to continuously remove ash solids from the Contact Wastewater System. The project will result in a reduction or elimination in the routine use of portable (rental) process water storage tanks and ash dewatering sacks. This project involves the installation of an engineered solution to collect, filter, and dewater solids from process wastewater. The proposed system will continuously remove ash solids from the process water and effectively reintroduce the ash solids into the existing conveying system. All of the changes will take place within the existing footprint of the facility. Proposed System Upgrade The proposed system as depicted in drawings prepared by Jacobs Engineering, and included in Exhibit A, Contract Documents will provide a system to process the ash contact water that may flow into the system from the existing plant u-drains and sumps as well as from the yard sumps to be installed within the newly enclosed areas. This project will allow the facility to manage the dewatered ash solids in the combined ash waste stream. The new system is composed of a flume and filter screen, a filter press, a dump storage tank, and supporting pumps, power supply and controls. Except for the new dump storage tank, the entire system will be located within the existing enclosed resource recovery facility. 34 Reiects Screening The larger rejects and debris will be removed by an Aqua Guard Screen which will allow the finer particle ash and water to flow into the sump area. The reject material separated by the screen will be collected and returned to the existing ash conveyor system adjacent to the system. Sumps and Storage Tank The contact sumps will be modified._ Sump pumps will transfer the ash contact water to the new sump storage tank (capacity approximately 20,000 gal.). The storage tank will provide surge capacity:. The tank will be agitated and/or re-circulated to maintain a homogenous mixture of the ash laden water and to prevent settling and accumulation of solids in the bottom of the tank. Solids.Dewatering The slurry of ash and water will be pumped with new centrifugal pump from the storage tank to. the filter press (dewatering system). Redundant pumps (two) will be provided to minimize system down time. The filter press will be installed on existing steel support structures. Access platform for the filter press and conveyors will be installed above the MR Sump. The filter press. will separate the solids from the liquid. The clear filtrate will then be pumped to the new filtrate tank and then to the existing waste water tank for distribution and re use within the plant. The dry filter cake will be transferred to the conveyor that conveys ash to the ash handling building. Ash is taken from the ash storage building for final disposal. The project includes the following: 1. Installation of a screening process to remove objectionable particles from the contact water filtering process. Guard Screen follows within Appendix 1 of this Attachment. 2, Installation of.dump storage tank. This tank will serve as a feed reservoir to a mechanical dewatering system. 3. Installation of pumps and sealed fluid conveyance mechanisms to transport ash, water, lime and waste-waters to and from the contact water treatment system. These pumps will be of both centrifugal and positive displacement design to affect efficient fluid transfer. 4. Installation of a mechanical dewatering system, i.e., a 60 cb.ft filter press in the facility's ash processing building. This equipment will be located on platforms to be constructed in the boiler building. ATTACHMENT C WHEELABRATOR SAFETY and ENVIRONMENTAL REQUIREMENTS 2008-2009 t b 1.0 General Workplace Safety ! 1.1 Zero Tolerance for Unsafe Acts,Behaviors and Conditions • Contractors working at Wheelabrator facilities must understand that safety is paramount to the success of all work and that poor safety work practices will not be tolerated. Safety perfornlance may be used as a factor when selecting Contractors for future work. Wheelabrator requires its Contractors to properly supervise its employees, agents and sub-contractors to ensure strict compliance with applicable federal, state and local regulations and Wheelabrator Safety Rules at all times. Violators may be removed from a facility. 1.2 Contractor Safety and Environmental Evaluations • Contractors must ensure that Wheelabrator's safety and environmental requirements are clearly communicated to all Contractors' employees for the duration of the work. tin one person per shift toprovide safety and - risible for designating p p Contractors are responsible g g p isub-contractors, and environmental supervision for thea-own employees, agents and that designated person or their designee must remain on-site while the Contractor is working. • If Wheelabrator observes safety hazards or environmental incidents caused by a Contractor which pose an imminent danger, Wheelabrator will stop the work and require the Contractor's supervisor to take immediate corrective action to eliminate the hazard(s). • Contractor's employees who demonstrate an attitude of indifference towards safety or the environment may result in Wheelabrator staff removing them from the site or terminating the contract. • If Wheelabrator observes safety hazards or environmental incidents caused by a Contractor that do not pose an imminent danger, the hazards will be reported to the Contractor's supervisor and to the Wheelabrator Facility Management. • Contractors or Contractor's employees who fail to perforin work in compliance with the contract requirements may be permanently removed from the site. 1.3 Arriving at the Facility—Security • At the beginning of each working shift, the Contractor shall supply to Wheelabrator a list of all Contractors' employees who are on-site during that shift. Elements of the program shall include, but not be limited to, the following: — A Contractor's employee shall not show up for work at the facility while under the influence of drugs or alcohol; — A random drug and alcohol testing program and drug and alcohol testing when there is reasonable suspicion, The program must also provide that anyone who tests positive will be prohibited from working at a Wheelabrator facility; — A method for communicating to the contactor when the Contractor's employee is taking prescription medications that could influence work performance; and — Prohibits possession of illegal drugs and/or alcohol on Company property(and that possession is grounds for immediate and permanent removal from the site). • Wheelabrator is not responsible for the administration of the program. 1.8 Unsafe Acts, Horseplay, Intoxicants, Firearms • No unsafe acts, horseplay, intoxicants, or firearms are allowed on-site. • Follow instructions in all posted areasobserve all warning signs! 1.9 1're-Job Briefings • Contractors shall provide pre-job safety briefings to their employees before the start of each new job. At a minimum, topics covered should include: — Hazards associated with the job — Work procedures involved — Special precautions — Energy source controls — Personal protective equipment (PPE) requirements — Location of eyewash/shower, fire extinguishers, plant phone, and or public address system — Closest point of egress from the work area — How to evacuate the facility based on where they are working in the facility and the designated muster point following the evacuation 1.10 Personal Hygiene • Contractor's employees are required to thoroughly wash their hands and face before eating or drinking and before leaving the facility. -4- • Contractor's clothing and boots containing ash shall be removed or cleaned with a vacuum fitted with a high-efficiency particulate air(NEPA) filter before leaving the facility. i 0 Contractors may not enter lunchrooms or administrative areas with dirty or dusty protective work.clothing or equipment. 1.11 Parking • Park only in areas designated by Wheelabrator. • Never block building exits, emergency routes, fire lanes, or emergency or fire equipment. 1,12 Speed Limit • All vehicles operated on Wheelabrator property shall obey posted speed limits and always provide pedestrians with the right-of-way. • Adjust speed in response to reduced visibility or slippery conditions. 1.13 Barrier Tape • Yellow Tape in the plant Contractors can enter the area with caution. • Red Tape in the plant-Do Not Enter. 1.14 Smoking, Eating and Drinking • Smoking or chewing tobacco is only.:permitted in designated areas. • Eating or drinking is not permitted at any time within the facility except in designated areas. 2.0 Personal Protective Equipment (PPE) • Contractors must provideall required PPE to their employees, agents and sub- contractors and must provide full instruction and training on the proper use of PPE before the start of the work. Contractors are required to properly supervise all employees, agents and sub- contractors to ensure compliance in the use of protective equipment and clothing. • All PPE shall be worn in accordance with manufacturer instructions (e.g., hard hats facing forward). • Welding helmets are required to be fitted with hard hats. • Unless otherwise designated, hard hats are required in all areas of the facility. Wheelabrator reserves the right to require Contractors to wear hard hats of a specified color. • Safety glasses with permanently-affixed side shields are required at all times on site except in designated areas. Mirrored safety glass lenses or shades of any color greater than 10% are not permitted while working indoors. -5 - • Work boots with hardened (steel, fiberglass) toes are required. Sneakers are not permitted. • Work gloves shall be worn,when needed, to protect hands from chemical, physical (i.e., abrasions, heat, etc.) or other hazards. • Hearing protection is required in all areas inside of the facility. Double hearing protection is required in areas where signs are posted. • Face shields are required for all grinding and chemical transfer operations. • Goggles are required when working or around others working in areas containing airborne asli/flyash, dry chemical or dust hazards (e.g., windy conditions, positioned below ash-laden parts or equipment; ash or dry chemical handling such ash lime). Splash goggles and a full face shield are required when conducting tasks where actual or potential liquid chemical splash hazards exist and in areas where dust, particulate and/or chemicals are present. • Shaded eye protection is required while cutting, burning and welding. • Hot Work activities require "leathers"or other appropriate protection. Only Tyvek- type suits that are flame resistant or flame retardant shall be worn during Hot Work activities. • Protective equipment is required for work involving chemical exposures. • Use properly tested and rated electrical gloves for"live" work. • Contractors are required to follow the instructions on all posted signs. 2.1 Respiratory Protection • Wheelabrator employees are required to wear respirator protection while performing specific tasks or while working in specific environmental conditions. Respiratory protection selection is based on air sampling data collected during these tasks and in various conditions. • Contractors shall wear respiratory protection in all posted areas. • Contractors must select the appropriate respiratory protection for their employee's exposures. Contractors are free to review Wheelabrator industrial Hygiene air sampling data to assist in selecting the appropriate respiratory protection. However, Wheelabrator's air sampling data may not be relevant to the tasks the Contractor will be performing. Contractors are required under OSHA Standards to assess their employees' exposure(s) to air contaminants. Contractors conducting air sampling on Wheelabrator sites must coordinate these activities with the facility prior to initiating. An air sampling plan will be required and approved for all air sampling performed. An example of an air sampling plan can be provided upon request. • Contractors using respiratory protection are required by OSHA to have a respiratory protection program. -6 - • In accordance with OSHA's Standard, Contractors wearing tight fitting respirators must be clean shaven with no facial hair impeding the face=to-respirator seal or exhalation valve operation. 2.2 Apparel • Loose clothing shall not be worn around exposed rotating equipment or energized electrical parts. Do not wear loose=fitting clothing or jewelry around rotating tools and machinery. • Do not wear conductive articles like jewelry, chains, watches, earrings, and key rings around exposed energized lines and equipment. • Keep hair secured out of the way if it could become entangled in tools and machinery or obscure your vision. • Full-length pants extending below the ankle are required. • Long-sleeve shirts must be worn in those areas of the facility where Contractor's employees are potentially exposed to: thermal or chemical burns and cuts, scrape, and abrasion hazards. Tank tops:are not perinitted at any tiirne. • All clothing, including outer- (e.g., pants,shirts) and under=garrnents must meet OSHA standards when working on or near exposed energized parts (i.e., 100% cotton or tlame retardant materials only, no synthetics). j 2.3 [call Protection • All floor or wall openings and excavations shall be covered or protected by a guardrail system, or personal fall protection shall be used. • All fall hazard exposure (4 feet or more above a lower level and within 15 feet of floor or wall openings [an opening at least 30 inches high and 18 inches wide through which persons may fall that is unprotected by a guardrail system or cover] or unprotected sides or edges [an opening measuring 12 inches or more in its least dimension] or walking/working surfaces) must be eliminated by use of either: — Guardrail systems or floor and wall openings covers, as applicable — A personal fall arrest system consisting of a full body harness and lanyard with locking snaphooks attached to a secure and approved anchor point or — A safety net system • Chains/safety gates on all work platforms must be closed when the platform is occupied. 3.0 Work Area Protection - 7 - 3.1 Walking/Working Surfaces • Keep all walking/working surfaces free of debris, trip hazards (cords, hoses and lines), slippery or spilled materials. • Keep emergency/fire equipment, eyewash stations/safety showers clear at all times. • Keep exits, stairways and corridors clear of obstructions at all times. 3.2 Materials Handling • Do not store materials in a manner that restricts access, blocks emergency/fire equipment or obstructs views of roadways or walkways. • Do not stack materials too high. Acceptable height is based on the stability of the materials being stacked. • Materials must be able to be self supported or by using vertical, horizontal and diagonal braces. • All materials stored in elevated areas must be securely fastened to prevent falling. * High-pressure bottles (e.g., OZ and acetylene) shall be in carts or properly secured. 3.3 Ladders • Portable metal ladders and other portable conductive ladders may not be used near exposed energized lines or equipment. • Portable ladders shall have nonconductive side rails if they are used where the employee or the ladder could contact exposed energized parts. • Portable extension ladders must be extended 3 feet above the point of support and shall be tied off or held securely by another employee. • Do not separate extension ladders for individual use. • Portable "A" frame ladders must be fully opened before use. • Do not climb stepladders that are leaned against walls, tanks or other vertical surfaces. • No damaged or modified ladders are pennitted on-site. • Do not use "job-built" ladders or make-shift ladders (like pallets). • Face the ladder at all times and maintain three points of contact. 3.4 Scaffolding • All scaffolding must comply with applicable OSHA standards (1926.451). • Do not make changes to scaffolding. All changes must be coordinated through the scaffolding-competent person. • All scaffolds over 6 feet must have a guardrail system (Top rail: 42 + 3", Mid rail, 4"- high toeboard). - 8 - • Overhead protection is required beneath on-going work or in areas where debris may fall (e.g., inside boilers). • Screened sides are required above walkways. • A competent person must inspect erected scaffolding each shift. Contractors shall report all deficiencies with the.scaffolding to the Control Room. If the competent person determines that it is safe for the scaffolding to be used; lie or.she must hall-an All Clear tag at all entrances of scaffolding. Contractor's employees, agents and sub-contractors shall not step onto scaffolding unless an All Clear tag is visible 3.5 Restricted Areas • Tipping Floor, Fuel Yards, and ash and metal recovery loading/unloading areas are restricted to authorized persons. • Contractors are not permitted to enter the Tipping Floor areas unless authorized by a Wheelabrator employee. Entry onto the Tipping Floor must follow thelant-s ecific p p Tipping Floor policy. • Contractors are not permitted in the Fuel Yard (e.g., wood, tires, culm) and ash and metal recovery loading/unloading areas unless authorized by a Wheelabrator employee. • Contractors are not pehnitted in warehouse areas unless accompanied by a Wheelabrator employee, 3.6 Nuclear Level Gauges • Do not open, move or remove nuclear-level gauge devices. 3.7 Conveyor Safety • Never ride conveyors. Cross over conveyors only at crosswalks or when the conveyor is de-energized and locked out. I • Do not walk oil conveyor covers. • Be aware of the location of emergency pull cords; use the pull cords to stop a conveyor in the case of an emergency. • Do not use the emergency pull cord for situations other than emergencies (e.g., to work on conveyor). • Keep hands clear from rollers and keep all guards in place when in service. • Contractor's employees shall not remove any machine guards without prior Wheelabrator approval. • Do not clean pulleys or rollers when the belt is moving. Implement the lockout procedure before working on the conveyor. - 9 - — When cleaning up, always shovel in the direction the belt is moving. 4.0 Safe Work Procedures 4.1 Chemical Unloading and Transfer • All chemical unloading shall comply with Wheelabrator site-specific chemical unloading procedures. Contact the Wheelabrator Control Room before unloading any delivery. • All deliveries cannot be made unless they are supervised by Wheelabrator personnel. 4.2 Hazard Communications • Contractors will have MSDS for all chemicals they bring on-site. All MSDS must be available on-site for Wheelabrator review. The Contractor will follow the facility chemical storage and disposal requirements; when in doubt, ask a Wheelabrator supervisor for clarification. • Contractors must coordinate with the facility before storing any hazardous materials. Information such as: the quantity, location to drains and material compatibility will be addressed. • Contractors are responsible for the removal and disposal of any hazardous materials brought on-site in accordance with applicable law. • Containers; lines and tanks are labeled at the facility. If you have a question, ask the Control Room. • MSDSs for all hazardous materials used on the site by Wheelabrator are available at multiple locations (e.g., in the Control Room). If you have a question about a hazardous material used at the site, ask the Control Room. 4.3 Lockout/Tagout(LOTO) Permit Authorization • Proper lockout penmit/authorization is required for all jobs with hazardous energy sources. • Obtain proper authorization or lockout permit from the Control Room. • At a minimum, a Contractor's supervisor may use a single lock on the lock box with a tag to identify it as a Contractor's lock. Contractor's employees should have some means of controlling access to the key of that lock following Contractor's LO/TO procedure. • All guards and safety interlocks shall be replaced when work is completed. • Notify the Control Room when work is completed. 4.4 Confined Spaces • Permit Required Confined Spaces (PRCSs) exist at the facility and have been labeled. Contractors will not work in an area that has been labeled as a PRCS or which - 10- Contractors believe is a PRCS without first notifying the Control Room and obtaining proper authorization (i.e., Wheelabrator-issued PRCS pennit). PRCSs that have been posted as reclassified do not require authorization to enter. • A PRCS per is required for all confined space work. A permit/reclassification must be posted at the job location: When the work is completed, Contractors must return the permit to the Control Room where Contractors will be required to complete the "Contractor Debriefing" section. • Attendant and retrieval devices are the responsibility of Contractors and required for all PRCS entry jobs unless ialternative, specific arrangements have been made with the facility. • Wheelabrator evaluates PRCSs for its employees. Contractors must have their own program in place, including a means for rescue,unless specific arrangements have been made with the facility for a different means of rescue. In all cases, Contractor rescue procedures must be coordinated with Wheelabrator's procedures. 4.5 Tools and Equipment • All tools and equipment must be in good condition with safety devices. • Do not use defective tools or equipment. • Contractors are not allowed to use Wheelabrator tools or equipment unless and until the equipment has been specified in the On-Site Safety Declaration. • Compressed air cannot be used for cleaning (e.g., clothing, housekeeping). 4.6 Bins/Hoppers/Bunkers/Silos • Never open doors or covers without authorization. • Always assume all ash is hot. 4.7 Jacking • Inspect thejack before using it. i • Do not use a jack that is leaking fluid. • The jack set-up shall be stable before lifting the load. 4.8 Power Washers • Electric power washers shall not be used unless GFCI-protected. • Gasoline-, diesel- or propane-powered engines shall not be used inside building structures because of the exhaust emissions they generate. The emissions can accumulate and cause health issues. Where such engines are required by Contractors, they must first receive Wheelabrator authorization before beginning use. • Housekeeping is a continuous effort; Contractors are required to keep work areas clean and orderly. - 11 - 5.0 Electrical Safety 5.1 Electrical • The Control Room issues Lockout or Tagout permits for electrical work. • Do not leave exposed conductors. • Only"Qualified"persons knowledgeable in the construction and operation of electric power generation and transmission equipment and the associated hazards may work on exposed energized lines or equipment operating at 50 volts or more. • Keep areas in front of electrical panels clear for at least 36 inches. • All electrical distribution panels, breakers, disconnects, switches, and junction box doors and covers shall be kept closed unless work requiring the doors or covers to be open is in progress. • Use only non-conductive (such as plastic-cased) flashlights around.electrical lines and equipment. • Do not alter safety features of any electrical equipment. • Use only 3-wire industrial extension cords rated for the work environment conditions. All extension cords must be in good condition. Spliced extension cords are not permitted. • All cord- and plug-connected equipment must be either double insulated or equipped with ground fault circuit interrupters (GFCls). • Avoid placing extension cords or welding leads in contact with wet areas; avoid creatingtri hazards p za ds (e.g., string overhead where appropriate); avoid doorways and travel areas. • Do not use wire to support welding leads. • High voltage and live line work must be coordinated with the Control Room and local power utility. 6.0 Vehicle and Equipment Operation 6.1 Mobile Equipment • Contractors are not permitted to use any Wheelabrator equipment unless and until such equipment has been specified in the On-Site Declaration. If Contractor's employees use Wheelabrator equipment, Contractor shall be responsible for training such employees to properly operate such equipment, and ensuring that such employees are familiar with all operating and safety procedures associated with the equipment. • Only qualified personnel shall operate equipment. • Reverse alarms shall be operable on all equipment. - 12 - • All equipment shall be operated at a safe speed and as designated by the facility. • No employees shall be exposed to "pinch point" locations. • No persons are pennitted to ride on the outside of vehicles. • No mobile equipment is permitted on the site without a restraining device (e.g., seatbelt). Seatbelts must be used at all times while operating equipment. 6.2 Excavations • All excavations shall be covered or barricaded to restrict access. • Excavated materials must be placed or stored at least 2 feet from the excavation and be safely sloped. • Shoring is required for trenches over 5 feet deep. 6.3 Hoisting and Rigging • Good rigging practices are to be used; no unstable loads are permitted. • Clear communication between the signalman and the operator must be maintained. If visual contact cannot be maintained, continuous radio communications shall be required. If continuous communications cannot be maintained; stop operations until the communications are re-establislied. Only the designated signal person shall direct movement and give signals. • Walking under loads is prohibited. • Never put yourself in pinch point positions, such as between moving and stationary objects—particularly when hoisting materials or working around mobile equipment. • No persons are permitted iii the boiler during large/heavy lifts. These include, but are not limited to: water wall and superheater partial and full pendants. Dutchmen are not considered heavy:lifts. • The practice of allowing persons to be inside the.furnace during rigging operations working under the bullnose(i:e.,ram feeder) is not permitted during these heaving lifting operations. • When two or more hoisting 111achines are lifting the same load, only one designated signal person will direct the movements. The operator shall acknowledge an emergency stop signal from anyone. The operator shall stop the lift if a signal is not understood. • "Tag lines" must be used to control large loads. • Only those slings and chains that have been inspected and are free from defects shall be used at a facility. • All hoist and rigging, lifting chains and slings must have visible load rating tags. - 13 - • Never attach rigging or any lifting device to a stairway or platform railing (such as handrails/guardrails) for purposes of lifting or supporting a load. • Do not allow the load to exceed the rated capacity of any individual component. • Do not expose nylon slings to sharp edges or hot materials. • Chain falls and come-a-.longs must have a functional safety latch. • Contractors are not permitted to use Wheelabrator hoisting or rigging equipment unless and until the equipment has been specified in the On-Site Declaration. - 14 - i ' r " 7.0 Maintenance Activities: Hot Work 7.1 Hot Work-Fire Safety •� A Hot Work Permit is required for all jobs involving welding, cutting,heating, grinding, open flames, high temperatures, or other activities that generate sparks except for those jobs occurring in areas that have been designated by the facility as non-permit areas. A Hot Work Permit must be posted on the job. • Obtain Hot Work Pennits.from the Control Room. When the work is completed, return the permit to the Control Room. • All combustible material shall be'reinoved from the 35-foot radius of the Hot Work area. Do not allow solvents or other flarninable material in areas where Hot Work is being performed. • Grate surfaces or openings which could allow cutting and welding sparks or spatter to drop onto lower levels shall be covered with tire-resistant material. Where not feasible, red-tape off the area:or use a fire watch. • Persons performing fire watch duties:shall: i Know and understand die.communication method to be used for reporting a fire — Not perforin.other tasks that will interfere with the primary duty to monitor fires When necessary, warn others of Hot Work.activities and prevent unauthorized entry Remain at the Hot Work area for at least 1 hour after work is complete unless specified by the hot work permit — Have fire extinguishing equipment capable of extinguishing a Hot Work- generated fire and shall.be.available within 10 seconds of unobstructed travel time from the Hot Work • Cylinders must be used upright and secure at all times. Cylinder sling/cradle is required for hoisting. • Spare cylinders.of oxygen and acetylene, when not used within a 24-hour period, shall be stored separately at least.20 feet apart or by a non-combustible barrier at least 5 feet high having a fire-resistance rating of at least 1/2 hour. • All grating and floor openings must be covered to prevent hot slag from falling to the floors below, • All stored cylinders shall be secured with caps on. • Smoking is permitted only in designated areas. - 15 - + 1 � 7.2 Welding • Do not weld without a Hot Work Permit. • It is the Contractor's responsibility to prevent hot slag or sparks from contacting persons or equipment. • Unless cylinder carts are equipped with a 5-foot high separating plate specifically engineered to meet a 1/2 hour fire-resistance rating and prevent the spread of fire, remove regulators and cap cylinders and return them to storage if torch sets are to remain idle for periods greater than 24 hours. • DO NOT use torch sets unless combination reverse-flow check valves/flashback arrestors are installed on BOTH fuel gas and oxygen lines at the torch AND regulators. 8.0 Emergency Response 8.1 Communications In the event of an emergency, medical or otherwise, the Contractor is to contact the Control Room using the plant phone or paging system. In general, Contractors should not call 911 using a personal cellular phone. 8.2 Emergency Evacuations • The general emergency alarm will be sounded for all emergencies,requiring evacuation. When this alarm sounds, leave the facility immediately. • If an emergency alarm sounds, know your escape route. Do not use the elevator. • Use stairwells and follow the exit signs. • The primary assembly point for any evacuation is at the administrative building parking lot, unless otherwise instructed. Each facility has a secondary evacuation assembly point. When the primary assembly point cannot be used, the facility will instruct the Contractor where to meet. 9.0 Environmental • Leaks or spills to the ground are not permitted. If you observe a leak or spill of any quantity,.immediately notify the Control Room. • All temporary fuel and chemical storage tanks shall have a means of secondary containment. • Never release chemicals, oils, fuels, solvents, etc. into plant drains, sinks or sewers. • No hazardous waste is to be generated unless permitted by the Contractor's contract with Wheelabrator. • Do not dispose of waste generated on-site onto the Tipping Floor unless disposal has been previously approved by facility management - 16 - • When performing work that uses liquid chemicals or oil within 20 feet of drains, install temporary drain covers. 0 Clean tools and equipment of ash inside the plant structure before leaving property. • Notify plant management before undertaking any work on equipment that might release ash to the environment (e.g., conveyors, air pollution control equipment). This includes any outdoor work where ash could be released as fugitive dust or released to the ground (including release as a wastewater or wash water component). 0 Immediately notify Wheelabrator management:if in the course of your work, ash is released to the ground.or causes visible dust emissions. • Maintenance Contractors must not dispose of ash or otherwise remove ash from the plant site. 0 Used boiler tubes, used conveyor parts and other used egiiprnent partially coated with ash must be stored indoors or if stored outdoors, must be placed on pallets and covered to prevent ash dispersion and stormwater contact. • If outdoors, ash containers must be covered and be leak-tight (e.g., roll-off bones, bins, wash tanks, etc.). i i I - 17 - i r � 10.0 California-Specific Requirements The provisions of this Section 10 only apply=to services provided by Contractor at Wheelabrator.facilities located in the State of California. 10.1 California Proposition 65 Notification California Proposition 65 provides for the identification of chemicals known to the State of California to cause birth defects or other reproductive harm. Detectable amounts of one or more of these chemicals are found in or around Wheelabrator's California facilities. 10.2 Extremely Hazardous Substances The following chemicals have been determined by the State of California to be extremely hazardous substances: • Anhydrous Ammonia • Cryogenic Liquid Nitrogen • Sulfiiric Acid • Asbestos 10.2.1 Anhydrous Ammonia • Wheelabrator Shasta Energy Company uses the Extremely Hazardous Substance— Anhydrous Ammonia in its air pollution control system. • Anhydrous ammonia is stored in a tank located south of the No. 2 precipitator. • If any person smells ammonia, leave your work area and head up wind. The wind direction can be determined from the windsocks located around the facility. Do not attempt to locate the leak. Wheelabrator Shasta employees have been trained to work with ammonia. • Wheelabrator Shasta Energy Company has developed a "Process Safety Management Program for Anhydrous Ammonia" is available for your review at the facility. 10.2.2 Cryogenic Liquid Nitrogen • Wheelabrator Shasta Energy Company uses the Extremely Hazardous Substance— Cryogenic Liquid Nitrogen in its air pollution control equipment. • Cryogenic Liquid Nitrogen is stored in a tank adjacent to the west side of the No. 3 precipitator. 10.2.3 Sulfuric Acid • Wheelabrator Lassen Inc. uses the Extremely Hazardous Substance—Sulfuric Acid for use in its water treatment system. • Sulfuric Acid is stored in a tank on the north side of the Alternate Steam Host (ASH) building. 10.2.4 Asbestos Notification The Wheelabrator Lassen Inc. site contains Asbestos-Containing Materials as defined in the General Industry Safety Orders 8CCR5280 and Construction Safety Orders 8CCR1529. Do not disturb items identified as: "Danger Asbestos Cancer and Lung Disease Hazard" 10.3 Hazardous Materials Business Plan A copy of the hazardous Material Business.Plans required by California Health and Safety Code Sections 25500 et.seg. are available for review at the facility. 10.4 Injury & Illness Prevention Program (IIPP) A copy of the lniury& illness Prevention Program Manual as required by SB 198 and Labor Code 6401.7 is available at the facility. Contractors shall maintain their IIPP Manual and accompanying Safe Work Procedures on the job site at all times. The contractor shall have these available for review by CAL-OSHA representatives. 10.5 Crane Operation The contractor shall maintain with them at all times while on-site the ' crane's annual j quadrennial certificates.
