If an Application for Payment is received by the Architect after the application date fixed above, payment shall be made by the Owner not later than Fifteen (15) days after the Architect receives the Application for Payment. 12.1.4 With each Application for Payment, the Contractor shall submit the cost control information required in Section 5.2.5 along with payrolls, petty cash accounts, receipted invoices or invoices with check vouchers attached and any other evidence required by the Owner or Architect to demonstrate that cash disbursements already made by the 11 Contractor on account of the Cost of the Work equal or exceed (1) progress payments already received by the Contractor; less (2) that portion of those payments attributable to the Contractor's Fee; plus (3) payrolls for the period covered by the present Application for Payment. 12.1.5 Applications for Payment shall show the Cost of the Work actually incurred by the Contractor through the end of the period covered by the Application for Payment and for which the Contractor has made or intends to make actual payment prior to the next Application for Payment. 12.1.6 Subject to other provisions of the Contract Documents, the amount of each progress payment shall be computed as follows: 12.1.6.1 Take the Cost of the Work as described in Article 7; 12.1.6.2 Add the Contractor's Fee, less retainage of Fourteen percent (14%). The Contractor's Fee shall be computed upon the Cost of the Work described in the preceding Section 12.1.6.1 at the rate stated in Section 5.1.1; or if the Contractor's Fee is stated as a fixed sum in that Section, and amount which bears the same ratio to that fixed -sum Fee as the Cost of the Work bears to a reasonable estimate of the probable Cost of the Work upon its completion; 12.1.6.3 Subtract retainage of Five percent (5%) from that portion of the Work that the Contract self -performs; 12.1.6.4 Subtract the aggregate of previous payments made by the Owner; 12.1.6.5 Subtract the shortfall, if any, indicated by the Contractor in the documentation required by Section 12.1. or resulting from errors subsequently discovered by the Owner's auditors in such documentation; and 12.1.6.6 Subtract amounts, if any, for which the Architect has withheld or withdrawn a Certificate for Payment as provided in the Contract Documents. 12.1.7 The Owner and Contractor shall agree upon (1) a mutually acceptable procedure for review and approval of payments to Subcontractors and (2) the percentage of retainage held on Subcontracts, and the Contractor shall execute subcontracts in accordance with those agreements. 12 12.1.8 In taking action on the Contractor's Applications for Payment, the Architect shall be entitled to rely on the accuracy and completeness of the information furnished by the Contractor and shall not be deemed to represent that the Architect has made a detailed examination, audit or arithmetic verification of the documentation submitted in accordance with Section 12.1.4 or other supporting data; that the Architect has made exhaustive or continuous on-site inspections; or that the Architect has made examinations to ascertain how or for what purposes the Contractor has used amounts previously paid on account of the Contract. Such examinations, audits and verifications, if required by the Owner, will be performed by the Owner's auditors acting in the sole interest of the Owner. 12.2 Final Payment 12.2.1 Final payment, constituting the entire unpaid balance of the Contract Sum, shall be made by the Owner to the Contractor when 12.2.1.1 the Contractor has fully performed the Contract except for the Contractor's responsibility to correct Work, as provided in Section 12.2.2 of AIA Document A201-2007, and to satisfy other requirements, if any, which extend beyond final payment. 12.2.1.2 the Contractor has submitted a final accounting for the Cost of the Work and final Application for Payment; and 12.2.1.3 a final Certificate for Payment has been issued by the Architect. 12.2.2 The Owner's auditors will review and report in writing on the Contractor's final accounting within 30 days after delivery of the final accounting to the Architect by the Contractor. Based upon such Cost of the Work as the Owner's auditors report to be substantiated by the Contractor's final accounting, and provided the conditions of Section 12.2.1 have been met, the Architect will, within seven days after receipt of written report of the Owner's auditors, either issue to the Owner a final Certificate for Payment with a copy to the Contractor or notify the Contractor and Owner in writing of the Architect's reasons for withholding a certificate as provided in Section 9.5.1 of AIA Document A201-2007. The time periods stated in this Section 12.2.2 supersede those stated in Section 9.4.1 of AIA Document A201-2007. The Architect is not responsible for verifying the accuracy of the Contractor's final accounting. 12.2.3 If the Owner's auditors report the Cost of Work as substantiated by the Contractor's final accounting to be less than claimed by the Contractor, the Contractor shall be entitled to request mediation of the disputed amount without seeking an initial decision pursuant to Section 15.2 of A201-2007. A request for mediation shall be made by the 13 Contractor within 30 days after the Contractor's receipt of a copy of the Architect's final Certificate for Payment. Failure to request mediation within this 30 day period shall result in the substantiated amount reported by the Owner's auditors becoming binding on the Contractor. Pending a final resolution of the disputed amount, the Owner shall pay the Contractor the amount certified in the Architect's final Certificate for Payment. 12.2.4 The Owner's final payment to the Contractor shall be made no later than 30 days after the issuance of the Architect's final Certificate for Payment, or as follows: 12.2.5 If, subsequent to final payment and at the Owner's request, the Contractor incurs costs described in Article 7 and not excluded by Article 8 to correct defective or nonconforming Work, the Owner shall reimburse the Contractor such costs and the Contractor's Fee applicable thereto on the same basis as if such costs had been incurred prior to final payment. Pursuant to this statute, an employee is defined as "...every person in the service of another under any contract of hire, express or implied, oral or written." An employer is defined as "an individual, partnership, association, corporation or other legal entity, or any two or more of the foregoing engaged in a joint enterprise, and including the legal representatives of a deceased employer, or the receiver or trustee of an individual, partnership, association or other legal entity, employing employees. However the owner of a dwelling house having not more than three apartments and who resides therein, or the occupant of the dwelling house of another who employs persons to do maintenance, construction or repair work on such dwelling house or on the grounds or building appurtenant thereto shall not because of such employment be deemed to be an employer." MGL chapter 152, §25C(6) also states that "every state or local licensing agency shall withhold the issuance or renewal of a license or permit to operate a business or to construct buildings in the commonwealth for any applicant who has not produced acceptable evidence of compliance with the insurance coverage required." Additionally, MGL chapter 152, §25C(7) states "Neither the commonwealth nor any of its political subdivisions shall enter into any contract for the performance of public work until acceptable evidence of compliance with the insurance requirements of this chapter have been presented to the contracting authority." Applicants Please fill out the workers' compensation affidavit completely, by checking the boxes that apply to your situation and, if necessary, supply sub-contractor(s) name(s), address(es) and phone number(s) along with their certificate(s) of insurance. Limited Liability Companies (LLC) or Limited Liability Partnerships (LLP) with no employees other than the members or partners, are not required to carry workers' compensation insurance. If an LLC or LLP does have employees, a policy is required. Be advised that this affidavit may be submitted to the Department of Industrial Accidents for confirmation of insurance coverage. Also be sure to sign and date the affidavit. The affidavit should be returned to the city or town that the application for the permit or license is being requested, not the Department of Industrial Accidents. Should you have any questions regarding the law or if you are required to obtain a workers' compensation policy, please call the Department at the number listed below. Self-insured companies should enter their self-insurance license number on the appropriate line. City or Town Officials Please be sure that the affidavit is complete and printed legibly. The Department has provided a space at the bottom of the affidavit for you to fill out in the event the Office of Investigations has to contact you regarding the applicant. Please be sure to fill in the permit/license number which will be used as a reference number. In addition, an applicant that must submit multiple permit/license applications in any given year, need only submit one affidavit indicating current policy information (if necessary) and under "Job Site Address" the applicant should write "all locations in (city or town)." A copy of the affidavit that has been officially stamped or marked by the city or town may be provided to the applicant as proof that a valid affidavit is on file for future permits or licenses. A new affidavit must be filled out each year. Where a home owner or citizen is obtaining a license or permit not related to any business or commercial venture (i.e. a dog license or permit to burn leaves etc.) said person is NOT required to complete this affidavit. The Office of Investigations would like to thank you in advance for your cooperation and should you have any questions, please do not hesitate to give us a call. We do not use any chemicals in our manufacturing process, we only occasionally use chemicals in a test environment and in a very limited quantity. We do have two safety cabinets that have chemicals shown in the MSDS sheets. We make a product that adds dissolved ozone to tap water. Our process only uses electricity, and the water itself. Tap water however is not the same everywhere and we often wonder how our product is performing in another town in the country. Therefore we use those chemicals to make special recipes of water to mimic water from other parts of the country to help test our products. So, if we need to adjust the pH we will use an acid or a base. If we need to add an ion we will purchase a salt of the ion and add it to the water. About once every two months we will make a batch of special water that may include one or more ingredients from our chemical cabinet so that we can mimic tap water in another region. Typically we buy the smallest quantity of these things and one bottle will last us for forever. Many years ago our product used a different electrode material, at that time those other electrodes would suffer titanium embrittlement after thousands of hours of use. We did construct one test to accelerate the embrittlement using dilute sulfuric acid. The experiment is long over but we do still have 9 one liter bottles of sulfuric acid in our special acid cabinet, other than that I think every other chemical we have is one bottle per chemical. As I said before we have two cabinets, each are rated for chemicals, acids and corrosives, both have lipped floors to contain spills. All the chemicals would fit into one cabinet but for extra safety we keep the acids by themselves and the one bottle of base and the ions in separate cabinets in case there were two simultaneous spills inside. In truth we rarely do any chemistry and only myself and two of my engineers are authorized to do the chemistry. Typically we will use a pipet to grab literally one ml of an acid or base and slowly add it to 100 liters of tap water while we monitor the pH until it adjusts from 8 down to 7 or 8 up to 9. Because our target water is still within the range of potable water (but from another part of the country) our final chemistry is actually safe to spill or even drink. We are only just trying to mimic the hardness in the Midwest or the higher acidity in Denver or the high pH found even in Wilmington MA. We're just using municipal water from North Andover to make a model quantity of water from another town in the US. I hope this adequately explains things. Best Regards, Jeff Booth Jeff Booth.
