THE WORK, STANDARDS AND CHANGES. NSL will perform or cause its subcontractors to perform the Work in a good and workmanlike manner, using new materials of good quality, in accordance with prudent industry standards and practices. NSL shall not make any changes in the Work other than those described in the Attachment, unless agreed to in writing by the Owner. 2. TIME FOR PERFORMANCE NSL shall perform or shall cause its subcontractors to perform the Work diligently,without unnecessary delays or interruptions and in a timely manner until completed. NSL or its subcontractors shall use reasonable efforts to start and complete the Work according to the timing described in the Attachment. 4. INSURANCE AND LICENSING. NSL represents and warrants to the Owner that NSL or its subcontractors performing the Work shall be licensed as required by applicable law and shall hold insurance coverage required by law and normally maintained by prudent contractors in NSL's field, including, but not limited to,workmen's compensation for all employees who will perform the work. NSL is registered as a home improvement contractor and construction supervisor with the Commonwealth of Massachusetts Office of Consumer Affairs and Business Regulation, 10 Park Plaza,Suite 5170, Boston, MA 02116. NSL's registration number is 162111. 5. DEPOSIT; NONREFUNDABLE UPON DESIGN DELIVERY 5.1. Owner shall pay a deposit in the amount shown in the Payment Certificate upon signing this Agreement. 5.2. If Owner provides and delivers NSL a completed Notice of Cancellation within three(3) business days after the date of this Agreement,NSL shall refund and return the Deposit in full to the Owner not later than 10 days after its receipt of such Notice of Cancellation. 5.3.THE DEPOSIT SHALL BECOME NONREFUNDABLE UPON NSL'S DELIVERY TO THE OWNER OF THE FINAL DESIGN FOR THE SYSTEM.Owner realizes that NSL will spend time and money evaluating the Property, designing the System and preparing for the Work. 4/10/2014 7:25.PM SPR335-M16-IVD3200-DC1600-IR-4000-CCO-RN-TN-Green Sky 2 of 12 i Sue and Steve Hansen SOLAR PHOTOVOLTAIC SYSTEM PURCHASE AND INSTALLATION AGREEMENT 6. PURCHASE PRICE; PAYMENT SCHEDULE 6.1.The total price for the Work,after applying a reduction under Section 7, below, if any, is $37,719-20 (the"Purchase Price").The Purchase Price includes the Deposit and includes any and all sales taxes and any other taxes and charges imposed upon the Work. 6.2 Owner shall pay the Purchase Price in four payments as shown in the"Payment Certificate" Any late payment will incur a late fee("Late Fee")equal to the lower of(a) 1.5%of the amount due under each Payment more than 10 days past due and (b)the maximum rate permitted by applicable law. The Late Fee is an administrative charge to compensate NSL for costs we incur as a result of late payments by Owner. It is not an interest or finance charge. If Owner disputes any payment,Owner must pay the full amount due and notify NSL of Owner dispute. If an Owner dispute is resolved in Owner's favor, NSL will refund the relevant amount within 30 days after resolution of the dispute. REDUCTION TO PURCHASE PRICE EQUAL TO REBATE; ASSIGNMENT OF REBATE In certain circumstances,where it is beneficial to the Owner to secure financing,the Owner may agree to assign to NSL the right to receive and retain the rebate in consideration of a reduction to the Total Price equal to the amount of the rebate. By signing in the space below in this paragraph,the Owner hereby irrevocably assigns to NSL the right to receive and retain such rebate and NSL hereby provides in exchange a reduction in the Purchase Price equal to $4,000 In the event NSL is to receive the rebate,the Owner agrees to provide all required support to receive the rebate. TAX CREDITS, REBATES AND SRECS As between NSL and the Owner,Owner shall be entitled to receive and to claim any and all rebates, solar renewable energy certificates("SRECs"),state and federal income tax credits, net metering credits and any other benefits associated with Owner's ownership and use of the System (collectively, "Benefits"). NSL shallwi h Owner rovide p e t such documentation and information that, in its experience, is likely to be required in order for the Owner to apply for and receive such Benefits. Owner shall have the sole responsibility of making any application for any such Benefits. Except as described in Section 7, above, if applicable,the Purchase Price has not been adjusted to include the value of any such Benefits and Owner is obligated to pay the entirety of the Purchase Price whether or not it is eligible for or ultimately receives any value from the Benefits. In all cases,Owner agrees to consult with the relevant governmental officials and Owner's professional tax preparer when evaluating Owner's eligibility for and the financial and tax consequences of receiving Benefits.The Attachment includes a summary and estimate of the Benefits which may be applicable to the System, plus the estimated net cost to Owner after application of such financial incentives,contingent in each case upon the Owner receiving or being eligible to receive such Benefits. 4/10/2014 7:25 PM SPR335-M16-IVD3200-DC1600-IR-4000-CCO-RN-TN-Green Sky 4 of 12 I Sue and Steve Hansen SOLAR PHOTOVOLTAIC SYSTEM PURCHASE AND INSTALLATION AGREEMENT 9. OWNER CANCELLATION RIGHTS In addition to the Owner's rights under applicable law,as indicated on the Notice of Cancellation attached to this Agreement, Owner shall have the right to cancel and terminate this Agreement in full by delivery written notice to NSL at any time before the day that is twenty(20)days after NSL's delivery of the final design for the System. If Owner cancels and terminates this Agreement under this paragraph, not later than ten (10)days after its receipt of Owner's cancellation notice, NSL shall refund the full amount of Owner's payments made under this Agreement minus a cancellation fee in the amount of Two Thousand Dollars($2,000)(the"Cancellation Fee").The Cancellation Fee is not a penalty but constitutes liquidated damages to compensate NSL for the amount of its losses in the event Owner cancels this Agreement,such actual amounts being difficult to predict, but which are likely to include the costs of preparing this Agreement, reviewing the Property,designing the System and making arrangements an preparations for performance of the Work. Owner: 10. WARRANTEES 10.1. Five Year Workmanship Warrantee. NSL warrants that the System will be free from defects in workmanship and materials. If Owner notifies NSL in writing of a breakdown or degradation in electrical output of more than 10%from the original rated electrical output at any time before the date that is five years from the date Owner makes its final payment under this Agreement, NSL will repair or replace,at its option,and at its sole expense and at no cost to Owner,any defects in workmanship and materials provided by NSL or its subcontractors. Note that NSL's warranty covers the Equipment for five years; manufacturer warrantees on the Equipment are covered under the paragraph immediately below. 10.2. Equipment Warrantees.The manufacturers of the Equipment provide warrantees to cover the Equipment. NSL will make best efforts to protect any property of the Owner,but it is the Owner's responsibility to remove or protect any personal property including the home itself. 11.4. NSL will not be responsible for damages to or losses of the above mentioned personal property not properly protected prior to the commencement of NSL's obligations under this Agreement. 12. CONTRACTOR ARBITRATION The Home Improvement Contractor Law provides homeowners with the right to initiate an arbitration action (as an alternative to court action) if they have a dispute with a contractor.The same right is not automatically afforded to a contractor, however.The contractor would have to resolve any dispute he/she has with a homeowner in court unless both parties agree to the optional clause provided below.This clause would give the contractor the same right to arbitration as is afforded to the homeowner by the Home Improvement Contractor Law. 'i Gravity Loading: Although the addition of solar panels results in a net reduction in the overall loading,the existing rafters are overstressed.As such,recommend that every other rafter on each side of the ridge board and with a horizontal projected span of ten(10)feet or more be sistered with a No.2 construction grade 2 x 6 for the full length of the rafter.The new 2 x 6 shall be connected to the existing rafter with (2)two rows of 16d face nails or Ledgerlock screw equivalents at 12"on center staggered at 6"on center for the full length. The panels will be installed using Unirac Solar Mount rails with L-brackets in a portrait configuration with a rail toward the top and bottom of each panel edge.The L-brackets will be fastened directly to the roof ' rafters with 5/16"diameter lag screws.The fastener layout shall start near each corner and for portrait orientation shall have a maximum spacing of 56"on center parallel to the roof slope and 32"on center perpendicular to the slope(e.g.,every other rafter).
