The intent of the Contract Documents is to include all items necessary for the proper execution and completion of the work by the Contractor. The Contract Documents are complimentary, and what is required by one shall be as binding as if required by all. Performance by the Contractor shall be consistent with the Contract Documents. 1.2 The Contract Documents shall not be construed to create a contractual relationship of any kind between the Owner and the subcontractor or between any persons or entities other than the Owner and Contractor. 1.3 The term"Work"means the construction and services required by the Contract Documents,whether completed or partially completed, and includes any and all other labor,materials,equipment and services to be provided by Contractor to fulfill the Contractor's obligations. Article 2. SCOPE OF WO RK 2.1 The Owner agrees to purchase and the Contractor agrees 0 construct a sem. single f 1 dwelling on the property located at 2$ �eagiea 2.2 (the"Project")in accordance with the Contract Documents. Notwithstanding anything to the contrary contained herein, Contractor's Work shall not include item shown as Owner on exhibit A see Exhibit A for items excluded from this contract Article 3 TIME OF COMPLETION 3.1 The date of Substantial Completion of the Work,or any portion thereof is the date certified by the Contractor when construction is sufficiently complete, in accordance with the Contract Documents, so the Owner can utilize the work or designated portion thereof for the use for which it is intended, as expressed in the Contract Documents. The date of Substantial Completion of the entire Project shall be the date a Certificate of Pae 1 of 14 �C Page Occupancy is issued. The Commencement Date for the Work shall be _14 days from the issuance of a building permit of the Project]. 3.2 Time limits stated in the Contract Documents are of the essence of this Contract. 3.3 The Contractor anticipates that the entire Project shall be Substantially Completed by no later than_11/15/08, subject to adjustments and extensions as set forth herein. Article 4. THE CONTRACT PRICE i 4.1 The purchase price of the Project shall be set at the sum of $124,173.00 allocated according to the payment schedule , attached hereto as Exhibit B, and subject to additions and allowances which are enumerated on the specifications attached hereto as Exhibit A. 4.2 The Owner agrees to pay the Contract Price to the Contractor in current funds in accordance with the Payment Schedule attached hereto as Exhibit B. Article 5. PROGRESS PAYMENTS 5.1 The Owner will make payments to the Contractor according to the payment schedule attached hereto as Exhibit B. Upon the date of Substantial Completion of the Project, Owner shall make the final payment, constituting the entire unpaid balance of the Contract Price,to the Contractor. 5.2 If payment is not received by the Contractor within 14 days after a payment is due pursuant to the Payment Schedule and written notice thereof, Contractor shall have the right to stop work and/or terminate this Contract as its option. Termination by Contractor under the provisions of this paragraph shall not relieve the Owner of the obligations of payments to Contractor for that part of the work performed prior to such termination. Contractor may also charge interest,of 12% annually for amounts due but unpaid for more than 14 days thereof. Article 6. DUTIES OF THE CONTRACTOR 6.1 Completion of all work in a good and workman like manner, and in compliance with all applicable national, state and local building codes and laws. 6.2 Performance of all work by individuals competent to perform the work for which they were hired ar}c licensed if required by law or regulation. Page 2 of 14 �� 6.3 Contractor shall be responsible for obtaining the building permit for the Project. All other permits and approvals necessary for the work to be completed shall be the responsibility of the Owner. 6.4 Removal of all construction debris and maintenance of the project site in a safe condition. 6.5 Upon request at the time of payment, execution of a lien waiver or release form for all work performed and materials purchased to date. 6.6 The Contractor shall supervise and direct the work,using the Contractor's best skills and attention. The Contractor shall be solely responsible for and have control over construction means,methods,techniques, sequences and procedures, safety precautions and procedures,and for coordinating all portions of the work 6.7 Unless Contract Documents give other specific instructions concerning these matters,the Contractor shall provide and pay for all labor,materials, equipment,tools, construction equipment and machinery,transportation and other facilities and services necessary for the proper execution for the proper execution and completion of the work as outlined on the Contract Documents. 6.8 The Contractor shall enforce strict discipline and good order among the Contractor's employees, subcontractors,material men and other persons assisting in carrying out the work. 6.9 The Contractor warrants to the Owner that materials and equipment s Agreement will be of good quality and that the work furnished under tlu g q ty will conform with the requirements of the Contract Documents. Contractor shall execute a warranty in the form attached hereto as Exhibit E upon receipt of payment and full of the Contract Price. Article 9. CHANGE ORDERS 9.1 The cost of all extras and change orders not included as part of the agreed upon Contract Price pursuant to the Contract Documents shall be paid in full by Owner to Contractor at the time of acceptance of the change order. A Change Order shall mean any change to the plans and/or specifications subsequent to execution of this Contract. All change orders shall be in writing and executed by both Owner and Contractor. Owner acknowledges that certain change orders require additional construction time due to the nature of work required by such change order. If a change order will not only expand the scope of work,but will also cause a specific time delay,Contractor shall note the number of days the closing will be delayed due to such work on the change order.A 15%fee shall be added to Contractor's actual costs,to all change orders and overages in excess of initial allowance. Additional time needed to complete change orders shall be added to the project completion date. 9.2 Any delays or changes in finish selection schedules may delay the projected completion date. 9.3 Contractor reserves the right to make changes to the Project and/or to make deviations from the plans or specifications as become necessary in the Contractor's sole opinion by site,job,or governmental conditions or availability of materials so long as Contractor uses materials of substantially equivalent quality and appearance and provided same do not materially alter the use or character of the Project. Determination of equivalency will be in Contractor's sole opinion. Article 10. INSURANCE 10.1 The Owner will keep in force a Builder's Risk Insurance Policy on the said property to protect both Owner's and Contractor's interests until construction is completed. 10.2 The Owner will purchase and maintain property insurance to the full and insurable value of the project,in case of afire,vandalism,malicious mischief or other instances that may occur. Page 5 of 14 �" 15.1 Should either the Owner or Contractor fail to perform under this Agreement, including any and all of its provisions,the following options and stipulations shall apply: 15.1.1 The non-defaulting parry may declare the Contract in default and proceed against the defaulting party for the recovery of all damages incurred as a result of said breach of contract,including reasonable attorney's fees. 15.1.2.The non-defaulting party may state his intention to comply with the Contract and proceed for specific performance. 15.1.3 In the case of a defaulting Owner,the Contractor may accept, at its option, a payment of money to cover the expenses for work complete to date. The Contractor may make claim to the Owner for all work executed and for proven loss with respect to equipment materials,tools,construction equipment and machinery, including reasonable overhead,profit and damages applicable to the Project,not exceeding 115%of Contractor's actual costs. Article 16. ACCEPTANCE 16.1 Upon Substantial Completion,the Project shall be inspected by the Owner and the Contractor, and any repairs necessary to comply with the Contract Documents shall be made by the Contractor. Article 17. MISCELLANEOUS PROVISIONS 17.1 This Contract constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements or undertakings. 17.2 This Contract may not be modified except by the written agreement of the parties.
