This Proposal pertains to services provided by AJC Properties, LLC d.b.a: AJC Roofing. 2. This Proposal is offered until date shown on face of contract. As necessary, any subsequent proposals will depend on the availability of supplies and personnel, time being of the essence. 3. In the event of a default, interest shall accrue from the date of default at the lesser of a rate of 1.5% per month (18% PER ANNUM) or the maximum allowed by law, with a minimum charge of five dollars ($5.00) per month. Customer agrees to pay all necessary costs, expenses, legal fees and amounts due if this account is tendered for collection. 8. AJC Roofing warrants its roofing systems to be free from leaks or defects for the duration of workmanship coverage of see Warranty section of contract. AJC Roofing assumes liability for repair of any installation workmanship defects causing leakage. Homeowner agrees to hold AJC Roofing harmless for any interior or exterior damage, to include environmental damage including "mold", resulting from water leakage. AJC Roofing shall have no liability beyond repair of said roof. Roofing material is warranted by the manufacturer under a separate warranty which is issued to the customer upon payment in full. 9. Except as found on the face of this proposal, replacement of roof boots, ventilators, decking, fascia boards, flashing or other materials is not covered by the terms of this proposal. If it is determined in the course of performance that such work is necessary, we will notify the owner(s) of the work to be performed and the additional costs of such work. Additional costs shall be the responsibility of the owner(s). 10. The owner(s) understand that during installation of fiberglass shingles, the shingles may not immediately lie completely flat until the shingles have relaxed. This condition becomes more prevalent the heavier the fiberglass shingle and in colder weather. 11. During the application of the roof system, vibration from the roof may be transmitted throughout the building. The owner(s) assumes responsibility for all damage. The owner(s) is responsible for protecting deck/patio furniture or other objects in and around the property from damage before and or during the application of the roof system. 12. We assume no responsibility for damage due to high speed winds, tornados, hurricanes, fire or other hazards absent a mutual written agreement executed by the parties. Any such agreement must be executed by an officer of AJC Roofing. 13. AJC Roofing is considerate of the owner(s) gardening, flower beds and landscaping, but due to the nature of roof system -installation, some damage may occur. We attempt to minimize any damage, and will not be held responsible if any damage occurs. 14. Owner(s) shall not walk under work area while roof work is in progress, construction are a dangerous area to persons) on ground from falling debris. 15. In the event that AJC Roofing removes a satellite dish from said roof in order to complete work, the owner(s) shall be solely responsible for hiring a qualified technician to re-install/align such equipment. Any cost arising from such work shall be the sole responsibility of the owner(s). 16. Owner(s) agree to keep roof free of foreign debris and objects that could have an adverse affect on the roofing system performance, including but not limited to snow and ice dams. 17. AJC Roofing will attempt to minimize any damage to siding during removal of old roof system. Asphalt shingles may scuff or mark siding and AJC Roofing will not be responsible for damage. 18. It is the responsibility of the owner(s) to notify AJC Roofing within seventy- two (72) hours of the discovery of a leak. It is the responsibility of the customer to take reasonable and immediate action to avoid further damage. 19. Proper installation of the roof system may require replacement of existing flashing. During such replacement, siding adjacent to this flashing which has deteriorated may crack, break or tear. AJC Roofing is committed to providing doing the job right and will make every reasonable effort to avoid damage, but will not be held responsible for any consequential damage to siding. 20. With regard to completed repair work, AJC Roofing shall have no warranty liability except for roof area(s) where AJC Roofing performed repair work, as agreed upon in this contract. 21. AJC Roofing, contractor(s) and material distributor(s) shall require driveway access or other reasonable access to work area with heavy materials and equipment. AJC Roofing will not be responsible for subsequent damage to homeowner's driveway, curbs or other areas damaged by contractor(s), material distributors and dumpster companies or the like. 22. After acceptance of this Proposal, any cancellation by the owner(s), except as stipulated under provision #33, shall require the customer to pay AJC Roofing fifteen percent (151%) of this Proposal as liquidated damages for time and effort invested by AJC Roofing prior to cancellation. 23. If material(s) are delivered and must be restocked or reordered due to owner(s) cancellation, a return fee equal to twenty percent (20%) of the material cost(s) will be due no later than ten (10) days after contract cancellation. The fee is charged by the roofing material distributor and is in addition to the cancellation fee imposed by AJC Roofing as described above. 24. Acceptance of this Proposal cannot be withdrawn after AJC Roofing personnel appear on site ready to perform except by mutual written agreement of the parties. 25. AJC Roofing will send a representative to inspect and investigate any reported leak. More than on inspection may be necessary to isolate the cause. It is the responsibility of the owner(s) to provide acceptable times and dates for such inspections and access. 26. Each provision of this proposal is separate and independent. The validity or non -enforceability of one provision shale have no effect remaining provisions. 27. Roofing can cause dust, debris, and small particles from the roof installation to enter the building and attic. Use caution the first time the attic access is used and do not look up the access hatch immediately after opening as small particles may filter down. AJC Roofing is not responsible for dust, debris and small particles within the house structure. 28. AJC Roofing shall not be liable for preexisting structural/cosmetic deficiencies. We will make an effort to in inform the owner(s) of any deficiency of which we become aware. We are not responsible for conducting an inspection for any such deficiencies. The installation of the new roof system intensify the appearance of any deficiency. AJC Roofing is not responsible for solving preexisting structural/cosmetic deficiencies or the appearance of those deficiencies. 29. AJC Roofing installs leak barrier material according to NRCA, manufacturer, local, state and national building codes to help reduce the risk of leaks caused by ice dams. Due to environmental and or home owner property conditions, AJC Roofing is not responsible for preventing the formation of or damage caused by ice dams. . 30. AJC Roofing is not responsible for electrical accessories attached to the roof system. This should be done by a licensed electrician. 31. AJC Roofing is not responsible for the dumpster company delivery and pickup schedule. 32. AJC Roofing workmanship coverage is not assignable or transferable. 33. Three day right of rescission. Owner(s) must advise our office of any cancellation in writing, postmarked no later than three (3) business days from date the contract is accepted and signed by owner(s) DISPUTE SETTLEMENT/ABRITRATION AGREEMENT Arbitration of disputes. Upon the request of any party, made before or after the institution of any legal proceeding, any dispute, claim, or controversy of any kind (whether in contract or in tort statutory or common law, legal or equitable) arising between the parties in any way out of pertaining to or in connection with this Agreement ("Dispute") shall be resolved by binding arbitration. Any arbitration hereunder shall be conducted in accordance with the terms of this Agreement and, to the extent not inconsistent, with the Commercial Arbitration Rules of the American Arbitration Association and (to the maximum extent applicable) the Federal Arbitration Act. Judgment upon the award rendered the arbitrators may be entered in any court having jurisdiction. All statutes of limitation that would otherwise be applicable shall apply to any arbitration proceeding. With respect to a Dispute in which the claim or amount in controversy does not exceed $300,000 a single arbitrator (who shall have authority to render a maximum award of $300,000 including all damages of any kind and costs, fees, and the like) shall be chosen and shall decide the Dispute. With respect to a Dispute in which the claim or amount in controversy exceeds $300,000 the Dispute shall be decided by a majority vote of three arbitrators. The arbitrator chosen must have expertise in the matters in controversy. Arbitration proceedings hereunder shall be conducted in Nashua, New Hampshire. The arbitrators may grant any remedy or relief that the arbitrators deem just and equitable and within the scope of this Agreement. The arbitrators may also grant such ancillary relief as is necessary to make effective the award. In all arbitration proceedings, the arbitrator shall make specific, written findings of fact and conclusion of law. To the maximum extend practicable, an arbitration proceeding hereunder shall be concluded within 180 days of filing of the Dispute with the American Arbitration Association. To the extent permitted by applicable law, the arbitrator shall have the power to award recovery of all costs and fees, (including, without limitations, reasonable attorney's fees, administrative fees, and arbitrators fees) to the prevailing party. Arbitrators shall be empowered to impose sanctions and to take such actions as the arbitrators deem to be necessary to the same extend a judge could pursuant to the Federal Rules of Civil Procedure, the New Hampshire Rules of Civil Procedures and applicable law. The provisions of this Sections shall survive any termination, amendment or expiration of this Agreement unless the parties otherwise expressly agree in writing. CONFIDENTIALITY All parties agree to keep complaints or disputes regarding all issues relating to or arising as a result of this contract as well as the work performed or to be performed between the respective parties and their legal council. Parties may share judgment and/or credit information with credit bureaus, collection agents and court(s) with appropriate jurisdiction. Parties may not share or report information, complaints or disputes with any other companies or organizations. Any breach of this provision may make parties liable for monetary damages to the offended party and parties agree that said damages are to be liquated damage in the amount of $2,500.00
