Together, Property Otwn r and Provider are referred to herein individually as a "Party" and, collectively, as the "Panics." Property Owner manages certain property located at the Property identified on Exhibit .A attached hereto ("Property"). Property Owner desires to engage Provider to provide certain services to Property Owner, and Provider is willing to furnish the same ort the terms and conditions set forth herein In consideration of the mutual promises of the Parties contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, hereby agree as follows: I SERVICES Subject to the terms and conditions orchis Agreement. Provider willprovide to Property Owner the services (the "Services" as more fully described in Section 2.4 below) that are ordered by Property Owner in a jointly -agreed work order (the "Addendum"). Property Owner agrees that Provider is responsible for perfonning only the lacks that are specifically set forth in h jointly -agreed Addendum. It DEFINITIONS 2.1 "Canfirlerttia! /irfrrnation" means any information of any kind, nature, or description concerning any uultlers affecting or relating to Provider's services for Propelly Owner, lite bu9inos9 or oporalion9 of Property Owner and ilc a(7iliate9, inronnatiou concerning arty of the letiants, residents or invitees of Property Owner, employees of Property Owner or its alfiliates, and/or the pralucts, drawings, plans, processes, or other data of Property Owner or its affiliates. 2.2 "F_Jfec ive Dale" shall mean the date that the Addendum has specified as the Eflective Date. 2.3 , I;eu„ shall mean all of the fees, taxes, expenses, charges, incidental expenses described in and payable under the Addendum, collectively- All Pees payable hereunder are payable solely in United States dollars. 2.4 ".Services„ shall mean work performed by Provider for Property Owner pursuant to the Addendum or under this Agreement. 77re schedule !nr the Services shill be agreed upon by the Parties. 11lis Services Agreement is not an exclusive dealings contract; Properly Owner may purchase services similar or identical to the Services being provided hereunder from other service providers. III INVOICING. PAYN,IENT AND T:VCES 3.1 lit voicing The Fees for the Services shall be set forth in the applicable Addendum. Unless otherwise agreed by the Parties, Provider agrees to invoice ("Invoice') Property Owner for the Services, and provide a copy of all Invoices to such address or addresses as Apartment Investment and h1anagement Company ("AIMCO") or Property Owner may provide in the Addendum (which may be changed by IUMCO at -,lily time) pr otherwise; within thirty (30) calendar days after the provision thereof 3.2 1'gl•ment for Services Unless olherwise agreed by the Parties, Property Owner shall remit payment to Provider as specified in the Addendum; provided, however, Property Owner shall not be obligated to pay any portion of an Invoice which it disputes in goon taitft and submits to arbitration pursuant. to Section 8.13 or this Services Agreement. AI\fC0 (or an affiliate thereof) shall have the right, but not the obligation, to make a payment owed by the Property Owner hereunder, prodded, however, nothing contained herein shall result in any liability of AIMCO or its affiliates, and no such payment shall create or constitute a course of dealing or course of conduct by At MCO or its aRiliates, . and Provider hereby waives any such claim. In the event that AUMCO has notified Provider of its intention to make a payment due hereunder and such payment is not made, Property Owner shall remain fully liable for such payments. Property Owner may take a 2% discount from the invoice price for payment made within 20 days of receipt of invoice, otherwise, net payment is to be tendered Within 30 days. 3.3 Tares Provider shall be solely responsible for all taxes with respect to any compensation due hereunder or under flue Addendum for any Services provided hereunder. Upon termination, the sole liability and obligation of Property Owner is for Property Owner to pay for such Services provider" by Provider prior to the e(recti�e (late of termination; provided, however, Property Owner may offset any damages incurred by it against such amounts owed to Provider and Provider shall remain liable to Property Owner for any damages caused by Provider's dClaldt- 4.2 Terrnination for Breach Either Party shall have the right to terminate this Agreement, as the case may be, if the other Party fails to cure any material breach of the Addendum or this Agr-ement within ten (10) calendar days of receiving written notice of such breach (such time period is referred to herein as the "Cure Period"). Consent to extend the Cure Period shall not tie unreasonably withheld, so long as the breaching Party has commenced the cure of the breach during the Cure Period and pursues cure of the breach in good faith. Provider acknowledges and agrees that its sole recourse of any breach by Property Owner shall be lite assets of Property Owner, provided, however, that nothing contained herein grants Provider any lien or similar rights with respect to the applicable property or other assets of Property Owner. 4.3 Effect of Tennutation Upon termination, the sole liability and obligation of Property Owner is for Property Owner to pay for such Services provided by Provider prior to the ellective date of termination; provided, however, Property Owner may offset any damages incurred by it against such amounts owed to Provider and Provider shall remain liable to Property Owner for any damages caused by Provider's default The provisions of this Agreement which, by their reasonable terns, are intended to survive termination of this .Agreement shall survive (including indemnification and confidentiality provisions). Page 1 of 10 Master Service Agreement over $10k version 2.0 March 2009 V) SERVICES AGREEMENT V COVENANTS AND WARRANTIES 5.1 Covenants Provider cotenants and warrants to Properly Owner that: (a) the Services shall he performed consistent with generally accepted industry standards by adequately trained and competent personnel, in a professional manner, utilizing suflicient and suitable equipnnent, with quality supplies, materials, in I manner so as to minimize annoyance, interference or disruption to tenants, occupants or invitees of the Propetly, and in accordance with the terms and conditions of this Agreement and the Addendum: (b) if the Services include [lie provision of products, such products shall he free of defects, lit for their intended use, conform to the specifications, terms and conditions set forth in this Agreement and the Addendum, free ofany liens and conveyed with Seoul title; (c) Provider shall comply with all applicable federal, state and local laws, ordinances, regulations and orders (collectivuly, "Gtw•s") its well as with all rides anti regulations promulgated by Property Owner with respect to entry onto the Property, and shall promptly nolify Property Owner ofany violation or potential violation ofthe law's; (d) Provider shall, prior to conuucncing any work hcrcunder or tinder the Addendum, obtain and maintain throughout the Term all approvals, licenses and/or permits required by any law or governmental agency, board or olhcrjurisdiction; (o) upon complolion ofthc Scrvicere, Provider shall (i) utxwn Properly Owner's request, restore the Property to its original condition, (ii) leave the Properly cleat and free of all tools, equipment, waste materials and debris; and (iii) he liable for the cost of any utilities left on by Provider or its contractors, subcontractors or ngcnls after completing the Services and for any cost associated with Provider's noncompliance with this subsection (c); (f) Providcr shall he responsible for damage to or theft of real or personal properly of Property Owner or tenants located al the Properly caused by Provider's employees, contractors or agents; (g) where requested by Property Owner, Provider shall provide reports to Property Owner regarding the provision of Services; (h) Provider shall not infringe on any trademark, copyright, patent or other intellectual property right utilized in providing the Services; (i) Provider shall maintain insurance that is customarily maintained by others in the industry, but in no event shall Provider have primary insurance in an amount less than the following_ For usual and customary activities the following requirements apply. Activities for which the following requirements do not apply include.higher risk services_ Sonne examples of higher risk services include asbestos abatement, phase Il environmental testing, moving and storage, and professional services performed by architects, engineers, or accourLartts. Workers compensation insurance as required by law, commercial general liability, including contractual liability, insurance on an occurrence basis in an amount of not less than $1,000,000.00, automobile liability insurance on an occurrence basis in an amount of not less than $1,000,000.00, and excess liability (umbrella coverage) in an amount of not less than $1,000,000.00 on an occurrence basis and an amount of not less than Si,000,OQO.00 in the aggregate. Upon commencement of this Agreement, Provider shall cause the insurer issuing such policies to issue a certificate to AIAfCO'conftrming that such policies have been issued and are un fill force and effect, and give 30 days prior written notice to AINfCO of cancellation or non -renewal. In addition, Provider shall provide AI1%4C0 with written notice as soon as it becomes aware of a material change in any policy. AIMCO, and AI\ICO's subsidiaries and affiliates that may directly or indirectly own or manage any property or properties at or for which Provider performs any work., shall be named as an additional insured on the general liability and automobile liability coverage. 0) neither Provider nor its employees, agents or contractors shall cause or permit to he caused anv llazardotis Substances (defined below) to he located for whatever reason on the Property. "hazardous Substances" means (a) any chemicals, materials or substances defined as or included in the definition of -hazardous substances," `-hazardous .castes," "hazardous materials," 'extremely hazardous wastes," "restricted hazardous wastes," "toxic substances," "toxic pollutants,,' "contaminants" or "pollutants," or words of similar import, under any applicable Environmental Law-, and (b) any other chemical, material or substance, exposure to which is prohibited, limited or regulated by any governmental authority, "Environmental Law" means any federal, state or local statute, law, elle, regulation, ordinance, code, policy or rte of contnnon law now or hereafter in effect and in each case as amended, and any judicial or administrative interpretation thereof including any judicial or administrative order. consent decree orjudgnncnt, relating to the environment, health, safety or hazardous Substances, including without limitation the Comprehensive Environmental Response, Compensation and Liability Act of 1950, as annentled, 42 U.S.C. § 9601, ct seq.; the Hazardous Materials Transportation Act, as antended, 49 U.S.C. app. § 1 S01, et seq.; the Resource Conservation anti Recovery Act, as amended, 42 U.S.C. § 6901, el seq.; the Federal Water Pollution Control Act, as amended, 33 U.S.C. § 1251, ct seq.; the Toxic Substances Control Act, 15 U.S.C.§ 2601, et seq.; the Clean Air Act, 42 U.S.C. § 7401, ct seq.; and the Safe Drinking Water Act, 42 U.S.C. § 300f, et seq.; . All delivery, shipnnunt, freight and other similar charges shall he the sole responsibility of Provider. Provider shall ship all orders in (lull, except where Property Owner has given its prior approval to receive partial orders. Provider nnay not substitute products without the prior writicn approval of Properly owner, in Property Owners' sole discretion. Tintc shall he of the essence with respect to this Agreement and the addendum. If Provider fails to deliver on time, Property Owner meaty purchase replacements from a third party and Provider shall be liable for the actual and reasonable costs and damages incurred by Property Owner. 5.2 Warranties (a) Provider has not and will not disclaim any implied or express warranties. (b) Property Owner shall not he required to inspect or approve any of the Services or products; the failure of Property Owner to discover defects or deficiencies therein shall not constitute an acceptance of ;my defective or deficient Service or product, and shall not relieve Providcr of its responsibilities pursuant to this Agreement. if any products supplied do not conform to those warranted, Provider shall timely substitute conforming products; provided, that, if Provider is required to produce and supply conforming products as a result ora breach of this warranty, Property Owner shall not be responsible for any costs or fees associated therewith. VI OWNERSHIP OF MATERIALS Property Owner shall have all right, title and interest in and to all information and work product, including but not limited to all inventions, original works of authorship, developments, - concepts, know -hone, discoveries, improvements, trade secrets, secret processes, patents, patent applications, service marks, trademarks, trademark applications, copyright and copyright registrations, whether or not patentable or registerable under copyright, trademark or other similar laws, acquired, gathered, developed, made or conceived by Provider, in whole or in part, alone or with others, as a result of providing Services hereunder (the "Works"). The Works shall be deemed to be "works made for hire" under United States copyright law (17 U.S.C, Page 2 of 10 Master Service Agreement over $10k version 2.0 March 2009 SERVICES AGREEMENT Section tot et seq.) and made in the course of this Agreement To the extent such Works may mol, by operation of law, vest in Property Ohhner or such works may not be considered to be works made for hire, all tight, title and interest therein are hereby in-evocably assigned to Property Owner. Prohidet understands that Property Onner may register the cop)tiglht, trademark, patent and othor rights in the Works in Property O%aiar's nama. Provider ages not to use the Works for the benefit of anyone other than Property O\tlaer, without Property Owner's prior written permission. VII RE\IL'DIES, DA\[AGES AND INDE\INIFIC_\TION 7.1 Cumulative Remedies Property Owner's rights and remedies herein shall be cumulative and in addition to any other or further rights and remedies available at law or equity. 7.2 Dama�es Except with respect to indenmification provided in Section 7.3 below, each Patty waives the right to special, indirect, consequential and punitive damages, including lost profits. Notwithstanding anything to the contrary, in no event shall Property Owner be liable for damages or losses in excess of the actual amount payable by Property Oh\ner to Provider for the supply of a particular Scrvicc actually provided hereunder. 7.3 htrletnniffcation Provider shall indemnify, hold harmless and, if requested by Property Owner in its sole and absolute diSCr'elinn, defend (with counsel approved by Property Owner) Property Owner, its employees, agents, principals and stocklholders (lie "Indemnified Parties") and hold them harmless against any loss, liability, deficiency, damage, expense or cost (including reasonable legal expenses), actually incutTCd or paid (collectively, "Losses), which Ilse Indemnified Parties may suffer, sustain -or become subject to, as a result of (i) any misrepresentation in any of the representations and warranties of Provider contained herein or in ilia Addendum; (ii) any breach of, or failure to perform, any agreement or covenant of Provider contained herein or in ilia Addendum; (iii) Provider's negligence or misconduct; or (iv) Provider's violation of, or noncompliance with any J_:aw. 74 Waiver Provider hereby waives any and all claims against the Indemnified Parties fear any Losses incurred by reason of or arising out of any injury to or death of any person(s), damage to property, loss of use of any properly, violation of Law, or otherwise in connection will, the condition of the Property or any facilities therein, any event or occurrence on or about the Property or the acts or omission of any person, except with respect to the gross negligence or willful misconduct of an Indemnified Party. Vlif C ENERAL 8.1 Aonelisrlosrtre Property Owner may disclose to Provider Confidential Information; however, Provider agrees that it will not use the Confidential information for purposes other than those necessary to directly further the purposes of this Agreement Except as otherwise expressly permitted in this Agreement, Provider will not disclose to third parties the Confidential Lhformation without the prior written consent of Property Owner. Provider shall protect the Confidential Information from unauthorized disclosure or use with the same degree of care that Provider uses to protect its own like information. Provider shall notify its receiving employees, agents and contractors of their confidentiality obligations with respect to the Confidential Information of Property Owner and shall require its employees, agents and contractors to comply with these obligations. Other than as to information related to Fees due under this Agreement, which shall ternunale two (2) years after the termination or expiration of this Agreement, ilia confidentiality obligations of ProtidCr and its employees, agents and contractors shall survive indefinitely after the termination or expiration of this Agreement Provider acknowledges that its breach of this Section 8.1 may cause irreparable injury to Propetty Owncr for nthich monetary damages may not be :in adequate remedy. Accordingly, Provider shall be entitled to seek injunctive or other equitable relief in the event of such a breach. 8.2 Retationship Between the Parties Ilia relationship between the Parties shall at all times be that of independent contractors. Nothing contained in this Agreement shall be construed to create a partnership, joint 'venture, agency or other form of joint enterprise relationship bchwecn the Parties. F tch Party shall be solely responsible for payment of all compensation owed to its employees, as well as employment related taxes. Neither Party shall have authority to contract for or bind the other Party in any m:mner whatsoever. This Agreement confers no rights upon either Party except those expressly granted herein. 8.3 Governirt, Lmrand,/rtrisdiction This Agreement, and all matters arising out of or relating to this Agreement, shall be governed by and construed in accordance with the laws of the State of Colorado and shall be (learned to be executed in Denver,.Colorado. Any legal action or proceeding relating to this Agreement shall lie adjudicated in the District Court of tae Counly of Denver, State of Colorado or the United Slates District Court for ilia Stale of Colorado. The fatties agree to submit to the exclusive jurisdiction of; and agree that venue is proper in, -the aforesaid courts in any such legal action or proceeding. 8.4 :Notices All nolieos, including notices of uddross otisngo, rrquirod to ho sent horoundor shall be in writing to Ilia address listed in the applicable Addelulunh, with a Copy to: Legal Departnhent AIMCO 4582 South Ulster Street Parkway, Suite 1100 Denver, CO 80237 Notices shall be delivered and shall he deemed received: (a) by hand delivery, upon receipt thereof; (b) by mail, seven (7) days after deposit in (lie United States mails, postage prepaid, sent via first-class mail; (c) by facsimile transmission, upon electronic confirmation thereof; (d) by next day delivery service, upon such delivery; or (c) by onhail. 8.5 Severability in the event that any provision of this Agreement is held to he illegal, invalid cw unaaforecahle, such provision si=ll he elimirLdod or eliminated to the minimum extent necessary so that the remaining provisions of this Agreement will remain in full force and effect and lie enforceable. 8.6 Waiver The waiver by either Party of any default or breach of this Agreement, or the failure by a Party to exercise any rights hereunder, shall not operate or be deemed a waiver of any otter or subsequent defmlt or breach or of such Party's rights or any other rights in the future. In the event ihat the Services involve the provision of any sollware, material, information or products that involve Intellectual Property, Provider represents that it has agrecnrents in place with its employces and independent contractors sullieient to convey all ownership in such work product to Properly Owner, and that Provider will, during the term of this Agrecment, including any renewal term, enter into agreements with its employees and independent contractors, sufficient to convey all ownership in such work product to Property Owvncr. b. If Provider refuses or Property Owner is unable for any reason to secure Provider's signature to execute any assignment or to apply for or to pursue any application of any United Slates or, Foreign patents, trademarks or copyright applications or registrations covering the Intellectual Property, then Provider hereby irrevocably designates and appoints Property Owner and its duly authorized managers, members, representatives and agents as the Provider's agent and attorney in fact, to act for and in the Provider's behalf and stead to execute and file any such applications and to do all other lawfully. permitted acts to further the protection and issuance of letters patent, or copyright registrations thereon with the same legal force and effect as if executed by Provider.
