Throughout this Agreement, the words "Company" "we", "us" and "our" mean Next Step Living, Inc., a Delaware corporation. The words "Customer" "you" and "your" refer to the person(s) whose names are listed above and whose signatures appear on this Agreement under the words "Customer". Installation of the Equipment; Attachments. These Attachments are attached to and made a part of this Agreement. Such services are defined as the "Services" and such equipment is defined as the "Equipment'. We will perform the Services and install the Equipment at your residence or place of business located at the address listed above (your "Property"). Schedule. We will perform our obligations under this Agreement in a timely manner, diligently and without undue delays or interruption. We anticipate that we will perform the Services and install the Equipment at your Property according to the schedule included on each Attachment. We intend to use commercially reasonable efforts to meet the anticipated schedule. However, the actual dates for completion of the Services and installation of the Equipment will be dependent on the availability of equipment, labor, acts of governmental entities and the acts of third parties. For that reason, we cannot guarantee that these dates will be met and undertake no liability for our failure to meet this anticipated schedule. Price. The full price for our Services and the Equipment under all Attachments will be: $29,430 (the "Full Price"). Each Attachment includes the price for our Services and the Equipment under each Attachment (the "Attachment Price"). The Full Price is the sum of the price for our Services and the Equipment listed on all of the Attachments. Sales Taxes. If any are imposed, you will be responsible for and will pay all sales taxes and other taxes and charges imposed upon our Services or the Equipment. Payments. You will make the following payments for our Services and the Equipment. These payments may be further described on each Attachment. (1) On the Signing date, a "Deposit" in the amount of $500 (2) On the Approval Date, an "Initial Payment" in the amount of jor 1/3 of the Full Price less the State or Town Rebate and signing deposit. (3) Upon Delivery of the Equipment identified under each Attachment, a "Delivery Payment" in the amount of IL141, or 1/3 of the Full Price less the State or Town Rebate for the Equipment that is delivered to your Property. Late Payments. Any late payment will incur a late fee ("Late Fee") equal to the lower of (a) 1.5% of the amount due under each Payment more than 10 days past due and (b) the maximum rate permitted by applicable law. The Late Fee is an administrative charge to compensate us for costs we incur as a result of late payments by you. It is not an interest or finance charge. If you dispute any Payment, you must pay the full amount due and notify us of your dispute. If your dispute is resolved in your favor, we will refund the relevant amount to you within 30 days after resolution of the dispute. Our Warrantees; Manufacturers' Warrantees. We will perform or cause our subcontractors to perform our obligations under this Agreement in a good and workmanlike manner, using new materials of good quality. We warrant that our Services and the Equipment will be free from defects in workmanship and materials. If you notify us at any time until the date that is (5) years after the date we receive the Final Payment in connection with the Services and the Equipment described in an Attachment, we will repair or replace, at our option, and at our sole expense and no cost to you, any defects in workmanship and materials provided by us or our subcontractors. If any period longer than the five (5) years referred to above is required under applicable law, such period will extend to the longer period required. Upon your payment of the Final Payment for an Attachment, to the extent assignable, we will assign to you any and all manufacturer warrantees covering the Equipment. Right to Access Your Property. You hereby grant to us, our subcontractors and other necessary third parties such as governmental entities providing grants, rebates and other forms of financial incentives available to the Services or the Equipment the right to access and to conduct such activities at your Property as may be required for us to perform our obligations under this Agreement. Permits. We will obtain, at our cost and expense, any permits, approvals or other authorizations necessary to install the Equipment and provide our Services (the 'Permits"), You agree to assist us in obtaining the Permits. If you secure your own permits, you will be excluded from the guaranty fund established under Massachusetts General Laws Chapter 142A. Transfer of Ownership and Risk of Loss. Ownership of, title to, and risk of loss and care, custody and control of all or any component of the Equipment shall pass to you upon substantial completion of the installation of equipment. Your Property. We are not responsible for maintaining or improving any part of your Property. You agree to undertake, at your cost. any structural alterations, or improvements or repairs to your Property that we reasonably advise you may be needed before the Equipment may be installed at your Property. We are not responsible for removal or disposal of any hazardous substances located on your Property. We are not responsible for improving or for the cost of improving any structures or strengthening the roof, walls, floors or other interior or exterior structures of your Property. We will not be required to remove or relocate any structure, vegetation or equipment located on your Property. We will not be required to repair or remove any structure damaged by rust, insect damage or mold or rot. All such costs, repairs and improvements will be your responsibility. If any of the foregoing are necessary before installation of the Equipment, you agree to arrange for such work at your sole cost. If you do not make such necessary improvements, repairs or removals, we may suspend performance of our obligations under this Agreement until such time as they are made or we may terminate this Agreement and refund to you all or a portion of the Down Payment. We will not be responsible for any damage to your Property as a consequence due to pre-existing conditions at your Property, including but not limited to cracked or broken drywall, old pipes and fittings, rotting wood, faulty electrical wiring, and etc. We reserve the right not to perform our obligations under this Agreement upon the discovery of asbestos, mold, or any other potential health risk. We will make reasonable efforts to protect your Property from damage. However, you agree to remove or protect, including dust protection, your Property and any personal property located in, on or near your Property. We will not be responsible for damages to or losses of the above mentioned property not properly protected prior to the commencement of our obligations under this Agreement. Permission to File in Public Records. You authorize us to file in such offices and locations as we determine necessary notices of contract and any mechanics liens that may be necessary for us to protect our rights to payments of the Full Price. - Cancellation Rights. You have the right to cancel this contract within three (3) business days after the Signing Date for any reason by giving written notice to us at the address on the first page of this Agreement. Within ten (10) days after our receipt of your written notice of cancellation, we will refund the Setup Fee to you in full by delivery of a check to your address listed on the first page of this Agreement. To exercise your right of cancellation, you may deliver a completed Notice of Cancellation using the form attached in duplicate to this Agreement. Entire Agreement. Governing Law. This Agreement shall be governed by, and interpreted and construed in accordance with, the laws of the Commonwealth of Massachusetts, excluding any choice of law rules that might direct the application of the laws of a different jurisdiction, irrespective of the places of execution or of the order in which signatures of the Parties are affixed or of the place of performance. Binding Arbitration. Our Representations and Warranties to you. We hereby represent and warrant to you that (a) we are a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware and registered to conduct business in The Commonwealth of Massachusetts; (b) our execution, delivery and performance of this Agreement have been duly authorized by all necessary company action; (c) this Agreement is our valid obligation and it is enforceable against us in accordance with its terms (except as may be limited by applicable bankruptcy, insolvency, reorganization, moratorium and other similar laws now or hereafter in effect relating to creditors' rights generally); and (d) we, or our employees, subcontractors or their employees will be validly licensed and that we or our subcontractors will have all insurance required by applicable law and normally maintained by prudent contractors in our field, including, but not limited to, workmen's compensation for all employees who will perform the Services and install the Equipment under this Agreement. Events of Default. The occurrence of any one or more of the following events with respect to one of the Parties (the "Defaulting Party") will be an event of default ("Event of Default") under this Agreement: (a) failure to pay any amount due and payable under this Agreement ("Payment Default"); (b) failure to substantially perform any other material obligation under this Agreement; (c) a representation or warranty of such Defaulting Party proves at any time to have been incorrect in any material respect when made and is material to the transactions contemplated hereby; or (d) such Party commences any voluntary proceeding under any bankruptcy or similar law, has an involuntary proceeding commenced against it under any bankruptcy or similar law. Remedies. On the occurrence of a Payment Default, the Party that is not the Defaulting Party (the "Non -Defaulting Party") may suspend performance of its obligations under this Agreement if such Payment Default is not cured by the Defaulting Party within 10 days following receipt of written notice of such Payment Default. On the occurrence of an Event of Default other than a Payment Default, the Non -Defaulting Party may pursue any remedy under this Agreement, at law or in equity, including an action for damages and termination of this Agreement, following the Defaulting Party's failure to cure the Event of Default within 30 days following receipt of written notice from the Non -Defaulting Party demanding such cure; provided, that such 30 day cure period will be extended if and to the extent reasonably necessary to cure the Event of Default. Subcontractor and Suppliers; Subcontractor's Liens. You agree to permit us to use subcontractors to perform our obligations under this Agreement. We will pay all charges from subcontractors and suppliers supplying goods or services with respect to the Equipment. Unless such liens are a result of your failure to pay us the amounts required under this Agreement, we will indemnify you for all costs resulting from any liens filed by subcontractors against your property. However, we reserve the right to contest any such lien. B4043645v1 Force Majeure Event Except as otherwise expressly provided to the contrary in this Agreement, if either Party is rendered wholly or partly unable to timely perform its obligations under this Agreement (other than a payment obligation) because of events which are beyond the affected Party's reasonable control and do not result from such Party's negligence (a "Force Majeure Event"), that Party will be excused from performing those obligations affected by the Force Majeure Event (but only to the extent so affected), provided that: (a) the affected Party gives the other Party prompt written notice fully describing the particulars of the occurrence; (b) the suspension of performance is of no greater scope and of no longer duration than is required by the Force Majeure Event; and (c) the affected Party uses all reasonable efforts to mitigate or remedy its inability to perform as soon as reasonably possible. Assignment. You may not assign this Agreement without our prior written consent, which consent may not be unreasonably withheld or delayed. We may, without your consent, (a) assign, mortgage, pledge or collaterally assign our interests in this Agreement to any lender or similar person providing financing for the Equipment or our business or affiliate's business, (b) assign this Agreement to our affiliate, or (c) assign this Agreement to any party succeeding all or substantially all of our assets. This Agreement is binding on and inures to the benefit of the successors and permitted assignees and may continue in full force and effect as an obligation of your estate upon your death or disability. Limitations of Liability. NEITHER WE NOR OUR EMPLOYEES, SUBCONTRACTORS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL LOSS OR DAMAGE OF ANY NATURE ARISING OUT OF THEIR PERFORMANCE OR NON-PERFORMANCE HEREUNDER. From a practical standpoint, the International Residential Code allows up to 2 roof coverings on a residential dwelling. Each layer of roofing imposes a net load of about 2.5 Ito 3.0 PSF on the roof. From this perspective, since the existing roof has only a single layer of shingles, a second layer is allowed to be added by the code without analysis. This 2nd layer of shingles essentially weighs the same as the proposed solar panels that will be added instead. ➢ Materials such as metal roofs or solar panels are considered a slippery surface. Since the solar panels are mounted slightly above the roof line, it would be conservative to consider a thermal factor, Ct of 1.1, treating the panel surface as a cold roof, rather than a warm roof. Based on the roof slope, the snow load is reduced by 27% on the main roof compared with the snow loading directly on the existing shingled roof surface. This reduction equates to approximately 7.47 PSF which essentially offsets the weight of the solar panels. Gravity Loading: Given the size, spacing and configuration of the existing roof framing, we have determined that the existing framing for the residence is adequate to support the additional loading from the solar -electric system, including the panels, and all connections without the need for any strengthening. It is our understanding that the panels will be installed using Zep racking with leveling feet at a spacing of approximately 34 inches on center (e.g., every other rafter). The leveling feet will be fastened directly into the existing joists with 5/16" diameter by 4" long lag screws. In addition, it is important that the leveling feet support locations be staggered between adjacent panels so that no single rafter supports more load than under the existing conditions. Wind Loading: Based on our calculations, the net wind loads imposed on the roof framing with an attachment spacing as indicated above will be less than the current loading on the rafters. In addition, provided that the leveling feet are attached to the roof in a typical staggered fashion, the overall wind loading imposed on the structure and the individual framing members will not be impacted to any great extent.
