THEREFORE, in consideration of the mutual promises set forth below, the parties agree as follows: 1. PROJECT MANAGER. Christopher Melville is an employee of Invaleon Technologies Corporation, and will act as the PROJECT MANAGER and representative for ITC. 2. PROJECT LOCATION: 531-533 Chickering Rd. North Andover, MA 01845 3. CONTRACT PRICE: $150,000.00 4. SOLAR SYSTEM SPECIFICATIONS. ITC will install an electricity grid -connected photovoltaic, solar power system with a total generating capacity rated at approximately 50.0 kW -DC (referred to as the "ENTIRE SYSTEM") located at the PROJECT LOCATION (the "SITE") The installation of the "ENTIRE SYSTEM" shall hereinafter be referred to as the "WORK"; specifically with major equipment listed in Attachment 1. Page 1 of 10 ()ntraieon sour Technologies 5. MANUFACTURER WARRANTY. The material provided by ITC is warranted by the manufacturers and each has different terms and conditions. ITC provides no additional warranty on the materials. Warranty claims may be submitted to ITC, who will act as agent for SYSTEM OWNER. 6. INSTALLER WARRANTY. Invaleon provides a 5 -year warranty against defective workmanship by Invaleon and its employees to the SYSTEM OWNER. 7. PLANS, SPECIFICATIONS AND CONSTRUCTION DOCUMENTS. The SYSTEM OWNER will make available to ITC all plans, specifications, drawings, blueprints, and similar construction documents necessary for ITC to provide the Services described herein. Any such materials shall remain the property of the SYSTEM OWNER. ITC will promptly return all such materials to the SYSTEM OWNER upon completion of the WORK. 8. REQUIRED PERMITS. The following building permits are required and will be secured by ITC as the SYSTEM OWNER's agent: • Building Permit; from The Town of North Andover • Permit to Perform Electrical Work from The Town of North Andover • Interconnection Approval from National Grid SYSTEM OWNER shall remain the sole proprietor of all permits, licenses, drawings, schematics, 1 -line & 3 -line diagrams, or any other pertinent documents and communications pertaining to the abovementioned permits and approvals. 9. PROPOSED START AND COMPLETION SCHEDULE. The following schedule will be adhered to unless circumstances beyond ITC`s control arise. • Start Date: 1/24%2017 • Completion Date: On or before 2 weeks from project start date Payments will be made according to the following schedule: 1. (35%) $52,500.00 upon execution of this TURNKEY CONTRACT or at time of loan closing if applicable. 2. (65%) $97,500.00 at Commissioning of the SYSTEM as defined by the Utility's Permission to Operate (PTO) 10. SUBCONTRACTORS. ITC will not subcontract any and all portions of this TURNKEY CONTRACT. Page 2 of 10 Onvaleon Solar 76chnolog(es 11. CHANGE ORDER. The SYSTEM OWNER and ITC may make changes to the scope of the work from time to time during the term of this TURNKEY CONTRACT. However, any such change or modification shall only be made in a written "CHANGE ORDER" which is signed and dated by both parties. Such CHANGE ORDER's shall become part of this TURNKEY CONTRACT. The SYSTEM OWNER agrees to pay any increase in the cost of the WORK as a result of any written, dated and signed CHANGE ORDER. In the event the cost of a CHANGE ORDER is not known at the time a CHANGE ORDER is executed, ITC shall estimate the cost thereof and the SYSTEM OWNER shall pay the actual cost whether or not this cost is in excess of the estimated cost. 12. CONFIDENTIALITY. ITC and its employees, agents, or representatives will not at any time or in any manner, either directly or indirectly, use for the personal benefit of ITC, or divulge, disclose, or communicate in any manner, any information that is proprietary to the SYSTEM OWNER. ITC and its employees, agents, and representatives will protect such information and treat it as strictly confidential. This provision will continue to be effective after the termination of this TURNKEY CONTRACT. Upon termination of this TURNKEY CONTRACT, ITC will return to the SYSTEM OWNER all records, notes, documentation and other items that were used, created, or controlled by ITC during the term of this TURNKEY CONTRACT. 14. FREE ACCESS TO WORKSITE. The SYSTEM OWNER will allow free access to work areas for workers and vehicles and will allow areas for the storage of materials and debris. Driveways will be kept clear for the movement of vehicles during work hours. ITC will make reasonable efforts to protect driveways, lawns, shrubs, and other vegetation. ITC also agrees to keep the SITE clean and orderly and to remove all debris as needed during the hours of work in order to maintain work conditions which do not cause health or safety hazards. 15. UTILITIES. The SYSTEM OWNER shall provide and maintain water and electrical service, connect permanent electrical service, gas service or oil service, whichever is applicable, and tanks and lines to the building constructed under this TURNKEY CONTRACT after an acceptable cover inspection has been completed, and prior to the installation of any inside wall cover. The SYSTEM OWNER shall permit ITC to use, at no cost, any electrical power and water use necessary to carry out and complete the work. 16. INSPECTION. The SYSTEM OWNER shall have the right to inspect all work performed under this TURNKEY CONTRACT. ITC will make reasonable efforts to protect driveways, lawns, shrubs, and other vegetation. ITC also agrees to keep the SITE clean and orderly and to remove all debris as needed during the hours of work in order to maintain work conditions which do not cause health or safety hazards. 15. UTILITIES. The SYSTEM OWNER shall provide and maintain water and electrical service, connect permanent electrical service, gas service or oil service, whichever is applicable, and tanks and lines to the building constructed under this TURNKEY CONTRACT after an. acceptable cover inspection has been completed, and prior to the installation of any inside wall cover. The SYSTEM OWNER shall permit ITC to use, at no cost, any electrical power and water use necessary to carry out and complete the work. 16. INSPECTION. The SYSTEM OWNER shall have the right to inspect all work performed under this TURNKEY CONTRACT. II. Scope of Work Structural Engineering Evaluations Our Scope of Work has been defined as the following engineering tasks defined herein: Task A — Preliminary Site Visit Invaleon Technologies conducted a site visit on December 10, 2017 to record data on the existing roof and building construction. During the site visit, we documented the structural framing of the building, measuring the steel joists, steel beams, and column. We also noted important in-situ conditions, such as loading from piping equipment and equipment supports hung from or supported by the roof structure, any damage or deteriorations to structural members, evidence of structural modifications or repairs, and any other condition that would influence the loading or capacity of the existing roof framing. Task B — Structural Analysis and Assessment Invaleon Technologies engineers conducted a structural analysis and assessment to determine the state of stress and deflection for all roof and other relevant structural members that will be affected by the proposed loading from the solar panel systems. This analysis used Allowable Stress Design procedures for the analysis of all structural members. Limitations This report is solely for use by either Invaleon Technologies or Chickering Properties, or Essex Realty Trust, expressly for their purposes in obtaining a Building Permit from the Town of North Andover, Massachusetts to erect the proposed solar panel arrays. The report relates only to the adequacy of the existing roofing and roof framing to carry the additional imposed loads of the proposed solar array. It is not to be used by any other party for any other purpose. The inspection of the existing structures is generally limited to visual observations. III. The roofing system under the proposed PV array consists of a White EPDM membrane on top of I" rigid insulation. The roof deck consists of corrugated metaUtin sheathing which span between open web steel joists which are spaced at 6 feet on center. The steel joists are supported by steel beams and load bearing CMU walls at exterior locations. The steel beams are supported by structural steel columns at interior locations and load bearing CMU pedestals at the exterior, which transfer all gravity loads to grade. The roof is slightly pitched to allow water to drain to interior deck drains. Conditions/Observations At the time of the inspection, it was sunny and was approximately 37 degrees centigrade. In the proposed areas to be used for solar panels, the roof framing appeared to be performing adequately with no signs of excessive deflection and no noticeable signs of leaking or drainage problems. The exterior of the building was inspection. There were not apparent signs of settlement found in the existing foundation. Design Criteria International Building Code, IBC 2009 as amended by Massachusetts State Building Code 780CMR, 8th edition. International Existing Building Code, IEBC 2009. American Concrete Institute ACI 318 American Institute of Steel Construction, AISC 13th edition The addition of the directly attached PV arrays on the existing building has been evaluated in accordance with the International Existing Building Code IEBC 2009 as amended by MBC 8a, edition. The conclusions of that evaluation are outlined below: - NEW CONSTRUCTION The design of the PV modules and associated mechanical anchorage on the existing roof is in accordance with IBC 2009, Chapter 16. EXISTING BUILDING EVALUATION PER IEBC 2009 Classification of the work The addition of the PV arrays on the roof is classified as "Alterations — Level 2" per section 404.1 "... installation of any additional equipment". The alteration has been evaluated per the "Work area compliance method" per section 101.5.2 of IEBC 2009. Section 707.4 "Existing Structural elements carrying gravity load" Alterations shall not reduce the capacity of the existing gravity load -carrying structural elements unless it is demonstrated that the elements have the capacity to carry the applicable design gravity loads required by the International Building Code. The exception to this rule is "Structural elements whose stress is not increased by more than 5 percent." The addition of the PV arrays on the roof increases the gravity load by more than 5 percent; therefore, additional analysis for gravity load is deemed necessary. Invaleon Technologies carried out an analysis of all relevant structural elements affected. The majority of the roof framing members were found to be adequate for the additional gravity load as well as the snow load per current code. The reserve capacity of structural members affected by the proposed installation of solar modules was calculated. Roof Loadings The existing dead loads for the roof were calculated based on the Weights of Building Materials Table in the ASD Manual, page 6-9 as well as reference data from specific manufacturers. Section 707.5 "Existing Structural elements resisting lateral loads" Any existing lateral load -resisting structural element whose demand capacity ratio with the alteration considered is no more than 10 percent greater than its demand capacity ratio with the alteration ignored shall be permitted to remain unaltered. The additional load from the proposed solar arrays is approximately 18,000 lbs. this addition increases the demand -capacity ratio by 4.7% of the existing load on the lateral load carrying structural elements, which is less than 10 percent; therefore, the existing building does not need to be altered for lateral loads. IV. Conclusion The structural steel beams of the original building were analyzed and found to have a reserve load for solar of 1 I psf. The structure was found to be adequate to support the additional weight of the PV array along with the snow load by code. Calculations were carried out and determined that the additional solar load applied to these joists is less than 5 percent of the design load, thus no analysis is needed.
