Homeowner will disperse funds to the Contractor to pay for subcontractors, permits and materials in three payments. Contractor shall submit invoices for labor bi-weekly and Homeowner agrees to pay such invoices within forty-hours of receipt of such invoices. Homeowner shall pay contractor the total sum of$89,181.06 uwess the parties agree otherwise in writing and such document is sig ed-by th parties. In exchange for said payment, Contractor agrees to perform'the work, furnish the materials and labor as specified on the first page above. The parties acknowledge that the total my change depending on out come of work. The first payment is due upon signing of this agreement. The second payment is due after a rough inspection. The parties acknowledge that the law requires that any deposit or down-payment required by the Contractor before work begins may not exceed the great of 9a) one-third of the total contract price or(b) the actual cost of any special equipment or custom made material which must be special ordered in advance to meet the completion schedule. The first two payments shall each be in the amount of$28,714.70. The third and final payment is due at the final inspection and shall be in the amount of the remaining balance. Both parties to this Agreement acknowledge that Massachusetts law forbids demanding full payment until the contracted work is completed to both parties' satisfaction. Contractor is solely responsible for dispersing the agreed upon amount for labor and materials in the contract and any amendments or revisions accordingly. WORK SCHEDULE Contractor will organize work schedule. The following schedule shall be adhered to unless circumstances beyond the contractor's control arise or the parties agree otherwise in writing. The expected date for the Contractor to begin scheduled work is February 26, 2007. The expected Ocompletion date for the project is May 26, 2007. Contractor will be responsible for ordering all necessary materials and obtaining all permits to complete the project as agreed upon by the parties. In the event of product damages, defects, or manufacturer's errors or delays, no more than 25%of the remaining balance to be withheld by Homeowner—remainder to be paid upon completion. A service charge at the rate of 1 '/2 % per month will be added to the entire account if not paid when due as specified above unless otherwise agreed in writing by the parties. All costs, disbursements and attorneys' fees made or incurred in collecting payment of this account shall be included and paid as part of the debt due hereunder. ACCEPTED: Date: Jennifer Schutzbank ? �_l Eric Schutzbank ADDITIONAL TERMS GENERAL PROVISIONS Homeowner agrees to promptly complete the necessary requirements to obtain financing (if homeowner is requesting financing)and to prepare the site for construction. There are no understandings or agreements between contractor and owner other than those set forth in this agreement and in the documents referred to herein. No other statement, representation or promise has been made to induce either party to enter into this agreement. This agreement and any documents referred to in any provision may not be modified or amended except by signed written agreement of the parties. PLANS Contractor shall construct the structure in conformance with the plans, specifications, and breakdown and binder receipt signed by contractor and owner, and will do so in a workmanlike manner. Contractor is not responsible for furnishing any improvements other than the structure, such as landscaping, grading, walkways, Painting, sewer or water systems, steps, driveways, patios and aprons, etc., unless they are specifically stated in the breakdown. PREPARATION Prior to the start of construction, owner shall provide a clear, accessible building site, properly excavated and correctly zoned for the structure. There must be an accessible parking location for construction trailer and not blocked during job. In the event contractor cannot obtain a building permit within thirty (30) days of the date of this agreement, contractor may declare the agreement of no further force or effect, but Homeowner shall have the right to extend that deadline for an additional thirty (30) days. Contractor shall use due diligence in obtaining all permits. SUBCONTRACTORS Contractor shall be responsible for all Subcontractor workmanship. Contractor will obtain all necessary insurance certificates from each Subcontractor working on the property. Contractor will adhere to local building codes, zoning regulations and all other applicable State and Federal regulations. HIDDEN CONDITIONS AND NECESSARY ADDITIONAL WORK Contractor promises to make best effort to avoid any hidden conditions and resulting price adjustments. If any hidden conditions are found, they may require adjustments in the overall price of the necessary work related to this Agreement and additional time for completion of this work. In such case, the Contractor shall inform the Homeowner of such conditions forthwith and, where necessary, a written amendment of this Agreement shall be negotiated and executed by the parties. WARRANTIES All warranties for equipment supplied by the Contractor under this Agreement shall be those given by the manufacturers of such equipment, which shall be and are hereby passed directly to Homeowner. Under such manufacturer's warranties, Homeowner may be required to register or mail in a warranty card or other such evidence of ownership and use of such equipment in order to activate such warranties. Homeowner's failure to mail in or register such documentation, which failure voids the manufacturer's warranty, shall not create any responsibility for the Contractor to warranty such equipment. In the event any defect in workmanship or materials, or damage caused by the Contractor, his subcontractors, employees, or agents is discovered within one year after completion of the project, including cleanup, the Contractor shall, at his own expense, forthwith remedy, repair, correct, replace or cause to be remedied, repaired or replaced, such damage or such defect in materials or workmanship. The foregoing warranties shall survive any inspection performed in connection with agreed-upon work. Any labor costs incurred after the one year warranty.period will be billed to the Owner at the prevailing rate. i PERMITS The Contractor, under provisions of Massachusetts General Laws, chapter 142A is required to apply for and obtain all construction related permits. Contractor shall not be deemed responsible for delays in the work described in this Agreement caused by regulatory, permit granting or inspectional agencies, authorities or individuals. If Homeowner obtains his own construction-related permits for the work described under this Agreement, the Homeowner is hereby advised that in the event of a dispute,judgment and non- payment by the Contractor, the Homeowner shall not be entitled to make a claim to or collect from the guaranty fund stabled by MGL, chapter 142A.. The following building permits are required: RESPONSIBILITY Contractor shall not be responsible for damages to persons or property occasioned by owner or his agents, third parties, acts of God or other causes beyond contractor's control. Notwithstanding the preceding sentence, Owner is responsible for acts of all his agents, subcontractors (and their agents or employees) and his employees. Owner shall hold contractor completely harmless from, and shall indemnify contractor for, all costs, damages, losses, and expenses, including judgments and attorneys fees, resulting from claims arising from causes enumerated in this paragraph. FORM INTENDED TO COMPLY WITH LAW The Contractor and Homeowner acknowledge that the form, substance, content and notices contained in this Agreement are intended to comply with the applicable portions of Massachusetts General Law's chapter 142A, and regulations promulgated hereunder. In the event of any instance of non-compliance, only such portion shall be invalid and the remainder of this Agreement shall be in full force and effect. In addition, any such portion not in compliance shall be read and interpreted so as to have its intended meaning to the maximum extent allowed under such law and applicable regulations. MODIFICATION This Agreement, including the provisions relating to price and payment schedule cannot be changed except by a written statement signed by both Contactor and Homeowner. Cancellation by Homeowner, however, is allowed in accordance with the notice of Cancellation (annexed). INSURANCE Contractor will be responsible to Homeowner or any third party for any property damage or bodily injury caused by himself, his employees or his subcontractors in the performance of, or as a result of, the work under this Agreement. Contractor agrees to carry insurance to cover such damage or injury. Contractor assumes no liability for damage to interior walls due to preexisting construction conditions or defects.
