HEBB CONSTRUCTION, INC. Construction Supervisory License 033217 This agreement is made on April 23, 2008 between FRANCIS A. HEBB CONSTRUCTION, INC. of P.O. BOX 379, LAKE SHORE ROAD, WEST BOXFORD, MA 01885 (978) 352-6123 hereinafter called "Contractor" and Paul Creamer/Nancy McCarthy, (Owner) of 675 Great Pond Road, North Andover, MA hereinafter called "Owner". I. DETAILED DESCRIPTION OF WORK TO BE PERFORMED Contractor agrees to perform in a good and workmanlike manner all work detailed below. Kitchen renovation as follows: • Demo kitchen cabinets and ceiling • Install new recessed can lights in ceiling and in soffit over island • Install new switches and electrical receptacle • Install new plumbing and two garbage disposals • Repair maple floors • Install new plaster ceiling • Install new kitchen cabinets • Install new trim on windows and refinish maple floor H. PRICE Contractor agrees to do all work described in Section I for the total price $34,110.00. III. PAYMENT Payment will be made as follows: $ 6,000.00 due upon completion of demolition work; $ 6,000.00 due upon completion of rough plumbing and electrical work; $12,000.00 due upon completion of plaster work and installation of cabinets; $ 8,000.00 due upon completion of finish trim, floor and stairs refinished; $ 2,110.00 due upon completion of project and any punch list items, which may result. Costs do not reflect any permits required or labor to obtain permits. As permit related costs are incurred they will be included in the next scheduled payment. If additional work is performed as part of this contract, it will be invoiced at such time that the work is completed. Notice: No agreement for contracting work shall require a down payment (advance deposits) of more than one-third of the total contract price or the total amount of all deposit or payments which the contractor must make, in advance, to order and/or otherwise obtain delivery of special order materials and equipment, whichever amount isrgreater. IV. COMMENCEMENT AND COMPLETION OF WORK Contractor will not begin the work or order the materials before the third day following the signing of this Agreement, unless specified here in writing. Contractor will begin the work on or about June 9, 2008. Barring the delay caused by circumstances beyond Contractor's control, the work will be completed by August 1, 2008. The Owner hereby acknowledges, and agrees that the scheduling dates are approximate and that such delays that are not avoidable by the Contractor shall not be considered as violations of this Agreement. V. INSURANCE Contractor will be responsible to Owner or any third party for any property damage or bodily injury caused by himself, his employees or his subcontracts in the performance of, or as a result of, the work under this Agreement. Contractor agrees to carry insurance to cover such damage or injury. VI. SUBCONTRACTING Contractor agrees that, notwithstanding any agreement for materials and/or labor between Contractor and a third party, Contractor is responsible to Owner for completion of all work described in a timely and workmanlike manner. VII. CONSTRUCTION RELATED PERMITS The following construction related permits will be necessary in order to complete the scope of work included in this Agreement: Building, Plumbing and Electrical Permits. The Contractor under provisions of Chapter 142A of the General Laws is required to apply for and obtain all construction related permits. The Contractor shall not be deemed responsible for delays in the work described in this Agreement caused by regulatory, permit granting or inspectional agencies, authorities or individuals. VIII. MODIFICATION This Agreement, including the provisions related to price (Section II) and payment schedule (Section 1I1) cannot be changed except by a written statement signed by both Contractor and Owner. IX. CONSTRUCTION CHANGE ORDER Construction change orders will consist of any change to the original scope of work, such as hidden conditions and changes requested by Owner. These conditions may require adjustment in the overall price and time frame to complete the necessary work related to this Agreement. In such case the Contractor shall inform the Owner of such conditions forthwith and when necessary a written amendment to this Agreement will be negotiated and executed by the Contractor and Owner. X. WARRANTIES The Contractor warrants that the work furnished hereunder shall be free from defects in materials and workmanship for a period of one year following completion and shall comply with the requirements of this. Agreement. In the event any defect in workmanship or materials, or damage caused by the Contractor, his subcontractors, employees or agents, is discovered within one year after completion of any job, including cleanup, the Contractor shall, at his own expense, forthwith remedy, repair, correct, replace, or cause to be remedied, repaired or replace such damage or such defect in materials or workmanship. The foregoing warranties shall survive any inspection performed in connection with the agreed upon work. All warranties for equipment supplied by the Contractor under this Agreement shall be those given by the manufacturers of such equipment, which shall be and are hereby passed through directly to the Owner. Under such manufacturers' warranties, the Owner may be required to register or mail in a warranty card or other evidence of workmanship and use of such equipment in order to activate such warranties. The Owner's failure to mail in or register such documentation, which failure voids the manufacturer's warranty, shall not create any responsibility for the Contractor to warranty such equipment. This warranty gives the Owner specific legal rights, and Owner may also have other rights which vary from state to state. Under Massachusetts law, sales of goods carry an implied warranty of mechantability and fitness for a particular purpose. XI. COMPLETENESS OF AGREEMENT FOR EXECUTION The Owner is hereby advised that he should not sign this Agreement unless and until all blank sections have been filled in or marked as void, deleted or not applicable, and until all exhibits and related or referenced documents that are incorporated herein are attached hereto. The standard form of warranty shall apply to the service and equipment famished (except where other warranties of purchased products apply). The warranty shall become effective when signed by the Seller and delivered to the Purchaser. The warranty is for one year materials and labor. 3. The Purchaser agrees to accept delivery of the product or products when ready. The risk of loss, as to damage or destruction, shall be upon the Purchaser upon the delivery and receipt of the product 4. The Purchaser understands that the products described are specially designed and custom built and that the Seller takes immediate steps upon execution of this Agreement to design, order and construct those items set forth herein; therefore, this Agreement is not subject to cancellation by the Purchaser for any reason. 5. No installation, plumbing, electrical, flooring, decorating or other construction work is to be provided unless specifically set forth herein. In the event the Seller is to perform the installation, it is understood that the price agreed upon herein does not include the possible expense entailed in coping with hidden or unknown contingencies found at the job site. In the event such contingencies arise and the Seller is required to furnish labor or materials or otherwise perform work not provided for or contemplated by the Seller, the actual costs plus ( 10 )% thereof will be paid for by the Purchaser. Contingencies include but are not limited to: inability to reuse existing water, vent, and waste pipes; air shafts, ducts, grilles, louvres and registers; the relocation of concealed pipes, risers, wiring or conduits, the presence of which cannot be determined until the work has started; or imperfections, rotting or decay in the structure or parts thereof necessitating replacement. 6. Title to the item sold pursuant to this Agreement shall not pass to the Purchaser until the full price as set forth in this Agreement is paid to the Seller. 7. Delays in payment shall be subject to interest charges of ( 10 )% per annum, and in no event higher than the interest rate provided by law. If Seller is required to engage the services of a collection agency or an attorney, the Purchaser agrees to reimburse the Seller for any reasonable amounts expended in order to collect the unpaid balance. 8. If any provision of this Agreement is declared invalid by any tribunal, the remaining provisions of the Agreement shall not be affected thereby. 9. This Agreement sets forth the entire transaction between the parties; any and all prior Agreements, warranties or representations made by either party are superseded by this Agreement. All changes in this Agreement shall be made by a separate document and executed with the same formalities. No agent of the Seller, unless authorized in writing by the Seller, has any authority to waive, alter, or enlarge this contract, or to make any new or substituted or different contracts, representations, or warranties.
