Contract Documents The Contract Documents are complimentary, and what is required by one shall be binding as if required by all. In event of any conflict of ambiguity within or between any specifications or drawings as to the quantity or quality of work or materials, the higher quality or greater quantity shall be furnished unless otherwise directed in writing by Owner. Without limiting the forgoing, in the event of any conflict with the drawings, speciEwAtions or outer matters outlmed in the Contractor's proposal and the final approved shop drawings and specifications, finished samples and full sized mark-up (if any) for the Work, the approved shop drawings and specifications, finished samples and mark- up (if any) shall control. 2. Payments The Contractor shall submit requisitions for Work rendered in accordance with the Contract The Contractor's requisitions shall be in such form and detail and with such supporting data (including current lien waivers and subordinations from Contractor and all subcontractors and suppliers) as the Owner may reasonably require to show the computational basis for all charges. Payment shall be due within thirty (30) days after the Owner receives a requisition satisfactory to Owner. In no event shall the Owner be liable for interest, penalties, expenses or attorney's fees. No payment made hereunder shall constitute or be construed as final acceptance or approval of that part of the Work to which such payment relates or relieve the Contractor of any of its obligations hereunder with respect thereto. 3. Labor Disputes Whenever an actual or potential labor dispute is delaying or threatens to delay the performance of the Work, the Contractor shall immediately notify the Owner in writing. Such notices shall include all relevant information concerning the dispute and its background. The Contractor shall cooperate with the Owner, to the extent practicable, to resolve and to minimize the disruptive effects of any labor dispute. 4. Claims Notwithstanding any provision hereof to the contrary or any course of dealing between Owner and Contractor, no claim by Contractor for any adjustment of the contract time or the contract sum shall be valid if such claim has not been made in writing within five (5) days after the occurrence of the event or circumstance giving rise to the claim. Any claim that is not made within said five (5) day period shall be irrevocably deemed to be waived. 5. Chances Notwithstanding any provision of any Contract Document to the contrary, no change in the Work, whether by way of alteration or addition to the Work, shall be the basis of any increase to the Contract Sum or extension of the Contract Time unless and until such alteration or addition has been authorized by a change order or construction change directive signed by Owner. Without limiting the foregoing, no change order or construction change directive increasing the contract sum or extending the contract time shall be binding upon Owner unless approved in writing by Owner. The foregoing requirements are of the essence of the Contract Documents. Accordingly, no course of conduct or dealings between the parties, nor express or implied acceptance of alterations or additions to the Work, and no claim that Owner has been unjustly enriched by any alteration or adjustments to the Work, whether or not in fact there is any such unjust enrichment, shall be the basis for any claim to an increase in the contract sum or extension of the contract time. b. Indemnification To the maximum extent permitted by law, the Contractor agrees to indemnify, defend and hold harmless the Owner from all suits, actions, claims, demands, damages, losses, expenses and costs, including attorneys' fees and court costs, of every kind and description, at law and in equity, which the Owner may incur or suffer resulting from, in connection with, or arising out of any of the Contractor's acts, errors or omissions, or any breach of any contractual duty to the Owner, by the Contractor, its agents, servants, employees or contractors, or from the use, possession or ownership of any goods provided by Contractor or any Exhibit B - Page 1 of 4 of its agents, servants, employees or contractors pursuant to this Contract. The foregoing agreement to indemnify, defend and hold harmless shall survive the expiration or termination of this Contract. 7. Entire Agreement The Contract, including all attachments, represents the entire and integrated agreement between the Owner and the Contractor with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. The Contract may be amended only by written instrument signed by both the Owner and Contractor. 8. Disputes All claims, disputes and other matters in question between the Owner and the Contractor arising out of or relating to this Contract or the breach thereof, or the Work performed thereunder, whether based in contract, tort or other basis, shall be submitted for resolution to a court of competent jurisdiction in Middlesex County, Massachusetts, unless otherwise agreed by the parties. 9. Limited Liability No officer, director, member, partner, employee, or other principal, agent or representative (whether disclosed or undisclosed) of the Owner shall be personally liable to the Contractor hereunder for the Owner's payment obligations or otherwise, the Contractor hereby agreeing to look solely to the assets of the Owner for the satisfaction of any liability of the Owner hereunder. In no event shall the Owner ever be liable to the Contractor for indirect, incidental or consequential damages. Contractor hereby waives any right of recovery against Owner for losses and injuries for which insurance coverage is required by this Contract or available to the Contractor. 10. Governing Law This Contract shall be governed by the laws of the Commonwealth of Massachusetts for all purposes, without regard to Massachusetts's law on choice of law. 11. Notices All notices given or required under this Contract shall be in writing and shall be given only by U.S. mail, return receipt requested, postage prepaid, or by commercial overnight delivery service, with a receipt from such delivery service and delivery charges prepaid, or by hand delivery, with a receipt from such delivery service and delivery charges prepaid, addressed or delivered, as USIDocS sos7s7M the case may be, to Owner or Contractor at the addresses and to the representatives specified on page one of the Purchase Order, or to such other addresses or representatives as either party may specify to the other by notice given in accordance with this Paragraph. Such notices shall be effective on the date of delivery to the addressee's address, as reflected by the receipts required in this Paragraph. 12 Severability/Waivers Any waiver of the obligations under this Contract must be made expressly and in writing by the waiving party, using the word "waiver". Any waiver on one occasion or with respect to a particular provision shall not constitute a waiver on any other occasion or with respect to any other provision. If any provision of the Contract is found to be invalid, the remaining provisions shall remain in full force and effect 13. Insurance The Contractor shall obtain and maintain the following insurance during all times that the Contractor is performing Work and for at least three (3) years after termination of this Contract: a. Commercial General Liability insurance, with limits not less than $1,000,000 per occurrence covering claims for injury to persons and damage to property, including contractual coverage. Such insurance shall include contractual liability and shall cover the use of all equipment on the Site or transporting equipment, materials or debris to and from the Site. b. Worker's Compensation Liability insurance in amounts not less than those required by law and Employer's Liability insurance. C. Comprehensive business motor vehicle liability insurance, with limits of at least $1,000,000 per occurrence for personal injury and property damage, covering use of any motor vehicle to be used in conjunction with this Contract. A compulsory Massachusetts automobile policy is acceptable for vehicles registered in Massachusetts only. Certificates of insurance evidencing the coverage required hereunder shall be filed with the Owner prior to the commencement of the Work. All liability insurance shall be written on an occurrence basis. All policies shall contain a provision in which the insurer's rights of subrogation against the Owner are waived. All policies shall contain a provision that coverages afforded by them will not be canceled, reduced or otherwise Exhibit B - Page 2 of 4 materially modified or amended until at least thirty (30) days prior written notice has been given to the Owner. The insurance provided under clause a., above, shall name the Owner and such other parties as the Owner may require as additional insured parties, and shall have deleted the owned property exemption as to property owned by Owner and any other additional insureds 14. Use Of The Premises a. The Contractor shall be required to work in and adjacent to areas in use by the Owner, and shall coordinate its operations with those of the Owner and its Contractors to avoid conflict and unnecessary disruption of the Owner's activities or the activities of any of Owner's contractors. b. No unauthorized entry upon, passage through, or storage or disposal of materials shall be made upon any part of the Owner's property. C. The Contractor shall not load or permit any part of the premises to be loaded with a weight that will endanger its safety or the safety of personnel operating in or around the premises. d. No parking facilities for Contractors, Subcontractors, suppliers or their employees will be provided upon the Owner's property. e. The use of the elevators (freight) is allowed, but not guaranteed, and shall be scheduled with the Owner so as not to infringe on the normal daily use by the Owner or its Contractors. f. The Contractor may use the existing toilet facilities within the premises in a normal manner. The toilets, where dirtied by the Contractor, shall be swept up, mopped and left in a clean condition before the dose of each work day. g. The use of radios (other than 2 -way radios for communications only) is strictly prohibited. 15. Performance Of Work, SgRerintendence All Work of the Contractor shall be performed by qualified personnel. The employment of subcontractors by the Contractor for any of the Work shall be subject to the prior written approval of the Owner. The Owner shall have the right to require the Contractor to remove any personnel or subcontractors(s) from performance of the Work for reasonable cause. The Contractor shall use its best efforts in undertaking its responsibilities under this Contract in accordance with the professional standards of skill, care and diligence ordinarily expected of firms performing work in the area in which the site is located on projects of comparable scope and complexity. The Contractor shall be fully responsible for USI DOCS 5037Mv3 coordinating and supervising the work done by all Subcontractors in a manner and to the extent required to provide that there will be no delay in the general progress of the Work and that the Work performed strictly in accordance with the Drawings and Specifications. 16. Occupation Not Acceptance Occupation of the premises by the Owner shall not indicate final acceptance of the Work. If satisfied that the Work has been completed in accordance with the Contract Documents, the Owner shall so state in writing to the Contractor. 17. Handling Materials The Contractor shall be responsible for the proper care and protection of the Work and materials and equipment to be incorporated into the Work, and his materials, tools, equipment, etc., at the site. 18. Waste Disposal The Contractor shall be responsible for the removal of all waste material resulting from Contractor's operations from the premises regardless of cause, and in no case will be allowed to use any of the Owner's disposal facilities. Waste materials shall be removed at the end of each working day or at such other intervals as the Owner may require to maintain the premises in a safe, orderly and sanitary condition. 19. Measurements Before ordering any materials or doing any Work, the Contractor and each Subcontractor shall take all field measurements, verify field conditions at the project site and check all drawings, specifications or other design parameters furnished by Owner or its architects or contractors to ensure that the goods to be furnished, designed, fabricated, delivered and/or installed by Contractor properly fit and satisfy the requirements of Owner's intended use. No extra charge or compensation will be allowed on account of differences between actual field dimensions and the measurements indicated on any drawings. Any differences that may be found shall be reported in writing to the Owner and its architect for consideration before proceeding with the Work. 20. Shop Drawings And Samples a. The Contractor shall furnish copies of Shop Drawings to the Owner of all parts of the Work where Shop Drawings are used for the actual fabrication or installation of any item or portion of Exhibit B - Page 3 of 4 the Work. In addition, Shop Drawings, Product Data, Samples and similar submittals and manufacturer's costs shall be submitted when called for in the Contract Documents or otherwise requested by Owner. All Shop Drawings shall show clearly the location and details of all members. b. Fabrication or installation of any item requiring Shop Drawings commenced prior to the approval of the drawings by Owner shall be done at the Contractor's risk, and any expense incurred due to changes in the final approval shall be Contractor's responsibility. C. Contractor shall not be relieved of responsibility for deviations from requirements of the Contract Documents by Owner's (or its architect's) approval of Shop Drawings, product data, samples or similar submittals unless Contractor has specifically informed Owner in writing of such deviation at the time of submittal and Owner has given written approval to the specific deviation. Contractor shall not be relieved of responsibility for errors or omissions in Shop Drawings, product data, samples or similar submittals by Owner's (or its architect's) approval thereof. Contractor shall be responsible for any losses, costs or damages incurred by Owner arising from any error, omission or deviation not specifically approved in writing by Owner as aforesaid in any Shop Drawings, product data, sample or other submittal delivered by Contractor, including any claims made by any other contractor or vendor whose work or services are impacted by any such error, omission or deviation. The filing fee for the City of Boston is $50.00, The Newton filing fee will be $35.00 for each Certificate, the second page of the Certificate needs to be completed by the Zoning Officer at the Newton Building Department before the Certificate is filed with the Town Clerk. The North Andover filing fee is $40.00, the North Andover Certificate also requires a Zoning verification Letter from the Building Department, the Building Department is located at 1600 Osgood Street and the Town Clerk's Office is at 120 Main Street. If you would like to send the City of Boston Certificate to me I can have it filed at City Hall and for the person who will be making the trip to Newton and North Andover I would suggest to get to the Building Department before 9:00 am, because normally the Zoning Officer who signs the Zoning Verification will be in early and then they usually will leave the Office to do Building Inspections and will return at some point later in the day.
