WITNESSETH: That "Contractor" and the "Owner" for the considerations hereinafter set forth agree as follows: SCOPE OF WORK- "Contractor" shall furnish all of the work, labor and-materials for the work at#72 Russett Lane No. Andover,MA in accordance with the provisions of this Agreement, Construction Drawings, and Specifications which are hereto annexed, signed and dated by both parties and made a part hereof. ARTICLE ONE The dwelling to be Remodeled by the Contractor at the Owner's property wd shall be completed in accordance with the applicable provisions contained in the Contract Documents: The Contract Documents consist of this Agreement,Building Plans(to be attached),Building Specifications,Limited Warranty, all of which are attached hereto and are hereby made a part hereof,together with all modifications and amendments(provided all such are agreed to and signed by both the Contractor and Owner) issued after the execution of this agreement. The Contract documents shall not be construed to create a contractual relationship between the"Owners and subcontractors or between any person an�yntity, other than Owners and Contractor. Contractor represents that he is familiar with the local conditions;&%which the conditions are to be completed. The work herein agreed to comprises the complete construction required and described by the Contract Documents and includes plans, utilities, and transportation costs, and all labor necessary to produce such construction, all materials and equipment incorporated in such construction and all other facilities and services necessary for the completion of the work("the Work") as herein described. No'work to be done on the premises other than specified in this Agreement without additional charge. Any changes,alterations,extras or additions in the work shall be in writing,signed by the"Owner" and accepted by the"Contractor"at an additional price and any additional time needed to complete change(extend contract completion)to be agreed upon in writing,and payment of the additional charge shall be made in accordance with the terms within the said change order and not to effect the p ent schedule"article Thr er herein. "Contractor"shall not be responsible for materials furnished or work done by others Na4' 4i tvc0 e"- 5' G'd-.. �k ARTICLE TWO The Contractor shall not be responsible for any work that has been done to the building site(septic system, grading. tree removal, fill placed on site and etc.)and/or any approval work that has been previously approved (building permits, conservation hearings, board of health, etc.) The Contractor shall not be responsible for any delay in the manufacture or delivery of material ordered herein, if such delay is caused directly or indirectly by acts of nature, act of war, government entities, strikes, lockouts, shortages of materials, or inability of the Contractor to secure same, delay in deliveries to contractor by suppliers of material due to abnormal, adverse or unusual weather conditions not reasonably anticipated or causes beyond the Contractor's control, including delays by railroads or carriers or for any other reason whatsoever. The "Owner" will hold "Contractor" harmless for cost responsibility of foresaid delays incurred by owner. Specific completion date, if any,provided for herein shall be subject to this delay, said date would be extended the same number of days as delays. ARTICLE THREE CONTRACT SUM AND PAYMENT SCHEDULE - The "Owner" shall pay "Contractor" for the performance of the contract subject to the additions and deductions provided herein in current funds the sum of $ 40,00.00 dollars, as outlined in the"PAYMENT SCHEDULE"Releases will be per the percentages of work completed for each item outlined. Such releases will be invoiced on a bi-weekly basis. Such invoices shall be due and payable within three (3) calendar days from the date of Owner's receipt of such invoice provided that the contractor submits the invoice. PAYMENT SCHEDULE 1. Upon signing contract $ 4,000.00 All other releases will be based upon the release schedule shown below. Releases will be per the percentages of work completed for each item outlined. Such releases will be on a bi-weekly basis. The $ 36,000.00 is the basis for releases and will be totally distributed upon completion of release schedule. The "Owner" agrees,in the event installment payments specified in the above Payment Schedule of this Contract are not paid when due,the guarantee as set forth herein becomes null and void. "Contractor" may, at its option do any of the following: A. "Contractor" may refuse to perform further work under the contract,may terminate contract at that time and bring suit to recover the amount owed to the "Contractor" under this contract at the time of termination, OR B. "Contractor" may continue to perform and accept payment at some future date without thereby waving any of the other rights conferred upon "Contractor" by this Contract or by the laws of the State in which the work is performed, OR C. "Contractor" may take any other action to enforce its right under this Contract as provided for by the laws of the state in which the is performed. Any money balance due "Contractor" under the terms of this contract remaining unpaid after the expiration of three (3)day payment period referred to herein in the PAYMENT SCHEDULE shall acquire interest at the rate of one percent (1 %)per month(12 percent simple interest per year) from said time until said balance and any interest thereon shall be paid in full in addition, if any payments are not made when due pursuant to ARTICLE THREE,the Owner(s) shall be responsible for all cost of collection, including reasonable attorney's fees. Upon the completion of all work described in the Contract Documents,the Contractor will provide an affidavit that all materials, labor and subcontracts have been paid in full and final payment under this agreement shall be made to the Contractor from the Owners. ARTICLE FOUR DATES: Starting Date of work is scheduled to be Oct 24, 2007 if building permit is issued(if one of the above is completed after the start date- Start date will be with in two working days [M-F]). Completion date Nov 30, 2007 but subject tofoundation installed by others and condition stated above if permit issuance is delayed beyond start date,completion date will be extended the same number of work days and also subject to paragraph 9 in general conditions. Extension of completion date will also granted when additional work is added to contract. At no time shall the Contractor be held responsible or be liable for a later substantial completion by a delay as described in Article Two above or caused by the Owners not making their selections in a timely manner as described in the building specifications or caused by subsequent changes of amendments to the Contract Documents. ARTICLE FIVE GUARANTEE- "Contractor" agrees that all materials used in completing the aforementioned installation as herein shall be good quality and that all work shall be done in a workmanlike manner; and that it will remedy any substantial defect in the workmanship of the project for a period of one year from the date of installation. ARTICLE SIX "Owner" represents that the proposed job location is within his property lines and is in conformance with local zoning and building laws and regulations, including setbacks. "Owner" shall provide access for the necessary vehicles and equipment to and around the ground area of the job site. a v' ARTICLE SEVEN Plans and Specifications- The project shall be constructed according to this Agreement, including the specifications,plans (if any), and change orders (if any). In case of conflict between any sketches, renderings, plans,pictures, blueprints, etc., and this Agreement(including the specifications),then this Agreement (including the specifications) shall control. Any change order signed by "Contractor" and "Owner" shall be controlling in case of conflict to the extent that it alters this Agreement. Measurements, sizes, and shapes in plans and specifications are approximate and subject to field verification. Unless otherwise specified, all dimensions are exterior dimensions. All measurements shown or referred to in the attached house plans or these building specifications are approximate and all lumber sizes are nominal and not actual. The contractor may amend this agreement to comply with the directives of the town ofAc ��building dept, electrical dept, and plumbing dept, fire dept. board of health or conservation commission. y o amendment or change to this agreement must be in writing,mutually agreed to and signed by both parties. The owners agree that no person except the contractor may make any representation,warranty, or promise on which they may rely or which may bind the contractor and that any such representation,warranty, or promise must be in writing, agreed to and signed by both parties hereto. The owners further agree that they are not now relying on any representation warranty, or promise other than those expressly contained herein,this_being the entire agreement between the parties hereto. All owners' selections and allowance choices referred to herein shall be made from the contractor's samples or suppliers approved by the contractor within 21 days of notice from the contractor to the owner. All items chosen by the owner are subject to their immediate availability. In the event such owner selections are not made or are not available in said time period then the contractor will not be liable for any delays whatsoever in the construction of the dwelling and may chose alternate materials in order to complete the project in a timely manner. Contractor reserves the right to refuse special order items unless both parties mutually agree in writing as to the potential delay and or cost they may cause. Any work, construction, treatment,application(or design or location of such)to be hereunder performed by the contractor which is not specifically described or graphically shown in the exact manner in these building specifications or the attached house plans shall be performed at the contractor's sole discretion as to the manner material and method used provided such is performed in a good, substantial and workmanlike manner.
