PARTIES This contract (hereinafter to as "Agreement" or "Contract") is made and entered into on this o� day of August, 2010 between Meadow View Condominium (hereinafter referred to as "Owner" or "Meadow View"); and New England Build & Restore, Inc., (hereinafter referred to as "Contractor"or "NEBR"). The Engineer for the project is: (To Be Determined) The Insurance Company is: Greater New York Insurance Companies (the "Insurer"). In consideration of the mutual promises contained herein, Contractor agrees to perform the following work: ARTICLE II. GENERAL SCOPE OF WORK DESCRIPTION Repair six fire and water damaged units in building 8 pursuant to NEBR Estimate #6114 dated 5/21/2010, which is attached hereto and incorporated by reference herein (hereinafter referred to as the "Work"). The Contractor shall fully execute the Work described in the Contract Documents, except to the extent specifically indicated in the Contract Documents to be the responsibility of others. (Additional Scope of Work page(s) attached: _x Yes No ARTICLE III. CONTRACT SUM The Owner shall pay the Contractor the Contract Sum in current funds for the, Contractor's performance of the Contract. The Contract Sum shall be $238,924.89, subject to additions and deductions as provided in the Contract. 1 ARTICLE IV. GENERAL CONDITIONS 4.1 ALLOWANCES The Contractor shall include in the Contract Sum all allowances stated in the Estimate. Items covered by allowances shall be supplied for such amounts and by such persons or entities as the Contractor may select. 4.1.1 Unless otherwise provided in the Contract Documents: .1 allowances shall cover the cost to the Contractor of materials and equipment delivered at the site and all required taxes, less applicable trade discounts; .2 Contractor's costs for unloading and handling at the site, labor, installation costs, overhead, profit and other expenses contemplated for stated allowance amounts shall be included in the Contract Sum but not in the allowances, .3 whenever costs are more than or less than allowances, the Contract Sum shall be adjusted accordingly by Change Order (defined below). The amount of the Change Order shall reflect (1) the difference between actual costs and the allowances under Section 3.1.1.1 and (2) changes in Contractor's costs under Section 3.1.1.2. 4.1.2 When Owner's or individual Unit Owner's input is necessary, materials under an allowance shall be selected by the Owner or individual Unit Owner in sufficient time to avoid delay in the Work. 4.2 EXCLUSIONS This Work covered by this Contract does not include labor or materials for the following work: 4.2.2 PROJECT SPECIFIC EXCLUSIONS 4.2.2.1 Contents manipulation, storage and cleaning. 4.2.2.2 Services to be provided under separate agreement with individual unit owners. NEBR will be responsible for coordinating and scheduling such separate work so as to minimize the impact to the construction schedule. 4.2.2.3 Code upgrades and any supplemental items related to the Fire Damage Estimate that were not contained in the original Estimate. The Parties and the Insurer will address any code upgrades and or supplements to the Estimate as they arise and are identified. When agreed to by all parties and the Insurer such items will be added as an addendum to this Contract as a written Change Order. 2 4.2.2.4 Additional services or work requested by individual unit owners or otherwise deemed by Meadow View and NEBR to be the responsibility of an individual unit owner. 4.2.2.5 NEBR will be responsible for submitting supplements and written Change Orders to the Insurer and for following up with such submissions. Meadow View will not be responsible for changes in the Work schedule or in the payment schedule relating to delayed approvals of such submissions. 4.2.3 STANDARD EXCLUSIONS Unless specifically included in the "General Scope of Work" section above, this Agreement does not include labor or materials for the following work: a. Governmental permits and fees of any kind except building permit; b. Testing, removal and disposal of any materials containing asbestos (or any other hazardous material as defined by the EPA); c. Custom milling of any wood for use in project; d. Moving Owner's property around the site other than necessary to complete the Work; e. Labor or materials required to repair or replace any Owner-supplied materials; f. Repair of concealed underground utilities not located on prints or physically staked out by Owner which are damaged during construction; g. Surveying that may be required to establish accurate property boundaries for setback purposes (fences and old stakes may not be located on actual property lines); h. Landscaping and irrigation work of any kind; i. Temporary sanitation, power, or fencing; j. Correction of existing out-of-plumb or out-of-level conditions in existing structure; k. Correction of concealed substandard framing; 1. Rerouting/removal of vents, pipes, ducts, structural members, wiring or conduits, steel mesh which may be discovered in the removal of walls or the cutting of openings in walls; m. Removal and replacement of existing rot or insect infestation. n. Failure of surrounding part of existing structure, despite Contractor's good faith efforts to minimize damage, such as plaster or drywall cracking and popped nails in adjacent rooms or blockage of pipes or plumbing fixtures caused by loosened rust within pipes; o. Exact matching of existing finishes. p. Public or private utility connection fees. q. Repair of damage to roadways, driveways, or sidewalks that could occur when construction equipment and vehicles are being used in the normal course of construction. 3 �c ARTICLE V. DATE OF WORK COMMENCEMENT AND SUBSTANTIAL COMPLETION 5.1 COMMENCEMENT DATE The date of commencement of the Work shall be fifteen (15) days from Contractor's receipt of a building permit. 5.2 SUBSTANTIAL COMPLETION DATE Construction time through substantial completion is estimated to be three to four months, not including delays and adjustments for delays caused by: inclement weather, additional time required for Change Order work, and other delays unavoidable or beyond the control of the Contractor. 5.3 PROGRESS AND COMPLETION NEBR acknowledges that time is of the essence and will make every reasonable effort to contact, coordinate with and obtain sign-off approvals from unit owners and all agencies or public officials with authority relating to this project (as necessary) so as to expeditiously proceed with ordering of materials, commencement of work and project completion. 5.4 DELAYS AND EXTENSION OF TIME If the Contractor is delayed at any time in the commencement or progress of the Work by an act or neglect of the Owner or an individual owner, or of an employee of either, or of a separate contractor employed by the Owner, or by changes ordered in the Work, or by labor disputes, fire, unusual delay in deliveries, unavoidable casualties or other causes beyond the Contractor's control, or by delay authorized by the Owner pending mediation and arbitration, or by other causes which the Engineer determines may justify delay, then the Contract Time shall be extended by Change Order for such reasonable time as the Engineer may determine. 5.5 SUBSTANTIAL COMPLETION 5.5.1 Substantial Completion is the stage in the progress of the Work when the Work or designated portion thereof is sufficiently complete in accordance with the Contract Documents so that the Owner can occupy or utilize the Work for its intended use. 5.5.2 When the Contractor considers that the Work, or a portion thereof which the Owner agrees to accept separately, is substantially complete, the Contractor shall prepare and submit to the Engineer a comprehensive list of items to be completed or corrected prior to final payment. Failure to include an item on such list does not alter the responsibility of the Contractor to complete all Work in accordance with the Contract Documents. 5.5.3 Upon receipt of the Contractor's list, the Engineer will make an inspection to determine whether the Work or designated portion thereof is substantially.complete. If the Engineer's inspection discloses any item, whether or not included on the Contractor's list, which is not sufficiently complete in accordance with the Contract Documents so that 4 the Owner can occupy or utilize the Work or designated portion thereof for its intended use, the Contractor shall, before issuance of the Certificate of Substantial Completion, complete or correct such item upon notification by the Engineer. In such case, the Contractor shall then submit a request for another inspection by the Engineer to determine Substantial Completion. 5.5.4 When the Work or designated portion thereof is substantially complete, the Engineer will prepare a Certificate of Substantial Completion which shall establish the date of Substantial Completion, shall establish responsibilities of the Owner and Contractor for security, maintenance, heat, utilities, damage to the Work and insurance, and shall fix the time within which the Contractor shall finish all items on the list accompanying the Certificate. Warranties required by the Contract Documents shall commence on the date of Substantial Completion of the Work or designated portion thereof unless otherwise provided in the Certificate of Substantial Completion. 5.6.5 The Certificate of Substantial Completion shall be submitted to the Owner and Contractor for their written acceptance of responsibilities assigned to them in such Certificate. Upon such acceptance the Owner shall make payment of retainage applying to such Work or designated portion thereof. Such payment shall be adjusted for Work that is incomplete or not in accordance with the requirements of the Contract Documents. ARTICLE VI. CHANGE ORDERS: CONCEALED CONDITIONS AND ADDITIONAL WORK 6.1 CONCEALED CONDITIONS This Agreement is based solely on the observations that Contractor was able to make with the structure in its current condition at the time the Estimate was completed. If additional concealed conditions are discovered once work has commenced which were not visible at the time the Estmiate was completed, Contractor will stop work and point out these unforeseen concealed conditions to Owner so that Owner and Contractor can execute a Change Order for any additional work and file a supplemental work order to the Insurer for direct payment. NEBR will submit such Change Orders to and follow up with all supplementals directly with the Insurer. 6.2. DEVIATION FROM SCOPE OF WORK Any alteration or deviation from the Scope of Work referred to in this Agreement involving extra costs of materials or labor (including any overage on ALLOWANCE work and any changes in the Scope of Work required by governmental plan checkers or field building inspectors) will be included in this Contract upon a written Change Order issued by Contractor and must be signed by Contractor and Owner prior to the commencement of such additional Work by the Contractor. There shall be a $200.00 fee for each Change Order initiated by individual unit owners, to be paid for by the unit owner or the party who initiated the Change Order. 5 6.3 CHANGE ORDERS A Change Order is a written instrument prepared by the Contractor and signed by the Owner and Contractor, stating their agreement upon all of the following: .1 change in the Work; .2 the amount of the adjustment, if any, in the Contract Sum; and .3 the extent of the adjustment, if any, in the Contract Time. 6.4 UNIT OWNER CHANGE ORDERS NEBR shall be responsible for obtaining written approval from each unit owner relating to the selected finishes and fixtures for their unit. Any and all work or materials which exceed the Scope of Work contained herein will be at the unit owner's sole cost and performed under direct agreement between such unit owner and NEBR. NEBR will be responsible for scheduling such work with the unit owner, receiving unit owner approval of specifications and pricing for work that is not within the Scope of Work. NEBR will provide signed copies to Meadow View's Property Manager of all unit owner acceptance/authorizations for Work included in this Contract as well as signed approvals from Owner for each Change Order included in this Contract that was initiated by a unit owner. 6.5 SUPPLEMENTAL CLAIMS As of the date of this Agreement, anticipated Supplemental Claims include but are not limited to: full compliance with controlled construction procedures and requirements of the Town of North Andover, including the services of a licensed Engineer, fire retardant insulation in party walls, fire stopping around pipes and penetrations, additional code-related plumbing and electrical work, carpet cleaning in common areas and units originally unaffected by the fire, electrical work done after the fire to enable unit owners to re-inhabit the building, repair of doors and installing board for temporary security, dumpsters for removal of construction waste and other materials, additional security measures required to ensure property and life safety during the construction process. ARTICLE VII. PAYMENT SCHEDULE AND PAYMENT TERMS 7.1 PAYMENT SCHEDULE Periodic progress payments are to be paid to Contractor within seven (7) days after submission to and written approval by Owner. All requests for payment must include complete documentation of Work performed as well as appropriate/available invoices for Work covered, as well as the project Engineer's stamped approval. a. Acceptance of Final Payment by NEBR, a subcontractor, or a material supplier shall constitute a waiver of claims by that payee. 10%*********** $23,892.48 Note: Initial deposit received by NEBR - $5,000.00 $18,892.48 7.2 PAYMENT OF CHANGE ORDERS Payment for each Change Order shall be payable to NEBR upon receipt of Insurer's written approval of a supplement and payment from the Insurer. Change Orders initiated by individual unit owners will be coordinated separately and collected directly by NEBR from the individual unit owner. Meadow View shall not be responsible for payment of nor collecting payment for Change Orders that were requested by individual unit owners. 7.3 FAILURE OF PAYMENT If the Owner does not make payment as provided in the Payment Schedule, through no fault of the Contractor, within seven (7) days after receipt of the Contractor's Application for Payment, then the Contractor may, upon seven (7) additional days' written notice to the Owner, stop the Work until payment of the amount owing has been received. The Contract Time shall be extended appropriately and the Contract Sum shall be increased by the amount of the Contractor's reasonable costs of shut- down, delay and start-up. ARTICLE VIII. WARRANTY 8.1 LIMITED WARRANTY Contractor provides a limited warranty on all Contractor- and Subcontractor- supplied labor on this project for a period of one year following Substantial Completion of all Work. All warranties for materials will be covered by the manufacturer's warranty. 8.1.1 No warranty is provided by Contractor on any materials furnished by the Owner for installation. No warranty is provided on any existing materials that are moved and/or reinstalled by the Contractor within the dwelling (including any warranty that existing/used materials will not be damaged during the removal and reinstallation process). One year after substantial completion of the project, the sole remedy of Owner, or any individual unit owner if work was contracted directly with them relating to upgrades and modifications not part of this agreement, (for materials and labor) for all materials that are covered by a manufacturer's warranty shall be strictly under said manufacturer's warranty and not by recousre to the Contractor. 8.1.2 Repair of the following items is specifically excluded from Contractor's warranty: Damages resulting from lack of Owner maintenance; damages resulting from Owner abuse or ordinary wear and tear; deviations that arise such as the minor cracking of concrete, stucco and plaster; minor stress fractures in drywall due to the curing of lumber; warping and deflection of wood due to the natural properties of the material; shrinking/cracking of grouts and caulking; fading of paints and finishes exposed to sunlight. 8.2 EXPRESS WARRANTIES THE EXPRESS WARRANTIES CONTAINED HEREIN ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, HABITABILITY, OR FITNESS FOR A PARTICULAR USE OR PURPOSE. THIS LIMITED WARRANTY EXCLUDES CONSEQUENTIAL AND INCIDENTAL DAMAGES AND LIMITS THE DURATION OF IMPLIED WARRANTIES TO THE FULLEST EXTENT PERMISSIBLE UNDER STATE AND FEDERAL LAW. ARTICLE IX. WORK STOPPAGE, TERMINATION OF CONTRACT FOR DEFAULT, AND INTEREST 9.1 SUSPENSION OF WORK BY THE CONTRACTOR Contractor shall have the right to stop all Work on the project and keep the job idle if payments are not made to Contractor in accordance with the Payment Schedule in this Agreement, or if Owner repeatedly fails or refuses to furnish Contractor with access to the job site and/or product selections or information necessary for the advancement of Contractor's Work. Simultaneous with stopping performance of the Work on the project, the Contractor must give Owner written notice of the nature of Owner's default and must also give the Owner a 14-day period in which to cure such default. 9.2 TERMINATION OF WORK BY THE CONTRACTOR 8 �L- If work is stopped due to any of the above reasons (or for any other material breach of contract by Owner) for a period of 14 days, and the Owner has failed to take significant steps to cure such default, then Contractor may, without prejudicing any other remedies Contractor may have, give written notice of termination of the Agreement to Owner and demand payment for all completed work and materials ordered through the date of work stoppage, and any other loss sustained by Contractor, including Contractor's Profit and Overhead at the rate of 21% on the balance of the incomplete work under the Agreement. Thereafter, Contractor shall be relieved of all other contractual duties, including all Punch List and warranty work. 9.3 TERMINATION OF WORK BY OWNER In the event of the breach of any provision of this Agreement by Contractor which in the case of non conformance or stoppage of Work, continues uncured for a period of ten (10) days from written notice to Contractor, and in the case of any other breach continues uncured for a period of thirty (30) days, Owner may cure the breach by whatever means it deems expedient and deduct the cost thereof from the final payment to Contractor, without prejudice to any other remedy Owner has, or Owner may, at its option, terminate the Contract with all associated remedies set forth hereafter. 9.3.1 If Contractor should be adjudged bankrupt, or makes a general assignment for benefit of its creditors, or a receiver is appointed to manage the affairs of Contractor or if Contractor persistently or repeatedly fails or refuses to supply enough proper workers or proper materials, or if it should fail to make prompt payment to subcontractors or for material or labor, or persistently disregard laws, ordinances or instructions of Owner, or, otherwise be guilty of a substantial violation of any provision of this Agreement, Owner, upon showing that sufficient cause exists to justify such action, may, without prejudice to any other right or remedy and after giving Contractor ten (10) days written notice, terminate the employment of Contractor, take possession of the Site and finish the work by whatever method Owner may deem expedient. In such case Contractor shall not be entitled to receive further payment until the work is finished. If the unpaid balance of the Agreement price shall exceed the expense of finishing the work, such excess shall be paid to Contractor. If such expense shall exceed the unpaid balance, Contractor shall pay the difference to Owner. ARTICLE X. DISPUTE RESOLUTION AND ATTORNEY'S FEES 10.1 SETTLEMENT OF DISPUTES - MEDIATION Any dispute or claim in law or equity arising out of this Agreement or any resulting transaction, including disputes or claims involving the Parties to this Agreement, their officers, agents, or employees, shall be submitted to neutral, non-binding mediation prior to the commencement of arbitration, litigation, or any other proceeding before a trier of fact. The Parties to the dispute or claim agree to.act in good faith to participate in mediation, and to identify a mutually acceptable mediator. If a mediator cannot be agreed upon by the Parties, each Party shall designate a mediator and those 9 mediators shall select a third mediator who shall act as the neutral mediator, assisting the parties in attempting to reach a resolution. All Parties to the mediation shall share equally in its cost. If the dispute or claim is resolved successfully through the mediation, the resolution will be documented by a written agreement executed by all Parties. If the mediation does not successfully resolve the dispute or claim, the mediator shall provide written notice to the Parties reflecting the same, and the Parties may then proceed to seek an alternative form of resolution of the dispute or claim, in accordance with the remaining terms of this Agreement and other rights and remedies afforded to them by law. 10.2 ARBITRATION Subject to the following procedure relative to claims involving less than $2,000, any other claim, dispute or other matter in question arising out of or related to this Agreement subject to, but not resolved by, mediation shall be subject to arbitration which, unless the Parties mutually agree otherwise, shall be administered by the American Arbitration Association in accordance with its Construction Industry Arbitration Rules in effect on the date of this Agreement. A demand for arbitration shall be made in writing, delivered to the other Party to this Agreement, and filed with the person or entity administering the arbitration. 10.3 SMALL CLAIMS Any controversy or claim arising out of or related to this Agreement involving an amount of less than $2,000 (or the maximum limit of the court) must be heard in the Small Claims Division of the District Court having jurisdiction over either Party. Subject to the provisions relative to mediation, any controversy or claim arising out of or related to this Agreement which is over the dollar limit of the Small Claims Court shall be settled by binding arbitration administered by the American Arbitration Association in accordance with the Construction Industry Arbitration Rules. Judgment upon the award may be entered in any Court having jurisdiction thereof. 10.4 SPECIFIC ENFORCEMENT The foregoing agreement to arbitrate and other agreements to arbitrate with an additional person or entity duly consented to by Parties to this Agreement shall be specifically enforceable in accordance with applicable law in any court having jurisdiction thereof. 10.4.1 The award rendered by the arbitrator(s) shall be final, and judgment may be entered upon it in accordance with applicable law in any court having jurisdiction thereof. 10.4.2 Either Party, at its sole discretion, may include by joinder persons or entities substantially involved in a common question of law or fact whose presence is required if complete relief is to be accorded in arbitration, provided that the party sought to be joined consents in writing to such joinder. Consent to arbitration involving an additional person or entity shall not constitute consent to 10 CSU arbitration of any claim, dispute or other matter in question not described in the written consent. 10.4.3 ATTORNEYS FEES The prevailing party in any legal proceeding or arbitration related to this Agreement shall be entitled to payment of reasonable attorney's fees, costs, and expenses. ARTICLE XI. EXPIRATION OF THIS AGREEMENT This Agreement will expire 30 days after the date at the top of page one of this Agreement if not first accepted in writing by Owner. ARTICLE XII. ENTIRE AGREEMENT This Agreement represents and contains the entire agreement between the parties. Prior discussions or verbal representations by the parties that are not contained in this Agreement are not a part of this Agreement. ARTICLE XIII. ADDITIONAL TERMS AND CONDITIONS 13.1 NOISE All work which could be reasonably anticipated to cause noise or vibration or other disturbance to neighbors in Building 8 or adjacent buildings will take place on weekdays between the hours of 7:30 AM and 5:00 PM. Work stoppage required due to excessive noise, vibration or other unreasonable disturbance to those parties at any time will not be cause for extension of the project schedule or additional payment to NEBR. 13.2 INSURANCE NEBR will provide a copy of a Certificate of Insurance evidencing general liability insurance coverage and all statutory coverages including worker's compensation, with Meadow View Condominium Association and its Trustees listed as Additional Insureds. 13.3 SECURITY Security and the prevention of crime and theft are important concerns for Meadow View and NEBR. NEBR will take all reasonable measures to ensure the personal safety of unit owners inhabiting Building 8 and all personal property therein as appropriate. 13.4 LIENS In the event that a mechanics lien is asserted or filed by anyone in relation to the labor and/or material being furnished by or on behalf of Contractor, including without limitation, all subcontractors and material suppliers, Contractor agrees to have the 11 � same discharged, by posting a bond with the appropriate authorities, or otherwise within ten (10) calendar days of notice from Owner. In the event such liens are not so discharged.or bonded off by Contractor within said ten (10) calendar days of notice from Owner, Owner shall have the right to bond-off said lien(s) and withhold or recover from Contractor all costs incurred as a result thereof, including, but not limited to, bond premiums and attorneys' fees. In addition, the Contractor hereby indemnifies, defends and holds harmless Owner and Owner's lender (s) against any assertion of claims for mechanics liens by subcontractors (or anyone directly or indirectly employed by Contractor or a subcontractor), or material suppliers and against any assertion of security interests by suppliers of goods or materials. 13.5 INSPECTIONS Owner will be notified in advance (48 hours) and afforded the opportunity to witness any inspection conducted by the Engineer and any governmental inspectors or officials. 13.6 INDEMNIFICATION To the fullest extent permitted by law, the Contractor shall indemnify and hold harmless the Owner, individual Unit Owners and agents and employees of any of them from and against claims, damages, losses and expenses, including but not limited to attorneys' fees, arising out of or resulting from performance of the Work, provided that such claim, damage, loss or expense is attributable to bodily injury, sickness, disease or death, or to,injury to or destruction of tangible property (other than the Work itself), but only to the extent caused by the negligent acts or omissions of the Contractor, a subcontractor, anyone directly or indirectly employed by them or anyone for whose act they may be liable, regardless of whether or not such claim, damage, loss or expense is caused in part by a party indemnified hereunder.
