Description Construction intent is for replacement of siding, trims and general weathering in of components and related items.Additionally to investigate damaged, rotted framing and related performance issues throughout building one, units one through four. Contractor will be prepared for the pos- sibility of rotted substrate and structural components behind the siding and to be treated as additional work to the contract for the specified labor rates plus materials.An allowance of $2000.00 is to be carried for unforeseen repairs such as rot and will be used in conjunction with the procedures as described in the Working Agreement attached as part of these . specifications. Construction and project scope to be scheduled as follows: • Siding replacement materials are to be HardyPlank lap siding manufactured by the James Hardy company. HardyZone designation of HZ 5 with a color choice of Chestnut Brown is specified for the project. Siding is to be installed as per manufacturers specifications. Included is the application of back flashing at joints, and painted cut ends. Manufacturers flashing installations and caulking at joint areas are to be strictly followed. • Specifications are to be strictly enforced during installation. Contractor is to consult with the James Hardy representative before project start and intermittently during the project progress to insure manufacturers warrantee requirements and final sign offs. Trim replacements are to be PVC materials manufactured by Azek or equivalent.All PVC materials are to be installed per manufacturers specifications.All joints are to be glued and screw/nail holes are to be plugged. Corner boards are to have interregnal "J" channel one piece configuration. ✓ULA •Soffits on building one are to be removed and reinstalled with perforated vinyl matching trim colors. Soffit or wall dryer vents shall be replaced with new vinyl units.All light blocks, kick boards, backers or mounting bases shall be replaced with new PVC materials and appropri- ately flashed. Terminations of privacy fences or railings shall have a receiver block or corner board extension in PVC where necessary. •All fasteners are to be stainless steel. Nails are to be ring shank, screws are to be self cutting and counter set for plug installations.All flashings are to be of highest quality and be installed as per industry standards. •Vycore or strip membranes are to be installed for backer as a standard installation practice around all doors, windows and other openings. Windows are to have 1 x3 trim wraps in a pic- ture frame styling for future window replacement requirements. •One 36" course of ice and water membrane shall be installed at the bottom of the wall area, surrounding the building before building paper is applied. •All exposed wall areas are to be covered with Typar or Tyvex building paper. Building paper is to be properly lapped and taped where required. • No materials shall be applied to an area which exceeds manufacturer moisture standards for distance to grade.Any area found not to comply with grade to material standards, shall have a PVC horizontal bottom band applied with proper flashings.All wall, butt and junction areas are to be caulked with a latex acrylic premium caulking as supplied by James Hardy. •All necessary electrical connections and/or mounted devices such as electric meters, me- ter toughs, sensors, down spouts or similar devices shall be removed or separated from the building for construction and replaced in kind. Broken, damaged or poor quality devices shall be reported for replacement approval. Site conditions Special consideration will be required while working at this property to ensure that owners and tenants disruption is kept to a minimum. Consideration for unit residents will be required at all times. Respectful, courteous and proper behavior is mandatory.The following guidelines will be followed. 4 •Work hours will be from seven (7)AM to four(�)PM daily Monday through Friday.Additional work time will be negotiated and approved before additional time can be utilized. •Dumpsters are to be used for trash and construction debris.All dumpster locations will be pre approved for the parking space used. • Dumpsters must be covered with tarps nightly. No Exceptions! Page 2 (� . iyJ U1 J •Work areas must be thoroughly broom-cleaned daily. All debris must be placed in a dumpster or removed from the site on a daily basis. Cleaning performed by Northpoint Realty will result in a non refundable charge of$250 per incident. •No stock piling of debris will be allowed.All construction generated trash will be properly dis- posed on a nightly basis in approved containers. • Materials must be stored in an approved location for each segment of the work. Care will be taken to preserve landscaping areas, plantings and grass cover during construction. •Trailers, trucks and contractor vehicles must be located in approved guest allocated parking spaces.At no time are contractor vehicles, supplies or tools to be located in unassigned spaces without express permission from the owner. • For safety purposes, no radios, or in ear devices are allowed. • No smoking onsite unless in a pre approved, designated location. • Contractor and their employees are to wear proper safe clothing. Shirts and pants are to be worn at all times. • No loud or foul language will be permitted. Work Process and Tactics Production of work and acceptable practices are as follows; •A written work schedule will be provided by the contractor to the construction coordinator before work begins.Attention to forecasted work performance and a timely delivery is expected. • Unless previously approved, work is expected to commence at one end of the building and be completed and approved by the construction coordinator before moving to the next area of work. • Contractor is to be solely responsible and in control of material acquisition and delivery to the site, electrical meter trough floats and ant other vendor performances. Safety Safety protocols are to follow OSHA standards for the work performed and are to follow the guidelines below. •All workers are to have required PPE devices. Safety is of the highest priority for workers and residents at all times Contractor employees are to be briefed regularly on protocols and standards which promote a safe working environment by the use of"Toolbox Talks"or similar programs. Diamond Hill Builders LLC agrees to name Great North Property Management Inc. and Prescott Village Condominiums as an additional insured on its Commercial General Liability policy, and to provide Great North Property Management Inc. with a certificates of insurance evidencing the above coverage's for the duration of the project.All payments will be withheld until receipt of insurance certificates and tax information. Lapsed or non existent insurance coverage will be deducted from Agreement amount. Indemnification: Diamond Hill Builders LLC shall indemnify and hold Great North Property Management, Inc., Prescott Village Condominiums, their agents, consultants, and employees harmless from and against all claims, losses, costs and damages, including but not limited to attorneys'fees, per- taining to the performance of Diamond Hill Builders LLC and involving personal injury, sickness, dis- eases, death or property damage, including loss of use of property resulting there from but not damage to the work itself, but only to the extent caused in whole or in part by the negligent acts or omissions of the Diamond Hill Builders LLC or any of Diamond Hill Builders LLC's suppliers, manufacturers, or other persons or entities for whose acts Diamond Hill Builders LLC may be liable. This indemnification agreement is binding upon the Diamond Hill Builders LLC to the fullest extent permitted by law, regardless of whether any or all of the persons and entities indemnified hereunder are responsible in part for the claims, damages, losses or expenses for which the Diamond Hill Builders LLC is obligated to provide indemnification.This indemnification provision does not negate, abridge or reduce any other rights or obligations of the persons and entities described herein with respect to indemnity. Warranty: Diamond Hill Builders LLC shall warranty its work for one (1)year after the date of substan- tial completion or within one (1)year after acceptance from client or within such longer period of time as may be prescribed by law or by terms of any applicable special warranty required by the Agreement documents. If any of the work is found to be defective or not in accordance with the Agreement docu- ments, then Diamond Hill Builders LLC shall correct it promptly after receipt of notice. Non response to notifications for repairs will be perceived as an act of non compliance and any and all collective actions allowed by law and the provisions of this agreement will be enforced. Payment Schedule: Items which are billed, must be complete. Partial billing or billing before work is completed will not be accepted. Requisition for payments must be for work completed to the date of the requisition. No payments will be made for projected completions of work. Requisitions are to be for agreement stage payments and a separate billing for any additional work as required. Invoices submit- ted by Friday will be paid on or about two weeks from the Friday on which the invoice was received provided Great North Property Management has signed off on work being complete. Final Bill will not be paid until all items are 100% complete. Diamond Hill Builders LLC must have required inspections completed before submittal of invoices. Additional Work Authorizations will be paid on the same cycle as above.Any start payments will be for materials only and will be supported by a receipt of purchase for payment. Breach of Conditions: Any breach of the above stated conditions will result in the termination of this Agreement and remaining funds used to complete the project. Any legal fees incurred as a result of Diamond Hill Builders LLC's non-performance of this Agreement is to be paid by Diamond Hill Builders LLC.All claims or disputes between Diamond Hili Builders LLC and Great North Property p Y Mana 9ement, Inc. arising out of or relating to the Agreement, or the breach thereof, shall be decided by arbitration in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association currently in effect unless the parties mutually agree otherwise and subject to an initial presentation of the claim or dispute as follows: Notice of the demand for arbitration shall be filed in writing with the other party to this Agreement within a reasonable time after the dispute has arisen. The award ren- dered by the arbitrator or arbitrators shall be final and judgment may be entered upon it in accordance with applicable law in any court having jurisdiction thereof. AUTHORIZED ADDITIONAL WORK is to be incorporated into this Agreement under the same terms and conditions. Previously submitted proposals are to become a part of this agreement. Submitted pro- posals are expected to encompass all requirements to perform the work completely. No additional fees, charges or amounts will be accepted unless additional work outside the scope is presented by the owner and executed for quotation.Additional work such as rotted areas indicated above will be presented for approval showing materials and labor at a rate of$40.00 per hour with a percentage for profit and overhead not to exceed ten (10) percent.
