This letter will confirm our conversation of today regarding
the end of Phase I of our representation, and the commencement of
Phase II.
On June 22, 1988 you confirmed to us in a letter the scope
of our services under Phase I. All of the items listed in your
letter have been completed, with the exception of the completion
of our file search at the DEQE Air Quality Division and a
supplementary memorandum of our findings from the search.
At this writing we have now reviewed all materials and
information provided to us by your office and members of the
committee including, various correspondence and news articles;
the Massachusetts Air Pollution Control Regulations and policy
guidelines; -various DEQE documents; GLSD's Environmental
Notification Form to MEPA and related documents in the MEPA file;
the GLSD enabling legislation; and various other laws,
regulations and legal information sources. Accordingly, we have
advised the Town regarding the powers and duties of the GLSD
Board and its individual members; the local Board of Health, and
its powers and duties; local regulation of offensive substances;
abatement of nuisances; the appeal issue regarding retrofitting
of the GLSD incinerators and the MEPA review process.
This letter will also confirm your acceptance of my advice
to not appeal MEPA's decision to not require an EIR for the
retTo—fitting process. k
Since our services contracted for under Phase I have been
completed, it is now appropriate to outline the activities
expected in Phase II.

!lies review of the DEQE Division of Water Pollution Control
files, review of GLSD files; attend meetings as requested; assist
in public relations, i.e., communication with the press; prepare
the Town in the event litigation becomes necessary; advise you as
to the legal consequences of DEQE activities. (For example,
DEQE's Administrative Order states that the odors "are the result
of the operation of the sewage sludge incinerators and are in
violation of 310 CMR 7.09. DEQE, therefore, does not address the
fact that odors exist apart from operation of the incinerators.
This must be brought to their attention.)
It is difficult to estimate the cost involved in any or all
of these activities for the reason that the GLSD associated odor
problem is a continuing problem with no clear end in sight. I am
more than happy to be on hand as your designated special town
counsel for this particular problem, and truly believe that the
presence of counsel will greatly assist the Town in its efforts
to alleviate the odor problem. To this end, I suggest a retainer
of $7500.00 for Phase II of our representation.
I have enclosed a statement of account for work done to
date, as well as a recent article in the North Andover Citizen.
Please let me know if you have any comments or questions. Thank
