Lel COMMON AREA MAINTENANCE In addition to payments of rent. LESSEE shall pay the LESSOR an amount equal to the LESSEE's percentage share of the real estate taxes, common area maintenance such as common area cleaning, maintenance, snow removal, landscaping and all other costs associated with the operation of the lhuilding, including building property insurance(hereinafter referred to as "CAM charges"). LESSEE's percentage share is 14%. The CAM charges will be billed to LESSEE on a monthly basis in advance. In the twelfth month of each year of the lease. LESSOR will supply LESSEE with copies of all bills associated with the CAM charges, if requested by LESSEE. Adjustments will be made by the LESSOR to LESSEE's pro rated monthly payments for additional rent as herein defined, and reconciled between actual costs and annual projected char -es adjusted annually. U'T'ILITIES LESSEE shall pay, as they become due, all bills for gas and electricity (whether they are used for heat and/or air conditioning its offices) that are furnished to the leased premises and presently separately metered. PAYMENTS Time is of the essence of each and every provision of the Lease. In the event LESSEE is in default of any payment hereunder beyond a five (5) day grace period, LESSEE shall pay to LESSOR as additional rent, interest in the amount of I % per month on the outstanding w amount due frorn the date it as originally due hereunder, and a late fee of $25 for each occurrence to pay for LESSOR'S administrative costs. USE OF LEASED PREMISES The LESSEE shall use the leased premises only for the purpose of professional offices. The LESSEE acknowledges that no trade or occupation shall be conducted in the leased premises or use made thereof which will be unlawful, improper, noisy or offensive or• contrary to any law or any town by-la\v in force in the town in which the premised are suited. FIIIE INSURANCE The LESSEE shall not permit any use of the leased premises which will make voidable any insurance on the property of which the leased premises are a part or on the 0 contents of said property of which shall be contrary to any law or regulation from time to time established by the New England l=ire Insurance Rating Association, or any similar body succeeding to its powers. The LESSEE shall on demand reimburse the LESSOR, and all other tenants, all extra insurance premiums caused by the LESSEE's use of the premises. MAINTENANCE OF PREMISES The LESSEE agrees to exclusively maintain the leased premises in the same condition as they are at the commencement of the term or as they may be put during the term of this lease, reasonable wear and tear, damage by fire and other casualty only excepted, acknowledging that the leased prer�iises are now in good order. ALTERATIONS -ADDITIONS The LESSEE shall not make structural alterations or additions to the leased premises, but may make non-structural alterations provided the LESSOR consents thereto in writing, which shall not be unreasonably delayed or withheld. All such allowed alterations shall be at LESSEE's expense and shall be in quality at least equal to the present construction. LESSEE shall not permit any mechanic's liens, or similar liens, to remain upon the leased premises for labor and material furnished to LESSEE or claimed to have been furnished to LESSEE in connection with work of any character performed or claimed to have been performed at the direction of LESSEE and shall cause any such lien to be released of record forthwith without cost to LESSOR. Any alterations, or improvements made by the LESSEE shall become the property of the LESSOR at the termination of this lease. ASSIGNMENT -SUBLEASING The LESSEE shall not assign or sublet the whole or any part of the leased Premises to an unrelated company without LESSOR's prior written consent, which shall not be unreasonably delayed or withheld. Notwithstanding such consent, LESSEE shall remain liable to LESSOR for the payment of all rent and for the full performance of the covenants and conditions of this lease. Any rent to be paid by any assignee or subtenant in excess of the rent payable hereunder, shall be forthxvith paid to the LESSOR. 3 SUBORDINATION The lease shall be sub , jcct and subordinate to any and all mortgages, deeds of trust and other instruments in the nature of a mortgage, now or at any time hereafter, a lien or liens on the property of which the ]eased premises are a pail and the LESSEE shall, when requested, Promptly execute and deliver such written instruments as shall be necessary to show the subordination of this lease to said mortgages, deed of trust or other such instruments in the nature of a mortgage. Under no circumstances may the LESSEE or his agents record this lease or any notice of this lease without the written consent of the LESSOR. LESSOR'S ACCESS — LOCKS & KE YS The LESSOR or agents of the LESSOR may, at reasonable times, enter to view the leased premises and may remove placard and signs not approved and affixed as herein provided, and make repairs and alterations as LESSOR should elect to do and may show the leased premises to others. All locks in the building must be keyed to the LESSOR'S master key; therefore, LESSEE may not change or replace any lock or add any new locks without the LESSOR'S written permission. There will be a $200.00 charge to the LESSEE for each lock that LESSEE adds or replaces without LESSOR'S written permission. INDEMNIFICATION AND LIABILITY The LESSEE shall save the LESSOR harmless from all loss and damage occasioned by the use or escape of water or by the bursting of pipes, as well as from any claim or damage resulting frorn neglect in not removing snow or ice from the roof of the building or from the sidewalks bordering upon the premises Ises so leased, or by any nuisance made or suffered on the leased premises, Unless such loss is caused by the neglect of the LESSOR. 1,ESSEVS LIABILITY INSURANCE The LESSEE shall maintain with respect to the leased premises comprehensive public liability insurance in the amount of $1,000,000. with property damage insurance in limits adequate to cover all of LESSEE's property, in responsible companies qualified to do business in Massachusetts and in good standing therein insuring the LESSOR as well as the LESSEE against injury to persons or damage to propertyas provided. The LESSEE shall deposit with the LESSOR certificates for such *Insurance upon the request of the LESSOR. 4 FIRE CASUALTY —EMINENT DOMAIN Should a substantial portion of the leased premises, or of the property of which they are a part, be substantially damaged by fire or other casualty, or be taken by eminent domain, the LESSOR may elect to terminate this lease, When such fire, casualty, or taking renders the leased premises substantially unsuitable for their- intended use, a just and proportionate abatement of rent shall be made, and the LESSEE may elect to terminate this lease if: (a) The LESSOR fails to give written notice within thirty (30) days of said fire, casualty or taking of its election to restore the leased premises, or (b) The LESSOR fails to restore the leased premises to a condition substantially suitable for their intended use within ninety (90) days of said fire, casualty or taking. The LESSOR reserves, and the LESSEE grants to the LESSOR, all rights which the LESSEE may have for damages or injury to the leased premises for any taking by eminent domain, except for darnage to the LESSEE's fixtures, property or equipment. DEFAULT & BANKRUPTCY In the event that: (a) the LESSEE shall default in the payment of any installment of rent or other- sum herein specified and such default shall continue for ten (I0) days after written notice thereof; or (b) the LESSEE shall default in the observance or performance of any other of the LESSEE's covenants, agreements or obligations hereunder and such default shall not be corrected within thirty (30) days after written notice thereof: or (c) the LESSEE shall be declared bankrupt or insolvent according to law, or if any assignment shall be made of LESSEE's property for the benefit of creditors. then the LESSOR shall have the right there after, while such default continues, to re-enter and take complete possession of the leased premises, to declare the term of this lease ended, and remove the LESSEE's effects, without prejudice to any remedies which might be otherwise used for arrears of rent or the balance of the rent due under this lease or other default. The LESSEE shall indemnify the LESSOR against all loss of rent and other payments, which the LESSOR may incur by reason of such termination during the residue of the term. If the LESSEE shall default, after reasonable notice thereof, in the observance or performance of any conditions or covenants on LESSEE's part to be observed or performed under or by virtue of any of the provisions in ally article of this lease, the LESSOR, without being under any obligation to do so and without thereby waiving such default, may remedy such default for the account and at. the expense of the LESSEE. If the LESSOR makes any expenditures or incurs any obligations for the payment of money in connection therewith, including but not limited to, reasonable attorney's fees in instituting, prosecuting or dcfendino any action or proceeding, such 5 sums paid or obligations incurred, with interest at the rate of 12% per annum and costs, shall be paid by the LESSEE as additional rent. In connection with the drive-through facility, the proposal includes the installation of a 30 -inch wide ornamental canopy over a portion of the existing southeast side of the building at 530 Turnpike Street, and the proposal would result in the displacement of 3 existing parking spaces for the drive-through vehicle lane. As discussed with you, we are requesting that you confirm that it is your collective determination that no site plan review or parking relief' is required under Sections 8.1 and 8.3 of the Zoning Bylaw as a result of the installation of the drive- through canopy facility and displacement of 3 parking spaces at the Property. We also request that you confirm that the proposed canopy would be exempt from the side yard setback requirements pursuant to Section 7.32 of the Zoning Bylaw. The number of required parking spaces for Salem Five's office use was 13.33 spaces prior to the 2008 amendments, and the current requirement for the same use after the 2008 amendments is 22, or a net increase in required parking spaces of 8.67 spaces. b. Fitness For You. The number of required parking spaces for the use at Fitness For You was determined by the Building Inspector at the time as 51 spaces prior to the 2008 amendments, and the current requirement for the same use after the 2008 amendments is 35.46, or a net decrease in required parking spaces of 15.54 spaces. 3. Current Parking Requirements for 530 and 510 Turnpike Street. Combining the increase of 8.67 parking spaces for the Salem Five use with the decrease of 15.54 parking spaces required for the Fitness For You use means a 6.87 net decrease in parking required for 530 Turnpike Street. Accordingly, when you add the net decrease of required parking for 510 Turnpike Street (6.25 spaces) with the net decrease in required parking spaces for 530 Turnpike Street (6.87 spaces), there is a total net reduction of required parking of 13.12 spaces. 4. Parking Summary. As noted above, the parking requirements for the entire Property before the 2008 parking amendments to the Zoning Bylaw was 127 parking spaces. As a result of the 2008 parking amendments adopted at Town Meeting, the required number of parking spaces has dropped to 113.75, or 114 required parking spaces. This would mean that a total of 114 parking spaces would be required after the construction of the drive-through facility although a total of 124 parking spaces would be physically available for use by Pico Trust. This means there are 10 parking spaces available for use by the Property in excess of the number of spaces required by the Zoning Bylaw. Based upon discussions with both of you, the Building Inspector has determined that the changes in parking numbers would not require Site Plan Review under Section 8.3 of the Zoning Bylaw, nor would the displacement of 3 parking spaces currently located on the site trigger any relief required under the parking provisions of Section 8.1 of the Zoning Bylaw. Drive -Through Facility Requirements The other item discussed with you was whether any zoning relief was required for the installation of the cloth/canvas canopy to be located above the newly proposed drive-through window facility. A copy of the specifications and illustration for the canopy are attached as Exhibit C. As noted in our meeting, the canopy would protrude approximately 30 inches from the southeast side of the building at 530 Turnpike Street. SMOLAK & VAUGHAN LLP Judy Tymon Town Planner Gerald Brown Building Commissioner October 26, 2010 As indicated by the Building Commissioner, however, the canopy would constitute an "ornamental feature" or otherwise fall within the new exemption from the otherwise applicable side yard setback requirements under Section 7.32 of the Zoning Bylaw which was enacted at the May, 2010 Annual Town Meeting. As a result, you have indicated that no variance relief from the side yard setback is required for the installation of the canopy. Conclusion. In summary, and as noted above, we are requesting that you confirm that it is your collective determination that no site plan review or parking relief is required under Sections 8.1 and 8.3 of the Zoning Bylaw as a result of the displacement of 3 parking spaces at the Property. Further, we request that you confirm that the proposed canopy would be exempt from the side yard setback requirements pursuant to Section 7.32 of the Zoning Bylaw. The Property includes two buildings including 510 Turnpike Street (which includes an 18,764 s.f. building), and 530 Turnpike Street (which includes a 14,640 s.f. building). The site at 530 Turnpike Street includes the Salem Five Bank branch offices, along with the Fitness For You health club. A site plan which was approved by both the Board of Appeals and Planning Board in 2003, and which depicts the existing conditions at the Property today, is attached as Exhibit B. Property History In 2003, the Building Inspector at the time made a determination that certain variances were required as part of a parking reconfiguration related to proposed new uses in the buildings at the Property. Accordingly, the ZBA granted two variances which allowed: a. an 11.5 feet width of one way aisle along right (southeast) side of 530 Turnpike Street where a 25 -foot width is required for parking spaces to count toward the parking requirement on that side of the building; and, b. a 39.5 foot landscaped buffer along Route 114 where 50 feet of landscaped buffer is required. At that time it 2003, the ZBA allowed for 127 parking spaces, including the use of 25 off- site parking spaces which were secured by a recorded easement agreement with an abutting property owner as permitted under zoning provisions in 2003. Parking Space Requirements In 2006, Salem Five approached Pico Trust concerning the ability of Salem Five to construct a drive-through facility along the southeast wall of 530 Turnpike Street. The parking requirements and related parking calculations for 510 Turnpike (the adjacent building) as well as 530 Turnpike Street were as follows: 510 Turnpike Street 0 18,764 s.f. GFA of office requiring 1 sp/300 s.f. GFA =13.33 spaces • 10,640 s.f. of GFA (Fitness for You) (parking determined as provided below) with 51 spaces Note that in 2006, the prior building inspector determined that the fitness center use at 530 Turnpike Street was classified as a "Hall, club, theater or other place of amusement or assembly" under the General Business use provisions of the Zoning Bylaw (Section 4.131(3)), and at that time, determined that 51 spaces were required for the Fitness For You use based upon the number of pieces of fitness equipment within the premises. At that time in 2006, the proposed drive-through facility would have displaced a total of 3 parking spaces but the parties decided not to proceed with the drive-through proposal at the time. As a result, the number of parking spaces at the time, (and currently) remain at 127. 2010 -- Parkiig In 2008, the parking provisions of the zoning bylaw (Section 8.1) were amended at the Annual Town Meeting and provided for a completely new set of parking requirements including: (a) new parking requirements for a bank with a drive-through facility; (b) a slight reduction in parking requirements for office uses; and, (3) a new parking designation for health clubs/fitness centers. We have prepared parking charts for each building which compare the requirements in effect before the 2008 Town Meeting (i.e., 2003 whenthe variances were granted and again in 2006 when Salem Five first approached Pico Trust concerning drive-through facilities), and after the 2008 Town Meeting approval of amendments to the parking provisions of the zoning bylaw. These charts are attached as Exhibit A. The following is a summary of the changes: 1. 510 Turnpike Street. The number of required parking spaces for 510 Turnpike Street, which includes 100% office use, was 62.54 spaces prior to the 2008 amendments, and the current requirement for the sante use after the 2008 amendments is 56.29, or a net reduction in required parking spaces of 6.25 spaces. 2. 530 Turnpike Street. The premises at 530 Turnpike Street includes a total of 14,640 s.f., of which 4,000 s.f. is used by Salem Five as a office for a bank branch, and 10,640 s.f. is used as a health club/fitness center. The number of required parking spaces for Salem Five's office use was 13.33 spaces prior to the 2008 amendments, and the current requirement for the same use after the 2008 amendments is 22, or a net increase in required parking spaces of 8.67 spaces. b. Fitness For You. The number of required parking, spaces for the use at Fitness For You was determined by the Building Inspector at the time as 51 spaces prior to the 2008 amendments, and the current requirement for the same use after the 2008 amendments is 35.46, or a net decrease in required parking spaces of 15.54 spaces. Current Parking Requirements for 530 and 510 Turnpike Street. Combining the increase of 8.67 parking spaces for the Salem Five use with the decrease of 15.54 parking spaces required for the Fitness For You use means a 6.87 net decrease in parking required for 530 Turnpike Street. Accordingly, when you add the net decrease of required parking for 510 Turnpike Street (6.25 spaces) with the net decrease in required parking spaces for 530 Turnpike Street (6.87 spaces), there is a total net reduction of required parking of 13.12 spaces. 4. Parking Summary. As noted above, the parking requirements for the entire Property before the 2008 parking amendments to the Zoning Bylaw was 127 parking spaces. As a result of the 2008 parking amendments adopted at Town Meeting, the required number of parking spaces has dropped to 113.75, or 114 required parking spaces. This would mean that a total of 114 parking spaces would be required after the construction of the drive-through facility although a total of 124 parking spaces would be physically available for use by Pico Trust. This means there are 10 parking spaces available for use by the Property in excess of the number of spaces required by the Zoning Bylaw. Based upon discussions with both of you, the Building Inspector has determined that the changes in parking numbers would not require Site Plan Review under Section 8.3 of the Zoning Bylaw, nor would the displacement of 3 parking spaces currently located on the site trigger any relief required under the parking provisions of Section 8.1 of the Zoning Bylaw. Drive -Through Facility Requirements The other item discussed with you was whether any zoning relief was required for the installation of the cloth/canvas canopy to be located above the newly proposed drive-through window facility. A copy of the specifications and illustration for the canopy are attached as Exhibit C. As noted in our meeting, the canopy would protrude approximately 30 inches from the southeast side of the building at 530 Turnpike Street. As a result, you have indicated that no variance relief from the side yard setback is required for the installation of the canopy. Conclusion.
