loan to the Assignor in the amount of $9,130.000.
WHEREAS, the Assignor has executed and delivered to Assignee
a deed with quitclaim -covenants transferring all of Assignor's right,
title.and interest in and to the housing development and which deed
is to be simultaneously recorded.herewith.
WHEREAS, theAssignee desires to assume themortgageloan,
accept An -assignment of all documents related thereto and to the
construction and:operatidn Of the housing development frau the Assignor,
and accept an assignment of that certain Stock Repurchase Fund related
to the establishment of a cooperative housing developnents.such assumption
and acceptance to be unconditional and without recourse;
WHEREAS, the Assignor desires to assign alt mortgage loan
obligations. all doctiments related thereto and that certain Stock
Repurchase Fund related to,the establishment of a cooperative housing
development.
WHEREAS. MHFA is willingto give its consent to the assignment
of the mortgage loan obligation.an.d all documents relating thereto from
the Assignor to the Assignee;
