Evaluation of `Trash Truck Route Monitoring System' Submissions
Minimum Criteria/Oualifications
Each applicant must demonstrate that it meets the following minimum qualifications:
A. Bidders shall have a minimum of three (3) years experience in performing the work described in
this RFP.
B. Bidders shall submit lists of contracts performed that are similar in scope to this project with
contact names and telephone numbers.
C. Bidder provides all information requested in Section 7, Paragraphs A-1 of this RFP
D. The bidder provides a detailed written description of the proposed System Integration Plan
including a master schedule as requested in Section 7, Paragraph H.
E. The bidder provides a one year warranty on all hardware and operational performance as well as
full customer support and training as requested in Section 7, Paragraph I.

Re: Trash Truck Route RFP
This memo is in regards to the review of the submission by RFID Global. It is my opinion that
the minimum criterion has been met, however there needs to be a better break down of the cost
as it relates to the project. We need to understand how the proposer came up with the number of
components, not just a total of the components needed.
Would it be possible to tell the proposer that they meet the minimum criterion and would be the
winner if we had the funding in place, but to accomplish accessing the funding we need more
clarification? I would recommend a pre -arranged conference call with the reviewers and the
applicant, or a face to face meeting.
Without additional specifics and possibly compromise as to a phased approach, the proposal can
not move forward.

HEALTH DEPARTMENT
1. The Site Survey in Phase I should not have to be a requisite, maps showing the location and
designated roadways are detailed in reference(MC Feasibility Study) cited In RFP. RFIDGS should
have requested the necessary information. I believe use of said information would provide
adequate definition for installation purposes and thereby lower the labor cost.
•2. Proposal provides a satisfactory description of the system functionality but does not Include the
System Integrated Pian (SIP) asked for in the RFP.
3. Training and technical support Included in the Proposal appears to be complete but needs more
details since It Is important to the Town the system be user friendly, robust and reliable.
4. Since the Proposal pricing for labor is a ROM I suggest the Town request a detailed description
and breakdown of the labor costs. it is necessary to have the required man hours for each task
identified In the SIP and the associated labor rates. The bidder must comply to assure complete
transparency.
Closing Remarks
In order to get a greater response to the RFP it would have to be posted in media other than
what Is used at present by the Town.
If It is acceptable to send the RFP to selected companies, inviting them to respond, I can provide
a list of several companies to contact.

Evaluation of `Trash Truck Route Monitoring System' Proposal
Only one (1) submission was received in response to the Request for Proposals for `Trash Truck
Route Monitoring System'.
The following documents are included in this package:
The complete Request for Proposals document;
One (1) copy of the "Evaluation of On-line Bill Pay Services Submissions" form;
Copy of the one (1) proposal to evaluate.
You will first need to read the Request for Proposals document to acquaint yourself with the
stated requirements. I have included in the evaluation form the specific requirements for the
comparative evaluation criteria.
For each of the comparative evaluation criteria, you must score the proposal as either "highly

1. Introduction
The Town of North Andover (`Town') is issuing this Request for Proposals (RFP) for a trash
truck route monitoring system. The Town is seeking an Automatic Identification and Data
Capture (AIDC) based system solution that can replace its present process for permitting
designated routing and monitoring of operating waste disposal trucks. The Town is interested in
an AIDC system that is capable of real-time detection of waste disposal trucks entering and
leaving the town to and from the recycling and incinerator facilities located on Holt Road as well
as waste collection vehicles operating within the town. The system must also have the ability to

2. Background
Unauthorized use of non -designated roadways for the movement of waste hauling vehicles in the
Town of North Andover imposes a substantial burden on town residents and threatens public
health, safety and the environment. The Board of Selectmen coordinate engineering, education,
information, and enforcement efforts taken to ensure safe and unimpeded movement of vehicular
traffic and specifically to mitigate the negative impacts relating to waste disposal truck traffic on
the health and welfare of its citizens. At present the Town of North Andover Health Department
is responsible for the present program used for the routing of waste disposal trucks entering and
leaving the town to and from the recycling and incinerator facilities located on Holt Road as
well as waste collection vehicles within the town. This is done using a labor intensive permitting

and administrative process that is monitored visually on -road and enforced by the Police
Department.
Description of the Present Program: Outlined in the Town of North Andover Board of Health
Regulations Concerning the Hauling and Disposal of Solid Waste is the limitations on actual
truck travel and pick up throughout North Andover. All waste hauling companies transporting
solid waste through North Andover for disposal are required to apply for a permit annually from
the North Andover Board of Health. This application is accompanied with a permit fee (not per
truck). Each permit issued requires each recipient uses the Designated Route defined by the
permit sticker displayed on the left side of the front bumper. The North Andover Police
Department is authorized to issue tickets and violation notices for any violations of these
regulations and/or permit requirements.
Because there are many businesses throughout North Andover that require trash services, it is
impossible to keep all truck traffic out of the town. The Board of Health also does not want to
negatively affect these businesses. Therefore, it is necessary to have a process that monitors the
trucks driving throughout the town. Trucking companies can apply for and purchase "placards"
which give them legal rights to travel on certain roads in North Andover. Details of the
designated routes within the Town and the route for said trucks entering the Town are given in
the Statement of Work.
Assessment of the Current Program: At present there are several problems with the existing
program. The four most significant ones being:
• The labor costs of administration and monitoring compliance
• The financial costs of enforcing the program
• Difficulty in assuring the program's reliability
• The physical burden on Health Department personnel
In order to eliminate the difficulties of the current program, the Health Department working with
the Science and Engineering Division at Merrimack College has conducted a Truck Route
Management and Community Impact Reduction study (Ref 1). This document describes the
research and findings that identify and examine solutions using AIDC Technology. Three
technologies that offer viable solutions for monitoring waste hauling trucks that can be used in
place of the current program are Global Positioning Systems (GPS), Video capabilities, and
Radio Frequency Identification (RFID) technology. While all three have merit the consensus
arrived at from the study is a system using both RFID and Video technology is the preference.
3. Pre -Proposal Conference/Briefing
There will be no pre -proposal submission conference/briefing for this project

Qualified solution providers are requested to submit proposals in a sealed envelope marked
"Trash Truck Route Monitoring System" with the bidder's name and address on the front.

Bidders should provide one (1) signed original proposal and four (4) copies. Fax or electronic
submissions will not be accepted.
Bidders must also execute and include in the sealed submission the Certificate of Non -Collusion
and the Certificate of Tax Compliance. The Town of North Andover, through the Town
Manager, is the awarding authority and reserves the right to reject any and all proposals or parts
of proposals; to waive any defects, information, and minor irregularities; to accept exceptions to
these specifications; and to award contracts or to cancel this Request for Proposals if it is in the
Town of North Andover's best interest to do so.
Proposals must be signed as follows: a) if the bidder is an individual, by her/him personally; b) if
the bidder is a partnership, by the name of the partnership, followed by the signature of each
general partner; and c) if the bidder is a corporation, by the authorized officer, whose signature
must be attested to by the Clerk/Secretary of the corporation and the corporate seal affixed.
All sealed proposals must be received and registered by the Assistant Town Manager's office by
Monday, August 16, 2010 at 2:00 p.m. All outer envelopes must be labeled "Trash Truck Route

any type of delivery system shall be cause for rejection. If on the date and time of the submittal
deadline the Town Hall is closed due to an uncontrolled event such as fire, snow, ice, wind or
building evacuation, the submittal deadline will be postponed until 2:00 p.m. on the next normal
business day.

7. Statement of Work
This section addresses the major parts of the work required to achieve the project objectives,
including the functional and performance specifications, hardware and software required and the
data network.
The overall objective is to place into operation a system for the purpose of managing and
controlling the movement of solid waste disposal vehicles that require access to the Town
roadways to deliver loads to the facilities located on Holt Road and will be efficient and less
costly to administer and enforce than what currently exists. .
There are two categories of permits for waste vehicles, exempt and non-exempt.

The present system has three different road allowances for exempt permits:
• One which provides egress from Route 114 to Route 495
• One which allows travel from Route 133 to Route 125
• One which provides access to all roads within North Andover
Non-exempt trash haulers are restricted to the use of Route 495 to Route 125 Connector and
southerly on Route 125 to Holt Road for access to these facilities. To exit the facilities, they must
travel Holt Road to Route 125 North to Route 125 Connector, and to Route 495. A non-exempt
hauler is not allowed to take a right handed turn out of Holt Road or a left hand turn into Holt
Road or any travel through downtown North Andover; this is only permitted for the exempt
category.
Based on the referenced study a system consisting of RFID readers, tags and video cameras can
be implemented to provide the desired real-time monitoring and verification of captured
violations at the aforementioned roadways. Waste haulers, carrying an active RFID tag, can be
identified by a RFID reader (or readers) suitably located at the junction of Route 125 and Holt
Road. The proposed system architecture must include suitable connectivity to the Police and
Health Departments.
All Bidders must provide the listed items below:
A. Functional description of the proposed system specifying the hardware, software and data
networking elements.
B. Specify the proposed tag type and describe how it will be commissioned and mounted to
the typical waste hauling vehicle.
C. Specify the location of readers on designated routes at key Town road locations to enable
detection of exempt and non-exempt tagged vehicles.
D. Specify the video camera and how it is to be integrated into the tag/reader segment.
E. Provide the description of how the readers will be mounted and powered and connected to
data network.
F. Specify the environmental performance capabilities of the proposed hardware, including
temperature range, moisture and humidity, shock and vibration, wind force and all other
outdoor weather factors.
G. Include descriptions of the operational software that will be used for acquiring tag data,
violation detection, data management and control algorithms, middleware, security and
networking architecture.

• Include the technical details for the proposed network architecture, specifying
the functional and performance capabilities that enable real-time connectivity

4.1 Acceptance: All Contracts require proper acceptance of the described goods or

4.2 Contract Documents: All documents relative to the Contract including (where
used) Instructions to Bidders, Proposal Form, General Conditions, Supplementary

Project Manual, Drawings, and all Addenda issued during the bidding period. The
Contract documents are complementary, and what is called for by any one shall be

4.6 SubContractor: Those having a direct Contract with the Contractor. The term
includes one who furnished material worked to a special design according to the
Drawings or Specifications of this work, but does not include one who merely
furnishes material not so worked.
4.7 Work: The services or materials contracted for, or both.
5. Term of Contract and Time for Performance:
This Contract shall be fully performed by the Contractor in accordance with the provisions of the
Contract Documents on or before , unless extended pursuant to a
provision for extension contained in the Contract documents at the sole discretion of the Town,
and not subject to assent by the Contractor, and subject to the availability and appropriation of
funds as certified by the Town Accountant. The time limits stated in the Contract documents are
of the essence of the Contract.
6. Subject to Appropriation:
Notwithstanding anything in the Contract documents to the contrary, any and all payments which
the Town is required to make under this Contract shall be subject to appropriation or other
availability of funds as certified by the Town Accountant. In the absence of appropriation, this
Contract shall be immediately terminated without liability for damages, penalties or other
charges.

7. Permits and Approvals:
Permits, Licenses, Approvals and all other legal or administrative prerequisites to its
performance of the Contract shall be secured and paid for by the Contractor.
8. Termination and Default:
8.1 Without Cause. The Town may terminate this Contract on seven (7) calendar days
notice when in the best interests of the Town by providing notice to the Contractor,
which shall be in writing and shall be deemed delivered and received when given in
person to the Contractor, or when received by fax, express mail, certified mail return
receipt requested, regular mail postage prepaid or delivered by any other appropriate
method evidencing actual receipt by the Contractor. Upon termination without cause,
Contractor will be paid for services rendered to the date of termination.
8.2 For Cause. If the Contractor is determined by the Town to be in default of any term
or condition of this Contract, the Town may terminate this Contract on seven (7) days
notice by providing notice to the Contractor, which shall be in writing and shall be
deemed delivered and received when given in person to the Contractor, or when
received by fax, express mail, certified mail return receipt requested, regular mail
postage prepaid or delivered by any other appropriate method evidencing actual
receipt by the Contractor.
8.3 Default. The following shall constitute events of a default under the Contract:
1) any material misrepresentation made by the Contractor to the Town; 2) any
failure to perform any of its obligations under this Contract including, but not
limited to the following: (i) failure to commence performance of this Contract at
the time specified in this Contract due to a reason or circumstance within the
Contractor's reasonable control, (ii) failure to perform this Contract with
sufficient personnel and equipment or with sufficient material to ensure the
completion of this Contract within the specified time due to a reason or
circumstance within the Contractor's reasonable control, (iii) failure to perform
this Contract in a manner reasonably satisfactory to the Town, (iv) failure to
promptly re -perform within a reasonable time the services that were rejected by
the Town as unsatisfactory, or erroneous, (v) discontinuance of the services for
reasons not beyond the Contractor's reasonable control, (vi) failure to comply
with a material term of this Contract, including, but not limited to, the provision
of insurance and non-discrimination, (vii) any other acts specifically and
expressly stated in this Contract as constituting a basis for termination of this
Contact, and (viii) failure to comply with any and all requirements of state law
and/or regulations, and Town bylaw and/or regulations.
9. The Contractor's Breach and the Town's Remedies:
Failure of the Contractor to comply with any of the terms or conditions of this Contract
shall be deemed a material breach of this Contract, and the Town of North Andover shall

have all the rights and remedies provided in the Contract documents, the right to cancel,
terminate, or suspend the Contract in whole or in part, the right to maintain any and all
actions at law or in equity or other proceedings with respect to a breach of this Contract,
including damages and specific performance, and the right to select among the remedies
available to it by all of the above.
From any sums due to the Contractor for services, the Town may keep the whole or any
part of the amount for expenses, losses and damages incurred by the Town as a
consequence of procuring services as a result of any failure, omission or mistake of the
Contractor in providing services as provided in this Contract.
10. Statutory Compliance:
10.1 This Contract will be construed and governed by the provisions of applicable
federal, state and local laws and regulations; and wherever any provision of the
Contract or Contract documents shall conflict with any provision or requirement
of federal, state or local law or regulation, then the provisions of law and
regulation shall control. Where applicable to the Contract, the provisions of the
General Laws are incorporated by reference into this Contract, including, but not
limited to, the following:
General Laws Chapter 30B — Procurement of Goods and Services.
General Laws Chapter 30, Sec. 39, et seq: - Public Works Contracts.
General Laws Chapter 149, Section 44A, et seq: Public Buildings Contracts.
10.2 Wherever applicable law mandates the inclusion of any term and provision into a
municipal contract, this Section shall be understood to import such term or
provision into this Contract. To whatever extent any provision of this Contract
shall be inconsistent with any law or regulation limiting the power or liability of
cities and towns, such law or regulation shall control.
10.3 The Contractor shall give all notices and comply with all laws and regulations
bearing on the performance of the Contract. If the Contractor performs the
Contract in violation of any applicable law or regulation, the Contractor shall bear
all costs arising therefrom.
10.4 The Contractor shall keep itself fully informed of all existing and future State and
National Laws and Municipal By-laws and Regulations and of all orders and
decrees of any bodies or tribunals having jurisdiction in any manner affecting
those engaged or employed in the work, of the materials used in the work or in any
way affecting the conduct of the work. If any discrepancy or inconsistency is
discovered in the Drawings, Specifications or Contract for this work in violation of
any such law, by-law, regulation, order or decree, it shall forthwith report the same
in writing to the Town. It shall, at all times, itself observe and comply with all
such existing and future laws, by-laws, regulations, orders and decrees; and shall

protect and indemnify the Town of North Andover, and its duly appointed agents
against any claim or liability arising from or based on any violation whether by
him or its agents, employees or subcontractors of any such law, by-law, regulation
or decree.
11. Conflict of Interest:
Both the Town and the Contractor acknowledge the provisions of the State Conflict of
Interest Law (General Laws Chapter 268A), and this Contract expressly prohibits any
activity which shall constitute a violation of that law. The Contractor shall be deemed to
have investigated the application of M.G.L. c. 268A to the performance of this Contract;
and by executing the Contract documents the Contractor certifies to the Town that neither
it or its agents, employees, or subcontractors are thereby in violation of General Laws
Chapter 268A.
12. Certification of Tax Compliance
This Contract must include a certification of tax compliance by the Contractor, as
required by General Laws Chapter 62C, Section 49A (Requirement of Tax Compliance
by All Contractors Providing Goods, Services, or Real Estate Space to the
Commonwealth or Subdivision).
13. Discrimination
The Contractor will carry out the obligations of this Contract in full compliance with all
of the requirements imposed by or pursuant to General Laws Chapter 151 B (Law Against
Discrimination) and any executive orders, rules, regulations, and requirements of the
Commonwealth of Massachusetts as they may from time to time be amended.
14. Assignment:
Assignment of this Contract is prohibited, unless and only to the extent that assignment is
provided for expressly in the Contract documents.
15. Condition of Enforceability Against the Town:
This Contract is only binding upon, and enforceable against, the Town if. (1) the
Contract is signed by the Town Manager or its designee; and (2) endorsed with approval
by the Town Accountant as to appropriation or availability of funds; and (3) endorsed
with approval by the Town Counsel as to form.
16. Corporate Contractor:
If the Contractor is a corporation, it shall endorse upon this Contract (or attach hereto) its
Clerk's Certificate certifying the corporate capacity and authority of the party signing this
Contract for the corporation. Such certificate shall be accompanied by a letter or other

instrument stating that such authority continues in full force and effect as of the date the
Contract is executed by the Contractor. This Contract shall not be enforceable against the
Town of North Andover unless and until the Contractor complies with this section.
The Contractor, if a foreign corporation, shall comply with the provisions of the General
Laws, Chapter 181, Sections 3 and 5, and any Acts and Amendments thereof, and in
addition thereto, relating to the appointment of the Commissioner of Corporations as its
attorney, shall file with the Commissioner of Corporations a Power of Attorney and duly
authenticated copies of its Charter or Certificate of Incorporation; and said Contractor
shall comply with all the laws of the Commonwealth.
17. Liability of Public Officials:
To the full extent permitted by law, no official, employee, agent or representative of the
Town of North Andover shall be individually or personally liable on any obligation of the
Town under this Contract.
18. Indemnification:
The Contractor shall indemnify, defend and save harmless the Town, the Town's officers,
agents and employees, from and against any and all damages, liabilities, actions, suits,
proceedings, claims, demands, losses, costs, expenses, recoveries and judgments of every
nature and description (including reasonable attorneys' fees) that may arise in whole or in
part out of or in connection with the work being performed or to be performed, or out of
any act or omission by the Contractor, its employees, agents, subcontractors, material
men, and anyone directly or indirectly employed by any of them or anyone for whose acts
any of them may be liable, regardless of whether or not it is caused in part by any party
indemnified hereunder. The Contractor further agrees to reimburse the Town for damage
to its property caused by the Contractor, its employees, agents, subcontractors or material
men, and anyone directly or indirectly employed by any of them or anyone for whose acts
any of them may be liable, including damages caused by his, its or their use of faulty,
defective, or unsuitable material or equipment, unless the damage is caused by the
Town's gross negligence or willful misconduct. The existence of insurance shall in no
way limit the scope of the Contractor's indemnification under this contract.
19. Workers Compensation Insurance:
The Contractor shall provide by insurance for the payment of compensation and the
furnishing of other benefits under Chapter 152 of the General Laws of Massachusetts
(The Worker's Compensation Act) to all employees of the Contractor who are subject to
the provisions of Chapter 152 of the General Laws of Massachusetts.
Failure to provide and continue in force such insurance during the period of this Contract
shall be deemed a material breach of this Contract, shall operate as an immediate
termination thereof, and Contractor shall indemnify the Town for all losses, claims, and
actions resulting from the failure to provide the insurance required by this Article.

The Contractor shall furnish to the Town evidence of such insurance prior to the
execution of this Contract before the same shall be binding on the parties thereto, except
if specifically waived by the Town.
20. Documents, Materials, Etc.
Any materials, reports, information, data, etc. given to or prepared or assembled by the
Contractor under this Contract are to be kept confidential and shall not be made available
to any individual or organization by the Contractor (except agents, servants, or employees
of the Contractor) without the prior written approval of the Town, except as otherwise
required by law. The Contractor shall comply with the provisions Chapter 66A of the
General Laws of Massachusetts as it relates to public documents, and all other state and
federal laws and regulations relating to confidentiality, security, privacy and use of
confidential data.
Any materials produced in whole or in part under this Contract shall not be subject to
copyright, except by the Town, in the United States or any other country. The Town
shall have unrestricted authority to, without payment of any royalty, commission, or
additional fee of any type or nature, publicly disclose, reproduce, distribute and otherwise
use, and authorize others to use, in whole or in part, any reports, data or other materials
prepared under this Contract.
All data, reports, programs, software, equipment, furnishings, and any other
documentation or product paid for by the Town shall vest in the Town at the termination
of this Contract. The Contractor shall at all times, during or after termination of this
Contract, obtain the prior written approval of the Town before making any statement
bearing on the work performed or data collected under this Contract to the press or issues
any material for publication through any medium.
21. Audit, Inspection and Recordkegping
At any time during normal business hours, and as often as the Town may deem it
reasonably necessary, there shall be available in the office of the Contractor for the
purpose of audit, examination, and/or to make excerpts or transcript all records, contracts,
invoices, materials, payrolls, records of personnel, conditions of employment and other
data relating to all matters covered by this Agreement.
22. PaMent
The Town agrees to make all reasonable efforts to pay to the Contractor the sum set forth
in the Contractor's bid or proposal within thirty (30) days of receipt of an invoice
detailing the work completed and acceptance from the Town of the work completed.

23. Waiver and Amendment
Amendments, or waivers of any additional term, condition, covenant, duty or obligation
contained in this Contract may be made only by written amendment executed by all
signatories to the original Agreement, prior to the effective date of the amendment.
To the extent allowed by law, any conditions, duties, and obligations contained in this
Contract may be waived only by written Agreement by both parties.
Forbearance or indulgence in any form or manner by a party shall not be construed as a
waiver, nor in any manner limit the legal or equitable remedies available to that party.
No waiver by either party of any default or breach shall constitute a waiver of any
subsequent default or breach of a similar or different matter.
24. Forum and Choice of Law
This Contract and any performance herein shall be governed by and be construed in
accordance with the laws of the Commonwealth. Any and all proceedings or actions
relating to subject matter herein shall be brought and maintained in the courts of the
Commonwealth or the federal district court sitting in the Commonwealth, which shall
have exclusive jurisdiction thereof. This paragraph shall not be construed to limit any
other legal rights of the parties.
25. Notices
Any notice permitted or required under the provisions of this Contract to be given or
served by either of the parties hereto upon the other party hereto shall be in writing and
signed in the name or on the behalf of the party giving or serving the same. Notice shall
be deemed to have been received at the time of actual service or three (3) business days
after the date of a certified or registered mailing properly addressed. Notice to the
Contractor shall be deemed sufficient if sent to the address set forth in the Contract and to
the Town of North Andover by being sent to the Town Manager, Town Hall, 120 Main
Street, North Andover, Massachusetts 01845.
26. Binding on Successors:
This Contract shall be binding upon the Contractor, its assigns, transferees, and/or
successors in interest (and where not corporate, the heirs and estate of the Contractor).
27. Complete Contract:
This instrument, together with its endorsed supplements, and the other components of the
contract documents, constitutes the entire contract between the parties, with no
agreements other than those incorporated herein.

The foregoing provisions apply to all contracts to which the Town of North Andover

SUPPLEMENT "S"
This form supplements the general provisions of the Contract between the Town of North Andover, and
, which Contract is a contract for the procurement of services.
"Services" shall mean furnishing of labor, time, or effort by the Contractor. This term shall not include
employment agreements, collective bargaining agreements, or grant agreements.
Change Orders:
Change orders for contracts subject to Massachusetts General laws Chapter 30B may not increase the
quantity of services by more than twenty-five (25%) per cent, in compliance with General Laws Chapter
30B, §13.
Minimum Wage/Prevailing Wage;
The Contractor will carry out the obligations of this Contract in full compliance with all of the
requirements imposed by or pursuant to General Laws Chapter 151, §1, et seq. (Minimum Wage Law)
and any executive orders, rules, regulations, and requirements of the Commonwealth of Massachusetts as
they may from time to time be amended. The Contractor will at all times comply with the wage rates as
determined by the Commissioner of the Department of Labor and Industries, under the provisions of
General Laws Chapter 149, 26 to 27D (Prevailing Wage), as shall be in force and as amended.
Insurance -
The Contractor shall obtain and maintain the following insurance:
5.1 Workers Compensation Insurance of the scope and amount required by the laws of the
Commonwealth of Massachusetts.
5.2.1 Broad Form Commercial General Liability coverage with limits of at least $1 Million per
occurrence and $3 Million aggregate, and which shall cover bodily injury, death, or
property damage arising out of the work.
5.3 Automobile Liability Coverage, including coverage for owned, hired, or borrowed
vehicles with limits of at least $1 Million per person, and $1 Million per accident.
5.4 The intent of the Specifications regarding insurance is to specify minimum coverage and
minimum limits of liability acceptable under the Contract. However, it shall be the
Contractor's responsibility to purchase and maintain insurance of such character and in
such amounts as will adequately protect it and the Town from and against all claims,
damages, losses and expenses resulting from exposure to any casualty liability in the
performance of the work.
5.5 All required insurance shall be certified by a duly authorized representative of the
insurers on the "MIIA" or "ACORD" Certificate of Insurance form incorporated into and
made a part of this agreement. Properly executed certificates signifying adequate

coverage in effect for the duration of the contract with renewal certificates issued not less
than 30 days prior to expiration of a policy period, must be submitted to the Town prior
to commencement of this Agreement.
5.6 The Town shall be named as an additional insured on the above referenced liability
policies, and the Contractor's insurance shall be the primary coverage. The cost of such
insurance, including required endorsements or amendments, shall be the sole
responsibility of the Contractor.
6. Indemnification:
The Contractor shall indemnify, defend and save harmless the Town, its officers, agents and
employees from and against any and all damages, liabilities, actions, suits, proceedings, claims,
demands, losses, costs, expenses, recoveries and judgments of every nature and description
(including reasonable attorneys' fees) brought or recovered against them that may arise in whole
or in part out of or in connection with the work being performed or to be performed, or out of
any act or omission by the Contractor, its employees, agents, subcontractors, material men, and
anyone directly or indirectly employed by any of them or anyone for whose acts any of them
may be liable, regardless of whether or not it is caused in part by any party indemnified
hereunder. The Contractor further agrees to reimburse the Town for damage to its property
caused by Contractor, its employees, agents, subcontractors or material men, and anyone directly
or indirectly or indirectly employed by any of them or anyone for whose acts any of them may be
liable, including damages caused by his, its or their use of faulty, defective or unsuitable material
or equipment, unless the damage is caused by the Town's gross negligence or willful
misconduct. The existence of insurance shall in no way limit the scope of this indemnification.

1. Introduction
The Town of North Andover (`Town') is issuing this Request for Proposals (RFP) for a trash
truck route monitoring system. The Town is seeking an Automatic Identification and Data
Capture (AIDC) based system solution that can replace its present process for permitting
designated routing and monitoring of operating waste disposal trucks. The Town is interested in
an AIDC system that is capable of real-time detection of waste disposal trucks entering and
leaving the town to and from the recycling and incinerator facilities located on Holt Road as well
as waste collection vehicles operating within the town. The system must also have the ability to
validate and send unauthorized events upon detection to alert the Police Department for action
and to the Health Department for record.
Qualified vendors are requested to submit their proposals to the Assistant Town Manager at the
Town Hall, 120 Main Street, North Andover, MA, in accordance with the instructions contained
within this RFP.
Notice of this RFP is published in the Goods and Services Bulletin (which is a weekly
publication of the Office of the Secretary of State), the Eagle -Tribune (a newspaper of general
circulation) and posted on the Town website (www.townofnorthandover.com) under "Available
Bids, Quotes and Proposals"

The Town of North Andover may cancel this RFP or reject in whole or in part any and all
proposals, if they determine that cancellation or rejection serves the best interest of the Town of
North Andover.
2. Background
Unauthorized use of non -designated roadways for the movement of waste hauling vehicles in the
Town of North Andover imposes a substantial burden on town residents and threatens public
health, safety and the environment. The Board of Selectmen coordinate engineering, education,
information, and enforcement efforts taken to ensure safe and unimpeded movement of vehicular
traffic and specifically to mitigate the negative impacts relating to waste disposal truck traffic on
the health and welfare of its citizens. At present the Town of North Andover Health Department
is responsible for the present program used for the routing of waste disposal trucks entering and
leaving the town to and from the recycling and incinerator facilities located on Holt Road as
well as waste collection vehicles within the town. This is done using a labor intensive permitting

and administrative process that is monitored visually on -road and enforced by the Police
Department.
Description of the Present Program: Outlined in the Town of North Andover Board of Health
Regulations Concerning the Hauling and Disposal of Solid Waste is the limitations on actual
truck travel and pick up throughout North Andover. All waste hauling companies transporting
solid waste through North Andover for disposal are required to apply for a permit annually from
the North Andover Board of Health. This application is accompanied with a permit fee (not per
truck). Each permit issued requires each recipient uses the Designated Route defined by the
permit sticker displayed on the left side of the front bumper. The North Andover Police
Department is authorized to issue tickets and violation notices for any violations of these
regulations and/or permit requirements.
Because there are many businesses throughout North Andover that require trash services, it is
impossible to keep all truck traffic out of the town. The Board of Health also does not want to
negatively affect these businesses. Therefore, it is necessary to have a process that monitors the
trucks driving throughout the town. Trucking companies can apply for and purchase "placards"
which give them legal rights to travel on certain roads in North Andover. Details of the
designated routes within the Town and the route for said trucks entering the Town are given in
the Statement of Work.
Assessment of the Current Program: At present there are several problems with the existing
program. The four most significant ones being:
• The labor costs of administration and monitoring compliance
• The financial costs of enforcing the program
• Difficulty in assuring the program's reliability
• The physical burden on Health Department personnel
In order to eliminate the difficulties of the current program, the Health Department working with
the Science and Engineering Division at Merrimack College has conducted a Truck Route
Management and Community Impact Reduction study (Ref 1). This document describes the
research and findings that identify and examine solutions using AIDC Technology. Three
technologies that offer viable solutions for monitoring waste hauling trucks that can be used in
place of the current program are Global Positioning Systems (GPS), Video capabilities, and
Radio Frequency Identification (RFID) technology. While all three have merit the consensus
arrived at from the study is a system using both RFID and Video technology is the preference.

Bidders must also execute and include in the sealed submission the Certificate of Non -Collusion
and the Certificate of Tax Compliance. The Town of North Andover, through the Town
Manager, is the awarding authority and reserves the right to reject any and all proposals or parts
of proposals; to waive any defects, information, and minor irregularities; to accept exceptions to
these specifications; and to award contracts or to cancel this Request for Proposals if it is in the
Town of North Andover's best interest to do so.
Proposals must be signed as follows: a) if the bidder is an individual, by her/him personally; b) if
the bidder is a partnership, by the name of the partnership, followed by the signature of each
general partner; and c) if the bidder is a corporation, by the authorized officer, whose signature
must be attested to by the Clerk/Secretary of the corporation and the corporate seal affixed.

Tuesday, June 8, 2010 at 2:00 p.m. All outer envelopes must be labeled "Trash Truck Route

No proposals will be accepted after the time and date noted. Late delivery of materials due to
any type of delivery system shall be cause for rejection. If on the date and time of the submittal
deadline the Town Hall is closed due to an uncontrolled event such as fire, snow, ice, wind or
building evacuation, the submittal deadline will be postponed until 2:00 p.m. on the next normal
business day.
All bidders must submit a list of a minimum of five references, with contact information, where
they are performing or have performed similar services in scope to this project in Massachusetts.

The Town accepts no liability for and will provide no accommodations to bidders who fail to

incorrect responses. Bidders may not alter (manually or electronically) the RFP language or any
RFP component files. Modifications to the body of the RFP, Scope of Work, terms and

numbered in sequence, and must reference the original RFP.
7. Statement of Work
This section addresses the major parts of the work required to achieve the project objectives,
including the functional and performance specifications, hardware and software required and the
data network.
The overall objective is to place into operation a system for the purpose of managing and
controlling the movement of solid waste disposal vehicles that require access to the Town
roadways to deliver loads to the facilities located on Holt Road and will be efficient and less
costly to administer and enforce than what currently exists. .
There are two categories of permits for waste vehicles, exempt and non-exempt.

The present system has three different road allowances for exempt permits:
• One which provides egress from Route 114 to Route 495
• One which allows travel from Route 133 to Route 125
• One which provides access to all roads within North Andover
Non-exempt trash haulers are restricted to the use of Route 495 to Route 125 Connector and
southerly on Route 125 to Holt Road for access to these facilities. To exit the facilities, they must
travel Holt Road to Route 125 North to Route 125 Connector, and to Route 495. A non-exempt
hauler is not allowed to take a right handed turn out of Holt Road or a left hand turn into Holt
Road or any travel through downtown North Andover; this is only permitted for the exempt
category.
Based on the referenced study a system consisting of RFID readers, tags and video cameras can
be implemented to provide the desired real-time monitoring and verification of captured
violations at the aforementioned roadways. Waste haulers, carrying an active RFID tag, can be
identified by a RFID reader (or readers) suitably located at the junction of Route 125 and Holt
Road. The proposed system architecture must include suitable connectivity to the Police and
Health Departments.
All Bidders must provide the listed items below:
A. Functional description of the proposed system specifying the hardware, software and data
networking elements.
B. Specify the proposed tag type and describe how it will be commissioned and mounted to
the typical waste hauling vehicle.
C. Specify the location of readers on designated routes at key Town road locations to enable
detection of exempt and non-exempt tagged vehicles.
D. Specify the video camera and how it is to be integrated into the tag/reader segment.
E. Provide the description of how the readers will be mounted and powered and connected to
data network.
F. Specify the environmental performance capabilities of the proposed hardware, including
temperature range, moisture and humidity, shock and vibration, wind force and all other
outdoor weather factors.
G. Include descriptions of the operational software that will be used for acquiring tag data,
violation detection, data management and control algorithms, middleware, security and
networking architecture.

• Include the technical details for the proposed network architecture, specifying
the functional and performance capabilities that enable real-time connectivity
between vehicles, Police and Health Departments.
H. Provide a detailed written description of the proposed System Integration Plan including
a master schedule.
The schedule shall identify all major work elements for installation,
operational verification and performance assessment; project milestones and a
critical path for time to completion TOC.
8. Minimum Criteria/Qualifications
A. Bidders shall have a minimum of three (3) years experience in performing the work
described in this RFP.
B. Bidders shall have a minimum of fifteen (15) government clients in Massachusetts.
C. Bidders shall submit a complete list of all contracts performed in Massachusetts in the
past three (3) years that are similar in scope to this project with contact names and
telephone numbers.
D. Bidders shall submit a minimum of five (5) references of contracts performed in
Massachusetts that are similar in scope to this project with contact names and telephone
numbers
E. Submission of separate and sealed narrative proposal and pricing proposal.
F. Submission of required statements and forms.

4.1 Acceptance: All Contracts require proper acceptance of the described goods or
services by the Town of North Andover. Proper acceptance shall be understood to
include inspection of goods and certification of acceptable performance for services
by authorized representatives of the Town to insure that the goods or services are
complete and are as specified in the Contract.

4.2 Contract Documents: All documents relative to the Contract including (where
used) Instructions to Bidders, Proposal Form, General Conditions, Supplementary
General Conditions, General Specifications, Other Specifications included in
Project Manual, Drawings, and all Addenda issued during the bidding period. The
Contract documents are complementary, and what is called for by any one shall be
as binding as if called for by all. The intention of the document is to include all
labor and materials, equipment and transportation necessary for the proper
performance of the Contract.
4.3 The Contractor: The "other party" to any Contract with the Town. This term
shall (as the sense and particular Contract so require) include Vendor, Contractor,
Engineer, or other label used to identify the other party in the particular Contract.
Use of the term "Contractor" shall be understood to refer to any other such label
used.
4.4 Date of Substantial Performance: The date when the work is sufficiently complete,
the services are performed, or the goods delivered, in accordance with Contract
documents, as modified by approved Amendments and Change Orders.
4.5 Goods: Goods, Supplies or Materials.
4.6 SubContractor: Those having a direct Contract with the Contractor. The term
includes one who furnished material worked to a special design according to the
Drawings or Specifications of this work, but does not include one who merely
furnishes material not so worked.
4.7 Work: The services or materials contracted for, or both.
5. Term of Contract and Time for Performance:
This Contract shall be fully performed by the Contractor in accordance with the provisions of the
Contract Documents on or before , unless extended pursuant to a
provision for extension contained in the Contract documents at the sole discretion of the Town,
and not subject to assent by the Contractor, and subject to the availability and appropriation of
funds as certified by the Town Accountant. The time limits stated in the Contract documents are
of the essence of the Contract.
6. Subject to Appropriation:
Notwithstanding anything in the Contract documents to the contrary, any and all payments which
the Town is required to make under this Contract shall be subject to appropriation or other
availability of funds as certified by the Town Accountant. In the absence of appropriation, this
Contract shall be immediately terminated without liability for damages, penalties or other
charges.

7. Permits and Approvals:
Permits, Licenses, Approvals and all other legal or administrative prerequisites to its
performance of the Contract shall be secured and paid for by the Contractor.
8. Termination and Default:
8.1 Without Cause. The Town may terminate this Contract on seven (7) calendar days
notice when in the best interests of the Town by providing notice to the Contractor,
which shall be in writing and shall be deemed delivered and received when given in
person to the Contractor, or when received by fax, express mail, certified mail return
receipt requested, regular mail postage prepaid or delivered by any other appropriate
method evidencing actual receipt by the Contractor. Upon termination without cause,
Contractor will be paid for services rendered to the date of termination.
8.2 For Cause. If the Contractor is determined by the Town to be in default of any term
or condition of this Contract, the Town may terminate this Contract on seven (7) days
notice by providing notice to the Contractor, which shall be in writing and shall be
deemed delivered and received when given in person to the Contractor, or when
received by fax, express mail, certified mail return receipt requested, regular mail
postage prepaid or delivered by any other appropriate method evidencing actual
receipt by the Contractor.
8.3 Default. The following shall constitute events of a default under the Contract:
1) any material misrepresentation made by the Contractor to the Town; 2) any
failure to perform any of its obligations under this Contract including, but not
limited to the following: (i) failure to commence performance of this Contract at
the time specified in this Contract due to a reason or circumstance within the
Contractor's reasonable control, (ii) failure to perform this Contract with
sufficient personnel and equipment or with sufficient material to ensure the
completion of this Contract within the specified time due to a reason or
circumstance within the Contractor's reasonable control, (iii) failure to perform
this Contract in a manner reasonably satisfactory to the Town, (iv) failure to
promptly re -perform within a reasonable time the services that were rejected by
the Town as unsatisfactory, or erroneous, (v) discontinuance of the services for
reasons not beyond the Contractor's reasonable control, (vi) failure to comply
with a material term of this Contract, including, but not limited to, the provision
of insurance and non-discrimination, (vii) any other acts specifically and
expressly stated in this Contract as constituting a basis for termination of this
Contact, and (viii) failure to comply with any and all requirements of state law
and/or regulations, and Town bylaw and/or regulations.
9. The Contractor's Breach and the Town's Remedies:
Failure of the Contractor to comply with any of the terms or conditions of this Contract
shall be deemed a material breach of this Contract, and the Town of North Andover shall

have all the rights and remedies provided in the Contract documents, the right to cancel,
terminate, or suspend the Contract in whole or in part, the right to maintain any and all
actions at law or in equity or other proceedings with respect to a breach of this Contract,
including damages and specific performance, and the right to select among the remedies
available to it by all of the above.
From any sums due to the Contractor for services, the Town may keep the whole or any
part of the amount for expenses, losses and damages incurred by the Town as a
consequence of procuring services as a result of any failure, omission or mistake of the
Contractor in providing services as provided in this Contract.
10. Statutory Compliance:
10.1 This Contract will be construed and governed by the provisions of applicable
federal, state and local laws and regulations; and wherever any provision of the
Contract or Contract documents shall conflict with any provision or requirement
of federal, state or local law or regulation, then the provisions of law and
regulation shall control. Where applicable to the Contract, the provisions of the
General Laws are incorporated by reference into this Contract, including, but not
limited to, the following:
General Laws Chapter 30B — Procurement of Goods and Services.
General Laws Chapter 30, Sec. 39, et seq: - Public Works Contracts.
General Laws Chapter 149, Section 44A, et seq: Public Buildings Contracts.
10.2 Wherever applicable law mandates the inclusion of any term and provision into a
municipal contract, this Section shall be understood to import such term or
provision into this Contract. To whatever extent any provision of this Contract
shall be inconsistent with any law or regulation limiting the power or liability of
cities and towns, such law or regulation shall control.
10.3 The Contractor shall give all notices and comply with all laws and regulations
bearing on the performance of the Contract. If the Contractor performs the
Contract in violation of any applicable law or regulation, the Contractor shall bear
all costs arising therefrom.
10.4 The Contractor shall keep itself fully informed of all existing and future State and
National Laws and Municipal By-laws and Regulations and of all orders and
decrees of any bodies or tribunals having jurisdiction in any manner affecting
those engaged or employed in the work, of the materials used in the work or in any
way affecting the conduct of the work. If any discrepancy or inconsistency is
discovered in the Drawings, Specifications or Contract for this work in violation of
any such law, by-law, regulation, order or decree, it shall forthwith report the same
in writing to the Town. It shall, at all times, itself observe and comply with all
such existing and future laws, by-laws, regulations, orders and decrees; and shall

protect and indemnify the Town of North Andover, and its duly appointed agents
against any claim or liability arising from or based on any violation whether by
him or its agents, employees or subcontractors of any such law, by-law, regulation
or decree.
11. Conflict of Interest:
Both the Town and the Contractor acknowledge the provisions of the State Conflict of
Interest Law (General Laws Chapter 268A), and this Contract expressly prohibits any
activity which shall constitute a violation of that law. The Contractor shall be deemed to
have investigated the application of M.G.L. c. 268A to the performance of this Contract;
and by executing the Contract documents the Contractor certifies to the Town that neither
it or its agents, employees, or subcontractors are thereby in violation of General Laws
Chapter 268A.
12. Certification of Tax Compliance
This Contract must include a certification of tax compliance by the Contractor, as
required by General Laws Chapter 62C, Section 49A (Requirement of Tax Compliance
by All Contractors Providing Goods, Services, or Real Estate Space to the
Commonwealth or Subdivision).
13. Discrimination
The Contractor will carry out the obligations of this Contract in full compliance with all
of the requirements imposed by or pursuant to General Laws Chapter 151 B (Law Against
Discrimination) and any executive orders, rules, regulations, and requirements of the
Commonwealth of Massachusetts as they may from time to time be amended.
14. Assignment:
Assignment of this Contract is prohibited, unless and only to the extent that assignment is
provided for expressly in the Contract documents.
15. Condition of Enforceability Against the Town:
This Contract is only binding upon, and enforceable against, the Town if. (1) the
Contract is signed by the Town Manager or its designee; and (2) endorsed with approval
by the Town Accountant as to appropriation or availability of funds; and (3) endorsed
with approval by the Town Counsel as to form.
16. Corporate Contractor:
If the Contractor is a corporation, it shall endorse upon this Contract (or attach hereto) its
Clerk's Certificate certifying the corporate capacity and authority of the party signing this
Contract for the corporation. Such certificate shall be accompanied by a letter or other

instrument stating that such authority continues in full force and effect as of the date the
Contract is executed by the Contractor. This Contract shall not be enforceable against the
Town of North Andover unless and until the Contractor complies with this section.
The Contractor, if a foreign corporation, shall comply with the provisions of the General
Laws, Chapter 181, Sections 3 and 5, and any Acts and Amendments thereof, and in
addition thereto, relating to the appointment of the Commissioner of Corporations as its
attorney, shall file with the Commissioner of Corporations a Power of Attorney and duly
authenticated copies of its Charter or Certificate of Incorporation; and said Contractor
shall comply with all the laws of the Commonwealth.
17. Liability of Public Officials:
To the full extent permitted by law, no official, employee, agent or representative of the
Town of North Andover shall be individually or personally liable on any obligation of the
Town under this Contract.
18. Indemnification:
The Contractor shall indemnify, defend and save harmless the Town, the Town's officers,
agents and employees, from and against any and all damages, liabilities, actions, suits,
proceedings, claims, demands, losses, costs, expenses, recoveries and judgments of every
nature and description (including reasonable attorneys' fees) that may arise in whole or in
part out of or in connection with the work being performed or to be performed, or out of
any act or omission by the Contractor, its employees, agents, subcontractors, material
men, and anyone directly or indirectly employed by any of them or anyone for whose acts
any of them may be liable, regardless of whether or not it is caused in part by any party
indemnified hereunder. The Contractor further agrees to reimburse the Town for damage
to its property caused by the Contractor, its employees, agents, subcontractors or material
men, and anyone directly or indirectly employed by any of them or anyone for whose acts
any of them may be liable, including damages caused by his, its or their use of faulty,
defective, or unsuitable material or equipment, unless the damage is caused by the
Town's gross negligence or willful misconduct. The existence of insurance shall in no
way limit the scope of the Contractor's indemnification under this contract.
19. Workers Compensation Insurance:
The Contractor shall provide by insurance for the payment of compensation and the
furnishing of other benefits under Chapter 152 of the General Laws of Massachusetts
(The Worker's Compensation Act) to all employees of the Contractor who are subject to
the provisions of Chapter 152 of the General Laws of Massachusetts.
Failure to provide and continue in force such insurance during the period of this Contract
shall be deemed a material breach of this Contract, shall operate as an immediate
termination thereof, and Contractor shall indemnify the Town for all losses, claims, and
actions resulting from the failure to provide the insurance required by this Article.

The Contractor shall furnish to the Town evidence of such insurance prior to the
execution of this Contract before the same shall be binding on the parties thereto, except
if specifically waived by the Town.
20. Documents, Materials, Etc.
Any materials, reports, information, data, etc. given to or prepared or assembled by the
Contractor under this Contract are to be kept confidential and shall not be made available
to any individual or organization by the Contractor (except agents, servants, or employees
of the Contractor) without the prior written approval of the Town, except as otherwise
required by law. The Contractor shall comply with the provisions Chapter 66A of the
General Laws of Massachusetts as it relates to public documents, and all other state and
federal laws and regulations relating to confidentiality, security, privacy and use of
confidential data.
Any materials produced in whole or in part under this Contract shall not be subject to
copyright, except by the Town, in the United States or any other country. The Town
shall have unrestricted authority to, without payment of any royalty, commission, or
additional fee of any type or nature, publicly disclose, reproduce, distribute and otherwise
use, and authorize others to use, in whole or in part, any reports, data or other materials
prepared under this Contract.
All data, reports, programs, software, equipment, furnishings, and any other
documentation or product paid for by the Town shall vest in the Town at the termination
of this Contract. The Contractor shall at all times, during or after termination of this
Contract, obtain the prior written approval of the Town before making any statement
bearing on the work performed or data collected under this Contract to the press or issues
any material for publication through any medium.
21. Audit, Inspection and Recordkegpin$
At any time during normal business hours, and as often as the Town may deem it
reasonably necessary, there shall be available in the office of the Contractor for the
purpose of audit, examination, and/or to make excerpts or transcript all records, contracts,
invoices, materials, payrolls, records of personnel, conditions of employment and other
data relating to all matters covered by this Agreement.
22. PPa ent
The Town agrees to make all reasonable efforts to pay to the Contractor the sum set forth
in the Contractor's bid or proposal within thirty (30) days of receipt of an invoice
detailing the work completed and acceptance from the Town of the work completed.

23. Waiver and Amendment
Amendments, or waivers of any additional term, condition, covenant, duty or obligation
contained in this Contract may be made only by written amendment executed by all
signatories to the original Agreement, prior to the effective date of the amendment.
To the extent allowed by law, any conditions, duties, and obligations contained in this
Contract may be waived only by written Agreement by both parties.
Forbearance or indulgence in any form or manner by a party shall not be construed as a
waiver, nor in any manner limit the legal or equitable remedies available to that party.
No waiver by either party of any default or breach shall constitute a waiver of any
subsequent default or breach of a similar or different matter.
24. Forum and Choice of Law
This Contract and any performance herein shall be governed by and be construed in
accordance with the laws of the Commonwealth. Any and all proceedings or actions
relating to subject matter herein shall be brought and maintained in the courts of the
Commonwealth or the federal district court sitting in the Commonwealth, which shall
have exclusive jurisdiction thereof. This paragraph shall not be construed to limit any
other legal rights of the parties.
25. Notices
Any notice permitted or required under the provisions of this Contract to be given or
served by either of the parties hereto upon the other party hereto shall be in writing and
signed in the name or on the behalf of the party giving or serving the same. Notice shall
be deemed to have been received at the time of actual service or three (3) business days
after the date of a certified or registered mailing properly addressed. Notice to the
Contractor shall be deemed sufficient if sent to the address set forth in the Contract and to
the Town of North Andover by being sent to the Town Manager, Town Hall, 120 Main
Street, North Andover, Massachusetts 01845.
26. Bindinz on Successors:
This Contract shall be binding upon the Contractor, its assigns, transferees, and/or
successors in interest (and where not corporate, the heirs and estate of the Contractor).
27. Complete Contract:
This instrument, together with its endorsed supplements, and the other components of the
contract documents, constitutes the entire contract between the parties, with no
agreements other than those incorporated herein.

SUPPLEMENT "S"
This form supplements the general provisions of the Contract between the Town of North Andover, and
, which Contract is a contract for the procurement of services.
"Services" shall mean furnishing of labor, time, or effort by the Contractor. This term shall not include
employment agreements, collective bargaining agreements, or grant agreements.
Change Orders:
Change orders for contracts subject to Massachusetts General laws Chapter 30B may not increase the
quantity of services by more than twenty-five (25%) per cent, in compliance with General Laws Chapter
30B, §13.
Minimum Wage/Prevailing Wage;
The Contractor will carry out the obligations of this Contract in full compliance with all of the
requirements imposed by or pursuant to General Laws Chapter 151, §1, et seq. (Minimum Wage Law)
and any executive orders, rules, regulations, and requirements of the Commonwealth of Massachusetts as
they may from time to time be amended. The Contractor will at all times comply with the wage rates as
determined by the Commissioner of the Department of Labor and Industries, under the provisions of
General Laws Chapter 149, 26 to 27D (Prevailing Wage), as shall be in force and as amended.
Insurance:
The Contractor shall obtain and maintain the following insurance:
5.1 Workers Compensation Insurance of the scope and amount required by the laws of the
Commonwealth of Massachusetts.
5.2.1 Broad Form Commercial General Liability coverage with limits of at least $1 Million per
occurrence and $3 Million aggregate, and which shall cover bodily injury, death, or
property damage arising out of the work.
5.3 Automobile Liability Coverage, including coverage for owned, hired, or borrowed
vehicles with limits of at least $1 Million per person, and $1 Million per accident.
5.4 The intent of the Specifications regarding insurance is to specify minimum coverage and
minimum limits of liability acceptable under the Contract. However, it shall be the
Contractor's responsibility to purchase and maintain insurance of such character and in
such amounts as will adequately protect it and the Town from and against all claims,
damages, losses and expenses resulting from exposure to any casualty liability in the
performance of the work.
5.5 All required insurance shall be certified by a duly authorized representative of the
insurers on the "MIIA" or "ACORD" Certificate of Insurance form incorporated into and
made a part of this agreement. Properly executed certificates signifying adequate

coverage in effect for the duration of the contract with renewal certificates issued not less
than 30 days prior to expiration of a policy period, must be submitted to the Town prior
to commencement of this Agreement.
5.6 The Town shall be named as an additional insured on the above referenced liability
policies, and the Contractor's insurance shall be the primary coverage. The cost of such
insurance, including required endorsements or amendments, shall be the sole
responsibility of the Contractor.
6. Indemnification:
The Contractor shall indemnify, defend and save harmless the Town, its officers, agents and
employees from and against any and all damages, liabilities, actions, suits, proceedings, claims,
demands, losses, costs, expenses, recoveries and judgments of every nature and description
(including reasonable attorneys' fees) brought or recovered against them that may arise in whole
or in part out of or in connection with the work being performed or to be performed, or out of
any act or omission by the Contractor, its employees, agents, subcontractors, material men, and
anyone directly or indirectly employed by any of them or anyone for whose acts any of them
may be liable, regardless of whether or not it is caused in part by any party indemnified
hereunder. The Contractor further agrees to reimburse the Town for damage to its property
caused by Contractor, its employees, agents, subcontractors or material men, and anyone directly
or indirectly or indirectly employed by any of them or anyone for whose acts any of them may be
liable, including damages caused by his, its or their use of faulty, defective or unsuitable material
or equipment, unless the damage is caused by the Town's gross negligence or willful
misconduct. The existence of insurance shall in no way limit the scope of this indemnification.

RFID Global Solution, Inc. (RFIDGS) is pleased to provide the Town of North Andover with the following Technical
and Price Proposal to assist in selecting and deploying the appropriate tagging and tracking technologies to improve
Town of North Andover's Trash Truck tracking capabilities. For the purposes of solving this application RFIDGS is
partnering (RFIDGS will be prime) with Identec Solutions who will be providing the RFID hardware and technical
design support for this solution. This deployment will establish a tracking solution that seamlessly integrates
automated data capture on Truck presence, location and movements into and out of the Town of North Andover.
Compliance and cost savings will be improved, as trucks are readily able to be located for compliance to the
permitting procedures.
1. Executive Summary
This proposal is in response to Town of North Andover's Statement of Work for the 'Trash Truck Route Monitoring
System' dated July 19, 2010. Town of North Andover's key objective in the Trash Truck Route Monitoring System
initiative is to select and deploy the appropriate tracking capability in order to improve Town of North Andover's Trash
Truck tracking route compliance are as follows:
o Reduction of the labor costs of administration and monitoring compliance
o Reduction in the financial costs of enforcing the program
o Improve the program's reliability
o Reduce the physical burden on Health Department personnel
RFID Global Solution & Identec Solutions are uniquely qualified to advise on the design of Trash Truck tracking
solution because of our experience implementing similar large-scale, RFID, Trash Truck tracking solutions at other
companies. With our in-depth knowledge gained from some of the largest deployments in the industry, we are able
to recommend the optimal, cost-effective solution for Town of North Andover.
RFIDGS offers a proven software solution for Trash Truck tracking to expeditiously meet Town of North Andover's
deployment timeframe and minimize cost and complexity. We recommend Visi-TracTm as the Tag and Track
software application and active UHF RFID as the primary data capture technology. This is based on our evaluation
of Town of North Andover's requirements, performance, and price considerations. Recommended hardware includes

The overall scale of the number of locations/streets to be covered and the number of vehicles to be tracked were not
in the SOW so ROM pricing is being provided with base assumptions included.
The three compelling reasons why The Town of North Andover should choose RFID Global Solution as its Tagging
and Tracking prime integrator are:

implementation; and John Clarke, VP, Professional Services, to lead deployment planning. Martin Bjerre, Director,
Field Services will lead installation and training.
Due to the lack of scale information we recommended breaking the project into 2 phases:
o Phase 1 — Site Survey, Final Specification & Proposal — This step will take the proposed design as defined
herein and include on a 2 day site survey & requirements review.
o Phase 2 — System Deplyment — This step would occur after phase 1 and would proceed based on propsal
acceptance and purchase order from North Andover.
RFIDGS provides on-going support, maintenance and monitoring services to ensure Town of North Andover's Trash
Truck Route Monitoring System system will stay fully operational across the Town of North Andover organization.
2. Our Understanding of Town of North Andover's Requirements
Our understanding of Town of North Andover's objective is to select the appropriate tagging and tracking capability

movement of solid waste disposal vehicles that require access to the Town roadways to deliver loads to the
facilities located on Holt Road and will be efficient and less costly to administer and enforce than what
currently exists. .
• There are two categories of permits for waste vehicles, exempt and non-exempt. Town of North Andover

• The present system has three different road allowances for exempt permits:
a. One which provides egress from Route 114 to Route 495
b. One which allows travel from Route 133 to Route 125
c. One which provides access to all roads within North Andover
• Non-exempt trash haulers are restricted to the use of Route 495 to Route 125 Connector and southerly on
Route 125 to Holt Road for access to these facilities. To exit the facilities, they must travel Holt Road to
Route 125 North to Route 125 Connector, and to Route 495. A non-exempt hauler is not allowed to take a
right handed turn out of Holt Road or a left hand turn into Holt Road or any travel through downtown North
Andover; this is only permitted for the exempt category.
• Based on the referenced study a system consisting of RFID readers, tags and video cameras can be
implemented to provide the desired real-time monitoring and verification of captured violations at the
aforementioned roadways. Waste haulers, carrying an active RFID tag, can be identified by a RFID reader
(or readers) suitably located at the junction of Route 125 and Holt Road. The proposed system architecture
must include suitable connectivity to the Police and Health Departments.
• All Bidders must provide the listed items below:
a. Functional description of the proposed system specifying the hardware, software and
data networking elements.
b. Specify the proposed tag type and describe how it will be commissioned and mounted
to the typical waste -hauling vehicle.
c. Specify the location of readers on designated routes at key Town road locations to
enable detection of exempt and non-exempt tagged vehicles.
d. Specify the video camera and how it is to be integrated into the tag/reader segment.
e. Provide the description of how the readers will be mounted and powered and
connected to data network.
f. Specify the environmental performance capabilities of the proposed hardware,
including temperature range, moisture and humidity, shock and vibration, wind force
and all other outdoor weather factors.
g. Include descriptions of the operational software that will be used for acquiring tag data,
violation detection, data management and control algorithms, middleware, security and
networking architecture.
h. Include the technical details for the proposed network architecture, specifying the
functional and performance capabilities that enable real-time connectivity between
vehicles, Police and Health Departments.
Provide a detailed written description of the proposed System Integration Plan including
a master schedule. The schedule shall identify all major work elements for installation,
operational verification and performance assessment; project milestones and a critical
path for time to completion TOC.
One year warranty on all hardware and operational performance as well as full
customer support and training.

Command Center operating at the 2009 Boston Pops Fireworks Spectacular.

Community College has implemented a system to electronically validate credentials of public safety
officials staffing the command center. The credentialing system electronically monitors the entry
and exit of command center personnel using Radio Frequency Identification (RFID) devices

RFID technology monitor authorized and attempted unauthorized passage. Indicator lights provide

organizations located in temporary or permanent facilities at large scale staged events. It enables
free flow access into and out of command centers, while permitting only those who have

As we evaluated the options for an Active RFID system to meet Town of North Andover's requirements, we elected to
propose the Identec. Key Factors that drove us to this conclusion:
1. Long Read Range — The Identec Solution i-132 tag and reader solution will support configurations of up to
100 meters read range. While many of the read zones may not be that far from the trunk we had to take
into consideration rain, snow, and other attenuating factors. The Identec system is proven to perform under
such conditions.
2. Cost Effectiveness — The Identec tags and readers are reasonably priced as compared to other similar
products, given its long range, long battery life, and rugged form factor makes it suitable for applying to
trucks.

Overall System Architecture:
The Trash Truck Route Monitoring System will consist of the following components:
1) Visi-Trac Server & Application — This is the main repository and device management box to collect read
events as they occur from the field. It will manage all the data and events from each of the RFIDGS Traffic
Reader Boxes (TRB). It also will manage notification events to the required police and health department
officials.
2) RFIDGS i -B2 Tag Commissioning Station — This will be located at the North Andover designated location
that will handle distribution of the RFID tags to trash truck drivers. This must have network connectivity to
the Visi-Trac Server. Drivers will present the required credentials and assigned a RFID tag in the system.
3) RFIDGS Traffic Reader Box — This is a turnkey solution that mounts on a utility pole to capture the trucks
as they pass by. The Box includes: RFID reader to collect the tag read, Video Camera to capture the
license place information, a cellular modem to communicate the data back, and a embedded industrial PC
to store information and control the devices. It is all enclosed in a NEMA box to protect it from the elements.
The equipment is rated to withstand -30c to +55c temperature ranges and up to 90% relative humidity,
noncondensing. The video camera is an Axis P1343 -E outdoor high-speed camera that will be connected to
our processing platform via Ethernet. The camera will be polling continuously and our SW will only save the
periods where there is a tag read and its not an authorized vehicle.
4) Identec i -B2 Active UHF RFID Tag Kit — This is kilted packed that includes 2 mounting options for the
truck owner (adhesive or bolt on) and will have directions on how to properly mount the tag on the vehicle.
In analyzing this project is will be necessary that North Andover require all vehicle to have a working RFID Tag and
they will have to verify the tag on entering the recycling and incinerator facilities. An RFID system is only good if the
RFID tag is present and working. RFIDGS would suggest that a fine be assigned to waste vehicles not having a tag.
This will discourage drivers from removing the tags before entering the town.

We will plan the initial deployment at select locations, manage the procurement of RFID components and define a
detailed rollout schedule. This will include asset tagging and infrastructure deployment at target locations, software
development and integration testing, and user and administrator training, with a target 'Go Live' date before March
15, 2010.
RFID Global Solution staff will lead the configuration and installation of our Visi-Trac application software. RFIDGS
staff will rapidly and expertly perform the physical installation of RFID readers and antennas at each location. We
intend to use a 'train -the -trainer' approach to the physical tagging of assets appropriate staff who will commission the
tags.
Upon completion of deployment at each of the target locations by March 15, 2010, RFIDGS will provide user training
to Town of North Andover's Lab and Data Center staff on the operation of the Tag and Track system, and systems
administrator training to designated individuals on Town of North Andover's IT team.

Joe White, Chief Technology Officer
Since 2001, Joe has directed the design, development and implementation of RFID products and systems for RFID
Global Solution, Motorola, Symbol Technologies and Matrics. AT RFIDGS, Joe leads the firm's Operations and
Technical Leadership, including Software, Product Management and IP. At Motorola, Joe was VP, RFID Business
Development and Marketing, where he led Motorola's RFID strategy, developing solutions to provide seamless
mobility of information across the enterprise.
Prior to its acquisition by Motorola, Joe served as VP, RFID Product Management for Symbol, where he oversaw the
growth of their industry-leading product portfolio. He played a similar role at Matrics, where he led the development of
first generation UHF RFID solutions. Mr. White has advised innovative companies and governments across the
globe on their RFID strategies. He holds numerous RFID patents and has actively participated in the development of
the key RFID standards that have shaped the market.
Dale Hollon, VP, Software Development
Mr. Hollon is responsible for product development of RFIDGS' Visi-Trac software platform. Dale is an experienced
Solutions Architect with over thirteen years' software development and eight years in enterprise RFID deployments.
Dale has led RFID Global's most significant software development efforts, including enhancing Visi-Trac for data
center IT Asset at the Bank of America, developing Visi-Trac's WIP tracking application for Boeing and a key defense
supplier, and creating a supply chain tracking solution for Boeing and PPG Aerospace which won Boeing's Silver
Eagle Award for Supply Chain innovation.
Dale was the technical manager who developed a tools tracking application for NASA's Kennedy Space Center
which has received significant public recognition. Prior to joining RFIDGS, Mr. Hollon was Innovation Manager at
CHER Dale has worked with a wide variety of passive and active RFID systems from vendors such as Alien, Impinj,

Mr. Clarke brings extensive experience in wireless technology startups to his role as VP, Professional Services. As
Senior VP, Business Operations at Aether Systems, John provided oversight of a $150 million wireless data and
mobile solutions company and gained tremendous insight into financial and technology accounting and tracking
systems in wireless companies.
John has led some of RFIDGS' largest asset tracking project at the FDA's new 200,000 square foot data center, and
is responsible for the Defense Information Systems Agency (DISA), among others. John began his career at
Westinghouse, now Northrop Grumman, developing solid state RF modules for airborne radar systems and has an
electrical engineering degree and MBA from Loyola.
Martin Bjerre, Director, Field Services
Mr. Bjerre has a broad range of experience spanning over thirteen years and includes the use, testing,
implementation and deployment of "best -of -breed" solutions for passive, active, RTLS-UWB, and GPS -based
technologies, in several of RFID Global's installations including tracking at the Boeing Rotorcraft Division (Chinook
Helicopter and V-22 Osprey's).
He has held progressively responsible technical positions at Savi Technology, Matrics, Symbol, Motorola, Hi -G tech
and is now Director, Fields Services for RFIDGS. He has been involved in many of the most successful and ground-
breaking projects in the RFID industry, including the deployment and support of active RFID solutions for the DoD
across 18 countries, the implementation of passive RFID for major retailers such as Wal-Mart & Target, and has
supported passive RFID implementations for baggage tracking at multiple airports both foreign and domestic. Martin
has been a technical 'missionary' spreading knowledge and expertise about RFID and it uses to over 30 countries,
helping people understand how it works and how best to implement solutions.
Diana Hage, Chief Executive Officer
Since 2002, Diana has led the development of RFID industry solutions and global sales and services teams for RFID
Global Solution, ODIN and IBM. As CEO of RFIDGS, Ms. Hage is building the leading, real time asset visibility
company, developing turnkey solutions that drive measurable business value and ROI for our clients. As COO at
ODIN, Diana led company operations, professional services and managed global accounts in Aerospace and
