HomeMy WebLinkAbout2018-04-03 Affordable Housing Trust Minutes North Andover Affordable Housing Trust Meeting Minutes April 3,2018 Town Hall Conference Room 2 Present: Laurie Burzlaff,George Koehler,Joan Fitzgibbons, Richard Vaillancourt, Roger Lawson, Robert Bernardin and Jean Enright Absent: Stephen Bernard Meeting was called to order at 5:00 p.m. Approval of Minutes from February 6,2018 Motion made by Richard Vaillancourt,seconded by George Koehler,to approve the meeting minutes of February 6, 2018. Motion approved 5-0. Joan Fitzgibbons arrived. Update on 13 Annis Street: There will need to be another application seminar for 13 Annis Street.Applicants from the last seminar did not qualify because of credit issues. Community Preservation Application: The Community Preservation Committee approved the Trust's application for$100,000 and will recommend funding at Town Meeting. Discussion Action Plan/goals: Ms. Burzlaff presented the proposal from Jennifer Goldson to draft an Action Plan. Cost would be$9,900 but Ms. Burzlaff is also looking into the possibility of obtaining a technical assistance grant from Merrimack Valley Planning Commission. Ms. Burzlaff was invited to speak at the Senior Center lecture series to discuss affordable housing.The Trustees were in support of getting feedback from the seniors about a small home repair program or a program to provide funds in exchange for an affordable restriction.The Trustees also talked about teaming up with MassSaves and providing funds to make repairs based on the audit. Ms. Burzlaff will submit the application ii Discussion of goals for thl ar: Ms. Burzlaff discussed creating an Action Plan which would summarize tit we've done,what the needs are and the goals for the next five years,An example of the Town of Easton Action Plan was glyen to the Trustees. Ms. Burzlaff spoke with Jen Goldson who prepared the plan and is also working on the Town's Housing Production Plan with the Merrimack Valley Planning Commission.The cost to draft the,plan can be up to$25;000,dependtho on how involved it is. Ms. Burzlaff will get more information and the Trustees will discuss at the next meeting. The Trustees talked about focusing on senior citizens needs as a goal for the year.A small home repair program was discussed. A question arose as to how,to qualify for such a program. More information is needed on the cost of having a program administrator. The purpose of this letter proposal is to outline a proposed scope of professional planning services that JM Goldson can perform for the North Andover Affordable Housing Trust(Trust).The goal of the project is work with the Trust to create an Affordable Housing Trust Action Plan to set five-year goals and priority initiatives for Trust funding based on the recent Housing Production Plan and Master Plan efforts. Task Task DescriptionFee Schedule a.Kickoff meeting with the Trust to review project scope,approach,and schedule. 1 b.Review background materials,including Trust revenue and $750 April expenditures,as well as other relevant planning reports and studies pertaining to the community's housing needs,goals,and priorities. a.Design and facilitate a working meeting with the Trust to review community housing priorities and posslNe eligible initiatives eligible for 2 trust funding, $1,000 April-May b.Prepare written summary of main themes/issues to help inform next steps. a.Interview Trust members individually to help inform vision,goals,and potential initiatives to explore further.Interview other town officials,as 3 needed. $2,200 May-June b.Prepare summary of findings and draft goals and potential initiatives for further consideration.Meet with Trust to review results and next steps. a.Prepare detailed outline of plan including options for priority initiatives. Expenses will be billed at a rate of 1:1 and shall be limited to out of pocket printing, workshop supplies, postage, and the like. Expenses shall not exceed $250. The scope of work may be modified from time to time upon mutual agreement.JM Goldson can be available to attend additional meetings and for additional consultations as needed, on a time and materials basis, at a rate of$150/hour. PROJECT SCHEDULE The project will commence within ten (10) days of acceptance of this proposal and will be completed by September 30, 2018,subject to the scheduling of proposed meetings.This agreement shall be effective from the date signed through December 1, 2018. The schedule (and other terms) may be changed upon written agreement of both parties. JM GOLDSON COMMUNITY PRESERVATION+PLANNING STANDARD PROVISIONS 1. Period of Service:JM Goldson will commence work within ten (10) days of JM Goldson's receipt of the executed Agreement or upon a mutually agreeable schedule, and will proceed with said work in a diligent manner until project completion, as described in the executed Agreement. JM Goldson will not be responsible for delays caused by factors beyond JM Goldson's control nor for delays caused by factors that could not reasonably have been foreseen upon execution of the Agreement. 2. Client Communications: CLIENT shall designate a contact person to act as its representative with respect to work to be performed under the Agreement. Such person is to have full authority to act on behalf of CLIENT in matters such as scheduling of meetings and all communications between parties. 3.JM Goldson Communications and Supervision: Jennifer M. Goldson shall serve as the primary contact person on behalf of JM Goldson. All work hereunder shall be performed by or directly supervised by Jennifer M. Goldson. 4. Terms of Payment Fees for services will be billed monthly per the terms of the Agreement. Except upon prior approval by CLIENT,expenses shall be limited to reimbursement for out-of-pocket printing, supplies, and postage.JM Goldson shall submit monthly invoices and CLIENT shall make prompt payment upon receipt of each invoice. In the event that CLIENT objects to any invoice, or any charge appearing thereon, CLIENT shall so advise JM Goldson in writing,stating reasons therefor,within fourteen days of such receipt. If CLIENT fails to make any payment due JM Goldson for services and expenses within forty-five days of receipt of an invoice,the unpaid amounts will be considered past due and JM Goldson may suspend services without incurring liability for delay or other damages,which CLIENT may suffer thereby. If invoices remain outstanding past sixty days,JM Goldson may pursue legal and equitable means to collect the outstanding balance; and in such event, CLIENT shall pay all reasonable collection costs including attorney's fees and court costs. 5. Payments in Event of Termination: In the event the Agreement is terminated,JM Goldson will be compensated for all services performed through the effective date of termination. In such event, CLIENT shall pay to JM Goldson a fee to close out the work, as applicable,which fee shall be calculated based on the rate of$150/hour and reimbursement for costs and expenses. 6.Standard of Performance:JM Goldson shall perform services hereunder in accordance with generally accepted standards maintained by planning professionals engaged in similar work.JM Goldson makes no other warranty, expressed or implied. 7. Termination: a) CLIENT may terminate this Agreement at any time upon fourteen (14) days prior written notice to JM Goldson. b) Either party may terminate the Agreement upon three (3)days prior written notice in the event of nonperformance by the other party. 8.Waiver: No waiver of a breach of any covenant,term or condition of this Agreement shall be a waiver of any other or subsequent breach of the same or any other covenant,term or condition or a waiver of the covenant,term or condition itself. 9.Controlling Law,Jurisdiction and Venue: This Agreement shall be governed and interpreted in accordance with the laws of the Commonwealth of Massachusetts. 10.Successors and Assigns:The covenants, agreements and obligations of this Agreement shall extend to and be binding upon and inure to the benefit of the partners, heirs, personal representatives and assigns of the parties hereto. Neither CLIENT nor JM Goldson shall assign,sublet or transfer any rights under or interest in this Agreement without the written consent of the other party. Nothing contained herein shall prohibit JM Goldson from employing such independent professional associates and consultants as JM Goldson may deem appropriate to assist in the performance of services hereunder. AUTHORIZATION Execution by an authorized representative,and return of one signed original of this letter to JM Goldson will constitute a complete acceptance of these terms.This proposal including JM Goldson Standard Provisions incorporated herein will,upon acceptance,represent the entire agreement between the North Andover Affordable Housing Trust and JM Goldson with respect to this project.
