EXECUTIVESESSION: The Executive Session convened at 7 :00 p.m.
._. TENDANCE: The following were present: Rosemary Connelly Smedile, Chairman; James Xenakis; Donald
Stewart; Mark J.T. Caggiano; Mark Rees, Town Manager, Ray Santilli,Assistant Town Manager. Wendy Wakeman
was absent
The Board of Selectmen was individually polled and each voted unanimously to move into Executive Session. Vote
approved 4-0.
Lease at 1600 Osgood Street LLC
The Town Manager, Rosemary Smedile and Consultant Michael Schaaf met with Ont Goldstein and Ellen Keller on
Monday, October 4, 2004 to discuss significant issues regarding the conditions of the proposed lease between the
town and Ozzy Properties for space allotted for the Community Development offices. Issues under discussion were
the following:
The location of offices and occupancy of 5,000 square feet, and the town would need to construct a wall if necessary,
but would not need to be done right away.
If the town offices were relocated during the lease term, the town should be notified 60 days prior and the town would
have the right to approve the location to which it is moved, as the town is concerned that it remain in a location that is
convenient to the public, proximately to parking was comparable.
The town expects the landlord to clean and prepare the leased space and any other location to which the town is
moved during the lease. Lessor did not agree to paint or carpet leased space.
Parking for residents would be visible and adjacent proximity to the leased space.
Regarding security and access arrangements; Lessor agreed to have easier access to the building and they would
AOVe a sign directing the public to the town offices at their expense.
Appropriate Signage would direct the public to Town offices and a long-term program would help inform the public of
the location of the Town offices.
The Town has use of the auditorium and fields in Common Areas
Rent Provisions would not include utilities and common area maintenance cost of$6 per sq ft. an additional$10,000 a
year. The town did not agree to pay common area maintenance cost.
The Town would let attorneys work out the Indemnificafion Provisions.
Rosemary Smedile said that at first the Town was a welcomed guest, but now treated like just another tenant.
The Town Manager and Chair Rosemary Smedile would be meeting with Orit Goldstein and Ellen Keller of Ozzy
Properties to further discuss these pending issues.
Release of Executive Session Minutes
James Xenakis made a MOTION, seconded by Donald Stewart, to release Executive Session Minutes from 1996—
2003 except for litigations still in process and confidential personnel matters with current employees. Vote 4-0. See
attached list.
ADJOURNMENT:
Mark Caggiano made a MOTION, seconded by Donald Stewart, to move out of Executive Session.
Vote approved 4-0.
