Gordon; Tracy Watson, Licensing Chairman; Rosemary Smedile; Donald Stewart, Town Manager James Purcell; and Assistant Town Manager Ray Santilli. Roll Call vote: William Gordon yes, Rosemary Smedile yes, Donald Stewart yes, Tracy Watson yes, Daniel Lanen yes. Vote approved 5-0. Chairman Daniel Lanen declared that an open meeting may have a detrimental effect on the bargaining position of the Selectmen. Litigation The Board received a letter from appraiser Gregory Cunha for the Pierce Pumper Engine 2. Based upon the description of the apparatus and the full factory warranty, it was appraised at a fair market value of $430,000.00. The Board questioned this appraisal because the base price with the extras came to $472,286.00. This is a huge $42,000 difference. The instruction given to the appraiser was go look at the truck as is and tell us what it's worth today. What is the depreciation? The question was "Did the Town get what they paid for?" Ray Santilli and Rosemary Smedile tried to contact Mr. Cunha today but he did not return a phone call. The Town wrote specs for a new vehicle and the Town bought a stock/demo vehicle and staff was aware of it. Interim Town Manager said that after reviewing all the documents that this was a rushed job done poorly. Assistant Town Manager said the Fire Department knew they were buying a stock vehicle and did not communicate that with the town. The only time the Town would have to justify the purchase if actions go publicly would be if the other company "Engine 1" could go to the AG office and complain. The Board would like to ask the appraiser to clarify the value of what the truck was when delivered with all the bells and whistles and what it is worth now if depreciated. Chairman Lanen asked that Rosemary Smedile call the appraiser again and see if he can clarify his appraisal. ADJOURMENT: William Gordon made a MOTION, seconded by Rosemary Smedile, to move out of Executive Session. Vote approved 5-0. Respectfully submitted, Adele J. This year's ceremony will be held on Sunday, September 11th at approximately 9 am. Through the years this ceremony has been organized by both the NAFD and Ed Mitchell of the Veteran's Services. This year marks the 101h anniversary, and I am attempting to draw a big crowd. The list of participants/attendees will hopefully include, the members of the NAFD, NAPD, VFW, North Andover Board of Selectman, Town Manager, etc... I feel that Veterans Park is the perfect place to hold this ceremony, in terms of size and safety. The pastyears ceremonies have been held in front of Town Hall, and with Main Street traffic, it has become somewhat dangerous. CHAPA manages the resale of affordable units for Oakridge Village. 4 Harvest Drive, Unit 218 at Oakridge Village The Board of Selectmen has to determine if they want to exercise their right of first refusal. Our office would recommend that the Board of Selectmen should not exercise their right of first refusal for the affordable housing unit. If the Town chooses to exercise its right, then it would be the responsibility of the Town to purchase the property or locate an individual to purchase the property. CHAPA, which is the monitoring agent for the Town and several other communities, has better resources to preserve the unit as affordable and has recently hired new staff to manage the marketing of the units. The timeframe is 120 days to find an applicant that meets the affordable criteria. Because the Town has been handling several affordable unit resale's during the past twelve months, our office has been working more closely with the Housing Partnership Committee and North Andover Housing Trust to ensure that the units stay affordable. The deadline to act is September 1. If the Board does not act the right of first refusal is deemed authorized. It is recommended that the Board of Selectmen not exercise their right of first refusal. 1600 Osgood Street,North Andover,Massachusetts 01845 Phone 978.688.9531 Fax 978.688.9542 Web www.townofnorthandover.com C! Vice Presidents Chairman,Zoning Board of Appeals Jack Cooper 1600 Osgood St. Jeanne Pinado North Andover,MA 01845 Treasurer Joseph Flatley Dear Mr.Manzi: Clerk Mary Doyle This letter is sent to the Town of North Andover on behalf of Katie Karl, the current owner of an affordable Executive Director property under Chapter 40B,to inform you of the owner's intent to sell her affordable unit. The unit is Aaron Gornstein located at 4 Harvest Drive Unit 218 and is part of Oakridge-Maplewood Reserve,a Chapter 40B project for which Citizens'Housing and Planning Association(CHAPA)serves as the Monitoring Agent. Based on the affordable housing deed rider for 4 Harvest Drive Unit 218,CHAPA has determined that the Maximum Resale Price for the above-referenced unit is$167,700.00.This letter is to notify the Town of North Andover of its right of first refusal with respect to this unit. As described in the deed rider,"right of first refusal"means that the Town has 30 days to determine if it would like to purchase the unit from the homeowner at the resale price. This 30 day period will commence on August I,2011 and end on September 1,2011. Please consider this letter notification of the Town of North Andover's 30-day"right of first refusal" period. As you may expect, the homeowner is anxious to hear back from the Town of North Andover and move forward in selling her property. If we do not hear from you within the right of first refusal period, we will assume you do not wish to exercise your right offtrst refusal. If the Town of North Andover chooses not to exercise its right of first refusal,CHAPA will assist the homeowner in locating an Eligible Purchaser. As explained in the deed rider,CHAPA and the homeowner have 120 days to market the unit in order to locate an Eligible Purchaser. If an Eligible Purchaser fails to buy the unit within 120 days, the current owner of the property could sell the unit on the open market for the fair market value. However, any gain above the resale price must be given directly to the Town to be used for affordable housing activities. The seller is not permitted to keep the difference between the fair market value of the home and the affordable resale price. When a new Eligible Purchaser buys an affordable unit,a new deed restriction is signed and recorded and the unit remains on the Town's subsidized housing inventory. However, please note that if the homeowner is unable to sell the property during the affordable marketing period and instead sells on the open market, the unit will no longer be deed-restricted and therefore will no longer be counted on the Town's subsidized housing inventory. We welcome any efforts the Town of North Andover can offer in making potential eligible buyers aware of the unit's availability during the affordable marketing period. A list of no or low- cost marketing ideas the Town can utilize is attached to this letter. TO: James Purcell, Town Manager FROM: Chief Paul Gallagher ov RE: Request for a Provisional Police Lieutenant DATE: August 16, 2011 I would like to request a provisional appointment for"Lieutenant"for the North Andover Police Department pending the certified results of the Civil Service exam being held October 15, 2011. This would fill the current vacant position of Lieutenant in the Criminal Investigations Division by my promotion to Chief of Police. This vital vacancy encompasses the detectives, school resource officers and court officer. The duties would also be the public information officer, liaison with federal agencies and district attorney's office. The Lieutenant would be a of command staff level. It has been a difficult decision of whom to recommend as we have a number of fine candidates. For the position of Provisional Lieutenant—I am recommending Sergeant Charles Gray. Sergeant Gray has worked well with the command staff over the years and we feel he will be an asset to the management of the police department. Sergeant Gray has eagerly and very successfully taken on a number of roles over the years including K9 officer,Training Officer and Drug Recognition Expert. He has been successful in each endeavor even though he manages them all simultaneously. He has offered training and guidance to all of the staff and he maintains impeccable records. All of these qualities are important in leading the Criminal Investigation Division as there a very serious cases and sensitive investigations that require very detail and specific investigative techniques. We feel Sgt. Gray is a good leader, responds well to training, continually strives to improve himself and others thus is a good fit for this position at this time. This is contingent on the approval of my prior request of a Provisional Lieutenant. The supervisor would backfill the vacancy left by the sergeant. The position will be assigned to a shift. Again this has been a difficult decision for the command staff as we have numerous excellent officers who will take the promotional examination of police sergeant. For the position of Provisional Sergeant—I am recommending Officer Daniel Crevier. Officer Crevier has 14 years experience as a police officer. I believe he will be an asset to the department as a first line supervisor. He has leadership characteristics and is respected by his peers. He has volunteered for a number of positions over the years, most recently in the accident reconstruction team. This training is very arduous involving weeks of studying and testing with detailed mathematical formulas and intricate computer programs. Off. Crevier remained committed to this program. He is also a member of the elite NEMLEC Rapid Response Team(RRT). A highly trained mutual aid force that responds to major emergencies. Recently as this past week I have seen Officer Crevier be the responding officer in two separate"burglary in progress" calls. In both instances he took a leadership role that resulted in the arrests of four individuals. If the previous eligibility list for sergeant had not expired Officer Crevier would have been next on the list for promotion. I feel he has a good level of job maturity and will be successful in this position. 1.475 OSGOOD .` L'IUI;F'P, HORTIi ANDOVER, MIS:iSA IIUSF,'1 S, 01.845 'Pe,le:phone: 9V8-..683 3.1-68 Fax: 9'/8--686-1212 z M MONOMER— —01101.. The underground storage tanks at that location are reaching their "end of life", prompting us to replace them in the near future. It would be very beneficial to us if during the replacement process we were able to expand the capacity of the underground storage tanks from 24,000 gallons to 32,000 gallons by replacing the current tanks with slightly larger tanks. We are aware that this station is located near a river and we have accordingly hired MHF Design who has a water source engineer organizing our plan and overseeing the proposed tank replacement. Additionally, we have been in contact with Lieutenant McCarthy of the North Andover Fire Department and we are currently working with the fire department regarding the proposed work. Based upon our estimate of the tune necessary to complete the examination the proposed fee structure for the next three years is as follows. Fiscal Single Audit Agreed-Upon Annual Cost Year Management Letter Procedures Not to Exceed FY2012 $ 51,000 $ 5,000 $ 56,000 FY2013 $ 52,000 $ 5,000 $ 57,000 FY2014 $ 53,000 $ 5,000 $ 58,000 Please note that the Fiscal 2012 fee remains the same as Fiscal 2011 fee and that the proposed increases for Fiscal 2013 and 2014 represents an annual increase of only 0.6% beginning in Fiscal 2009. The relatively small increase is designed to recognize 1) your contributions to making the audit more efficient; 2) the current economic climate facing Massachusetts municipalities today and; 3) to reaffirm our commitment to serving Massachusetts local governments by partnering with you during these turbulent economic times. We do,however, need to mitigate some of the costs resulting from new industry standards, such as SAS103; and to remain competitive in identifying and retaining quality personnel. The prices quoted include the cost of all labor, materials, insurance, and all other necessary expenses to fulfill the conditions of the contract, including the cost of producing 25 bound reports. The Town will be responsible for the cost of obtaining outside audit confirmations, primarily related to banks, debt and legal council. Included in this fee is our assurance that the Town will continue to meet the requirements of the GASB 34 and 54 reporting model and that we Nvill be available throughout the year to assist you with matters that will come to bear in dealing with GASB pronouncements and other municipal finance issues. Also included in this price is the option of the Town to request that a new partner and/or manager be assigned to the FY2012 engagement. We are open to such a request and will accommodate the wishes of the Town should you choose this option. 1 of 2 We believe the proposed fee to be fair, competitive and value driven and we hope that you feel the same. We look forward to setting the Town for years to come and appreciate the opportunity to continue to do so. If you agree, please sign the enclosed engagement letter and return it to me at your earliest convenience. If you have any questions related to this or any other matters, please do not hesitate to contact me. Ver-,truly yours, PeA 4, Richard L. We will audit the financial statements of the governmental activities, the business-type activities, each major fund, and the aggregate remaining fund information, which collectively comprise the basic financial statements, of the Town of North Andover as of and for the fiscal year(s) ended June 30, 2012, 2013, and 2014. Accounting standards generally accepted in the United States provide for certain required supplementary information(RSI), such as management's discussion and analysis(MD&A),to accompany the Town of North Andover's basic financial statements. As part of our engagement,we will apply certain limited procedures to the Town of North Andover's RSI. These limited procedures will consist principally of inquires of management regarding the methods of measurement and presentation, which management is responsible for affirming to us in its representation letter. Unless we encounter problems with the presentation of the RSI or with procedures relating to it,we will disclaim an opinion on it. The following RSI is required by generally accepted accounting principles and will be subjected to certain limited procedures, but will not be audited: 1) Management's Discussion and Analysis. 2) Schedule of revenues, expenditures and changes in fund balance- general fund-budgetary basis Audit Objectives The objective of our audit is the expression of opinions as to whether your basic financial statements are fairly presented, in all material respects, in conformity with U.S. generally accepted accounting principles and to report on the fairness of the additional information referred to in the first paragraph when considered in relation to the basic financial statements taken as a whole. The objective also includes reporting on- • Internal control related to the financial statements and compliance with the provisions of applicable laws, regulations, contracts, agreements, and grants, noncompliance with which could have a material effect on the financial statements in accordance with Government Auditing Standards. • Internal control related to major programs and an opinion(or disclaimer of opinion) on compliance with laws, regulations, and the provisions of contracts or grant agreements that could have a direct and material effect on each major program in accordance with the Single Audit Act Amendments of 1996 and OMB Circular A-133,Audits of States, Local Governments, and Non-Profit Organizations. The reports on internal control and compliance will each include a statement that the report is intended for the information and use of the audit committee, management, specific legislative or regulatory bodies, federal awarding agencies, and if applicable, pass-through entities and is not intended to be and should not be used by anyone other than these specified parties. 1 of 6 Our audit will be conducted in accordance with U.S. generally accepted auditing standards; the standards for financial audits contained in Government Auditing Standards, issued by the Comptroller General of the United States;the Single Audit Act Amendments of 1996; and the provisions of OMB Circular A-133,and will include tests of accounting records, a determination of major program(s) in accordance with Circular A- 133, and other procedures we consider necessary to enable us to express such opinions and to render the required reports. If our opinions on the financial statements or the Single Audit compliance opinions are other than unqualified,we will fully discuss the reasons with you in advance. If, for any reason,we are unable to complete the audit or are unable to form or have not formed opinions,we may decline to express opinions or to issue a report as a result of this engagement. Management Responsibilities I Management is responsible for the basic financial statements and all accompanying information as well as all representations contained therein. Management is also responsible for identifying government award programs and understanding and complying with the compliance requirements, and for preparation of the schedule of expenditures of federal awards in accordance with the requirements of OMB Circular A-133. As part of the audit,we will assist with preparation of your financial statements, schedule of expenditures of federal awards, and related notes. You are responsible for making all management decisions and performing all management functions relating to the financial statements, schedule of expenditures of federal awards, and related notes and for accepting full responsibility for such decisions. You will be required to acknowledge in the management representation letter our assistance with preparation of the financial statements and the schedule of expenditures of federal awards and that you have reviewed and approved the financial statements, schedule of expenditures of federal awards, and related notes prior to their issuance and have accepted responsibility for them. Further, you are required to designate an individual with suitable skill, knowledge, or experience to oversee any nonaudit services we provide and for evaluating the adequacy and results of those services and accepting responsibility for them. Management is responsible for establishing and maintaining effective internal controls, including internal controls over compliance, and for evaluating and monitoring ongoing activities,to help ensure that appropriate goals and objectives are met and that there is reasonable assurance that government programs are administered in compliance with compliance requirements. You are also responsible for the selection and application of accounting principles; for the fair presentation in the financial statements of the respective financial position of the governmental activities, the business-type activities, the aggregate discretely presented component units, each major fund, and the aggregate remaining fund information of the Town of North Andover, Massachusetts, and the respective changes in financial position and, where applicable, cash flows in conformity with U.S. generally accepted accounting principles; and for compliance with applicable laws and regulations and the provisions of contracts and grant agreements. Management is also responsible for making all financial records and related information available to us and for ensuring that management and financial information is reliable and properly recorded. Your responsibilities also include identifying significant vendor relationships in which the vendor has responsibility for program compliance and for the accuracy and completeness of that information. Your responsibilities include adjusting the financial statements to correct material misstatements and confirming to us in the representation letter that the effects of any uncorrected misstatements aggregated by us during the current engagement and pertaining to the latest period presented are immaterial, both individually and in the aggregate,to the financial statements taken as a whole. 2 of 6 You are responsible for the design and implementation of programs and controls to prevent and detect fraud, and for informing us about all known or suspected fraud or illegal acts affecting the government involving(1) management, (2)employees who have significant roles in internal control, and (3)others where the fraud or illegal acts could have a material effect on the financial statements. Your responsibilities include informing us of your knowledge of any allegations of fraud or suspected fraud affecting the government received in communications from employees, former employees, grantors, regulators, or others. In addition, you are responsible for identifying and ensuring that the entity complies with applicable laws, regulations, contracts, agreements, and grants. Additionally, as required by OMB Circular A-133, it is management's responsibility to follow up and take corrective action on reported audit findings and to prepare a summary schedule of prior audit findings and a corrective action plan. The summary schedule of prior audit findings should be available for our review on [Date] .You are responsible for the preparation of the supplementary information in conformity with U.S. generally accepted accounting principles. You agree to include our report on the supplementary information in any document that contains and indicates that we have reported on the supplementary information. You also agree to [present the supplementary information with the audited financial statements OR make the audited financial statements readily available to users of the supplementary information no later than the date the supplementary information is issued with our report thereon]. Management is responsible for establishing and maintaining a process for tracking the status of audit findings and recommendations. Management is also responsible for identifying for us previous financial audits, attestation engagements, performance audits, or other studies related to the objectives discussed in the Audit Objectives section of this letter. This responsibility includes relaying to us corrective actions taken to address significant findings and recommendations resulting from those audits, attestation engagements, performance audits, or studies. You are also responsible for providing management's views on our current findings, conclusions, and recommendations, as well as your planned corrective actions, for the report, and for the timing and format for providing that information. Audit Procedures—General An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements;therefore, our audit will involve judgment about the number of transactions to be examined and the areas to be tested. We will plan and perform the audit to obtain reasonable rather than absolute assurance about whether the financial statements are free of material misstatement, whether from(1) errors,(2)fraudulent financial reporting, (3)misappropriation of assets, or(4)violations of laws or governmental regulations that are attributable to the entity or to acts by management or employees acting on behalf of the entity. Because the determination of abuse is subjective, Government Auditing Standards do not expect auditors to provide reasonable assurance of detecting abuse. Because an audit is designed to provide reasonable, but not absolute assurance and because we will not perform a detailed examination of all transactions, there is a risk that material misstatements or noncompliance may exist and not be detected by us. In addition, an audit is not designed to detect immaterial misstatements or violations of laws or governmental regulations that do not have a direct and material effect on the financial statements or major programs. However,we will inform you of any material errors and any fraudulent financial reporting or misappropriation of assets that come to our attention. We will also inform you of any violations of laws or governmental regulations that come to our attention, unless clearly inconsequential. We will include such matters in the reports required for a Single Audit. Our responsibility as auditors is limited to the period covered by our audit and does not extend to any later periods for which we are not engaged as auditors. 3 of 6 Our procedures will include tests of documentary evidence supporting the transactions recorded in the accounts, and may include tests of the physical existence of inventories, and direct confirmation of receivables and certain other assets and liabilities by correspondence with selected individuals, creditors, and financial institutions. We will request written representations from your attorneys as part of the engagement, and they may bill you for responding to this inquiry. At the conclusion of our audit,we will also require certain written representations from you about the financial statements and related matters. Audit Procedures—Internal Controls Our audit will include obtaining an understanding of the entity and its environment, including internal control, sufficient to assess the risks of material misstatement of the financial statements and to design the nature, timing, and extent of further audit procedures. Tests of controls may be performed to test the effectiveness of certain controls that we consider relevant to preventing and detecting errors and fraud that are material to the financial statements and to preventing and detecting misstatements resulting from illegal acts and other noncompliance matters that have a direct and material effect on the financial statements. Our tests, if performed, will be less in scope than would be necessary to render an opinion on internal control and accordingly, no opinion will be expressed in our report on internal control issued pursuant to Government Auditing Standards. As required by OMB Circular A-133, we will perform tests of controls over compliance to evaluate the effectiveness of the design and operation of controls that we consider relevant to preventing or detecting material noncompliance with compliance requirements applicable to each major federal award program. However, our tests will be less in scope than would be necessary to render an opinion on those controls and, accordingly, no opinion will be expressed in our report on internal control issued pursuant to OMB Circular A-133. An audit is not designed to provide assurance on internal control or to identify significant deficiencies. However, during the audit,we will communicate to management and those charged with governance internal control related matters that are required to be communicated under AICPA professional standards, Government Auditing Standards, and OMB Circular A-133. i Audit Procedures—Compliance As part of obtaining reasonable assurance about whether the financial statements are free of material misstatement,we will perform tests of the Town of North Andover's compliance with applicable laws and regulations and the provisions of contracts and agreements, including grant agreements. However, the objective of those procedures will not be to provide an opinion on overall compliance and we will not express such an opinion in our report on compliance issued pursuant to Government Auditing Standards. OMB Circular A-133 requires that we also plan and perform the audit to obtain reasonable assurance about whether the auditee has complied with applicable laws and regulations and the provisions of contracts and grant agreements applicable to major programs. Our procedures will consist of the applicable procedures described in the OMB Circular A-133 Compliance Supplement for the types of compliance requirements that could have a direct and material effect on each of the Town of North Andover's major programs. The purpose of those procedures will be to express an opinion on the Town of North Andover's compliance with requirements applicable to each of its major programs in our report on compliance issued pursuant to OMB Circular A-133. 4of6 Engagement Administration,Fees, and Other We may from time to time, and depending on the circumstances, use third-party service providers in serving your account. We may share confidential information about you with these service providers, but remain committed to maintaining the confidentiality and security of your information. Accordingly,we maintain internal policies, procedures, and safeguards to protect the confidentiality of your personal information. In addition,we will secure confidentiality agreements with all service providers to maintain the confidentiality of your information and we will take reasonable precautions to determine that they have appropriate procedures in place to prevent the unauthorized release of your confidential information to others. In the event that we are unable to secure an appropriate confidentiality agreement, you will be asked to provide your consent prior to the sharing of your confidential information with the third-party service provider. Furthermore,we will remain responsible for the work provided by any such third-party service providers. We understand that your employees will locate any documents selected by us for testing. At the conclusion of the engagement,we will complete the appropriate sections of and sign the Data Collection Form that summarizes our audit findings. We will provide copies of our reports to the Town of North Andover; however, it is management's responsibility to submit the reporting package(including financial statements, schedule of expenditures of federal awards, summary schedule of prior audit findings, auditors' reports, and a corrective action plan) along with the Data Collection Form to the designated federal clearinghouse and, if appropriate,to pass-through entities. The Data Collection Form and the reporting package must be submitted within the earlier of 30 days after receipt of the auditors' reports or nine months after the end of the audit period, unless a longer period is agreed to in advance by the cognizant or oversight agency for audits. At the conclusion of the engagement,we will provide information to management as to where the reporting packages should be submitted and the number to submit. The audit documentation for this engagement is the property of Powers& Sullivan and constitutes confidential information. However, pursuant to authority given by law or regulation,we may be requested to make certain audit documentation available to a cognizant agent, oversight agency or its designee, a federal agency providing direct or indirect funding, or the U.S. Government Accountability Office for purposes of a quality review of the audit,to resolve audit findings, or to carry out oversight responsibilities. We will notify you of any such request. If requested, access to such audit documentation will be provided under the supervision of Powers & Sullivan personnel. Furthermore, upon request,we may provide copies of selected audit documentation to the aforementioned parties. These parties may intend, or decide,to distribute the copies or information contained therein to others, including other governmental agencies. The audit documentation for this engagement will be retained for a minimum of five years after the report release or for any additional period requested by the Town of North Andover's Cognizant Agency, Oversight Agency for Audit, or Pass-through Entity. If we are aware that a federal awarding agency,pass-through entity, or auditee is contesting an audit finding,we will contact the party(ies)contesting the audit finding for guidance prior to destroying the audit documentation. 5 of 6 Our fee for these services will beat our standard hourly rates plus out-of-pocket costs(such as report reproduction, word processing, postage, travel, copies, telephone, etc.)except that we agree that our gross fee, including expenses, will not exceed$51,000, $53,000 and $55,000 for fiscal years 2012,2013 and 2014, respectively. The fee is based on anticipated cooperation from your personnel and the assumption that unexpected circumstances will not be encountered during the audit. If significant additional time is necessary, we will discuss it with you and arrive at a new fee estimate before we incur the additional costs. Other Matters Commonwealth of Massachusetts Department of Education(DOE)End of Year Pupil and Financial Report Engagement The DOE currently requires all schools districts to engage an independent audit firm to complete either an agreed-upon procedure or compliance audit engagement related to the End of Year Pupil and Financial Report.
