Seller may designate in wdting.All Products must be inspected upon receipt and claims should he filed with the transpartalton company when there Is evidence ofshipptrig damage,either i concealed or external. t f 5.PERFORMANCE.Seller will make a reasonable effort to observe its date indicated fordelivery or other performance,However Seller shall not be liable in any way because of any delay In performance hereunder due to acceptance of priororders,technical difficulties,strike,lockout,riot„war,fire,act of God,accident,failure or breakdown of components necessary to order completion,subcontractor,supplier or Buyer caused delays,inability to obtain or substantial rises In the price of labor,materials or manufacturing Intifilies,curtailment o€or failure to obtain sufficient elacfrioal orother onergysupplies,or compliance with anytaw,regulation or order,whether valid or invalid,or anycognizard government body or any Instmmontalfty thereof whether now existing or hereafter created,or due to any unforeseen circumstances or causes beyond its control.Provided such delay is neither material or Indefinite,Seller's performance shall be deemed suspended during and extended forsuch time as it is so delayed,and thereafter Buyer shall accept performance hereunder.Relay in performance shall not be considered material odridefinite unless itexceeds or Is reasonably estimated by Sallerto exceed a period of six(6)months.In addition,Sellers Inventories and current production must be allocated so as to comply with applicable Goverment regulations.India absence of such regulations,Seder reserves the right,In Its sole discretion,to alkncate Inventories and current production and substitute suitable materials when,In its opinion,such allocation or substitution Is necessary due to such circumstances or causes.In the interest of conservation of scarce materials,Products may contain recycled parts.Such parts are subject to the some high standards of qualdty control applied to other materials and components,.No penalty of any kind shall be effective against Seller for delays In performance.As used herein„"Performance shall include,without.iimitation,fabrication,shipment„delivery,assembly,installation, testing and warranty repair or replacement,as applicable. 6. ACCEPTANCE.The furnishing by Seller of a Product to the Buyer shall constitute acceptance of that Product by Buyer,unless written notice of defector nonconformity is received by Seller within thirty(30)days ordelivery/hereaf.Notwithstanding the foregoing,any use of a Product by Buyer,its agents,employees,contractors or licensees,for any purpose,after delivery thereof,shall constitute acceptance of that Product by Buyer.Seller may repair or,at its option,replace defective or nonconforming perk after receipt ofwrftlen notice of detect or nonconformity. 7.. CANCELLATION.Orders canceled by the Buyer,at no fault of the Seller,within thirty(30)days of scheduled ship date shall be subject to a 15%cancelialion fee.Special order pads will be subject to a fifty percent(50%)fee.Cancellation by Buyer beyond thirty(30)days wit accrue fees based on incurred costs to Sager. 8.TERMINATION..Any order for a catalog listed Product terminated by Buyer within thirty(30)days after delivery if the box,container,or packaging is unopened,shall he subject to a I termination charge of flffeen percent(15%)of the order value to cover oosis of processing and other handling.Terminetion thereof within thirty(30)days after delivery if the box, container,or other packaging has been opened,shall be subject to a termination charge of twenty percent(20%)of the order value to cover the costs of processing and other handling r as well as the cost of sending the Product to the factory for retesting and the casts of retesting and repackaging.No order maybe terminated after thirty(30)days from the date of delivery except by mutual agreement in writing.Special Order parts will be subject to a fifty percent(50%)restocking fee, 9.
