Any modification or amendment of any provision of this Contract must be in writing and bear the signature of each party's duly authorized representative. In the event of a conflict between the terms of the IFB, bidder's response and/or the terms set forth in this Contract, the following order of precedence shall control. a) Terms in this Contract, b) Any correspondence between MHEC and the Bidder clarifying the bidders response c) Bidder's response to IFB d) IFB 2 Suppliers are required to market products and services to the MHEC membership directly and continue to promote sales volume through quality and superior service. The MHEC does not process or send Member's orders to Suppliers. 3 Upon request,vendors will supply individual written quotes based on the terms of their individual contract, i.e., if pricing is based on 1. discount off MSRP, List , Dealers Quote Etc., 2. Discount, Markup/% and 3. MHEC Net Price. 4 Suppliers maybe required to supply to members, catalogs, Price lists as quoted in the IFB or Website instructions to support Members need to maintain paper trails for quotes or purchase orders. 5 Discount pricing may be offered to a member above and beyond this contract discount structure in the form of: Special Deals, Sales Catalogs or Bulletins, Promotional Sales, and Additional Volume Discounts through special quotes for committed dollar purchases, so long as the same pricing will be offered to all current and future member customers who meet the same criteria for the special pricing. 6 Use of the contract is left to the discretion of each respective member. No guarantee of volume has been made to the vendor, 7 Suppliers will make every effort to identify purchasers contacting them to determine MHEC membership and extend the MHEC pricing and any benefits.Any customer who meets the MHEC criteria for membership within the 6 state region such as following list, will be afforded the opportunity to join the MHEC prior to finalizing the sale. (Please refer customer to www.mher-,net for membership process) 1, Non-profit, public and private colleges/universities, 2, Not for profit technical, charter, and vocational schools, Contract A MC11-007 Earth Safe Inc 'lee?07/01/2015 through 06/30/2019 Page 2 of 30 3, Municipalities including K-12, and Libraries. 4, Non-profit education organizations, 8 All discount percentages or cost markups as stated in this contract will remain as is for the life of this contract. 9 Various types of purchase orders may be issued against the contract, with no dollar limit, by each respective member. 10 The supplier will ship and bill the material requested on each purchase order directly to the respective member. Substitutions will not be allowed without the consent of the ordering department 11 Any purchase order issued to a vendor by an MHEC member is an agreement between the individual member and the vendor, not the MHEC organization, or other MHEC Members in part or total. 12 It is the vendor's responsibility to know and follow all state laws with regard to sale of their respective products/services within the state the MHEC member resides. Example: In Massachusetts, in accordance with Chapter 29, Section 29C and State Regulation 815 CMR 4.03, standard payment terms for state institutions are Net 30 Days, with interest assessable only after 45 days 13 It is the vendor's responsibility to know and follow all state laws with regard to the application of Prevailing Wage Laws, or the use of Union Labor when product installation is quoted. 16 Any furniture shall be guaranteed to be fully functional and capable of performing the tasks it was designed to perform under the manufacturer's guidelines. All Furniture or safety requirement or attachments shall be in place and functioning per the manufacturer's design. Any furniture and or accessories not functioning properly(or becoming non-functional)will be exchanged or repaired at no additional charge during the warranty period with the approval of the member. 17 Furniture Safety; All items should comply with industry safety related standards for Public use such as Preschool and Young Children's use where applicable. 18 Furniture ADA Compliant Note: All ADA items must conform to industry standards. 19 Furniture Fire Safety; Items in this contract should conform to fire and electrical ratings standards for Flammability and Flame Retardant applicable to Fabric and Upholstered Fillings, Cal 133, 117 or 116, and UL ratings where appropriate and clearly indicated to Members who will determine which if any standard applies for their institution. 20 Deviations form Furniture Safety,ADA Compliant, Fire Safety: Any Deviations from the above terms and conditions of this contract for sale of furniture within the contract relating to Safe use, ADA Compliance, or Fire Standards should be signed for by the member 21 For Members: You may be required to use a website or vendor special code to obtain the contract benefits and receive special contract pricing! Please refer to the individual vendor contract for codes or when making first contact with the vendor, and please be sure to identify yourself as an MHEC member and follow instructions to ensure you are capturing all available discounts. The member identification to the vendor should occur for all sales including the request for catalogs, requesting quotes and special price offerings. Be sure to include MHEC References or vendor supplied code on all correspondence, and purchase orders. 22 If you have any questions pertaining to the use of this contract, please call the respective vendor in question. 23 Contact the vendors directly to request literature and price lists. The terms will be extended to all members. 25 When considering ordering furniture be sure that you consider the intended use and indicate the use of the furniture for Safety ratings especially those that apply for your State or local governments.
