t c ted in Tewksbury and Andover, M& Their products include marinated meats, stuffed
proteins, valued added ground f,, and many more, 'Items, for the Retail Food Industry. They
are reading capacity t their current facitities and Iare In sear facility where they can
consolidate 'Into, one location with room � r future expansion. The building at 100,Willow ,street
provides then with the space they are looking for with potential for future expansion.
Gourmet Specialty Foods was created lr 2006. Over the, years they have found increaseddemand for fresh, handmade, high quatity, and safe quality "foods, within the retail, food
segment. Gourmet continues to upend its product offerings that satisfy the specific needs of
their current and future st mers,. Their focus on consistency, quality, innovation, and
custornization has resulted ire significant sales growth. Existing customers include Market
Basket, Stop and Shop, Big Y Food St res, and WholeFoods,Just to name a few. Their overatt.
focus in the future is to continue, to grow and diversify not only their customer base but their

Min or modifications to the, building located at 1010 Witt w Street are proposed as, part of the,
project. Arch itectu ra,i plans are inctuded in the submittal, showing proposed minor changes to
the front of the build'in g to accommodate the two new entrances. The, major portion of the
pr9ject is the expansion of the parking facilities on the site to conform to the, parking criteria for
the proposed use. The current facitity has approximatety 9 parking spaces with 4 loading bays.
'The Proposed in&strial use will require 51 parking spaces. Additionat parki.ng facilities are
proposed with stormwater management, designed to mitigate the increase in impervious, to
accommodate the required increase to parking. A totat of 54 spaces are proposed. Two (2)
loacling, bays are, required for the proposed use, therefore, the 4 existing Load*ng bays meet this
requirement.
'With regards to, the Special Permit for modifications to the required screening/tandscaptrig of
off street parking relief is requested to reduce the screening requirements along the proposed
parking Lot. T'hier ' wilt be no permanent screening, hedge or fence between Willow Street and'
the parking tot. Instead, new shade trees will be planted at a sp,acLng OT 30' to 40', depending
on site constraints such as light potes, utffifies and drainage infrastructure. A, critical component
of the Low-Impact Development stor,mwaAter management system is the vegetated infittratton
basin wt g the edge of the parking tot, This system will function best with a specialized seed
mix for permanent swat coverage, rather, than mulch and shrubs which are more prone to
mwntenance problems. We believe that" the tandscapinn proposed meets the 'Intent of the
landscaping requirement 'in this, area.,
As required, a landscape plan Pis, being submitted with the applications. In accordance with
section 19,5-8.14.0 of the North Andover Zoning Bylaw cult landscape plans shall be prepared by
a, certified landscape architect, registered in the Commonwealth of Mlas'sachusetts. A waiver is
being sought to allow the Landscape Plan to be prepared, by a Registered Professional C*LVLI,
anag
Engineer with a background in ecological, landscape, design and' m ement.

SUBORDINATION,A.' TORNMEN AND NON�DXSTURBANCE AGREEMENT
THIS AGREEMENT is made and entered l to as of this day of June,
2015,by and among Enterprise Bank and Trust Company(hereinaft'd called the "Bank
M&K Recovery Group,Inc. (hereinafter called the "Tenant")and Beau Realty,LLC
(hereinafter called the "Landlord").
WINSS
WHEREAS,Landlord is a holder of a lease located at 100 Willow Street,North
Andover,M,and more particularly described in Exhibit A attached hereto and made a
pad hereof(such property being hereinafter called the 'Property"); and
WHEREAS,a lease was entered into between Reau Realty, LLC and M&K
Recovery Group,Inc. dated June 5,2 08 with respect to certain premises at 100 Willow
Street,Forth Andover,A4A(such Lease being hereinafter caked the "Lease" and such
premises being hereinafter caked the "Leased Premises" ; and
WHEREAS on or about the date hereof, Landlord has entered into and delivered
that certain Mortgages and Security Agreements in favor of the Bank to be recorded in
the Essex County registry of Deeds Prior to the recording of this Agreement (such
Mortgages and Security Agreements being hereinafter caked the "Mortgages"),
conveying the Propeity to secure the payment of the indebtedness described in the
Mortgages; and
WHEREAS,on or about the date thereof,Landlo-rd has entered into and delivered
that certain Conditional Assignments of Leases and Rents in favor of the Bank to be
recorded in the Essex County Registry of Deeds prior to the recording of this Agreement
(such Conditional Assignments of Leases and Rents being hereinafter called the JL
"Assignment of Leases"), assigning all of Landlord's right,title and interest as Lessor
under the Lease to further secure the indebtedness described in the Mortgages; and

WHEREAS, the pies hereto desire to eater into this Subordination,A.ttox xuent
and Non.-f' isturbaee Agreement;
NOW, THEREFORE, for and in consideration of the mutual covenants
hereinafter set forth and other good and valuable consideration,the receipt and
sufficiency of which are hereby acknowledged,the Bank,Tenant and Landlord hereby
covenant and agree as follows:
l. Este e . Tenant hereby certifies to the Bank that i the Lease, as
described above, is the tie, correct and complete Lease,and has not been modified or
amended and constitutes the entire agreement between Landlord and Tenant, and ii as
far as is known to Tenant,ant,there are no defaults of Landlord under the Lease and there are
no existing circumstances which with the passage of time,or giving of notice,or both,
would give rise to a default under the Lease and/or allow Tenantterminate the Lease.
2, Suborrdl*nation. Tenant hereby subordinates all of its right,title and
interest as lessee under the Lease to the right,title and interest of the Bank under the
Mortgages,and tenant further agrees that the Lease now is and shall at all times continue
to be subject and subordinate in each and every respect to the Mortgages(including,
without limitation,the casualty and condemnation provisions of the Lease,which are
hereby specifically subordinated to the Mortgages)and to any and all increases,renewals,
modifications,extensions,substitutions,restatements,replacements and/or consolidations
of the Mortgages
tt run nt. Unless the Lease is to urinated in accordance with Paragraph
, if the interests of the lessor under the Lease shah be transferred by reason of the
exercise of the power of safe contained in the Mortgages(If applicable), or by any
foreclosure or other proceeding for enforcement of the Mortgages,or by deed in lieu of
foreclosure or such other proceeding,or if the Bank takes possession ofthe property
pursuant to any provisions of the Mortgages or the Assignments of Leases, the lessee
thereunder shall be bound to the Bank or the person acquiring the interest of the lessor
under the Lease as a result of any such action or proceeding(hereinafter called the
"Purchaser"), as the ease may be,under all of the terms,covenants and Conditions ofthe
Lease for the balance of the term hereof an any extensions or renewals thereof which
may be effected cted accordance with any option therefor in the Lease,with the same force
and effect as if the Purchaser or the Bank were the lessor under the Lease, and Tenant, as
lessee under the Lease,does hereby agree to attom to the Purchaser or the Bank if and
when it tales possession of the Property, as its lessor under the fuse. Such attornmen
shall he effective and self-operative without the execution of any fintherr instruments
upon the succession,by Purchaser to the interest of the Lessor index the Lease or the
taIdng of possession of the Property by the Bank. Nevertheless,Tenant shall, from time
to time,execute and deliver such instruments evidencing such a Comment as Purchaser or
the Bank may require. The respective Frights and obligations or Purchaser,the Bank and
of the lessee under the Lease upon such attomment,to the extent of the then remaining
balance of the term of the Lease and any such extensions and renewals, shall be and are
the same as now set forth in the Lease except as otherwise expressly provided in
Paragraph 4.

4. Ng -Dist So long as no default exists, nog'any event has occwT
which has continued to exist for such period of time(after notice, if any,required by the
Lease)as would entitle the lessor under the Lease to terminate the Lease or would cause,
without any Rrther action on the part of such lessor, the termination of the Lase or
would entitle such lessor to dispossess the lessee thereunder,the Lase shall not be
terminated,nor shall such lessee's use,possession or enjoyment of the Lased 'remises
or rights under the Lease be interferedwith in any foreclosure or other action o
proceeding in the nature of foreclosure instituted under or in connection with Mortgages
or in ease the Bank takes possession of the Property pursuant to any provisions of the
Mortgages or the Assigmnents of Leases,mess the lessor under the Lase would have
had such n"ght if the Mortgages or the Assignments of Leases had not been made,except
that neither the Purchaser nor the Bank'if the Bank takes possession of the Property shall
be liable for any act or omission of any prior lessor under the Lease; orb liable for
the rem of any security deposit which lessee under the Lease has paid to any prior
lessor under the Lease;or a subject to any offsets ets or defenses which the lessee under the
Lease night have against any prior lessor under the Lease; or d bound by any base rent,
percentage rent or any other payments which the lessee under the Lase might have paid
for more than the current month to any prior lessor under the Lease; e bound by any
amendment or modification of'the Lease; or f)bound by any consent by any lessor under
the Lease to any assignment or sublease of the lessee's interest in the Lease made without
also obtaim"ng the BaWs prior written consent; or g personally liable for any default
under the Lase or any covenant or obligation on its pad to be performed thereunder as
lessor,it being acknowledged that Tenants sole remedy in the event of such default shall
be to proceed againstPurchaser's or the ank's interest in the property.
. Assign nt of Leases. Tenant hereby acknowledges that all of the
LandlorcPs right,title and interest as lessor under the Lase is being duly and
conditionally assigned to the Bank pursuant to the terms of the Mortgages and the
Assigm nents of Leases,and that pursuant to the tcnns thereof all rental payments under
the Lease shall continue to be paid to Landlord in accordance with the tens of the Lase
unless and until Tenant is therwise notified in wifting by the Bank. Upon receipt of any
such written.notice from the Bank,Tenant covenants and agrees to make payment of all
rental payments then due or to become due under the Lease directly to the Bank or to the
ank's agent designated in such notice,whether or not the Bank has made entry or
become mortgagee in possession pursuant to the Mortgages;and to continue to do so
until oterm"se notified in writing by the Bank. Landlord hereby irrevocably directs and
authorizes Tenant to make rental payments directly to the Banc following receipt of such
notice, and covenants and agrees that Tenant shall shall have the right to rely on such
notice without any obligation to inquire as to whether any default exists under the
Mortgages or the Assignments of Leases or the indebtedness secured thereby, and
notwithstanding any notice or claim of Landlord to the contrary,and that L and lord shall
have no right or claim.against Tenant for or by reason of any rental payments made by
Tenant to the Bank following receipt of such notice. Tenant further acknowledges and
agrees; (a)that under the provisions of the Mortgages and the Assignments of Leases,the
Lase snot be terminated(nor can Landlord accept any surrender of the Lease)or
modified In any of its terns,or consent be given to the waiver or release of tenant from
the performance or observance nce of any obligation under the Lase,without the prier
written consent of the Bank,and without such consent no rent may be collected or
accepted by Landlord more than one month In advance, and b that the interest o
Landlord as lessor under the Lease has been assigned to the Bank for the poses
specified in the Mortgages and the Assignments of Leases,and the Bank assumes no
duty, liability or obligation under the Lease,except only under circumstances,terms and
conditions specifically set forth in the Mortgages and Assignments of Leases.
Notice of Default by Lessor. Tenant,as lessee under the Lease,hereby
covenants and agrees to give the Bank rotten notice properly specifying wherein the
lessor under the Lease has failed to perform any of the covenants or obligations of the
lessor under the Lease, simultaneously with the giving of any notice of such default to the
lessor under the provisions of the Lease. Tenant agrees that the Bank shall have the right,
but not the obligation,within thirty 3 days after receipt by the Bark of such notice or
within such additional time as is Treasonably required to correct any such default)t
correct or remedy,or cause to be corrected or remedied,each such default before the
lessee under the Lease may take any action under the Lease by reason of such.default.
Such notices to the Bank shall be delivered in duplicate to:North Shore Bank or to such
other address as the Bank shall have designated to Tenant by giving VmWen notice to
Tenant at Attn: 100 willow Street,North Andover,MA,or to such other address as may
be designated by wxlttn notice from Tenant to the Bank.
7, No Fudher Subordination. Except as expressly provided to the contrary in
Paragraph 2 hereof,Landlord and Tenant covenant and agree with the Bank that there
shall be no further subordination of the interest of lessee under the Lease to any lender or
to any other party without first obtaining the prior written consent of the Bank. Any
attempt to effect a finiher subordination of lessee's interest under the Lease without first
obtaining the r"or Witten consent of the Banc shall be null and void.
. As to Undlord and Tenant. As between Landlord and Tenant,Landlord
and"tenant covenant and agree that nothing herein contained nor anything done pursuant
to the provisions hereof shall be deemed or construed to modify the Lease.
9. As to Landlord and Fender. As between Landlord and the Bank,Landlord
and the Bank covenant and agree that nothing herein contained nor anything done
pursuant to the Provisions hereof shall be deemed or construed to modify the Mortgages
or the Asslg .nents of Leases.
f o. Titles of Para ra h . The titles of the paragraphs of this agreement are for
the convenience and reference only, and the words coned therein shall in no way be
held to explain,modify,amplify or aid in the interpretation,construction or meaning o
the provisions of this agreement.
11. G veming Law_. This agreement shall be governed by and construed in
accordance with the laws of the Commonwealth of Massachusetts.
1.2, rovisios Binding. The terns and provisions hereof shall be binding
upon and shall inure to the benefit of the heirs, executors, dmu"n' ators, successors and
permitted assigns,respectively, of the Bank,Tenant and Landlord. The reference
contained to successors and assigns of Tenant is not intended to constitute and does not

constitute a consent by Landlord or the Bank to an assignment by"Tenant,but bas
reference only to those instances in which the Lessor under the Lease and the Bank shall
have given written consent to a particular assignment by Tenant thereunder.
