INTRODUCTION
HB has been retaincd by the Eagle Tribune to prrpazr.site ongincering plaits and a Iraffic
r1 emorandurn far the proposed 19,900 square foot expansion of the Ea gle'Fri bune- Building on Route VISE
in North Andover. This trtetrtora:tdwn swnmari7es Else traffic-related components of the proposed
development. The site cur'rcntly contains a 78,372 sc{uare fGot bk3ildirng that houses the Faglc Tribunc. It
is %urrounded on.three sides by parking lots.
TRIP GENERATTON
The.number of vehicle-trips to be generated by the cu€rent 19,900 square foot exparision proposal was
estimated in; order to evaluate traffic Impacts of the proposed development. The number of vehicle trips
to be estimated by new devclopments or e pansions is typically csti_mated based on i-n for-ma tion
provided in the Trip (era ration repnrt, 6'Fdition,published by the Ir[stitute of Transportation Engi[leer&

the proposed Ea Ie Tribune expansion-
Therefore,the trip generation estimates for the proposed expansion we c based on the existing trip
generation characEeristics of the site,assuming that the expartsion will add traffic err{gyp€trtionaIly based
on the ixlcreased square fmtape over current conditions. This assumption provides a conservative,
orst case analysis, as the Eagle Tribune is planning to increase the distribt#tio11,boat clot tilt workforce
substantially. Current estimates indicate#hint the employee cotalt wail only inrrea-e by 5 to€k employecs,
and trUCR dCLIivcric5 wiJI only inczraso by I to 2 delivcrics per week- Hower er, the analysis provides a
worst-cast°Scenariu. A su] rnwy of the trip generation for the proposed expansion is shown in Table 1.

As shown in the table,the conservative analysis indicates that the expansion is proiccted to generate an
additional 15 vehicles at the site during the morning peals hour, and 35 vehicles at the sits (10 entering
arid 7.5 exiting) during the evcning peak hour, The trips are expected to follow Elie same travel
characteristics as the existing trips, with approximately 65 to 70 percent traveling to and froin the west,
and the i-ernainiTig 30 to 35 percent travel:ug to and from the east.
TRAFFIC OFFRATIONS
The additional traffic generated by the expansion is expected:to have a mirnimal,if any, impact on the
surrounding roadways_ For r anipfe, based on the conservative trip generation estimates, the expansion
is projected to add between 5 and 15 vehicles per hour to the Route't14f Poers Stmct intersection and
bct eon 15 and 25 vehicles per hour at the Route 114JWaverly Road intersection. Thexe additional
vehicles will be distributed over several lanes of traffic in each direction at the intersections,so the
impact of the additional traffic+.vile be minimal. `fhe add itionaI increase woo Id resuIt in a IcLss Maxi One
perccrwt incroasc over the existing 2,100 to 2,20O vehicles c4errently traveling along Route 114 during the
peak hours.
The Eagle'fribune wite driveway currently operates well, and is expected to continue doing so,with the
exception of the left-turn movement out c)f the driveway (into Rimte 'H 4- This movernerwt cxarrentty
experiences delay at tittles during the peak hour, waiting for a break in traffic along both directions-of
Rimte 1'14_ The traffic signal at the Route 114/Peters Street iiitersection,located to the east of the site,
and the traffic signal at the Route 114/Waverly Strert intersection, located to the we,.-,t exf the site, help
facilitate this movement by creating gaps in traffic travelling along Route 114. The expansion is not
expected to add any additional vehicles to this movement d Uring Elie morni.Eig peak liocir, and is
expected to add up to'l0 vc hic les to this mo-vement over the oven iiig peak hour.
CONCLUSIONS
Based on a review of the planjicd and projected traffic gencrating characteristics of the site,the overall
change in traffic entering and leaving the Site is minimal, and will not impact traffic uperations on the
surmunding roadways_

you on Apxtl 4, 20M and my telephone conversation with VHB's attomy, D8v't4 ThOmas.

Richard H. Casey, who € s agreed to your seeking advice Qn his behalf.
You are currently assigned as the Project Manager for one of VHB's clients, the
Lawrence Eagle Tribune newspatper. In October 1M and again on ( toter 14, 1999, t
Tribune secured VHB's services to provide planning and eogin=ing services for the
preliminary evaluation of two undeveloped parcels in North Andover, In general the
preliminary cval4ation involved assessing the site tornstrai� on devekopment. YOU fdPOTI that
t}te prelirmTwry evaluation did not involve VH'B'a interaction with the Town.
In December 1999, the Eagle Tribune hired VHH in The ptepaTa,tion ofciviI
engineering plans, documents, and nalculatious for a proposed expami♦an of its facility in the
'own of Forth Atrduvcr.
By way of background, VHB provides civil engineering cowWdaa aer+rices to many

for proposals (RFP) to provide 60 engineering consulting services for municipal plan

ones to fulfill the specified roles. Moreover, nothing in these materials requires VHD to

Th as, the on-going nature of the.work inquires that VHB be able to assign gvwfied pule
as they are available. For example, the Wdividut & who performod a review bf one set of
subdivisian plans might not necess,arsly be the same VHR person el who reviewed another set
of plans for a different project. VHB, rather than the Town, chooses who will do the work,
provided that the personnel it assigns have the basir, qualifications epecil`ied in the Contract.
You and Mr. Thomas wort that Mr. Cuey, is the project manager for the Contract.
He, however, is not idenWled in the Contract, He and the staff of VHB who perform work
pursuant to the Coxs m= are part, of a VHB division, thin is di fetent from yours. As a result,
riefther yaa nor any of the staff-in your division who may work on the Tribune project will
work on anything pursuant to [he Contract.
You report #hoc VHB currently employs appmximately 700 individuals among its
diviaiem. VHB, through a letter from Mr. Carey dated D=mber 28, 1999, notified the
Town's Office of Community Development that the.Tribune, art existing el t of the firm,
would be presenting a proposed project to ttie Town and that VHR would be providing civil
engineering consulting services for that project. The letwr stags, " israe VHR will be

Based upon tic information you provided as dcscribcd above, you ask how t1uM conflict
of interest lain applies. As a prelirminary matter, we must determine wbztbcw ME. Carey or
any of the VHB staff performing work putsuant to the Contract are deemed to he € unicipal
employees as defined under the con ict of interest la ,-V For the reasons described in detail
below, we conchade that the Coninct does not make therm municipal employees of the Town
for purposes of the conflict law.
In determining whether an individual employed by a firm wbieh is under contracct to
perform services for a public entity is a public employee for purposes of the cvnf kt:law, the
ELUcs Commission mvivws rieveral factors. In COI-9 -6, for ax=Vle, the Comn ssion
set forth a multi-factored analysis to demmine whether employees of a rmrporau n that
contracts with the Commonwealth are deemed state employ=, whicb A the same analysis use
to determine municipal employee status. In general, such individulls will not he considered
} state emTloyees unless the eontractWg state agency specifically targets them to perform
seivices. To determine this issue, all of the following factors are considered and balanced
based on the totality of the ciromstances. No single factor is diapositive:
(a,) are the individual's services expressly or impliedly cDntractod for?
(b) how large is dw entity? haw many employees? what types of services are
provided by it?

employ=), The services, however, are specialized but WB, ratber than the Town, centrals
