This trtetrtora:tdwn swnmari7es Else traffic-related components of the proposed development. The site cur'rcntly contains a 78,372 sc{uare fGot bk3ildirng that houses the Faglc Tribunc. It is %urrounded on.three sides by parking lots. TRIP GENERATTON The.number of vehicle-trips to be generated by the cu€rent 19,900 square foot exparision proposal was estimated in; order to evaluate traffic Impacts of the proposed development. The number of vehicle trips to be estimated by new devclopments or e pansions is typically csti_mated based on i-n for-ma tion provided in the Trip (era ration repnrt, 6'Fdition,published by the Ir[stitute of Transportation Engi[leer& This Publication contains data ors anany various L-Uld 4rses,however,sloes not have applicable data for the proposed Ea Ie Tribune expansion- Therefore, the trip generation estimates for the proposed expansion we c based on the existing trip generation characEeristics of the site, assuming that the expartsion will add traffic err{gyp€trtionaIly based on the ixlcreased square fmtape over current conditions. This assumption provides a conservative, orst case analysis, as the Eagle Tribune is planning to increase the distribt#tio11,boat clot tilt workforce substantially. Current estimates indicate#hint the employee cotalt wail only inrrea-e by 5 to€k employecs, and trUCR dCLIivcric5 wiJI only inczraso by I to 2 delivcrics per week- Hower er, the analysis provides a worst-cast°Scenariu. A su] rnwy of the trip generation for the proposed expansion is shown in Table 1. k\Mn4Yh3_d\[.DkObR7]1dxsreF*wlsltrelmrm.dx EMtc,FeEtruary 19,2000 2 Prujcd o-;06873 Table 1 TriV Generation Summary Proposed Eagie Tribune 13uilding Expansion 'ritne Peri6d/Di rectivn )existing Trips Trips DLie Ea Expansion Total Trips Moming Peak Hour Enter €11) 15 75 Exit 5 0 5 Total 65 15 HO Evening Peak I-lour Enter 40 10 50 Exit 95 25 120 Total 135 35 170 As shown in the table, the conservative analysis indicates that the expansion is proiccted to generate an additional 15 vehicles at the site during the morning peals hour, and 35 vehicles at the sits (10 entering arid 7.5 exiting) during the evcning peak hour, The trips are expected to follow Elie same travel characteristics as the existing trips, with approximately 65 to 70 percent traveling to and froin the west, and the i-ernainiTig 30 to 35 percent travel:ug to and from the east. TRAFFIC OFFRATIONS The additional traffic generated by the expansion is expected:to have a mirnimal,if any, impact on the surrounding roadways_ For r anipfe, based on the conservative trip generation estimates, the expansion is projected to add between 5 and 15 vehicles per hour to the Route't14f Poers Stmct intersection and bct eon 15 and 25 vehicles per hour at the Route 114JWaverly Road intersection. Thexe additional vehicles will be distributed over several lanes of traffic in each direction at the intersections,so the impact of the additional traffic+.vile be minimal. `fhe add itionaI increase woo Id resuIt in a IcLss Maxi One perccrwt incroasc over the existing 2,100 to 2,20O vehicles c4errently traveling along Route 114 during the peak hours. The Eagle'fribune wite driveway currently operates well, and is expected to continue doing so,with the exception of the left-turn movement out c)f the driveway (into Rimte 'H 4- This movernerwt cxarrentty experiences delay at tittles during the peak hour, waiting for a break in traffic along both directions-of Rimte 1'14_ The traffic signal at the Route 114/Peters Street iiitersection, located to the east of the site, and the traffic signal at the Route 114/Waverly Strert intersection, located to the we,.-,t exf the site, help facilitate this movement by creating gaps in traffic travelling along Route 114. The expansion is not expected to add any additional vehicles to this movement d Uring Elie morni.Eig peak liocir, and is expected to add up to'l0 vc hic les to this mo-vement over the oven iiig peak hour. CONCLUSIONS Based on a review of the planjicd and projected traffic gencrating characteristics of the site, the overall change in traffic entering and leaving the Site is minimal, and will not impact traffic uperations on the surmunding roadways_ 1=x},LtfYAL6\LDld6.73sfurepuQtrltrafmcrn,dac Transportation Land Development EnvironmenUf 8 o r v i c e s 101 WOEllutStrect Yost O fiire EUX 9151 watertos n 3% assadiusetts 1)2471 017 924 1770 Transmittal To. Inc. 101 Walnut Street P. O. Box 9151 Watertown, MA 02741-9151 car Mr. DiPia ro: I am writing in response to your recent request fox advice WWc-t the Wr&kt of inm=st law, G. L, c- 268A. You are an engineer employed by yanasse Hangen Brustlin, Inc_ (VHB). `Me following is based on the written materiakis you provided, my telephone conversation with you on Apxtl 4, 20M and my telephone conversation with VHB's attomy, D8v't4 ThOmas. also on April 4, 2000. You are seeking advice an behalf of VHH and another VHB employee, Richard H. Casey, who € s agreed to your seeking advice Qn his behalf. You are currently assigned as the Project Manager for one of VHB's clients, the Lawrence Eagle Tribune newspatper. In October 1M and again on ( toter 14, 1999, t Tribune secured VHB's services to provide planning and eogin=ing services for the preliminary evaluation of two undeveloped parcels in North Andover, In general the preliminary cval4ation involved assessing the site tornstrai on devekopment. YOU fdPOTI that t}te prelirmTwry evaluation did not involve VH'B'a interaction with the Town. In December 1999, the Eagle Tribune hired VHH in The ptepaTa,tion ofciviI engineering plans, documents, and nalculatious for a proposed expami♦an of its facility in the 'own of Forth Atrduvcr. By way of background, VHB provides civil engineering cowWdaa aer+rices to many _ 13riirticial clients__ tmisu; ipitiest t _comrac€s_ with VHE to provide Ecc rtioal review consulting. In May 1999, VHE MPDudcd to a rerluest for proposals (RFP) to provide 60 engineering consulting services for municipal plan reviews of submissions to the Town of Korth Andover's Plane ing Board. VHB and ft Town entered inn au agreement on October 12, 1999. 'Tho title of that ag€eement lfs "Agrownent for Professional Services Between Vanasse Han en $rustlin Inc, and North Andover Office of Community Development, 8ubdiviaion plan Review and Construction Inspection Smicts North Andover, Masaaehusetts" (Contract), The RFP sp>:cif:ee that the Consultant "wilt have availabic dw fbJ1 wing staff within the brut or as part of their joist[proposal:" a Registered Prefessional Engi er; a ProfessiOnal PHONE: 6171727-0060 or e881485-4766 FAX., ISI 71723-5851 www.manai,ata#e.m.osfelhlCS Frank Wietro April 13, 2000 Page 2 Wedand Scientist, a Structural Engineer; and a Traffic Engineer. The 1 P also requires the C 4oiA sultam to subrtilt the names and resumes of the people who have these: credentials. Ncitl the Contract nor the RFP, however, gpecifica that any of the idendfiW individuals must be the ones to fulfill the specified roles. Moreover, nothing in these materials requires VHD to Dbtsin the Town's wnsent in waigning qualified persor=1 to the work. Accm-di g to Mr. Th as, the on-going nature of the.work inquires that VHB be able to assign gvwfied pule as they are available. For example, the Wdividut & who performod a review bf one set of subdivisian plans might not necess, arsly be the same VHR person el who reviewed another set of plans for a different project. VHB, rather than the Town, chooses who will do the work, provided that the personnel it assigns have the basir, qualifications epecil`ied in the Contract. You and Mr. Thomas wort that Mr. Cuey, is the project manager for the Contract. He, however, is not idenWled in the Contract, He and the staff of VHB who perform work pursuant to the Coxs m= are part, of a VHB division, thin is di fetent from yours. As a result, riefther yaa nor any of the staff-in your division who may work on the Tribune project will work on anything pursuant to [he Contract. You report #hoc VHB currently employs appmximately 700 individuals among its diviaiem. VHB, through a letter from Mr. Carey dated D=mber 28, 1999, notified the Town's Office of Community Development that the.Tribune, art existing el t of the firm, would be presenting a proposed project to ttie Town and that VHR would be providing civil engineering consulting services for that project. The letwr stags, " israe VHR will be preparisag site plans for the Eagle Tribmm, there is an ohvlous cohMCE with our contract with the Town. Therefor [arc), we are req=ting, that VHB bu absolved fromm site plan review for Ws site." The Contract includes d fetlowing pamgraph- Conflict o€'Interest: Both the Tevun and the Contractor stipulate to the applicability of the ;Mate Confilct of 1'ik rest Law ( encral Laws Chapter 269A) and Us contract expressly prohibits any'ae-tivity whieb sWl constitute a violation of that law. The Cooxractnr shall be deemed to have inveatigaled its applie*ffity to de performm= of this contract; and by execndq the contract documents ft Contxaetur certifies to the Town that neither its rtor its ages, employees or subcontractors are themby in violative of General haws Chapter 26$A. in light of the C:omact, VHB notified the Town, both verbally and in writing y letter dated December 28, 1999), that the Eagle 'Tribune, an existing VHB client, would be presenting a proposed project hefare the Town wA that V14B would lsc providing co ulting services for the projwt. In accordance with the Contract, VHB requested dw it not asaist the Town in €cvicwing ttie Eagle Tribune's submisaion to the Planning Board. Town Counsel . You report that the To es CDmmunity Development Director agreed to VHB's rMasenfing the Eagle Tribune an its project, rather than the Town. The Town planned to use anoiher consultant tc review ft Eagle Tribum project. Based upon tic information you provided as dcscribcd above, you ask how t1uM conflict of interest lain applies. As a prelirminary matter, we must determine wbztbcw ME. Carey or any of the VHB staff performing work putsuant to the Contract are deemed to he € unicipal employees as defined under the con ict of interest la ,-V For the reasons described in detail below, we conchade that the Coninct does not make therm municipal employees of the Town for purposes of the conflict law. In determining whether an individual employed by a firm wbieh is under contracct to perform services for a public entity is a public employee for purposes of the cvnf kt:law, the ELUcs Commission mvivws rieveral factors. In COI-9 -6, for ax=Vle, the Comn ssion set forth a multi-factored analysis to demmine whether employees of a rmrporau n that contracts with the Commonwealth are deemed state employ=, whicb A the same analysis use to determine municipal employee status. In general, such individulls will not he considered } state emTloyees unless the eontractWg state agency specifically targets them to perform seivices. To determine this issue, all of the following factors are considered and balanced based on the totality of the ciromstances. No single factor is diapositive: (a,) are the individual's services expressly or impliedly cDntractod for? (b) how large is dw entity? haw many employees? what types of services are provided by it? V"3 unicipaf employee, a person performing services for or bokJting an office, position, employment or membersWp in a mmnicipal agency, whether by election, appointment, contract of hire or engagement, whether serviTkg with or without cvn eru anon, on a lull, regular. part- time, iotetsmittent, or consultant basis, . . . ." . f.. c. 269A, 11(g). YA4lthough you arc cntit#cd to receive a formal opinion issued by ft Comnn uioncrs of the Ethics Commission if you believe one is =cssaty or desirable, this informal advice from the Legal Division of ttt+e Commission is based upon relevant CommisaiGn precedent. Please also nose chat the Legal Division of the ethics Commission provides oWy prospectivr-guidance under the conflict of interest law, and this informal opinion is not intended to address or evaluate the proFpricty of coWucr that has alrcadyr occurred or the applicability or effect of any other body of lour or regula, tian abort such conduct. -r'f FKyl .'.LYU Li 1F-h VHE ;a, 7 , 8 qF5 F,[a Frank DiPie€ro April 13, 20M Page 4 (c) to ghat degve is specialized knowledge or expertise required in ft performance of the services? (e) has the #/7yper.} ayt aonper+/lf`omed similar services in the past to Ebe public entity? EC-COI- Here, the information you provided does not indicate that the Town expressly or impliedly contraacd for any specific individual at VHS- Mr, Carey, for example, b$s not been €amcd as a key employee under the Contract, See E C'OT-89-6. VHH is not a snail company. Compare E -COI-99-3 (entity employed thirteen fall-time and six part-ti= employ=), The services, however, are specialized but WB, ratber than the Town, centrals who will perform Uw work on the contract. Finally, although VE B bas a history of providing such services to municipalities, it is not clear dint Nk. Camy himself has a history of being the individual who provj&s these types of services to the Town. I also nca that while she paragraph in the Contract concerning conflict of interest alerts tlw Town and Me Comnclur to the applicability of fix- L. c. 268A, it dam -not expressly state thm the CO> t'tOr's Personwl shall be dcc=d to be 'municipal emploms" as that term is defined in the statute. Baal on all of these faram, thereforc, wo informaily conclude that Mr. Carey and the €#her VHB personnel perforating work for the Town pursuant to the Contract = not municipal employees for purports of the conflict iaw►. s a result, the circumstances described above do not raise issues under 0. L. c. 268A31 regarding your work for the Eagle Tribvne in exp nding its facility 'ia the TownY WAgain, ibis opir►on is limited io the applicability of fix. L. c. 268A. I offer no opinion ae to the applicability of any ert8iiseering profesaional code of eond=l that May apply. e ven if Mr. Carey or other mambera of his division were deemed to be municipal €anployees of the Town becsuge of the Contract, the conflict law would j%t prohibit you from being paid by, or acting as agent for, the Eagle Tribwie in preparing or preserAing its plans for Town appmval because you are not a mmnicipaJ employee of the Town for purposes of the conflict law. Simfiarly, even 1f Mr. Carey were deemed to be a t unicipai emPlOYOC of the Town, because VIM is a corporation ranter than a partnership (see e.g. EC- i I-93- 4), r whing in the coxsf ct law would prohibit other{rmpluyees of the corporation, who are also mt municipal employees of the ' c;wn, from perfonning the Fagle 'Tribune work you have described. #_F+ F{y 13 " JkJ_ kfl;l :H_5 \NJ fCQ co,+rd :Z 7 7s;4 Begs P.
