CONTRACT FOR CONSULTANT SERVICES
This CONTRACT made and entered into on _21st_ day of October 2025, by and between
Merrimack Valley Planning Commission, Inc., (MVPC) a Massachusetts corporation with a usual
place of business at 160 Main Street, Haverhill, Massachusetts "CONSULTANT;" and the Town
of North Andover (the "TOWN") a municipal TOWN duly established by law and located at 120
Main Street, North Andover, Essex County, in the Commonwealth of Massachusetts.
WHEREAS, the TOWN sought quotes for CONSULTANT Services for the purpose of updating the
Town's Hazard Mitigation Plan ("Plan")that was approved by FEMA in 2021;
WHEREAS, the Plan is set to expire in September of 2026 and will need to be updated prior to its
expiration;
WHEREAS, the CONSULTANT represents that it is duly qualified in this field, and has agreed to
perform such services for the TOWN;
NOW, THEREFORE, IT IS AGREED by and between the parties as follows:

The CONSULTANT will complete the following scope of work: "Merrimack Valley Planning
Commission (MVPC) Hazard Mitigation Plan Update Scope of Work for the Town of North
Andover, attached as Exhibit A.
CONSULTANT'S Schedule and Fee Structure is set forth the CONSULTANT's proposal attached as
Exhibit A. This Contract will commence upon execution and terminate on September 215t, 2026.
Time is of the essence for this Contract. Any extensions of time must be in writing and are at the
sole discretion of the TOWN.

The CONSULTANT'S Bid, Scope of Services, Price Proposal and Fee Schedule, all required
Certifications, all Insurance Binders, and General Terms and Conditions, are incorporated herein
and made part of this Contract. In the event of a conflict between the terms and conditions of
this Agreement and any of these incorporated documents, the terms and conditions contained
in paragraphs 1-21 shall prevail.

Total payment under this Contract shall not exceed the sum of$25,000 Dollars. This Contract is
expressly subject to and contingent upon an appropriation of funds in the escrow account.

The TOWN agrees to use best efforts to pay for services within thirty (30) days of receiving an
invoice,so long as all services provided are sufficiently detailed in the invoice,and that the invoice
has filed with the contracting department. Any payment under this Contract shall not constitute
or be deemed a waiver, relinquishment, release, or abandonment of any claim which the TOWN
may have against the CONSULTANT for breach of this Contract.

The CONSULTANT agrees that no obligation shall be considered to have incurred under this
CONTRACT unless and until an escrow account is established and provides the TOWN with access
to the escrowed funds.
And further, that the obligation incurred shall be limited to the amount set forth in Section 3 of
this Contract, as well as by the amount escrowed.

Such services under this Contract will be performed as expeditiously as possible in a good and
workmanlike manner under the supervision of, and to the satisfaction of the Department Head
in the TOWN. The CONSULTANT states that it is qualified, and is in all relevant aspects, in good
standing. The CONSULTANT certifies that performance under this Contract will meet ethical
business standards and good stewardship of taxpayer and public funding to prevent waste or
abuse.
The CONSULTANT shall commence work promptly upon execution of this Agreement and shall
prosecute and complete the work regularly, diligently, and uninterruptedly at such a rate as will
ensure completion in a timely manner.
The CONSULTANT shall use their best skills and attention, which shall not be less than such state
of skill and attention generally rendered by the CONSULTANT for projects similar to this Project
in scope, difficulty and location. Consistent with the referenced standard of care, the
CONSULTANT shall be responsible for the professional and technical accuracy for all work or
services furnished by him or his consultants and subcontractors. The CONSULTANT shall perform
his work under this Agreement in such a competent and professional manner that detail checking
and reviewing by the TOWN shall not be necessary.

All consultants must be registered and licensed in their respective disciplines if registration and
licensor are required under the applicable provisions of Massachusetts law. The CONSULTANT
and all consultants and subcontractors shall conform their work and services to any guidelines,
standards and regulations of any governmental authority applicable to the type of work or
services covered by this Agreement. Neither the TOWN's review, approval or acceptance of any
of the work or services performed shall be construed to operate as a waiver of any rights under
the Agreement or any cause of action arising out of the performance of the Agreement.

The CONSULTANT shall produce One (1) reproducible copy of all drawings, plans, specifications
and other documents prepared by the CONSULTANT which shall become the property of the
TOWN upon payment in full therefor to the CONSULTANT. Ownership of stamped drawings and
specifications shall not include the CONSULTANT's certification or stamp. Any re-use of such
documents without the CONSULTANT's written verification of suitability for the specific purpose
intended shall be without liability or legal exposure to the CONSULTANT or to the CONSULTANT's
independent professional associates, subcontractors or consultants. Distribution or submission
to meet official regulatory requirements or for other purposes in connection with the Project is
not to be construed as an act in derogation of the CONSULTANT's rights under this Agreement.

The TOWN shall furnish to the CONSULTANT available surveys, data and documents relating to
the area which is the subject of the Scope of Work. All such information, including that relating
to subsurface and other conditions, natural phenomena, existing pipes, and other structures is
from the best sources at present available to the TOWN. All such information is furnished only
for the information and convenience of the CONSULTANT and is not guaranteed. It is agreed and
understood that the TOWN does not warrant or guarantee that the subsurface or other
conditions, natural phenomena, existing pipes, or other structures will be the same as those
indicated in the information furnished, and the CONSULTANT must satisfy himself as to the
correctness of such information. If, in the opinion of the CONSULTANT, such information is
inadequate, the CONSULTANT may request the TOWN's approval to verify such information
through the use of consultants or additional exploration. In no case shall the CONSULTANT
commence such work without the TOWN's prior written consent. Such work shall be
compensated as agreed upon by TOWN and CONSULTANT.

The CONSULTANT shall give its personal attention constantly to the faithful performance of the
work and shall keep the same under its personal control and shall not assign nor sublet the work
or any part thereof without the previous written consent of the TOWN and shall not,either legally
or equitably, assign any of the monies payable under this Agreement or its claim thereto unless
by and with the written consent of the TOWN.

The CONSULTANT shall not assign or delegate, in whole or in part or otherwise transfer any
liability, responsibility, obligation, duty or interest under this Contract without the written
approval of the TOWN.
Any authorized subcontract entered into by the CONSULTANT for the purposes of fulfilling the
obligations under this Contract shall be consistent with and subject to the provisions of this
Contract. Subcontracts will not relieve or discharge the CONSULTANT from any duty, obligation,
responsibility or liability arising under this Contract. The TOWN is entitled to copies of all
subcontracts and shall not be bound by any provisions contained in a subcontract to which it is
not a party.

The undersigned certifies under penalties of perjury that this bid or proposal has been made and
submitted in good faith and without collusion or fraud with any other person, and in full
conformity with MGL c.268A. As used in this certification, the word "person" shall mean any
natural person, business, partnership,corporation, union,committee,club or other organization,
entity, or group of individuals.

It is further agreed by the CONSULTANT that, in the event the TOWN is sued in a court of law or
equity, or demand is made upon the TOWN for payment of any damages arising out of the
CONSULTANT'S performance or non-performance of this Contract, then the CONSULTANT,
without reservation, shall indemnify and hold harmless the TOWN against any and all claims
arising out of the CONSULTANT'S performance or non-performance of the Agreement.
It is further agreed by the PETITIONER that, in the event the TOWN is sued in a court of law or
equity, or demand is made upon the TOWN for payment of any damages arising out of the
negligent maintenance of the PETITIONER'S property,then the PETITIONER,without reservation,
shall indemnify and hold harmless the TOWN against any and all claims arising out of the
PETITIONER'S negligence.

It is further agreed that the TOWN may terminate this Agreement without cause, upon fourteen
(14) days' written notice to the other party, sent by certified mail, to the usual place of business
of the other party. The TOWN may also terminate this Agreement at any time for cause. To the
full extent permitted by law, no official, employee, agent, or representative of the TOWN shall
be individually or personally liable on any obligation of the TOWN under this contract.

It is understood and agreed by the TOWN and the CONSULTANT that a Contract Performance
Record Form must be completed on this contract by the Department Head or his designee who
is supervising this contract, and such Contract Performance Record Form must be submitted to
the TOWN Manager, TOWN Accountant, and Purchasing Agent prior to release of final payment
under this contract. If requested by the CONSULTANT a copy of the Contract Performance Record
Form shall be furnished to the CONSULTANT.

The CONSULTANT certifies that any and all taxes and municipal fees due and owing to the TOWN
of North Andover have been paid in full.

This Contract is subject to all laws of the Commonwealth of Massachusetts, federal, state, and
local, which are applicable to this contract, and services provided to a public entity; and it is
presumed that the CONSULTANT is cognizant thereof.Any and all proceedings or actions relating
to the subject matter herein shall be brought and maintained in the courts of the
Commonwealth, which shall have exclusive jurisdiction thereof. This paragraph shall not be
construed to limit any other legal rights of the parties.

The CONSULTANT shall at all times during the Contract maintain in full force and effect
Employer's Liability, Worker's Compensation (MGL c.152), Public Liability, and Property Damage
Insurance, including contractual liability coverage. All insurance shall be for policy limits
acceptable to the TOWN; all required insurance shall be certified by a duly authorized
representative of the insurers on the "MIIA" or "ACORD" Certificate of Insurance form
(incorporated into and made a part of this agreement); and before commencement of work
hereunder the CONSULTANT agrees to furnish the TOWN with certificate(s)of insurance or other
evidence satisfactory to the TOWN. The certificates shall contain the following express
obligations: "In the event of cancellation or material change in a policy affecting the certificate
holder, thirty (30) days prior written notice will be given the certificate holder. Where notice is
not provided by CONSULTANT's insurer, the notice will be provided by the CONSULTANT." The
TOWN shall be named as an additional insured under each policy or policies, except Workers'
Compensation.
For the purpose of the Contract, the CONSULTANT shall carry the following types of insurance in
at least the limits specified below.
• Workers' Compensation—the required statutory amount
• Employer's Liability—$500,000
• Bodily Injury& Property Damage Liability Except Automobile—$500,000

• Automobile Bodily Injury& Property Damage Liability—$1,000,000 combined single limit
for each accident.
• Excess Umbrella Liability—$1,000,000 for each occurrence
The coverage shall be in force from the time of the agreement to the date when all the consulting
work for the Project is completed and accepted by the TOWN. If, however, the policy is a claim's
made policy, it shall remain in force for a period of six (6) years after completion.

The CONSULTANT will carry out the obligations of this Contract in full compliance with all of the
requirements imposed by or pursuant to General Laws c.151B (Law Against Discrimination) and
any executive orders, rules, regulations, and requirements of the Commonwealth of
Massachusetts as they may from time to time be amended.
The CONSULTANT shall comply with all federal and state laws, rules and regulations promoting
fair employment practices or prohibiting employment discrimination and unfair labor practices
and shall not discriminate in the hiring of any applicant for employment nor shall any qualified
employee be demoted, discharged or otherwise subject to discrimination in the tenure, position,
promotional opportunities, wages, benefits or terms and conditions of their employment
because of race, color, national origin, ancestry, age, sex, religion, disability, handicap, sexual
orientation or for exercising any rights afforded by law.

The CONSULTANT will carry out the obligations of this Contract in full compliance with all of the
requirements imposed by or pursuant to General Laws c.151, §1, et seq. (Minimum Wage Law)
and any executive orders, rules, regulations, and requirements of the Commonwealth of
Massachusetts as they may from time to time be amended. If applicable, the CONSULTANT, or
any authorized sub-contractor will, at all times comply with the wage rates as determined by the
Commissioner of the Department of Labor and Industries, under the provisions of General Laws
c149, §§26 to 27D (Prevailing Wage Law), as shall be in force and as amended.The CONSULTANT,
or any authorized sub-contractor will, in addition to any other submissions required by the
Prevailing Wage Law, submit certified weekly payrolls to the TOWN with the information
described in General Laws c.149, §27B.

At any time during normal business hours, and as often as the TOWN may deem it reasonably
necessary, there shall be available in the office of the CONSULTANT for the purpose of audit,
examination, and/or to make excerpts or transcript all records, contracts, invoices, materials,
payrolls, records of personnel, conditions of employment and other data relating to all matters
covered by this Agreement.

This instrument, together with its endorsed supplements, and the other components of the
contract documents, constitutes the entire contract between the parties, with no agreements
other than those incorporated herein.Any Amendments to this Contract must be made in writing
and executed by all signatories to the original Contract, prior to the effective date of the
amendment.

Any notice permitted or required under the provisions of this Contract to be given or served by
either of the parties hereto upon the other party hereto shall be in writing and signed in the name
or on the behalf of the party giving or serving the same. Notice shall be deemed to have been
received at the time of actual service or three (3) business days after the date of a certified or
registered mailing properly addressed. Notice to the CONSULTANT and the PETITIONER shall be
deemed sufficient if sent to the address set forth in the Contract and to the TOWN of North
Andover by being sent to the TOWN Manager, TOWN Hall, 120 Main Street, North Andover,
Massachusetts 01845.

Hazard Mitigation Plan Update
Scope of Work for the Town of North Andover (Exhibit A)
The Town of North Andover is a suburban community, covering nearly 27 square miles and
situated within the Merrimack valley region. Bountiful natural resources including numerous
lakes, streams, open space, and flora and fauna species are found within the Town. Home to
over 30,000 people, North Andover is also a community with developed areas for residential,
commercial, and industrial usage. Due to its location in Northeastern Massachusetts, North
Andover is vulnerable to a range of natural hazards that may threaten the safety, productivity,
and long-term success of the community. To address, plan for, and mitigate these potential
impacts,the Town has an established Multi-Hazard Mitigation Plan. The most recent iteration of
this plan was finalized and approved by the Federal Emergency management Agency (FEMA) in
2021. With the Plan set to expire in September of 2026, it now requires updating to ensure the
most accurate and relevant information is reported and that the Plan is in compliance with the
FEMA's standards.
The following scope of services outlines the steps needed to assist the Town of North Andover in
updating its 2026 Multi-Hazard Mitigation Plan. As part of this effort, Merrimack Valley Planning
Commission (MVPC) has reviewed the most recent Multi-Hazard Mitigation and Municipal
Vulnerability Plan and prepared the proposed Scope of Work to guide the development of the
2026 plan.
1.0 SCOPE OF SERVICES
The following proposed tasks outline the work to be completed by MVPC in support of the
Town's Multi-Hazard Mitigation Plan update:
1.1 Convene a Local Hazard Mitigation Planning Team
MVPC will work closely with North Andover's Conservation Department Staff to identify and
convene a Local Planning Team for the update effort. Planning Teams normally incorporate a
broad range of municipal staff and boards including, where possible: the community
development director/planner, city/town engineer, public works director, emergency
management director, conservation agent, health agent, police and fire chiefs, building
inspector, appointed/elected officials, and other interested parties. The list of representatives
involved in the 2021 process will be reviewed, and additional voices will be added as needed
to ensure a broad, diverse, and collaborative team is engaged in the planning process.
Task Deliverables: Formation of a Local Planning Team for the update effort.

1.2 Assessment of North Andover's Multi-Hazard Mitigation Plan and Structuring of 2026
Revision Priorities
MVPC will review the 2021 North Andover Multi-Hazard Mitigation and Municipal
Vulnerability Plan. This review will include close consideration of the updated Local Mitigation
Planning Handbook and requirements (March 2024) as well as notes returned from the
Federal Emergency Management Agency (FEMA) following the 2021 effort. Through this
process, MVPC will develop a comprehensive outline of the HMP Sections of narrative, data,
and map components that will require updating in the upcoming 2026 iteration of the plan.
Subsequent tasks will support these updates. MVPC's Environmental and GIS Programs will
collaborate with the Town of North Andover staff to review 2021 plan materials to carry
forward to the updated plan draft or aspects that need to be updated and replaced in the
new iteration.
Task Deliverables: Outline of HMP Sections to be revised or replaced in the 2026 Plan
Update.
1.3 Implement Identified 2026 Plan Updates
Following evaluation of the 2021 North Andover Plan, MVPC will work with the Local Planning
Team to update all required aspects of the Plan:
1.3a Community Profile: MVPC will work with the Local Planning Team to update
information pertaining to North Andover's community profile, including: land cover and
use, demographics, key resources, recent development and land use changes, conserved
and protected land, key community lifelines, and infrastructure including High Hazard
Dams and structurally deficient bridges. MVPC will assist in the process through providing
a module in which the Local Planning Team will be asked to contribute local knowledge to
the plan. MVPC will then work to integrate information to form a comprehensive
Community Narrative Profile to be reviewed and refined by the Local Planning Team.
Deliverables: Updated Community Profile Narrative for inclusion into the updated plan.
1.3b Natural Hazard Identification: MVPC will guide the Local Planning Team to reassess
and update their natural hazards through conducting a comprehensive review of the 15
natural hazards that can impact Massachusetts communities. Information on previous
occurrence, geographic location, extent/severity, and the future probability of a particular
natural hazard affecting a region, will be utilized.The Local Planning Team will be
instrumental in assessing conditions at the local level to determine risk rating for each
hazard. Using best available existing data, MVPC will update a series of maps referencing
natural hazard areas across the municipality and updated critical facilities.The Local
Planning Team will be given the opportunity to review all maps, and work with MVPC's
GIS team to make one round of revision to all maps produced.
Deliverables: Natural Hazard Risk Rating Table for North Andover; Finalized set of maps
detailing natural hazard impacts and key community lifelines:

• Current Natural Hazard Condition Map: Land surface temperature, hurricane tracks,
fault lines,tornado tracks, landslides, FEMA floodplain, hurricane surge inundation,
slope instability, 100-year storm winds, average snowfall,and drought; all overlayed with
municipal-specific critical infrastructure.
• Composite Hazard Conditions: Composite map of all natural hazards with darker colors
indicating locations in which multiple hazards overlap.
• Regional Hazard Map: Illustrating natural hazards in a regional context
1.3c Community Lifeline Identification: MVPC will assist the Local Planning Team to
identify their Community Lifelines, or the most fundamental services in each community
that enable all other aspects of society to function. Through using a workbook, the Local
Planning Team will provide relevant community data to be integrated into the updated
plan.
Deliverables: Completed Community Lifeline Inventory to be integrated into plan
narrative and community maps.
1.3d Risk and Vulnerability Assessment: Using information from the community profile
and natural hazard identification process, MVPC will assist the Local Planning Team in
assessing municipal and location-specific risk and vulnerability from natural hazards. Key
natural hazards most impacting the municipality will be identified and specific information
on occurrence, risk, and vulnerability will be articulated.
Deliverables: A narrative on hazard-specific concerns for North Andover will be
developed for inclusion into the updated Plan, along with key images,tables, and maps as
relevant to the hazards of concern.
1.3e Natural Hazard Challenge Statements: Following the vulnerability assessment, MVPC
will guide the Local Planning Team in reviewing the list of natural hazards that occur
within their municipality. For each natural hazard, the team will develop 1-3 challenge
statements based on the impacts the community is experiencing and/or expect to
experience from that hazard. This process will enable North Andover to reflect on the top
hazards of concern for their municipality and identify specific problems occurring and the
associated risk/vulnerability.
Deliverables: A set of natural hazard challenge statements will be developed by the Local
Planning Team for inclusion into the updated plan.
1.3f Existing Resource Inventory: MVPC will assist the local Planning Team in identifying a
comprehensive list of existing resources within their community. To ensure a
comprehensive update is conducted, local zoning bylaws, subdivision rules and
regulations, community plans (Open Space and Recreation, Municipal Vulnerability,
Watershed Based Plans), ongoing programs and activities, and maintenance programs will

be reviewed and consulted. The Local Planning Team will be instrumental in providing
local knowledge to develop this inventory.
Deliverables:A comprehensive Existing Resource Inventory noting resource type,
effectiveness,year of adoption/creation, improvements needed, and hazard addressed.
1.3g Mitigation Strategies: MVPC will guide the Local Planning Team in reviewing goals
identified in their 2021 plan, assessing progress to date, and updating current and new
goals to further reduce risk and impact from natural hazards over the next five years.
Deliverables: A comprehensive Mitigation Action Plan that can guide future efforts over
the coming years.
1.3h Plan Maintenance and Implementation: MVPC will assist the Local Planning Team in
completing plan review and identifying a comprehensive and feasible plan maintenance
and implementation process for advancement, plan monitoring and evaluation over the
five-year period. It will be up to the Town of North Andover and the Local Planning Team
to ensure this process is followed over the following five-year period.
Deliverables:Articulated narrative for plan maintenance and adoption to include in the
updated plan.
1.3i Financial Resources: MVPC will also assist the Local Planning Team in identifying
federal, state, and local funding opportunities that can be used to advance the plan once
complete.
Deliverables:Table of possible funding sources to advance the plan.
1.4 Project Management and Reporting
This task includes meetings and project management time for the 2026 Plan Update,
including meetings with the Town staff and key members of the Local Planning Team.
• Quarterly Progress Reports (prepared and submitted by MVPC to the Town of North
Andover Conservation Agent)
• Up to six (6) Project Team Meetings (including municipal staff and Local Planning Team
Members)
Task Deliverables: Quarterly Progress Reports prepared and submitted by MVPC to the Town
of North Andover.
1.5 Attend and Assist in Facilitation of Hazard Mitigation Planning Meetings
MVPC will participate in, and help to facilitate, Hazard Mitigation Planning Meetings.
Meetings will be co-planned and co-run with North Andover Conservation.This will include an

initial meeting at the onset of the project to present an overview of MVPC's work, outline the
responsibility of MVPC and the Local Planning Team in developing the 2026 Plan Update, and
identify the participants on the Local Planning Team, which may include members of other
Boards, Committees, and Commissions as liaisons for other municipal entities in addition.
The typical timeline for HMP development is 9-12 months and is conducted using a process
outlined in the FEMA's State and Local Mitigation Planning Policy Guide. MVPC recommends
meetings every 4-6 weeks to move through the Hazard Mitigation Planning Modules for the
planning update process. The Local Planning Team will be responsible for completing
modules, some of which may be facilitated in a workshop-style setting, others completed
remotely through using worksheets, tables, or guides.
Task Deliverables:Assistance in planning, holding, and facilitating regular HMP meetings with
the Local Planning Team.
1.6 Public Involvement and Community Engagement
MVPC will work with the Conservation Agent and Local Planning Team to develop a public
outreach plan.This outreach will include two opportunities for public feedback during the
planning process: one to be held during the plan development, and one as part of North
Andover's local adoption of the finalized Plan by their Select Board. It will be the committee's
responsibility to schedule, publicize, and coordinate these events and typically produce and
present materials, including the production of print media. MVPC will be available for
attendance at two public facing events and will aid in preparing and/or presenting material
upon request.
Task Deliverables: Public Outreach plan, attendance at up to two public outreach events,
assistance with preparing and presenting material as needed.
1.7 Plan Approval and Adoption
The Local Planning Team will be responsible for submitting the finalized updated Multi-Hazard
Mitigation Plan document and materials to the Massachusetts Emergency Management
Agency (MEMA) and Federal Emergency Management Agency(FEMA) for their final approval,
as detailed in 44 CFR Part 201. MVPC will assist when requested to provide guidance and
support in this process, including attending North Andover's Select Board meeting to officially
adopt the plan (as noted in section 1.6, above).
Task Deliverables: A comprehensive approved and adopted Multi-Hazard Mitigation Plan
with all required information and deliverables identified in the Disaster Mitigation Act of
2000, and specified in FEMA's State and Local Mitigation Planning Policy Guide.
2.0 PROJECT TIMELINE

MVPC proposes to begin the services identified in Section 1.0 of this Scope of Work upon
contract execution from the Town of North Andover Conservation Agent, and on a schedule
coordinated with the North Andover Conservation Department. We recommend beginning the
process in October, with a target for final draft completion of the draft plan by June, enabling 3
months for state and federal review and approval of the plan, and final local adoption.

3.0 PROJECT BUDGET
MVPC has assigned the Environmental Program Coordinator, Environmental Planners, and the
GIS Program Manager to conduct the services described herein. MVPC has worked with the
Conservation Department previously and has extensive experience conducting Hazard
Mitigation Plan updates for Communities in the Merrimack Valley Region. MVPC has established
a budget of$25,000 Dollars for the services described in Section 1.0 of this Scope of Work and
proposes to provide these services in accordance with the costs listed below.

The following is a task-by-task breakdown of the estimated budget for services described in
Section 1.0 of this Scope of Work.The budget for individual tasks shall not be construed to be
separate fees, as some tasks may take less time, and others more. The budget as a whole is
provided as a not-to-exceed budget. MVPC shall inform the Town of North Andover as soon as
practical if it becomes necessary to exceed the overall budget to perform all proposed and any
additional services required based upon the progression of the project review.
