D to Date 41 Contractor Arbitration The Home Improvement Contractor Law provides homeowners with the right to initiate an arbitration action(as an alternative to court action)if they have a dispute with a contractor. The same right is not automatically afforded to a contractor,however. The contractor would have to resolve any dispute he/she has with a homeowner in court unless both parties agree to the optional clause provided below. This clause would give the contractor the same right to arbitration as is afforded to the homeowner by the Home improvement Contractor Law. The contractor and the homeowner hereby mutually agree in advance that in the event the contractor has a dispute concerning this contract,the contractor may submit the dispute to a private arbitration firm which has been approved by the Secretary of the Executive Office of Consumer Affairs and Business Regulation and the consumer shall be required to submit to such arbitration as provided.IMassachusetts General Laws,cha er 142A. The homeowner may initiate alternative dispute resolution even where this section is not separately signed by the parties. Homeowner's Rights A homeowner's rights under the Home Improvement Contractor Law(MGL chapter 142A)and other consumer protection laws(i.e.MGL chapter 93A)may not be waived in any way,even by agreement. However,homeowners may be excluded from certain rights if the contractor they choose is not properly registered as prescribed by law. Homeowners who secure their own building permits are automatically excluded from all Guaranty Fund provisions of the Home Improvement Contractor Law. The contractor is responsible for completing the work as described,in a timely and workmanlike manner. Homeowners may be entitled to other specific legal rights if the contractor guarantees or provides an express warranty for workmanship or materials. In addition to guarantees or warranties provided by the contractor,all goods sold in Massachusetts carry an implied warranty of merchantability and fitness for a particular purpose. An enumeration of other matters on which the homeowner and contractor lawfully agree may be added to the terms of the contract as long as they do not restrict a homeowner's basic consumer rights. Execution of Contract The contract must be executed in duplicate and should not be signed until a copy of all exhibits and referenced documents have been attached. Parties are also advised not to sign the document until all blank sections have been filled in or marked as void,deleted,or not applicable. One original signed copy of the contract with attachments is to be given to the owner and the other kept by the contractor. Any modification to the original contract must be in writing and agreed to by both parties.Contracted work may not begin until both parties have received a fully executed copy of the contract,and the three day rescission period has expired. Accelerated Payments A contractor may not demand payments in advance of the dates specified on the payment schedule in cases where the homeowner deems him/herself to be financially insecure. However,in instances where a contractor deems hint/herself to be financially insecure,the contractor may require that the balance of funds not yet due be placed in a joint escrow account as a prerequisite to continuing the contracted work. Withdrawal of funds from said account would require the signatures of both parties. General 1.1 The Work of the contract shall consist of all construction materials,labor,equipment and services required by the Contract Documents,or as reasonably inferable from any or all of the Construction Documents. The Work shall be for the whole or part of the project as described in the Construction Agreement. 1.2 The Contractor and all home improvement contractors and subcontractors shall be registered. All required building and other permits shall be obtained before beginning construction.The work shall require a building permit,as well as some or all of the following permits as applicable: electrical,plumbing,gas fitting. The contractor is obliged to obtain the above referenced permits as the Owner's Agent. Owners who secure their own construction related permits or deal with unregistered contractors shall be excluded from access to the Guaranty Fund. The Guaranty Fund is a fund out of which an owner,aggrieved by a registrant,may be paid part or all of their damages under rules and regulations promulgated by the secretary of Executive Office of Consumer Affairs and Business Regulation. 1.4 All materials and workmanship shall be done in a professional and workmanlike manner and shall be to the reasonable satisfaction of the Owner,and in accordance with,and to the extent applicable,to the current standards of the American Society of Mechanical Engineers,American Society of Testing Materials,the American Water Works Association,the American Institute of Electrical Engineers,the National Board of Fire Underwriters and the American Society of Heating and Ventilating Engineers that apply. The Contractor warrants all materials and workmanship against defect for a period of one(1)year after substantial completion.Additional manufacturers warrantees for installed equipment,as applicable,will be provided to the Owner upon completion of the Work. 1.5 Substitution of items will not be permitted unless specifically approved by the Owner. 2. Responsibilities of Owner 2.1 The Owner shall famish the Contractor with a survey of the project site if required. 2.2 The Owner shall obtain and pay for the necessary approvals,easements and/or variances required for the construction of the project.The Owner shall be wholly responsible for obtaining approvals from the Conservation Commission,and the federal and state Environmental Protection Agencies,if applicable. The Owner shall hold the Contractor harmless for any violations of zoning by-laws and all federal and state environmental regulations. The Owner may be charged by the Contractor for damages due to fines or lost time on the job due to zoning or environmental violations. Owner represents and warrants that they shall obtain any and all zoning and environmental permits prior to the construction work so that Contractor's work shall not be delayed or otherwise impaired by Owner's failure to obtain same. 2.3 If the Contractor fails to complete the Work,or part of the Work of the Agreement in accordance with the Construction Documents,through no fault of Owner,and fails to correct such discrepancies,the Owner may,by written order,stop work on all or part of the project until the cause has been corrected. 2.4 The Owner reserves the right to occupy the building space,or such portions thereof as may be desired,at any time without in any way invalidating this Agreement. An additional fee may be charged to the Owner by the Contractor if the Owner's occupancy interferes in any way with the progress of the project. Additional time for completion of the project may also be required if the Owner's occupancy hampers the Contractor in any way. Page 2 of 5 2.5 Unless otherwise set forth in this contract specifically,the Owner shall be responsible for(i)all costs associated with the drilling and blasting of ledge,or any other existing undiscovered condition or conditions not set forth in the scope of work attached hereto,(ii)any design plans submitted to Contractor,and(iii)all costs associated with clean-up work or removal of hazardous waste or materials found on the site which were not disclosed and not set forth in the scope of work attached hereto. All extra work as a result of same constitutes Change Orders that may require extra costs for labor and materials if Contractor agrees to do same at its sole discretion. 3. Responsibilities of Contractor 3.1 The Contractor shall be responsible for the Work described in the Construction Agreement. Unless otherwise provided by,or on behalf of,Owner or its agents Contractor shall have complete control over construction methods, techniques and procedures and shall supervise such work with his best skill and attention. 3.2 The Contractor shall pay for all labor,equipment,materials,and services required to complete the Work as described in the Construction Agreement as well as building permits,licenses,and inspections necessary for the proper completion of the Work,and be compensated for said Work as described in the Construction Agreement. 3.3 All contractors and subcontractors shall be properly licensed and will coordinate their work with that of other contractors so that all work will be in harmony with the other contractors on the project. 3.4 The Contractor warrants to the Owner that all materials and installed equipment required to complete the work on the project will be of good quality and new,unless otherwise specified and/or approved. 3.5 The Contractor shall take care in working near existing areas to protect them from damage. If the Contractor neglects to do so,the Contractor shall be responsible for any damage to existing areas and will repair such damage,at his expense,to the Owner's reasonable satisfaction. 3.6 The Contractor shall keep the project site and surrounding area free from waste materials and rubbish which results from their work on the project. Removal,hauling and disposal of rubbish and waste materials shall be the responsibility of the Contractor and shall be compensated for these costs as described in the Construction Agreement. 3.7 The Contractor shall hold harmless the Owner from and against all claims,damages,losses,expenses,legal fees or other costs resulting from the Contractor's performance of the Work of the Construction Agreement if through no fault of Owner.Contractor shall be liable for direct dama eg s only resulting from negligent acts by Contractor in its performance of work hereunder. Contractor shall not be liable for any special,incidental,or consequential damages,nor for any damages which exceed the value of the contract price hereunder. 3.8 The Contractor shall provide the Owner reasonable access to the Work. 4. Subcontractors 4.1 The Contractor shall select the subcontractors,except that he shall not use subcontractors to whom the Owner has a reasonable objection. The Contractor shall not be required to use a subcontractor to whom he has a reasonable objection. 5. Disputes 5.1 The Contractor and the Owner hereby mutually agree in advance that in the event the Contractor has a dispute concerning this contract,the procedure is as follows: a. The parties shall engage in good faith negotiations to resolve the dispute. If initial negotiations are unsuccessful at resolving the dispute within fifteen(15)days of the initial request by any Party,then the Parties agree that the matter shall be referred to non-binding mediation. b. In the event that a disputed matter is referred to mediation,the mediation shall be conducted according to the Commercial Mediation Rules of the American Arbitration Association then in effect. The Parties agree to participate in good faith in any and all mediation relating to this Agreement. Page 3 of 5 c. The Parties agree that they will engage in mediation for 30 days from the date a mediator is named but in no event more than 60 days total from the referral date. If,and only if,the mediation is not successful by the end of the 30 day mediation period,the Parties can pursue whatever other available legal and/or equitable remedies. d. After said mediation,Contractor may submit such dispute to a private arbitration service which has been approved by the Secretary of the Office of Consumer Affairs and Business'Regutations and the Owner shall be required to submit to such arbitration as provided in M.G.L.c.142A,§3. 0 etdr Owner Notice: The signatures of the parties above apply only to the agreement of the parties to alternative dispute settlement initiated by the Contractor. The owner may initiate alternative dispute resolution even where this section is not separately signed by the parties. 6. Work by Other Contract0r(s) 6.1 All contractors and subcontractors shall cooperate with others on the project and shall provide the Owner and other subcontractors reasonable opportunity for the storage of materials and equipident. 7. Changes 7.1 Changes,modifications,additions and/or deletions to the Scope of Work under this agreement will only be made by written Change Order signed by both the Owners and the Contractor. Any such changes will not invalidate this Agreemept. The time for project completion and the project cost will be adjusted accordingly. In the event of a conflict between this Agreement and the terms of an executed Change Order,the Change Order shall govern. 8. Time 8.1 Ifatany time the Contractor is delayed in performing the work under this agreement by owner requested changes, labor disputes,-fire or other circumstances over which the Contractor has no control,the Contract time shall be extended by the same amount of time as was caused by the delay. 9. Payments 9.1 Payments will be made by the Owner to the Contractor in accordance with the payment schedule as set forth in the Construction Agreement. 9.2 Payments,on a pro rata basis as determined by the amount and value of the disputed work,may be withhold because of any of the following conditions: a. Defective work not corrected. b. Failure of the Contractor to make payments to subcontractors or for materials,labor,equipment or services. c. Continued failure to perform the work in accordance with the terms and conditions set forth in this Agreement. d. Legal or other claims by third parties relating to the work performed under the Agreement. 9.3 Final payment shall become due when the Work of the Agreement is completed in accordance with the Construction Documents. 10. Insurance 10.1 The Contractor shall upon request furnish the Owner with the following certificates of insurance in the amounts indicated or other amounts as required by law,whichever is greater. a. Workmen's Compensation insurance in the amount of$100,000 each occurrence. Page 4 of 5 10.2 The Owner shall maintain property insurance for the project to its full insurable value. This insurance shall include the interests of the bank,or other mortgage holder,if any,and the Owner shall insure against"all risks"of physical loss or damage. _ 11. Work Safety 11.1 The Contractor is responsible for establishing,supervising and maintaining all safety precautions in connection with work performed under this contract. 11.2 The Contractor shall comply with all federal,state and local laws and regulations applicable to the safety of persons and property and their protection from damage,injury or loss. 12. Correction of Deficiencies 12.1 The Contractor shall promptly correct any deficiencies in the work,any work not in accordance with the Construction Documents and/or any work reasonably rejected by the Owner. 12.2 The Contractor and subcontractors shall provide Owner guarantees of workmanship for at least one(1)year from the time of completion of their work under the Agreement. 13. Termination of the Agreement 13.1 If the Owner fails to make payment under the terms of the Agreement,through no fault of the Contractor,the Contractor may,upon seven(7)days written notice to the Owner,terminate the contract. The Owner shall pay for work completed and any proven loss with respect to materials,equipment and machinery and reasonable profit applicable to the work under this Agreement. 13.2 If the Contractor fails to carry out the work in accordance with the Agreement and other Construction Documents, the Owner may,upon seven(7)days written notice to the Contractor,terminate the contract,and finish the work by whatever method the Owner determines. 14. Miscellaneous 14.1 Terms of this Agreement which are of a continuing nature shall survive termination hereof. 14.2 If any term or provision of this Agreement should be declared invalid by a court of competent jurisdiction,the remaining terms and provisions of this Agreement shall be unimpaired. 14.3 Failure by either party at any time to require performance by the other or to claim a breach of this Agreement will not be construed as a waiver of any right under this Agreement. 14.4 No modification,waiver or amendment of any term or condition of this Agreement shall be effective unless in writing and signed by both of the parties hereto. 14.5 All notices and other communications hereunder shall be in writing,except as herein specifically provided,and shall be deemed to have been given when either received in person,or mailed by first class mail postage prepaid,or e- mailed and confirmation sent to sender,to the intended recipient hereof at its address shown above. 14.6 This Agreement,together with all exhibits attached hereto,constitutes the entire Agreement between the parties with respect to the subject matter hereof and supersedes in all respects all prior proposals,negotiations,conversations, discussions,and agreements between the parties concerning such subject matter. 14.7 This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns. Page 5 of 5 14.8 This Agreement shall be governed by,and construed in accordance with,the laws of the Commonwealth Of Massachusetts. 14.9 The parties agree(i)to furnish upon request to each other such further information,(ii)to execute acid deliver to each other such other documents,and(iii)to do such other acts and things,all as the other party may reasonably request for the purpose of carrying out the intent of this Agreement and the documents referred to in this Agreement, 14.10 Neither party may assign any of its rights under this Agreement without the prior consent of the other party. 14.11 The headings of Articles and Sections in this Agreement are provided for convenience only andwill not affect its construction or interpretation. 14.12 This Agreement may be executed in one or more counterparts,each of which will be deemed to be an original copy of this Agreement and all of which,when taken together,will be deemed to constitute one and the same agreement. 15.
