North Andover Land Corporation ("Grantor"), a Massachusetts corporation having its
usual place of business at 133 Walker Road, North Andover, Massachusetts, for good and
sufficient consideration of less than One Hundred ($100) Dollars, hereby grants to the Town of
North Andover, a municipal corporation with its principal offices at 120 Main Street, North
Andover, Massachusetts, ("Town") all its right,title and interests in the following:
The perpetual rights and easements to use for drainage, utilities, maintenance thereof and
access thereto, in,through and under the following parcels of land shown on the following Street
Layout Plans recorded herewith:
"Street Layout Plan, Nutmeg Lane, North Andover, Massachusetts, Date:
December 19, 2007, Scale: 1"-40', prepared for North Andover Land Corp.," by
Hayes Engineering, Inc., Wakefield, MA, which plan is hereinafter referred to as
"Street Layout Plan,Nutmeg Lane,";
"Street Layout Plan, Periwinkle Way, North Andover, Massachusetts, Date:
December 19, 2007, Scale 1"—40', prepared for North Andover Land Corp.," by
Hayes Engineering, Inc., Wakefield, MA, which plan is hereinafter referred to as
"Street Layout Plan,Nutmeg Lane,"; and
"Street Layout Plan, Thistle Road, North Andover, Massachusetts, Date:
December 19, 2007, Scale: 1" =40', prepared for North Andover Land Corp.,"by
Hayes Engineering, Inc., Wakefield, MA which plan is hereinafter referred to as

Grantor hereby certifies that (a) this conveyance does not constitute a transfer of all or
substantially all of the assets of the Grantor in the Commonwealth of Massachusetts and (b)
North Andover Land Corporation is duly organized and in good standing under the laws of the
Commonwealth of Massachusetts.

This is not a homestead property.
