Dear Mr. Chairman:
Pursuant to Section 310 CMR 10.05 (9) of the Massachusetts Department of Environmental
Protection's (DEP's) Regulations promulgated under the Wetlands Protection Act,we are
pleased to file this Request for Certificate of Compliance (and Form 8A) on behalf of the
Applicant, KEYW Corporation and the Leasehold Owner, Michael Florence,for the above
referenced Order of Conditions.

The Order of Conditions (OoC) was issued by the North Andover Conservation
Commission on April 25, 2013,which allowed the construction of a new commercial j
building, new septic system, parking areas,walkways, stormwater management systems
and associated landscaping grading and planting portions of which are within the 100-foot
buffer zone to bordering vegetated wetland (BVW). The OoC was recorded at the Essex
North Registry of Deeds in Book 13460 Page 177 (see attached copy).
Over 20 site inspections were conducted during construction to review on site conditions.
A final site inspection was made by this office on August 18, 2014 to review the as-built site
conditions, including the limit of work. Based on our observations, it appears that the
existing conditions on site substantially conform to the approved plan and as conditioned
by the Commission with the following exception:
1) The propane tanks were relocated during construction because the approved location
encroached into one of the airport safety zones (namely, the APRL). An alternate
location was selected to the north of the new parking field on the west side of the
site. The alternate location was administratively approved by the Conservation
Department on August 28,2013 (see attached documentation"Exhibit A").

Requests for Certificates of Compliance should be directed to the issuing authority that issued the final

this request to that Commission. If the project was issued a Superseding Order of Conditions or was the
subject of an Adjudicatory Hearing Final Decision, submit this request to the appropriate DEP Regional

Dear Ms. Hughes:
I have a long-term interest in the one (1) acre parcel of land identified as 250 Clark Street,
North Andover, Massachusetts (the"Property")'that I currently lease to The KEYW
Corporation,a Maryland corporation (the"Tenant"). On February 15, 2013,Williams &
Sparages,the site design engineer,submitted a Notice of Intent to the North Andover
Conservation Commission,on behalf of the Tenant,requesting approval to construct a nine
thousand,six hundred (9,600) square foot addition (the "Addition") to the then-existing
building. On April 24, 2013,the North Andover Conservation Commission approved Tenant's
request and issued an Order of Conditions (the "Order"). The Tenant recorded the Order
with the North Essex Registry of Deeds in Book 13460, Page 167,a copy of which is attached
hereto. It is my understanding that the Tenant has completed all work related to the
construction of the Addition and site layout changes in accordance with the Order and is in
the process of applying for a Certificate of Compliance (the "COC"). As part of the COC
process,the Tenant has asked me to provide a letter of acknowledgement to the Commission
confirming that I have read and understand the conditions set forth in the Order.
In satisfaction thereof,I hereby confirm to the Commission that I have read the Order and
understand and agree to comply with the ongoing conditions and obligations set forth
