Pursuant to this statute,an employee is defined as"...every person in the service of another under any contract of hire, express or implied,oral or written." An employer is defined as"an individual,partnership,association,corporation or other legal entity,or any two or.more of the foregoing engaged in a joint enterprise,and including the legal representatives of a deceased employer,or the receiver or trustee of an individual,partnership,association or other legal entity,employing employees. MGL chapter 152, §25C(6)also states that"every state or local licensing agency,shall withhold the issuance or renewal of a license or permit to operate a business or to construct buildings in the commonwealth for any applicant who has not produced acceptable evidence of compliance with the insurance coverage required." Additionally, MGL chapter 152, §25C(7)states"Neither the commonwealth nor any of its political subdivisions shall enter into any contract for the performance of public work until acceptable evidence of compliance with the insurance requirements of this chapter have been presented to the contracting authority." (the Association) and JGCA,Inc. (the Contractor) in relation to the replacement of roofing and associated siding. SCHEDULE This contract is for services to begin January, 2007,and end December 31, 2007. SCOPE OF WORK All roofs on Buildings 4,5,7,8,9,11 (34 units)are to be replaced according to the specifications contained herein and are to be completed by December 31,2007, Modifications to the scope of work must be mutually agreed upon in writing in advance by the Association and the Contractor, REPORTING Thirty (30)days after each building is completed, the Contractor will deliver to the Association a summary of the roofing, siding, and associated costs for the repair of the building. i SPECIFICATIONS The following specification is the minimum standard of work to be performed by the Contractor . regarding the replacement of all shingle and rubber roofing at Millpond. 1. Strip and re-roof all asphalt and rubber roofing. Strip any wood siding that touches the roof or needs to be removed in order to properly flash the roof/siding. Replace any plywood that is rotted or weak. Re-nail all plywood prior to installation of materials. If structural issues are encountered, contact the property manager or construction supervisor immediately for agreement on resolution, Remove all insulation board beneath the rubber membrane. Repair/replace any plywood decking as needed. 2. Install Grace or GAh Ice and Water Shield or equivalent six feet up from (lie edge of the roof'. Install Ice and Water shield 18 inches around any vent piping protruding through the roof. Install Ice and Water Shield 18 inches up any sidewall that abuts the roof. Where the asphalt shingles meet the rubber roofing,install 3 feet of Ice and Water Shield. There will be no ridge vent wherever asphalt and rubber meet. 3. Install premium Berger Paper or equivalent on all sheathing areas not covered by Ice and Water Shield, 4. Install 8 inch(white) aluminum drip edge on all roof edges. 5. Install step flashing along all walls that abut the roofline. Use any additional flashing deemed necessary. b. Install 50 year, Owens Coming Oakridge Pro Slatestone Gray architectural shingles as chosen by the Association. i i I� l Page 2 of 5 ?.Install new insulation board,screwed to the decking. Install new cpdm60 rubber membrane. Install flashing on all edges and then glue rubber over all flashing. Flashing must be bronze. black or a color agreed upon by the association.Where the rubber meets the asphalt at the ridge, overlap the rubber and glue the rubber to the asphalt. Overlap should be 12 inches. Berger must be under this section of roof but not to adversely affect the seal of the rubber."I he rubber rooting also includes all chimney caps. 8.Use step flashing along all sidewalls even though there is 18 inches of Ice and Water Shield. Once the roofing is complete,install a 5/4 pressure treated skirt board where the roof and sidewall meet.Flash the entire rake board. Install Berger Wrap or chosen material over the entire wall and over the flashing. Install new 1x6 pine shiplap siding as chosen by Millpond. Use stainless steel ring nails only. Siding will be pre-primed. All cut edges must be rc-primed prior to installation.Nail guns may be used. No nail heads will be allowed to penetrate face of siding. 9.There are three types of'a/c protrusions through the roof. Two have built in sidcwails and the aforementioned siding and flashing spec will suffice. The 3`d format,ofwhich there are 80,is an a.c unit that sits on the asphalt shingle. This snucture must be removed and rebuilt. 10.While prepping the sheathing for the 3`d format,install six 2x4 pressure treated blocks onto the sheathing. This block will require flashing and will be completely covered by Ice and Water Shield. The entire sheathing coverage arca below this unit will be covered with Grace Ice and Water Shield. The frame of the new structure to surround the a/c unit will be built upon these six blocks. All nail heads going into these blocks must be sealed with Ifemy Roofing Tar or similar product.The framing will be similar to what currently exists with a similar louver system. The frame must be elevated from the roof. There is no roof on these units. All framing wood must be pressure treated lumber. 11.If the soffit overhang needs to be replaced,it will be done by building a new structure uf2x6 framing sitting on a 2x4 cleat. The 2x4 cleat will be covered by the soffit board. A new fascia board wilt be installed and the entire unit will be adequately nailed into the frame of the building. � ' � Contractor will use best efforts to align the plywood to meet the existing roof line. 12.All materials such as plywood,siding,nails,Berger paper and ice shield used in connection with the siding will be paid for by Millpond at cost with no additional markup.Contractor shall provide Millpond with copies of original invoices for materials on a monthly basis to enable Millpond to confirm that there is no markup on the materials. The roofs will be installed on the buildings and garages at a rate of 5385.00 per square for the architectural shingles and S 1,000.00 per square for the cpdm roofing. All carpentry work not related to the specific roof installation will be paid to Contractor at a rate of 540.35 per hour. Any rate change will require a 60 day notification to the Association. Carpentry costs not included as part of the per square roof costs include the AX mountings and enclosures,sheathing replacement as needed,overhang and soffit rebuilding and repair, skirtboards,rakeboards,trim,any other necessary siding repair or replacement,and rot remediation. Pagc 3 of 5 13.Work areas will be cleaned daily.Care will be taken to prevent debris from being blown over the property.Arty fallen debris,especially roofing nails,will be cleaned up and removed from the property daily. ladders and other equipment must be stored neatly behind the building being worked on,or stored in an area designated by the property manager. la.All workmanship shall be consistent with approved construction standards and all mrork shall be performed in a good and workmanlike manner. All materials.including but not limited to all shingles,rubber roofing,ice and water shield and flashing shall be installed in accordance with all manufacturers'recommendations. In addition,all such materials shall be installed in such a manner that the manufacturers'warranties shall be in full force and effect. To the estent that any paperwork or documentation must be prepared or submitted to implement or validate any manufacturer's warranty,Contractor shall prepare and submit all such documentation and shall deliver copies of all manufacturers'warranties to the Association. 1 i.Skylights will be installed in accordance with the manufacturer's specifications. The Contractor will not be responsible to perform any work inside the unit as part of this installation. AGREEMENT TO COMPLY ]'he Contractor will procure the building permits required for this project and will comply w ith the State Building Code as part of this contract. PAYMENT SCHEDULE The Association will be invoiced as work is completed and the Association will pay these invoices within 30 days. TERMINATION The Association reserves the right to terminate this contract with or without cause at any time without liability on the part of the Association. Any and all valid outstanding invoices will be paid at termination. INSURANCE Contractor shall maintain during the tern of this Agreement sufficient Workman's Compensation,Public Liability and Property Damage insurance policies with respect to the Property sufficient to cover any foreseeable damage caused by the performance and,'or the failure to perform said Agreement. For purposes of this Agreement,the commercial general liability coverage provided by the Contractor shall provide for coverage ofnot less than 51,000,000 per occurrence or claim and not less than 52,000,000 for general aggregate.The Contractor shall deliver to the Association a Certificate of such insurance referencing the Association as a Certificate Holder. The Certificate shall provide that the insurer will notify the Association at least thirty(30)days prior to any modifications or prior to cancellation. No work will be performed,nor payments made to the Contractor until such insurance certificate has been provided to Great North Property Management and insurance is in effect. I Page 4 of 5 WARRANTIES The Contractor hereby warrants and guarantees that the work being performed by him will be in a workmanlike manner and guarantees said workmanship and labor for a period of two(2)rears after the completion of this Agreement. This is in addition to any materials warranties supplied by the manufacturers.The Contractor will not be held responsible or liable for any damage to any portion of the common elements that are not repaired or replaced as part of this project, unless such damage is caused by the Contractor's willful negligence. Yate Millpond llomeow erssssociation Wate i Page t of 4 MILLPOND HOMEOWNERS ASSOCIATION SIDING SPECIFICATION AND CONTRACT This contract is made bet-ween Millpond Homeowners Association, Inc. (the Association) and JGCA,Inc. (the Contractor) in relation to the replacement of siding and building rot. SCHEDULE This contract is for services to begin January,2007,and end December 31,2007. SCOPE OF WORK Defective siding and structural elements on Buildings 4,5,7,8,9,11 (34 units) are to be repaired according to the specifications contained herein and are to be completed by December 31,2007. Modifications to the scope of work must be mutually agreed upon in writing in advance by the Association and the Contractor. REPORTING Thirty (30) days after each building is completed, the Contractor will deliver to the Association a summary of the roofing,siding, and associated costs for the repair of the building. SPECIFICATIONS The following specification is the minimum standard of work to be performed by the contractor regarding the repair of rot and the replacement of siding at Millpond. 1. Where rot is found, strip the siding to uncover the rot. Make all necessary repairs to the rot and structural elements. Install all necessary sheathing. Install Berger Paper or equivalent prior to installation of siding. Install siding as provided by Millpond and nail with stainless steel ring nails. Pneumatic nailers may be used. No nail heads will be allowed to penetrate the face of the siding. All ends of cut siding must be primed prior to installation. I 2. NV'hen deciding upon the amount of siding to be removed, use your best judgment to only remove up to the seam of the next highest board. If you find the rot to be beyond this level, remove the siding to the next seam, and so on. Where practicable, do not remove any more siding than required to perform the work unless specifically instructed to by either the Board President or Mark Audette. 3. When replacing siding that is deficient, make every effort to only replace the board to the ext nearest seam. If a majority of a wall has failed, then seek permission, when practicable, from either the Board President or Mark Audette to replace the entire wall. 4. When replacing windows and siding,replace siding that is necessary to make the building weather tight. In all cases, when practicable,use Berger Paper behind all new siding. If window trim of previously installed windows is encountered and you find it is not properly flashed, make every effort to replace the trim and properly flash the window. Tbis applies to sliders as well. I Page 2 of 4 5.If a unit owner purchases new windows and/or sliders,the contractor will install the window s or sliders but will only be required to make the exterior of the building weather tight. No interior work other than normal cleanup will be required. 6.All siding that abuts any roof surface will be replaced. A 5,•4 pressure treated skirt board will be installed over the roof flashing. Plashing will be placed over the 5;4 pressure treated board prior to the installation of new siding. The Contractor will not be responsible to prime any pressure treated materials. 7.The Contractor shall have the latitude to use whatever flashing,ice shield nr materials will make the repair as weather tight as possible. b.Garage passage doors in poor condition will be replaced. Doors will be provided by Millpond. Any rot found on the garages will be repaired. Skirt boards may be installed at the discretion of the Contractor. 9.Any rot found on fencing will be repaired by the Contractor. Cutting rot at the base and installing a pressure created skirt board is an acceptable repair option. 10.Any landscaping that is in the way of the work will be reported to the owner of the unit and the property manager. If it is deemed to impede the repair/replacement work,the unit owner\\if] be informed that the landscaping must be removed. In no event will permission be withheld and the Contractor will not be held responsible for any damage to the landscaping at Millpond. 11.All materials will be provided by Millpond. The Contractor will be paid at a rate of 540.35 per hour. No rate change is allowed without providing 60 days written notice to Millpond. 12.Work areas will be cleaned daily.Care will be taken to prevent debris from being blown over the property.Any fallen debris,especially nails,will be cleaned up and removed from the property daily. Ladders and other equipment must be stored neatly behind the building being worked on,or stored in an area designated by the property manager. 13.All workmanship shall be consistent with approved construction standards and all.k ork shall be6 erformed in a good and workmanlike manner. All materials including but not limited ai all P g shingles,rubber roofing,ice and water shield and flashing shall be installed in accordance with all manufacturers'recommendations. In addition.all sueb materials shall be installed in such a manner that the manufacturers'warranties shall be in full force and effect. To the extent that am paperwork or documentation must be prepared or submitted to implement or validate the any manufacturer's warranty.Contractor shall prepare and submit all such documentation and shall deliver copies of all manufacturers'warranties to Millpond. AGREEMENT TO COMPLY The Contractor will procure the building permits required for this project and will comply with the State Building Code as pan of this contract. Page 3 of 4 PAYMENT SCHEDULE The Association will be invoiced as work is completed and the Association will pay these invoices within 30 days. TERMINATION The Association reserves the right to terminate this contract with or without cause at any time without liability on the part of the Association. Any and all outstanding valid invoices will be paid at termination. INSURANCE Contractor shall maintain during the term of this Agreement sufficient Workman's Compensation, Public Liability and Property Damage insurance policies with respect to the Property sufficient to cover any foreseeable damage caused by the performance and/or the failure to perform said Agreement. For purposes of this Agreement,the commercial general liability coverage provided by the Contractor shall provide for coverage of not less than $1,000,000 per occurrence or claim and not less than$2,000,000 for general aggregate. The Contractor shall deliver to the Association a Certificate of such insurance referencing the Association as a Certificate Holder. The Certificate shall provide that the insurer will notify the Association at least thirty (30)days prior to any modifications or prior to cancellation. No work will be performed, nor payments made to the Contractor until such insurance certificate has been provided to Great North Property Management and insurance is in effect. WARRANTIES The Contractor hereby warrants and guarantees that the work being performed by him will be in a workmanlike manner and guarantees said workmanship and labor for a period of two(2) years after the completion of this Agreement. This is in addition to any materials warranties supplied by the manufacturers. The Contractor will not be held responsible or liable for any damage to any portion of the common elements that are not repaired or replaced as part of this project, unless such damage is caused by the Contractor's willful negligence. Nor will the Contractor be held responsible or liable for any damage or breakage of any personal possessions of individual unit owners, inside or outside,resulting from the construction project, unless such damage is likewise caused by the Contractor's willful negligence.
