On February I, 2007,the management fee s t'forth in Article 2 shall be adjusted to reflect any change in the Consumer Price Index 0 lureau.of Labor Statistics-Urban Wage Earners and Clerical Workers, Boston-all 1te )between January 1,2006 and January 1,2007, Bout parties shall have the right to termi ate this contract for cause upon ten(10)days'notice,as provided in Chapter 183A, ection 10. If either party wishes to terminate this contract at any time and for any reason`they may do so by providing the other party with not less than ninety(90)days'notice,in writing,of ttre termination of the contract. B. To engage for the Association upon approval by the Board of Directors all contractors required for the operation and maintenance of the property. For all contracts for amounts in excess of$2,500.00,the Agent shall obtain and present to the Board written bids or quotes.The Board will sign all contracts for services. C. Subject to prior approval of the Association;To make contracts for electricity,gas,fuel,water,telephone,window cleaning,trash or rubbish hauling and other services as authorized by the Association,or such of them as the Agent shall deem advisable;the Association to assume the obligation of any contracts so entered into at the termination of this agreement. II D. The Agent shall assist the Association in obtaining insurance,including fire insurance,with extended coverage,and public liability insurance respecting the premises.The Association shall deliver a Certificate to the Agent evidencing the same. Coverage shall include the managing agent as a named additional insured. The agent shall be responsible for providing notice to each insurance carrier of any claims arising under any association policy,including claims by unit owners. The Agent shall be responsible for the submission of any claim forms and for communicating with the insurance carrier with regard to any such claims.Such administration will trigger the fee as noted on the attached Fee Schedule. E. The Agent shall distribute to owners such communications as requested by the Association.The Agent shall be reimbursed for the costs related to distributions. F. The Agent shall use its best efforts to collect all monthly or other assessments due,including authority to send demand letters,and the authority to engage attorneys with the approval of the Directors.As a standard practice,the Agent shall furnish the Directors with a list of all delinquent accounts as part of its regular monthly operation financial statements or receipts and disbursements,which written monthly financial statements shall be provided to the Board at or before each monthly meeting, G. The Agent shall notify the Unit Owners of the Annual Meeting of the Association anti any special meeting of the Association in accordance with The A the requirements of the Declaration. gent shall attend no more than 10 Meetings including the annual meeting of unit owners,but not the August or December meeting,but will provide financials for any meeting not attended.The meetings shall commence at 7:00 p.m.or earlier and last no more than 2 hours(except that the annual meeting of unit owners is not subject to this limitation).The Agent will not be required to attend weekend meetings. The Agent shall be responsible for maintaining and making available to the Association,unit owners and mortgage holders in accordance with Chapter 183A all of the records that must be triaintained pursuant to Chapter 183A,Section 10(e),including but not limited to those identified in Section 10(c)(4);a copy of Section 10(c)is attached hereto and incorporated herein as Exhibit A. J. The Agent shall perform the following services as part of its routine duties and responsibilities under this agreement: (1) Inspection of all common area property and facilities to review or detail items requiring maintenance or repair, (2) Inspection of the common areas for violations of the master declaration,by-laws or rules and regulations of the Association and the issuance of notices,citations and fines for such violations and directed by the Association; (3) Preparation and presentation a written Manager's Report to the Board at each meeting detailing items reviewed during inspections, communication and containing correspondence with unit owners;communication and correspondence with third parties; (4) Coordinate and ensure that all work is performed in a timely manner and in accordance with contract provisions; (5) Provide 24-bour accessibility to unit owners for emergency service. (6) Confer and coordinate efforts as needed with legal counsel, accountants,insurance agents and other professionals retained by the Association to represent it in enforcing the obligations of unit Feb 08 06 03:56p 6038910086 p.4 owners and in handling other matters on behalf of the Association. Article 3 The Association agrees to save the Agent harmless from all damage suits in connection with the Management of the herein described property and from liability from injuries suffered by any person whomsoever.The Association will carry,at its own expense,necessary public liability insurance adequate to protect the interests of the parties hereto,which policy shall be so written as to protect the Agent in the same manner and to the same extent it protects the Association,and will name Agent as a reamed additional insured.The Agent shall also not be liable, for any error of judgment or for any mistake of fact or law or for anything which it may do or refrain from handling in the discharge of its duties hereunder. Article 4 The Agent, as part of his employment by the Association,agrees to kccp in order a separate set of books for the Association and maintain files containing records of condo fees and other charges due and payment thereof, con-espondence,receipted bills and vouchers,minutes of meetings and other documents and paper pertaining to the premises or the operation thereof'These records shall at all times belong to the Association,be deemed the Association's property,be available to the Association and be immediately relinquished to the Association either upon request by the Association,in writing,or upon termination of this agreement,upon the request of the Board of Directors.The Association agrees to provide storage on the premises of the association or elsewhere for any and all records other than the current fiscal year's records.The Agent shall,without further compensation,coordinate the transfer of any and all records and documents to an independent accountant selected by the Association for an annual independent audit of the accounts of the Association. The Agent shall further render monthly statements of receipts,expenses and charges,and financial information regarding comparison to budget,and to remit to the Association for its Directors Meetings.The Agent further agrees to maintain business-like relations with the owners handle complaints received with reasonable dispatch,and exercise its best efforts to remedy existing problems. All communications with unit owners shall be handled in a prompt and courteous manner.Notwithstanding the foregoing,maintenance of individual ututs in the nature of general housekeeping shall be the sole responsibility of the individual owners.
