BOARD OF SELECTMEN MINUTES JULY 16, 2012
CALL TO ORDER: Chairman William Gordon called the meeting to order at 6:00 PM at Town Hall
Meeting Room.
ATTENDANCE: The following were present: William F. Gordon Chairman; Richard Vaillancourt, Clerk;
Rosemary Smedile, Licensing Chairman; Donald Stewart, Tracy M. Watson, and Andrew Maylor, Town
Manager.
EXECUTIVE SESSION:
Richard Valliancourt made a MOTION, seconded by Tracy Watson, to enter into Executive Session per
MGL Chapter 30A§ 21 (a) for the purpose of discussing strategy regarding a matter that is subject to
collective bargaining: Roll Call vote: William Gordon yes, Donald Stewart yes, Richard Vaillancourt, and
Tracy Watson yes. Vote approved 4-0.
Richard Valliancourt declared that an open meeting may have a detrimental effect on the bargaining
position of the Selectmen.

RECONVENE AND PLEDGE OF ALLEGIANCE
APPROVAL OF MINUTES:
Richard Valliancourt made a MOTION, seconded by Tracy Watson, to approve the Open Session Minutes
of June 18, 2012, as written. Vote approved 5-0.
COMMUNICATIONS ANNOUNCEMENTS,AND PUBLIC COMMENT:
Free admission to North Andover's favorite historical landmark the Parson Barnard House will be open on
Saturday, August 4, 2012 from ,11;00 am —3:00 pm.
Free Concerts on the Common have started on Sunday evenings from 6:00—8:00 pm

Appointments
Richard Vaillancourt made a MOTION, seconded by:Rosemary Smedile, that the Town of North Andover
Board of Selectmen approves the appointment of Tracy Watson to the Audit Committee. Vote approved
4-0-1. Tracy;Watson abstained.
Donald Stewart made a MOTION, seconded by Tracy Watson, that the Town of North Andover Board of
Selectmen approves the appointment of Wendy Wakeman to the Registrar of Voters. Vote approved 5-0.
Rosemary Smedile made a MOTION, seconded by, to that the Town of North Andover Board of
Selectmen approves the appointment of Jill Barker, 181 High Street, to the Poet Laureate Committee.
Vote approved 5-0.
Conservation Restriction
This Restriction is being established under Conditions set forth in the Town of North Andover
Conservation Commission Wetlands Act issued under DEP File#242-1428 and DEP File#242-1407.
Town Counsel has reviewed the restriction and the language has been accepted. The premises
comprised of approximately 8.3 acres of land, contain unusual, unique or outstanding qualities the
protection of which in their predominately natural or open condition will be of benefit to the public. Priority
and Estimated Habitat for the Blanding's Turtle, a state-protected species listed as Threatened pursuant
to the Massachusetts Endangered Species Act.

Board of Selectmen accept a conservation restriction on property on Berry and Turnpike Streets required

under an Order of Conditions issued under DEP'File#242A428 and DEP File#242-1407, Vote approved
5-0.
Saint Michael's Parish Event on Town Common
Saint Michael's Parish requests to hold an event on Town Common September 9, 2012, from 12:00—
4:00 pm
Rosemary Smedile made a MOTION, seconded by Tracy Watson, that the Town of North Andover Board
of Selectmen approves the request of the Saint Michael's parish to use the Town Common for a Parish
Mass and Picnic on September 9, 2012 from 12:00 pm to 4:00 pm. Vote approved 5-0.
Acceptance of Donation from Frank Coady to the Fire Department
Frank Coady of Coady's Garage and Towing has generously agreed to donate a 2000 Ford Econoline
Bucket Truck for use by the North Andover Fire Department. This vehicle has been inspected and is in
good working order.
Richard Vaillancourt made a MOTION, seconded by Donald Stewart, that the Town of North Andover
Board of Selectmen accepts a donation from Frank Coady of a 2000 Ford Econoline Bucket Truck with
mileage of 28,207. Vote approved 4-0-1. Rosemary Smedile abstained.
Request by Town Accountant for Budget Reallocation
MGL Chapter 44, Section 33B authorizes the Selectmen, with the additional approval of the Finance
Committee, to transfer funds at the end o,f,a fiscal year between departments to offset deficits. The Town
Account recommended approval of such transfers ,t
Richard Vaillancourt made a MOTION, seconded by Tracy Watson, that the Board of Selectmen hereby
votes to approve the reallocation of certain funds appropriated by the 2012 Annual Town Meeting per the
provisions of MGL Chapter 44, Section 33B as recommended by the Town Accountant and listed on the
Budget Reallocation Request provided in the agenda packet. Vote approved 5-0.
Request from Jose Espinosa to host Car Show
Mr. Jose Espinosa requests to hold a car show at Mad Maggie's Ice Cream, 1025 Osgood Street on
September 9, 2012 from 1:00 pm to 5:00 pm.
Richard Vaillancourt made a MOTION, seconded by Tracy Watson, the Board of Selectmen hereby votes
to approve the request of Jose Espinosa to host a car show at Mad Maggie's Ice Cream, 1025 Osgood
Street, on September 9, 2012 from 1:00 pm to 5:00 pm contingent on approval from the Conservation
Commission. Vote approved 5-0.
First Right of Refusal Affordable Unit Resale—2 Units
CHAPA has notified the Town that the following affordable units are up for sale. CHAPA manages the
resale of affordable units at Kittredge Crossing and Maplewood Reserve. The two units for sale are 180,
Chickering Road, Unit 303C at Kittredge Crossing and 1305 Basswood Circle at Maplewood Reserve. It
is the recommendation that the Selectmen should not exercise their right of first refusal for the affordable
housing units.
Richard Vaillancourt made a MOTION, seconded by Tracy Watson, the Board of Selectmen hereby votes
not to exercise its first right of refusal as it relates to the following affordable housing units that are for
sale: 180, Chickering Road, Unit 303C at Kittredge Crossing and 1305 Basswood Circle at Maplewood
Reserve. Vote approved 5-0.
Proclaim July 21 2012 as "Christopher Boshar Day" in North Andover
John Savastano is involved in a fund raiser for Chris Boshar who was paralyzed in an accident last year.
A benefit will be held on July 21, 2012 and requested a proclamation declaring July 215' in his honor.
Chairman William Gordon read the proclamation and then entertained a motion.

Request to Sign the State Primary Election Warrant
Town Clerk Joyce Bradshaw announced that the State Primary Election will be held on Thursday,
September 6, 2012 and requested that the Board sign the State Primary Election Warrant.
Richard Vaillancourt made a MOTION, seconded by Tracy Watson, the Board of Selectmen hereby votes
to accept the State Primary Election Warrant as amended by the Town Clerk included in the agenda
packet. Vote approved 5-0.
Town Manager's 6 Month Performance Evaluation
The Board of Selectmen prepared individual evaluations and`a consolidated performance evaluation was
prepared by the chairman. Town Manager Andrew Maylor was graded on personal development,
planning, being a team player, and conduct at meetings. The overall average score was 4.8

to accept the Town Manager's 6 month Performance Evaluation included in the agenda packet. Vote
approved 5-0.
LICENSING COMMISSIONERS:
Tracy Watson made a MOTION, seconded by Richard Vaillancourt, to open a meeting of the North
Andover Licensing Commission. Vote approved 5-0.
Licensing Chairman Rosemary Smedile entertained a Motion to open a public hearing.
Tracy Watson made a MOTION, seconded by Richard Vaillancourt, to open a public hearing of the North
Andover Licensing Commission for the purpose of obtaining information regarding a possible Liquor
License violation by McCraken's Liquors &Wines, Inc. 531 Chickering Road, North Andover. Vote
approved 5-0.
Licensing Chairman Rosemary Smedile read the notice sent to Andrew Buco, Manager of McCraken's
Liquors &Wines.
Licensing Chairman Rosemary Smedile recognises investigating Police Detective Daniel Cronin.
Detective Cronin gave a description of the incident that a male 18 years of age purchased liquor with a
fake out-of-state driver's license. This incident was reported to police by a neighbor who witnessed the
male who she knew to be underage to purchase liquor. Detective Cronin and Lieutenant Gray met with
the license holder William Buco and advised him of the incident. Police and Mr. Buco scanned the out-of-
state New York fake license and the machine resulted in an error message.
The Board asked Detective Cronin questions regarding the false ID and the incident. The Detective
answered their questions relating to the incident. Detective Cronin stated that Mr. Buco has had no
violations since 2001. The false ID was very sophisticated and made in the Ukraine through a website
fake21.ph.
Licensing Chairman Rosemary Smedile asked Mr. Buco to make a statement regarding the incident and
the possible violation.
Mr. Buco stated that the store's scanning machine was eleven years old and he has since purchased a
new machine at$4,000. He blamed the out-of-date scanning machine for not catching the fake license
and that he is cooperating with the police department to catch more fake ID's.
The Board asked Mr. Buco several questions regarding the incident. Donald Stewart asked whether all
the employees were TIP Certified.
Town Manager Andrew Maylor asked Mr.:Buco if he would guarantee that in the future every time there
was a questionable red X from the scanning machine that it would not result in a sale.

Licensing Chairman Rosemary Smedile announced that the public hearing is closed. The Board was
asked to make a Motion whether
a violation of the license did or did not occur.
Donald Stewart made a MOTION, seconded by Tracy Watson, to take NO ACTION. Vote approved 5-0.
Richard Vaillancourt made a MOTION, seconded by William Gordon, to move to close the meeting of the
North Andover Licensing Commission. Vote approved 5-.0.
NEW BUSINESS:
FY13 Water and Sewer Rates
The Town Manager Andrew Maylor, Director of DPW Bruce Thibodeau and Budget Director Lyne Savage
recommended that the current water rates can remain unchanged for the fourth year in a row even
though these rates will not generate sufficient revenue to cover the budgeted expenditures of the fund.
However, the existing sewer rates must change in order to reduce the existing revenue deficit to a
manageable level.
It is recommended to set the water rates at$3.80 tier 1 and $5.50 tier 2 and same as last year. The
sewer rates would change to $5.95 tier 1 and $9.24 tier 2 which will represent a 2.87% increase. Using
this single rate, and calculating the average bill to residential users, the result is a $7.50 increase per
quarter.

to accept the recommendations of the DPW Director and the"Town Manager to keep the Water rates and
fees unchanged for FY13 and to set the FY13 Sewer rate for tier 1 at$5.95 and tier 2 at$9.24. Vote
approved 5-0.
TOWN MANAGER'S REPORT:
Update Regarding Steven's Estate Enterprise Fund
The Town Manager announced that the Stevens Estate would end the Fiscal Year 2012 with a surplus.
Job Posting/Vacancy Log
Town Manager presented a report outlining the status of various recruitments that are ongoing or recently
completed.
Social Media
The Town hired a North Andover college student as an Intern of Social.Media. The Town is now on
Twitter and Facebook and will be using these tools to improve communication.
RETURN TO EXECUTIVE SESSION:
Chairman William Gordon announced that the Board would be returning to Executive Session and that no
votes would be taken.

Memorandum of Agreement
between
Town of North Andover (The "Town")
and
New England Police Benevolent Association
(the "Union")
This Memorandum sets forth the material terms of a successor collective bargaining
agreement reached between the Union's and the Town's negotiating teams, subject to ratification
by the Union membership and the Board of Selectmen, and funding by Town Meeting as
required by law. The negotiating teams shall sponsor and support such ratification. For purposes
of further negotiations and/or impasse procedures, this Memorandum shall be considered off-the-
record until such ratifications occur. Failing such ratification, both parties will be free to revert to
their on-the-record positions.
1. Duration. July 1, 2012 through June 30, 2015.
2. Salary Schedule. Article VIII, Section IA shall be amended to provide the
following increases:
Effective July 1, 2012 ... 2.5%
Effective July 1, 2013 ... 1.75%
Effective July 1, 2014 ... 1.75%
3. Night Differential. Article VIII, Section 3A shall be amended, effective July 1,
2012, to read:
Employees regularly assigned to work the early night shift or the
late night shift shall be paid a differential computed on their
regular weekly salary, as follows:
1 I;
(1) For the early night shift, 6,0% differential.
(2) For the late night shift,7.0% differential.
4. Specialist Stipends. Lump sum stipends for all officers working in special
assignments under Article VIII, Section 4A-4F shall be increased to the following amounts:
In Fiscal Year 2013 ... $1,100
In Fiscal Year 2014 ... $1,200
In Fiscal Year 2015 ... $1,300
5. Clothing Allowance, Effective July 1, 2012 the system of a yearly uniform
allowance subject to reimbursement under Article X, Section 8, shall be discontinued, and in its
place the Town shall pay a lump sum, subject to tax withholding as required by law, of$800.00
effective in Fiscal 2013, and $1,000 effective in Fiscal Year 2014 and thereafter. Payment will
be included in the first bi-weekly paycheck issued in August of each year.
It is understood and agreed that the sum payable in August, 2012 will be adjusted for
officers who have spent and receive reimbursement for the purchase and replacement of
uniforms between July 1, 2012 and the date the Union ratifies this agreement.
6. Vacation Carryover. Article X, Section 3A(vi) shall be amended to limit vacation
carryover as follows: On January 1, 2014 carryover shall not exceed five (5) weeks, and on
January 1, 2015 carryover shall not exceed two (2) weeks.
7. Vacation Buy-Back. Article X, Section 3A shall be amended by adding an
additional paragraph (viii) as follows: Commencing in 2013, in each calendar year, officers with

twenty or more years of service may buy-back one week's vacation by submitting a written
request no later than January 31. The vacation buy-back will be paid in the first payroll of
December of that calendar year.

8. Sick Leave Buy Back. Add to the Article X, Section 7A, the following
sub-section:
iv. Notwithstanding any other provision of this section, new
officers hired on or after July 1, 2012 shall not receive
more than 25 days pay as terminal leave.
9. Announced Retirement Pay. Add to Article VIII, Section 10 the following new
paragraph:
This section shall not apply to any officer hired on or after July 1,
2012.
10. Holiday Pay.
a. Article X, Section 1B shall be amended by snaking that section applicable only
to officers appointed before July 1, 2012, and by,adding as sub-section iii the following:
Mixed Pay/Time Off: Effective with the November, 2012
elections, for calendar year 2013, the employee may elect to be
paid for six (6) holidays and receive five (5) days off, such days off
to be requested and approved with other holiday requests.
Payments shall be made as follows: three holidays in June and
three holidays in December. The five (5) days' time off will be
credited on January I and must be used during that calendar year.
b. The following shall be added as Article X, Section 1 C:
Notwithstanding any other provision of this Agreement, officers
first hired on or after July 1, 2012 shall receive as holiday
compensation '/4 of his/her base weekly pay as holiday pay,
whether a holiday is worked or not. No time off option shall apply
to such employees.
11. Attendance Incentive. Add as Article X, Section 5 (and re-number other sections
as necessary) the following:
Beginning in calendar year 2013, there shall be an
attendance incentive system under which officers with little or no
sick leave in a calendar year can buy back sick days at their
applicable daily rate under Article . V111, Section IA. The

attendance and buy back amounts shall be as follows:
For zero (0) sick days used, five (5) sick days can be bought back;
or
For one (1) sick day used, four (4) sick days can be bought back;
or
For two (2) sick days used, three (3)sick days can be bought back.
In calculating "sick days used", the following absences
shall not count: (1) Up to two occurrences of sick leave of up to
two days each, provided the employee submits a physician's note,
with an original signature of the physician, certifying that the
officer was examined and found to be ill, and the Chief approves
this exception; and (2) for absences due to non-elective surgery of
an injury compensable under this section 4 of this Article, provided
the period of convalescence (beginning with the date of surgery)
does not exceed six (6) weeks.
Buy back payments under this section will be made in July
of the year following the calendar year, e.g. the first payments shall
be made in July, 2014.
12. Accreditation Stipend. In consideration of the Union's agreement to Town
proposals reflected in paragraphs 5-10 above, and in consideration of the North Andover Police
Department having and maintaining State Accreditation, the Town agrees to pay an annual
stipend to all officers as follows: In Fiscal Year 2013, $250 payable upon execution of the
agreement; in Fiscal Year 2014, $500 payable in the first payroll period of that fiscal year; and
in Fiscal Year 2015, $750 payable in the first payroll period of that fiscal year. It is understood
that such payments are contingent on the Department maintaining accreditation in accordance
with applicable state standards.
13. Article XVIII shall be revised to read:

Section 1. In order to enhance the level of training and proficiency in the use of
weapons, the parties agree that there shall be two weapons training sessions, lasting
approximately four (4) hours, every year. One of the two training sessions shall also include a

qualification test; the other session shall include such training as the Chief shall determine.
Section 2. For weapons training sessions conducted outside scheduled work hours police
officers and sergeants shall be compensated in accordance with applicable provisions of this
Agreement.
14. Continuing Discussions. Notwithstanding the settlement of this Agreement, the
parties agree to have continuing discussions concerning the Town's proposal to adopt a light
duty policy applicable to officers injured on or off the job, who are temporarily incapable of full
duty but capable of light duty.

Wheelabrator has picked up this cost in the past and plans on doing it again this year.
The Trauma Intervention Program is a great resource to the Police and Fire departments in time of tragedy.
They help console and deal with the victims and their families allowing the Police and Fire Departments to focus
on other tasks at hand.
If Andrew wants to know more about the program,Jayan Landry from TIP is always available to discuss it.

The Fire Department will need to be notified of any road closures or detours relating to this event, I hour prior to the
event. If propane gas is being used for any purpose in excess of 20 pound cylinders, a permit will have to be obtained
through the Fire Department. Portable fire extinguishers are required for cooking purposes. A permit is also required
for the use of tents, this permit can also be obtained through the Fire Department in conjunction with the Building
Department Other than these issues the Fire Department recommends favorable action.

Thank you for your attention and consideration.
The NAAA is hoping, once again, to host the Knights on the Run road race as a fundraiser in support of the
NAHS Athletic Dept. We are seeking your approval to hold the race on October 20th, 2012 as part of
Homecoming Weekend at the high school. We respectfully ask that you respond favorably to our request.
Our plan is to have the race on Saturday October 20th, starting at the high school at 9:30 a.m. This will be a 5k
race, which would most likely be over in less than one hour, thus minimizing the time we use the town roads.
We plan to use the same race route as last year which is as follows:
• Start from NAHS
• Proceed left onto Osgood St
• Take a right onto Stevens
• Take a left onto Great Pond
• Take a left onto Pleasant
• Take a left onto Stevens
• Take a left onto Harkaway
• Take a right onto Osgood
• Take a left back into NAHS for the finish
Registration would begin at NAHS at 8:00 a.m., so there would be people traveling to NAHS at that time.
Based on last year's event which drew approximately 220 runners, we do not expect more than 300 runners,
although it is possible that number could reach 350. We are working with the NAHS athletic department on set
up and cleanup which will all happen within the NAHS facility.
Just as we did for our first race last year, we plan to work closely with NAHS and NAPD to make sure we cover
all safety and logistical issues. I hope this letter has all the information you require.

Ladies and Gentlemen:
The North Andover Patriotic Observance Committee, in conjunction with the North Andover
Veterans Services Department, respectfully requests permission to establish a special line item
under the Veterans Services Budget(1001001.1.5.0543.0000)to be specifically utilized for the
deposit of funds donated to the "LT. Col Harold A. Dushame Memorial". It is our intention to
utilize these funds specifically for the purchase of a granite bench with an inscription to be
determined latter. Any remaining funds would be utilized for landscaping, walkway
improvements and preparation work required for the instillation of the granite bench. Any
remaining funds after the project is complete could be utilized for future maintenance of the
memorial area to include replacement of any shrubs or plants, flagpole painting and lighting
repairs if needed.
The dedication date for the Lt Col Harold A. Dushame Memorial is scheduled for Patriot Day,
September 11th 2013.

Policy/Procedure for Senior Property Tax Work-Off Program
(Adopted by the Board of Selectmen on )
I. Purpose
The 2012 Annual Town Meeting voted to accept the provisions of Massachusetts General Laws
c59, §5K authorizing the continuation of a Senior Property Tax Work-Off Program and to
authorize the Board of Selectmen to adopt regulations for implementing the program consistent
with the intent of the statute. The 2012 Annual Town Meeting also voted to allow an approved
representative, in lieu of persons physically unable, to provide such services to the Town.
II. Statutory Authority
Massachusetts General Laws c59, §5K provides for the establishment of a program to allow
persons over the age of 60 to volunteer to provide services to a town. In exchange for such
volunteer services,the town shall reduce the real property tax obligations of such person and any
reduction so provided shall be in addition to any exemption or abatement to which any such
person is otherwise entitled and no such person shall receive a rate of, or be credited with,more
than the current minimum wage of the commonwealth per hour for services provided pursuant to
such reduction nor shall the reduction of the real property tax bill exceed $1,000 in a given tax
year. It shall be the responsibility of the town to maintain a record for each taxpayer including,
but not limited to,the number of hours of service and the total amount by which the real property
tax has been reduced and to provide a copy of such record to the assessor in order that the actual
tax bill reflect the reduced rate.

III. Administration
This policy/procedure shall be implemented and administered by the Director of Elder Services
or his/her designee.
IV. Procedure
A. Notification
1. Applications will be made available at the North Andover Senior Center for eligible
Town residents starting on the third Monday in June through the third Friday in July.

2. Posting for the program will be placed on the Town's website, local access cable,
local newspapers, and flyers in prominent locations throughout the Town.
3. All Town departments (municipal and school)will be contacted and asked to submit
request for workers and job skills required.
B. Eligibility
1. To be eligible for this program, a Town resident must:
a. Be over 60 years of age;
b. Own and occupy the property for which Town of North Andover taxes are paid;
c. Have their name or current spouse listed on deed;
d. Meet the minimum skills required for the assigned position;
e. Be able to start the assignment by the first Tuesday in September; and
f. Provide own transportation to the designated job site.
2. Completed applications must be submitted by close of business on the third Friday in
July. One applicant per real estate tax paying household may apply.
3. All applicants will be scheduled for an interview/intake. At the time of interview/
intake, applicant must:
a. Present most recent property tax bill;
b. Complete and sign CORI clearance form; and
c. Complete and sign a W-4 and an 1-9 form.
C. Selection of Candidates
1. If there are more applicants than authorized positions in a particular year, a lottery
drawing will be held of all eligible applicants.
2. The lottery drawing will be held on the second Friday in August at 10:00 a.m. at the
Senior Center.
3. All names will be drawn and assigned a number.
4. The designated numbers equivalent to the number of authorized positions will receive
a placement assignment along with Department name, supervisor contact, etc.
5. If an applicant chosen cannot fulfill the specific job assignment,the next eligible
applicant will be offered the position.

D. Completion and Documentation of Hours
1. Selected candidates must complete the total designated number of hours between the
first Tuesday in September and the last Friday in May. The maximum number of
hours a candidate is eligible to work in a week is 10 hours.
2. All hours worked must be documented and signed off by the designated supervisor in
the Town department.
3. The designated supervisor will return the sign-off sheet at the end of the term to the
Senior Center.
4. The Director of Elder Services, or his/her designee,will be responsible for submitting
all necessary documentation to the Assessor's Office for the proper accounting of tax
abatement.
E. Approved Representative
1. Successful applicants not physically able to perform such services may designate an
approved representative to provide such services.
2. The approved representative must:
a. Be 18 years of age or older;
b. Complete and sign CORI clearance form;
c. Provide own transportation to the designated job site
d. Be able to work the necessary hours during regular business hours;
e. Meet the skills required for the position; and
£ Complete the hours with the required time frame.
V. Program Benefit Limits and Amendments
A. Effective FY13,the program benefit limits, as established by the Board of Selectmen,
shall be:

a. Maximum of 35 participants;
b. 90 hours of service; and
c. Property tax abatement based on$7.25 per hour($652.50 maximum).
B. The Town Manager shall, from time to time,propose and the Board of Selectmen may
adopt amendments to this policy/procedure.

Attached please find a One Day Wine &Malt request from Mr. David Yee, to hold a
"Polynesian Luau for Families"under a tent on the grounds of China Blossom Restaurant. The
event will take place on September 8, 2012 during the hours of 1:00 pm to 5:00 pm. Mr. Yee
will be applying to the Building Inspector for a tent license, and is working with the Board of
Health regarding food permits. TIPS certified bartenders from China Blossom will be serving
the beer and wine, and a policeman will be on duty. Mr. Yee has paid the $75 wine and malt
license. Favorable recommendations from the Police Dept and Building Inspector are included.

classical Hawaiian quartet,and ambient fire performers.Although entertainment will be
free,attendees will pay for food&beverage.
Requisites: Approval from North Andover Town Clerk to set-up tent and to obtain a one-day license
to serve wine and malt outdoors.All alcohol will be billed separately to David Yee
instead of China Blossom, Inc. No beer and wine will be transferred between the
restaurant and the tent where the event is held outdoors.Strict ID checking will be in
place at the point of sale of wine and malt to ensure public safety.

OPERATIONS
Safety: The safety of our guests and the environment is a priority of the event.There will be at
least 10 people(employees of China Blossom and volunteers)that will staff the event
and ensure operations are executed as planned.Attendee registration will be set-up
online in orderto manage crowd size.All outside contractors will be screened fortheir
history and professionalism.Other critical safety points include:
Food.Preparation,cooking,and holding will be overseen by ServSafe employees.
Beer&Wine.Service will be performed by TIPS-certified employees.Strict ID
checking will be in place at this family event. All food-ware will be plastic-or paper-
based, ie. no glass bottles.All beverages will be contained within the tent.
Entertainment Fire show will be performed by the professional organization A
Different Spin LLC(www.adifferentspin.net),which performs a II across the country,is
fully insured,is well versed in fire safety,and adheres to AVP safety priority. North
Andover Police, North Andover Fire Department,and the Building Inspector will be
briefed on all aspects of the performances and operations by China Blossom prior to
event.
Sanitation: Sanitation is also a management priority.Trash receptacles will be placed throughout
the tent.Portable water closets may be rented in the event that reservations exceed
100 guests(otherwise China Blossom's restrooms may be used). Breakdown and clean-
up will ensue at 5:O0pm,or earlier depending on crowd size,by China Blossom's
cleaning staff and contractors.
Entertain: Professional hula dancers,classical quartet band,and ambient fire performers will

The Fire Department recommends favorable action for an event scheduled and hosted by China Blossom
Restaurant on September 8, 2012 under the following conditions. There are no concerns with the
granting of a one day liquor license. Propane cylinders used for cooking will have to be permitted if the
aggregate of product exceeds 20 pounds. This permit will be issued by the Fire Department. The use of
tents also needs to be permitted through the Fire Department in conjunction with the building department.
The sponsor has requested permission to hire a performance company, [A different Spin] involving live
fire acts as entertainment. The Fire Department will approve this request under the following conditions.
A fire watch [detail] will be provided by the North Andover Fire Department for the duration of the show.
The cost of this detail will be paid by the sponsor. A minimum of 2 fire extinguishers shall be present
and be readily accessible. The area designated for this performance shall be clearly roped off creating a
separation between the public and the performers.At anytime, if the detail officer feels there is an
inherent risk to the public or performers he will stop the show until such corrective action is taken. The

1) Property Description
The Town of North Andover is offering for sale, through the Request for Proposal ("RFP")
process, in accordance with Massachusetts General Laws Chapter 30B and Article 27 of the June
12, 2012, Annual Town Meeting vote, attached hereto as Appendix B-1, land and improvements
known as the former Bradstreet School ("Property"), located at 70 Main Street, North Andover,
MA. The Property is designated as Map 29, Block 23, Lot 0 on the Town Assessors'maps and
comprises 1.15 acres of land, more or less. The Property currently is the site of a three story(2.5
stories above grade), 19,500 square foot, masonry building. Assessor's data indicates 1915 as
the date of construction. There are dates inscribed on the east elevation of the building
indicating dedications in 1885, 1911 and 1948. The Property was designed and occupied as an
elementary school but was deemed obsolete for educational purposes and has been vacant since
2005.
For the purposes of this RFP, the term "Town" shall mean the Town of North Andover, and the
term "Board of Selectmen" shall mean the Town of North Andover Board of Selectmen, and
shall be interchangeable and synonymous with "Selectmen" or "Board." The aforementioned
terms shall also mean "or its designee." The term "Project" shall mean and refer to development
and construction of the property known as the former Bradstreet School located at 70 Main
Street,North Andover, MA.
2) Purpose
The Town is requesting proposals from interested parties, with statements of qualifications, to
purchase and develop the Property in accordance with Design Objectives and restrictions
specified herein. It is the objective of the Town that the Property be developed at a scale
appropriate to the site, consistent with neighborhood characteristics and in compliance with
existing zoning and other restrictions ,set forth in this RFP. However, the Town recognizes the
need to create the highest and best use for its assets and welcomes creative alternative
development schemes.
3) Zoning and Other Restrictions
Interested parties should review for themselves the zoning and other permitting requirements for
the parcel.

4) Proposal Packages, Project Information and Submission Deadline
Parties interested in responding to this RFP are invited to submit a proposal in accordance with
the following terms and conditions. With submission of a response to this RFP, the interested
party acknowledges that he or she has read and understands the requirements and conditions
herein.
Availability of Proposal Packages -All interested parties must obtain a copy of this RFP
from the Office of the Board of Selectmen at North Andover Town Hall, 120 Main
Street,North Andover, MA 01845, Monday through Thursday between the hours of 9:00
a.m. and 4:00 p.m. and between the hours of 9:00 a.m. and 12 noon on Fridays,holidays
excepted.
Submission Deadline - Sealed proposals must be received at the Office of the Board of
Selectmen no later than 3:00 p.m. on Wednesday, the 17th day of October, 2012. Late,
faxed or emailed proposals will not be accepted. The front page of the proposal package
must be clearly marked with the words "Former Bradstreet School."
Pre-Submittal Meeting and Property View - Interested parties will have the opportunity to
attend a pre-submittal meeting, to be held at North Andover Town Hall, 120 Main Street,
North Andover, MA, on Wednesday, September 19, 2012 at 10:00 a.m., at which time
Town representatives will review the materials included in this RFP and respond to
questions about the Property, the selection process and related issues. Town
representatives will then conduct a view of the Property for interested parties. Interested
parties may, on a separate date, arrange to conduct an inspection of the Property for
purposes and under conditions agreeable to the Town.
Questions -Written responses will be provided to requests for clarification or
interpretation of the meaning of the provisions of this RFP, including the documents
attached hereto; to all questions raised at the pre-submittal meeting; and to those
questions otherwise submitted in writing, and will be distributed to all parties who have
received an RFP. In the sole discretion of the Town, written responses to questions
raised during the Property view, or submitted in writing to the Town subsequent to the
pre-submittal meeting and Property view,will be similarly distributed. The Selectmen
are not obligated, in any way, to waive RFP requirements, or create exceptions, for

Written questions must be submitted to Office of the Selectmen, 120 Main Street,North

5) Proposal Review and Selection Process
Review Authority- Commencing at approximately 3:00 p.m., Wednesday, October 17,
2012, the North Andover Board of Selectmen will begin to review submitted proposal
packages. I'he Board may delegate the review task and accompanying responsibilities to
its designee, which niay be any individual, individuals or a. committee,to be formed or
already existing, as the Board deems in its sole discretion to be appropriate,,
Review Basis - Each proposal will be evaluated and scored based on the proposal's
responsiveness to Town interests, design objectives and guidelines, and other selection
criteria as specified in Appendix A herewith. The statement of qualifications of each
respondent will be reviewed and scored to identify those who possess the development
and construction experience, good standing in the industry, and the financial stability and
capacity to develop the Project to completion.
Distribution of Proposals -During the review process,the proposal packages may be
directed to such Town boards, committees and individuals whose comments and
observations the Board of Selectmen deems will assist in the decision process. The
Selectmen may seek the advice and input from any Town boards, committees or
individuals, and from Town counsel, during the review process.
Additional Information/Interviews - The Selectmen may request additional information
q
of one or more respondents relative to a proposal or qualifications. Requests shall be in
writing with the expectation of a written response within a specified time. Respondents
may also be invited to appear before the Selectmen, which shall occur at an open, public
meeting. Failure to comply with this request will result in a rejection of the proposal at
issue. The right to an interview does not automatically extend to all whose proposals are
accepted for review, but is granted in the sole discretion of the Selectmen.
Ranking and Award - The Selectmen will rank the submitted proposals in accordance
with their respective scores. From this ranking, the Selectmen may select proposals for
further review. The Selectmen shall award the Project to the proposal that is most

advantageous to the Town taking into consideration the selection criteria and the financial
terms of all proposals that meet the minimum criteria.
Right to Withdraw- Proposals may be withdrawn without penalty prior to the submission
deadline by written request to the Selectmen.
6) Rights Reserved by Town
- The Board of Selectmen reserves the right, in its sole discretion, to select finalists to
submit and negotiate a more fully developed response. The Board reserves the right to
waive minor irregularities or defects contained in any proposal and to allow exceptions
to the specifications and requirements herein,provided that such waiver or exception
does not materially alter the conditions under which all proposals were submitted.
- Each respondent must include sufficient supporting material to allow a meaningful and
comprehensive evaluation of its proposal. The Town reserves the right to disqualify
any proposal or response due to insufficient supporting or explanatory information, or
to request additional supporting information.
- The Town reserves the right to disqualify respondents if the submittals are not based on
reasonable market assumptions.
- The Town reserves the right to reject or accept, in its sole discretion, any conditional
proposal that is submitted.
- The Town reserves the right to reject any and all proposals, or to cancel the RFP, with
no penalty, if deemed to be in the best interests of the Town.
7) Minimum Submittal Requirements
The proposal package must consist of a price proposal and a development proposal in separate,
sealed envelopes. The development proposal must not include reference to a purchase price.
Otherwise, each respondent must, at a minimum, submit the information and meet the standards
indicated below. Failure to meet minimum submittal requirements will be sufficient cause to
reject a proposal. Respondents are solely responsible for reviewing all the provisions of this RFP

and any attachments,prior to submitting a proposal. Proposals that are incomplete, not properly

a. Original/Copies - In a sealed package, submit one (1)unbound original and six (6)
bound copies of the proposal, complete with all back-up materials for each

b. Format - Proposals must be submitted in an 8 1/2" x 11" format for text, and to the

check or bid bond payable to the Torn of North Andover in the amount of five

d. Cover Letter-A cover letter must include a statement of interest, identify the
primary respondent company, the proposed Property purchaser and the name,
address and contact information of all interested parties.

e. Price Proposal Form - The proposal package must include, in a separate sealed
envelope, a Price Proposal Form, indicating the proposed purchase price for the
Property. Respondents shall use the form attached to this RFP.

f. Development Team Qualifications - The proposal must identify the principal and
support members of the development team (i.e., the persons who will carry out the
development plan). A resume for each person must be attached which

demonstrates the qualifications, experience, and role of each member in the
proposed development of the Property and their collective and individual ability
to carry out those roles, including their experience with similar development
projects. References for each development team member must also be included.
g. Development Experience - Included must be a description of the respondent's
experience in property development and construction, projects currently
underway and projects scheduled over the next three years with emphasis on
projects similar to this proposal. Include client contact names and telephone
numbers.
h. Financing and Financial Capacity- The respondent must indicate how the Project
acquisition, development and construction will be financed. If financing will be
provided by a lending institution, a pre-approval letter must be provided from the
lender acknowledging that the respondent has sufficient financial resources to
purchase, develop and complete the Project. The Town is willing to entertain
proposals that have financing schemes that could involve public/private financing
and related arrangements, especially if the use of such specific schemes better
facilitate the attainment of the Town's financial and property use goals.
i. Development Plan- The respondent's proposal must include a detailed
Development Plan in conformance with the guidelines set forth in this RFP.
j. Condition of Property- The respondent must represent and warrant that it, or its
agents, have conducted a full inspection of the Property, and based on such
investigation, is aware of the condition of the Property and will accept the
Property "as is." The respondent must acknowledge that the Town has no
responsibility for hazardous waste, oil, hazardous material or hazardous
substances as those terms are defined under any applicable law, rule, or
regulation, local, state, federal, or otherwise, on, in, under or emitting from the
Property, or for any other condition or defect on the Property.

k. Time Frame - Respondents shall provide a development time line including
permitting, design, construction phasing, completion and occupancy schedules.

1. Statement of Financial Benefit-Proposals should include a description of
projected benefits, whether financial or otherwise, to the Town if the proposal is
accepted.

8) Design Objectives
It is the primary objective of the Town to balance its need to optimize sale proceeds and new tai
revenue with its need to ensure that any new development is appropriate in size, scope and
appearance to the neigh-boyhood while enhancing the Main Street business corridor, At the saine
t.itee, de€relopment potential must be sufficient to attract credit:worthy buyers with strong
refutations I-or quality work, It is the farther objective of the Town to reward plans that preserve
the historical significance of the building. trot,,vith stand ina the above, the Town recognizes the
need to create the higIllest and best use for its assets and welcomes creative development schemes
that may require amended zoning or need special permits or variances.
9) Development Plan
The purchase price offered for the Property is an important consideration in the evaluation of
proposals. Equally significant, however, is the extent to which proposals recognize and address
Town objectives to optimize sale proceeds and annual tax revenues without sacrificing
neighborhood integrity. Therefore, respondents must submit a development plan("Development
Plan")that provides a detailed analysis of their proposed use of the Property, which must include
the following components:
a. Narrative description of the Project concept focusing on land and building
improvements and how they conform to zoning regulations; primary construction

type or materials;residential unit types and sizes and numbers of each unit type
and size.
b. Conceptual site plan showing the perimeter lot lines of the parcel,proposed
building footprint(s), parking, roads, sidewalks,pathways, landscaping, any
utilities and easements, and other site and building improvements that contribute
to the Project.
C. Development impact analysis that provides a brief assessment of the positive
and/or negative impacts that the Project will have on the Town and neighborhood
and mitigation measures that will be taken to alleviate negative impacts. At a
minimum, impact analyses shall address:
-Air quality
-Noise
-Traffic
-Public health and safety requirements
-Municipal economic impact
-Impact on municipal services
d. Conceptual building plans and elevations.
e. Conceptual landscape plans.
f Plan for temporary and permanent storm water and erosion control methods to be
employed, maintained and made stable.
g. Preliminary Project pro-forma including the expected range of residential unit sale
prices or rental rates; a preliminary development budget and a financing plan.
h. Development time line from the award of the Project to the respondent, through
design, construction and marketing to occupancy.
i. Description of how the Project will be taken through the public review and
permitting processes.
j. Description of how Town objectives are incorporated into the Project.

revenues, and what other economic benefits, if any, will result.
10) Purchase and Sale Agreement
The respondent who is awarded the Project shall be required to enter a Purchase and Sale
Agreement with the Town for the Property which agreement shall incorporate the terms and
conditions of this RFP, shall contain provisions customary to purchase and sale agreements
under similar circumstances, and shall incorporate,by reference, the Land Development
Agreement agreed to between the Town and the successful respondent. The P&S shall be
executed within ninety(90) days of the award of the Project. Further included shall be:
a. The purchase price;
b. Requirements for a deposit which, with the proposal security, shall be equal to ten
(10%)percent of the purchase price;
C. A clause affirming the conditions upon which a closing will occur. Once said
conditions have been met to the satisfaction of the Town, the closing shall occur
within thirty(30) days, time being of the essence;
d. A clause stating that the use of the Property shall be restricted to the use, scale
and design presented in the respondent's proposal, which proposal shall be
incorporated by reference, in its entirety within the P&S;
e. A statement that the proposed Land Development Agreement shall be
incorporated by reference, in its entirety, within the P&S; and
f. A provision that the Property will be conveyed subject to a right of reverter
reserved by the Town, or shall be subject to such other provision that ensures that
the future use and occupancy of the Property shall be in accordance with this
RFP. Such provision shall remain in effect until such time as the developer
obtains financing to complete development of the Project.

11) Land Development Agreement
At the closing on the Property, the Town of North Andover and the developer who is awarded
the Project shall execute and record a Land Development Agreement(LDA). The LDA shall be
negotiated, and the terms thereof agreed upon, in conjunction with the negotiation of the P&S.
The LDA shall be recorded with the deed from the Town to the developer.
The LDA shall incorporate the Respondent's Development Plan submitted with its RFP, and
shall otherwise include,but not necessarily be limited to, the following:
1) Identification of the parties; description of the Property and an affirmation of the
award of the Project to the respondent.
2) A statement of the developer's obligation to develop, construct and otherwise use
the Property in accordance with the RFP.
3) Developers acknowledgement that it will be solely responsible for securing all

necessary approvals, licenses and permits required by government authorities;
complying with all applicable state statutes,by-laws, codes and regulations, and
providing quality workmanship and using new materials of high quality.
4) A statement that the developer will not permit any mechanic's liens or similar liens
to be imposed or remain on the Property for more than sixty(60) days.
5) A statement of the developer's rights relative to the sale, assignment or refinancing
of the Property.
6) A statement of the developer's obligations relative to insurance on the Property.

7) General provisions that address the Town's right of access to the Property for the
purpose of inspection.

8) A statement acknowledging the developer's responsibility for all development and
construction costs.
9) A statement of the developer's obligations to mitigate neighborhood impact of the
Project from the development phase through to the issuance of a certificate(s) of
occupancy.
10) A statement of the respective rights, obligations and remedies of the Town in the
event of default by the developer.
11) A statement of the developer's financial obligations in the event that the Town finds
it necessary to enforce the LDA through legal proceedings.
12) A statement of those circumstances under which the developer shall indemnify the
Town.
13) Provisions that address notices, waivers, term of the agreement,binding of parties,
exclusivity of written agreement and governing law.
12) Selection Criteria and Project Award
Each proposal will be evaluated and scored based on the proposal's responsiveness to Town
interests, including,but not limited to, the Design Objectives, and other selection criteria as
specified in Appendix A herewith. The statement of qualifications of each respondent will be
reviewed and scored to identify those who possess the development and construction experience,
good standing in the industry, the financial stability and capacity to carry the Project to
completion and meet the Town's Design Objectives and commitment to maintain the integrity of
the neighborhood.
The respondent selected by the Selectmen will be given exclusive rights to negotiate with the
Town the terms of the Property purchase and a Development Plan. If, at any time, such
negotiations are not proceeding to the satisfaction of the Town, in its sole discretion, then the
Town may chose to terminate said negotiations. The Selectmen may select another respondent
with whom to initiate negotiations.

13) Other Considerations
- The Town shall not be responsible for paying any broker's commission, or like
compensation to a third party, and the respondent agrees to indemnify and hold the
Town harmless from any claims for such compensation.
- References may be checked for all parties identified as participating on the development
team.
- Respondents may submit more than one response to this RFP and may combine its
proposal relative to the Project herein with a proposal involving any other Town REP
which has been issued and remains open. However, each proposal to develop an
individual property or to develop combined properties must be a separate, complete
package that can be considered independently. The Town reserves the right to award
one or more projects to a single respondent.
- The Selectmen may amend or revise the RFP as a result of questions submitted by
respondents or for any other reason that causes the Selectmen to believe it would be in
the best interests of the Town to do so. Such amendments or revisions will be sent
prior to the proposal opening date to all persons or firms who have been provided
copies of the RFP.
- The Town assumes no responsibility for delays caused by the U.S. Postal Service or any
other delivery service. Late responses will not be accepted nor will additional time be
granted to individual respondents unless the Selectmen extend the required submittal
date for all respondents.
- The Town will not be liable for any costs incurred by any respondents in the
preparation and presentation of responses to this RFP or in the participation in views,
interviews, negotiations or any other aspect of this RFP process.
- Respondents are responsible for errors and omissions in their responses, and any such
errors and omissions will not serve to alter the respondent's legal obligations to the
Town.

- This RFP and the responses, including all warranties, commitments and representations
made in the successful response shall be binding and shall become contractual
obligations to be incorporated by reference in the Town's contract with the respondent,
unless the Town in its sole discretion waives any such warranty, commitment or
representation.
- The selection of a development team does not presume final approval of proposed
plans. Submissions will be subject to the Town of North Andover development review
process and all required approvals.
- Proposals may not be withdrawn, amended or modified for a period of one hundred
eighty(180) days from the deadline for submission of proposals.

Dear Mr. Hingorani:
This letter constitutes final approval under 760 CMR 56.04(7) of the project known as Merrimac
Condominiums (the "Project"), following the issuance of a comprehensive permit, pursuant to
Massachusetts General Laws Chapter 40B, 760 CMR 56.00, and the Comprehensive Permit
Guidelines (the "Guidelines") issued by the Department of Housing and Community
Development ("DHCD") (collectively, the "Comprehensive Permit Rules"). In accordance with
the Comprehensive Permit Rules, the applicant must present final written approval ("Final
Approval") for the Project from the Subsidizing Agency prior to the issuance of any municipal
permits for the Project.
On January 31, 2005, the Massachusetts Housing Finance Agency ("MassHousing") issued a
Site Approval/Project Eligibility Letter for the Project under the following programs:
• MassHousing's Housing Starts Program
• New England Fund Program of the Federal Home Loan Bank of Boston
The Project (the "Final Project"), as approved under the Comprehensive Permit issued by the
Town of North Andover Board of Appeals (the "Board") dated September 11, 2007 (the
"Comprehensive Permit"), consists of the construction of 49 units of ownership housing on
approximately 10.799 acres of land located at Turnpike St. (the "Site") in North Andover (the
"Municipality"). According to information presented by Berry/114 Company, LLC (the
"Applicant"), the Project will receive construction financing from Georgetown Savings Bank.
At least 25% of the loan amount will be assigned to Georgetown Savings Bank under the Federal
Home Loan Bank of Boston's (FHLBB) New England Fund (NEF) Program. Pursuant to the
Comprehensive Permit and the Comprehensive Permit Rules, the Final Project will contain 13

affordable units of housing available for sale to persons or families earning not greater than 80
percent of the area median income ("Income Requirement") in perpetuity("Term Requirement").
The affordable units shall consist of thirteen_(13) townhouse condominium units each containing
three (3) bedrooms. Profit to the developer shall be limited to no more than 20 percent of total
development costs for the Project("Limited Dividend Requirement").
In connection with our determination herein, we have reviewed (i)the Site Approval (prior to the
issuance of which an on-site inspection was performed), (ii) the Comprehensive Permit, (iii) the
revised, preliminary plans on which the Comprehensive Permit was based (the "Plans"), (iv) the
form of regulatory agreement (including the form of deed rider and affordability and limited
dividend monitoring services agreements attached thereto, the "Regulatory Agreement") to be
recorded with the land records in the registry district in which the Municipality is located, (v) an
updated initial pro forma for the Final Project (the "Updated Pro Forma"), (vi) the terms of the
financing to be used for the Final Project, including provisions for monitoring of the Project
during construction (the "Financing"), (vii) if not set forth on the Plans, a unit locator plan
showing the preliminary location of the affordable units (the "Unit Locator Plan"), and (viii)
other pertinent information presented by the applicant and others.
This request for Final Approval involves a transfer of the Comprehensive Permit, Site Approval
determination and title to the Site to the Applicant, a new development entity. The principal and
development team, however, have remained the same. MassHousing has received and reviewed
information regarding the qualification and experience of the Applicant.
As a result of our review, we have made the following findings as required by 760 CMR
56.04(7)(a), as informed by 56.04(1) and (4): (1) the Final Project appears generally eligible
under the requirement of the housing subsidy program, (2) the site of the Final Project is
generally appropriate for residential development, (3) the Final Project design is generally
appropriate for the site on which it is located, (4) the Final Project appears financially feasible
within the housing market in which it will be situated based on comparable sales figures, (5) the
Updated Pro Forma has been reviewed, and the Final Project appears financially feasible on the
basis of estimated development costs and consistent with the Comprehensive Permit Rules, (6)
the Regulatory Agreement and attached form of deed rider, when properly recorded, contain
provisions which reasonably ensure compliance with the Income Requirement, Term
Requirement and Limited Dividend Requirement (thereby qualifying the Applicant as a limited
dividend organization), and (7) the Applicant controls the site. In addition, the affordable units,
if located in general conformance with the Unit Locator Plan or the Plans, will be reasonably
interspersed with the market rate units.
In addition to the above, and as required by 760 CMR 56.04(7)(b) and (c), this Final Approval (i)
confirms that the Regulatory Agreement (a copy of which is annexed hereto as Exhibit A), as the
proposed Use Restriction, is in a form consistent with the Comprehensive Permit Rules, (ii)
verifies that the cost examination requirements have been acknowledged and that a commitment
has been made by the Applicant to comply with the cost examination requirements defined in
760 CMR 56.04(8), as evidenced by the Developer's executed Acknowledgement of Obligations

(a copy of which is annexed hereto as Exhibit B), and (iii) verifies that adequate financial surety,
as defined in the Comprehensive Permit Rules, has been secured sufficient to ensure completion
of the cost examination and the distribution of excess funds, in the form of a cash escrow (in
accordance with the provisions of the Comprehensive Permit Surety Escrow Agreement between
the Applicant and MassHousing dated as of August 1, 2012) received by MassHousing on Agust
6, 2012, and held by MassHousing acting as Subsidizing Agency (formerly, "Project
Administrator") under the Comprehensive Permit Rules.
We note that the permit as issued contains a local preference condition. Such conditions are
subject to the requirements of applicable state and federal fair housing laws. To the extent such
conditions conflict with said laws, the provisions of the fair housing laws must govern.
Submission of an examined cost certification will be required 'upon completion of the
development in order to determine that developer profits do not exceed 20% of total
development costs. The developer must adhere to the Land Value Policy described in the
Guidelines. The land acquisition cost, for cost certification purposes, has been established at
$1,400,00, based on an appraisal prepared for MassHousing by Peter F. Reilly as of July 2, 2004.
Please note that while MassHousing has reviewed the Updated Pro Forma and determined that it
appears reasonable and consistent with the Comprehensive Permit Rules, this Final Approval is
not an approval of the Updated Pro Forma's individual line items and all line items other than
land acquisition cost will need to be properly supported when the Final Project's cost
examination is submitted.
Please note that this Final Approval does not constitute site plan or building design approval.
Furthermore, please note that we have not reviewed nor approved the Plans for compliance with
federal, state or local codes or other laws pertaining to construction since such approvals are
within the jurisdiction of the local building official and zoning enforcement officer. Similarly,
we are relying on the local building official and zoning enforcement officer to ensure that the
final plans and specifications comply with the Comprehensive Permit prior to issuing a building
permit. We view issuance of the building permit as evidence of such compliance.
This Final Approval is contingent upon recording of the Regulatory Agreement executed on
behalf of Berry/114 Company, LLC and dated as of August 1, 2012, in the form prescribed by
MassHousing in its role as Subsidizing Agency. Furthermore, this Final Approval will be
effective for a period of six months following the date of this letter. Should the applicant not
apply for building permits for the Project within this period or should MassHousing not extend
the effective period of this letter in writing, the letter shall be considered to have expired and no
longer be in effect. In addition, we are requiring that MassHousing be notified at the time of the
issuance of the building permits for the Project.
Please note that the maximum initial sales prices to be inserted on Exhibit B of the Regulatory
Agreement are determined by reference to the Area median income for the appropriately sized
household for the affordable units. In accordance with DHCD's formula, the appropriately sized

The Massachusetts Housing Finance Agency (MassHousing) is currently reviewing an
application for Site Approval submitted by North Andover Holdings, LLC. The proposed Riding
Academy Preserve development will consist of 240 newly constructed housing units located on
26.86 acres (10.22 buildable acres) of land located at 16 Berry Street in North Andover. Of the
240 total units, 60 will be made available to low-moderate income applicants. Riding Academy
Preserve will also include 362 surface parking spaces and 80 interior spaces.
The site approval process is offered to project sponsors who intend to apply for a comprehensive
permit under Chapter 40B. MassHousing's review involves an evaluation of the site, the design
concept, the financial feasibility of the proposal, and the appropriateness of the proposal in
relation to iocai housing needs and strategies. As part of our review, we are soiici�nig corruile-ats
from the local community and we would appreciate your input. You also may wish to include in
your response, issues or concerns raised by other town boards, officials or other interested
parties. Pursuant to the Massachusetts General Laws Chapter 40B regulations (760 CMR 56.00)

Please note that if and when an application is submitted for a comprehensive permit, assistance is
available to North Andover's Zoning Board of Appeals (ZBA) to review the permit application.
The Massachusetts Housing Partnership's (MHP) Ch. 40B Technical Assistance Program
administers grants to municipalities for up to $10,000 to engage qualified third-party consultants
to work with North Andover's ZBA in reviewing the Chapter 40B proposal. For more
information about MHP's technical assistance grant visit MHP's web site, www.mhp.net/40B or
e-mail MHP at communityinfonmhp.net. Also available at MHP's web site are the "Local 40B
Review and Decision Guidelines"that were released in November 2005 to provide guidance to
local officials as they review comprehensive permit applications. The Chapter 40B regulations
and accompanying guidelines issued by DHCD, however, take legal precedence over the MHP
guidelines.
