CALL TO ORDER: Chairman Richard Vaillancourt called the meeting to order at 7:00 PM at Town Hall
Meeting Room.
ATTENDANCE: The following were present: Chairman Richard Vaillancourt, Clerk William Gordon,
Rosemary Smedile, Licensing Chairman Tracy Watson, Town Manager Andrew Maylor, Assistant Town
Manager Ray Santilli and Executive Assistant, Laurie Burzlaff.
PLEDGE OF ALLEGIANCE
APPROVAL OF MINUTES:
William Gordon made a MOTION, seconded by Tracy Watson, to approve the Open Session
Minutes of December 15, 2014. Vote approved 4-0.
Tracy Watson made a MOTION, seconded by Richard Vaillancourt, to approve the Open Session
Minutes of December 30, 2014. Vote approved 2-0-2. William Gordon and Rosemary Smedile
abstained.
COMMUNICATIONS AND ANNOUNCEMENTS:
Government Finance Officers Association Distinguished Budget Presentation Award
Town Manager, Andrew Maylor, announced the Town of North Andover was awarded the Government
Finance Officers Association (GFOA) Distinguished Budget Presentation Award, the highest form of
recognition in governmental budgeting. Mr. Maylor explained the GFOA format which the town adopted a
couple of years ago and acknowledged the great work of Finance Director/Town Accountant, Lyne
Savage. Mr. Maylor stated that 15-17 government entities receive this award out of the approximately
400 that are eligible to receive it. The Board congratulated Ms. Savage and her staff.
Town Manager, Andrew Maylor, stated that Donald Stewart is absent due to illness.
Assistant Town Manager, Ray Santilli, announced on Saturday, January 24th there will be a free family
skating event at the Youth Center and residents should check the website for more information. The
Board thanked Peter Breen and Downer Brothers Landscaping for donating the liner for the rink.
Tracy Watson announced the North Andover High School swim team had a successful polar plunge at
Steven's Pond on New Year's Day.

Discussion of priorities for the upcoming state budget
State Representative James Lyons was present to discuss the town's priorities as it relates to the state
budget. Representative Lyons handed out a document entitled "State Budget Overview" along with a
chart of local aid numbers from FY2009-FY2015. The Board indicated one of the highest priorities for
them is to address the heroin epidemic in our area. Town Manager, Andrew Maylor, stated the Board has
indicated retirement reform and prevailing wage reform as priorities for the legislature. Additionally, the
Board would like to see a more direct focus on Special Education and Circuit Breaker funding, and a
review of the Chapter 70 formula. Chair Vaillancourt stated help with Route 125 is another item and he
would work with the Town Manager to get a letter to North Andover's legislative delegation in the next
couple of weeks. The Board thanked Representative Lyons for the work he has done for the Town.
CONSENT ITEMS:
Acceptance of Donation ($100)from James and Maria Rosati to Police Department
Chair Vaillancourt stated that James and Maria Rosati have generously continued their annual donation
to the Police Department in the amount of$100. As the donation was not specifically designated, Chief
Gallagher recommends it be used towards any needed service or materials the Department may require.
The Board thanked Mr. & Mrs. Rosati for their donation.
William Gordon made a MOTION, seconded by Rosemary Smedile, that the Board of Selectmen
accept the donation from James and Maria Rosati of$100 to the Police Department for any needed
service or materials the Department may require. Vote approved 4-0.

Acceptance of Donation ($6390)from Joseph N. Hermann Youth Center, Inc. to Youth and Recreation
Services for Youth Center Scholarships
Chairman Vaillancourt announced the Joseph N. Hermann Youth Center, Inc. has generously made their
annual donation to the Youth and Recreation Services in the amount of$6390 to be used for Youth
Center Scholarships. The Board thanked the Joseph N. Hermann Youth Center Inc. for their donation.
William Gordon made a MOTION, seconded by Tracy Watson that the Board of Selectmen accept
the donation from Joseph N. Hermann Youth Center Inc, to Youth and Recreation Services for
Youth Center scholarships. Vote approved 4-0.
Acceptance of Donation ($500)from Elizabeth Armstrong to the Fire Department
Chairman Vaillancourt announced that once again, Elizabeth Armstrong, has generously donated $500 to
the Fire Department in support of the Emergency Response Team. The Board thanked Mrs. Armstrong
for her donation.
William Gordon made a MOTION, seconded by Rosemary Smedile that the Board of Selectmen
accept the donation from Elizabeth Armstrong of$500 to the Fire Department in support of the
Emergency Response Team. Vote approved 4-0.
Acceptance of Donation ($25)from Chandra and Usha Prakash to Police Department
Chairman Vaillancourt announced that Chandra and Usha Prakash have generously donated $25 to the
Police Department and since the donation was not specifically designated, Chief Gallagher recommends
it be used towards any needed service or material the Department may require.
William Gordon made a MOTION, seconded by Rosemary Smedile that the Board of Selectmen
accept the donation from Chandra and Usha Prakash of$25 to the Police Department for any
needed service or materials the department may require. Vote approved 4-0.
The Board offered their condolences to the Leland family. Mr. Leland, who was so generous to the town
with many donations over the years, passed away recently.
Request to dispose of Surplus Items-IT Department
The Board received a copy of a memo from IT Director, Matt Killen, requesting two obsolete desktop
computers be approved for disposal.
Tracy Watson made a MOTION, seconded by William Gordon, that the Board of Selectmen
approve the request of IT Director, Matt Killen, to dispose of surplus computer equipment per his
memo to the Town Manager dated December 23, 2014. Vote approved 4-0.
Appointment of Veterans' Graves Officer-Neil Patnaude
Clerk, William Gordon, read a letter from Chief Edward V. Mitchell indicating Veteran's Graves Officer
Philip P. Pelletier has resigned and he is recommending appointment of Army Veteran Neil Patnaude as
North Andover's Veterans' Graves Officer. The Board thanked Philip Pelletier for his valuable service.
William Gordon made a MOTION, seconded by Tracy Watson, that the Board of Selectmen appoint
Neil Patnaude as Veterans'Graves Officer for a term ending June 30, 2017. Vote approved 4-0.
Designation of Finance Director, Lyne Savage, as person with authority to receive forfeiture funds and
other assets pursuant to G.L. ch. 94C, Section 47
The Board was provided with a letter from Town Counsel, Thomas Urbelis, recommending the Board
vote, pursuant to M.G.L. ch. 94C, Section 47 and other applicable law, to designate Lyne Savage as the
person who has authority to receive forfeiture funds and other assets.
William Gordon made a MOTION, seconded by Tracy Watson, that the Board of Selectmen appoint
Finance Director, Lyne Savage, as the person who has the authority to receive forfeiture funds
and other assets pursuant to M.G.L. ch. 94C, Section 47. Vote approved 4-0.
Town Manager's Annual Evaluation
Chairman Vaillancourt presented the Board's annual evaluation of the Town Manager. Chair Vaillancourt
indicated Mr. Maylor received a rating of 19.3 out of 20 and indicated the evaluation reflects the
confidence the Board has in Mr. Maylor's ability to lead the town. Chairman Vaillancourt said the

evaluation document will be posted on the Town's website. Tracy Watson indicated she was proud to be
on the hiring committee and everyday Mr. Maylor proves he was the right choice. William Gordon praised
the Town Manager for doing a good job. Rosemary Smedile praised Mr. Maylor for his ability to have a
plan and follow through on it. Mrs. Smedile indicated that goals are being met and the future is bright.
Mr. Maylor stated it is his pleasure to work in North Andover and he appreciates the support of the Board
and the trust they have given him.
William Gordon made a MOTION, seconded by Rosemary Smedile, that the Board of Selectmen
approve Town Manager Andrew Maylor's annual performance evaluation. Vote approved 4-0.
OLD BUSINESS:
None
PUBLIC COMMENT:
Stan Limpert of 43 Stonecleave Road, reminded everyone that the new superintendent will be at the
Stevens Memorial Library on Thursday at 10:00 a.m. to meet the public. Mr. Limpert also praised the
Town Manager for his leadership, particularly his work with employee health insurance, the Facilities
Master Plan and the budgeting process.
TOWN MANAGER'S REPORT:

No questions were submitted. The Board reminded the public that anyone can submit a question to the
Town Manager by emailing townmana ec townofnocthandovec.com
The Town Manager reported that they have begun the deliberative process with the Finance Committee
relative to the Capital Plan. Mr. Maylor and Mr. Santilli will be at the Finance Committee meeting on
Wednesday, which will be televised, to review the Capital Plan and give an overview of the ESCo project.
Over the next couple of weeks the Finance Committee will review the Capital Plan and meet with
departments heads.
Mr. Maylor indicated that there are 1030 followers for the town manager's Twitter account and he is
hoping to reach 2000.

CALL TO ORDER: Chairman Richard Vaillancourt called the meeting to order at 7:00 PM at Town Hall
Meeting Room.
ATTENDANCE: The following were present: Chairman Richard Vaillancourt, Clerk William Gordon,
Rosemary Smedile, Donald Stewart, Licensing Chairman Tracy Watson, Town Manager Andrew Maylor,
Assistant Town Manager Ray Santilli and Executive Assistant, Laurie Burzlaff.

William Gordon made a MOTION, seconded by Rosemary Smedile„to approve the Open Session
Minutes of December 1, 2014. Vote approved 5-0.
COMMUNICATIONS AND ANNOUNCEMENTS:
New Business Recognition-The Cork Stop
Frank Stamos and Rick Papantonakis from The Cork Stop were present to receive new business
recognition from the Board.
Russell Hopping, The Trustees of Reservations-Weir Hill and Ward Reservation Project update
Russell Hopping, Ecology Program Director of the Trustees of Reservations, gave an update on the forest
cutting plan for Weir Hill and Ward Reservation.
The Board wished everyone a Merry Christmas, Happy Hanukkah and Happy New Year. They also
thanked the volunteers and employees for all their hard work and dedication throughout the year.
CONSENT ITEMS:
Vote to Reaffirm Tax Classification for Department of Revenue
The Department of Revenue requires the Board to vote the Residential Factor after the new growth
number is approved. The Board voted the tax classification on December 1, 2014, but new growth
number was not approved until December 2, 2014.
William Gordon made a MOTION, seconded by Tracy Watson, that the Board of Selectmen reaffirm
the vote taken on December 1, 2014 that the Board of Selectmen adopt a residential factor of
0.950192 for the purpose of classifying the FY2015 North Andover property tax rates. Vote
approved 5-0.
Town Manager Recommended FY2016-2020 Capital Improvement Plan
The Town Manager's recommended FY2016-2020 Capital Improvement Plan was provided for review.
Per Chapter 9 Section 5-1 of the Town Charter, the Board of Selectmen has 30 days to act on the CIP
and forward to the Finance Committee once approved. The Town Manager explained the plan is
consistent with previous years with the Facilities Master Plan being the centerpiece of the plan. One
change was the design of classroom space has been moved out a year. The School Department needs
one more year to determine where classrooms are needed, so the design of the renovations for the DPW
facility has been moved to FY16 and design of classroom space has been moved to FY17. It was
recommended the Board accept the CIP as submitted reserving the right to make any changes at future
meetings. The Town Manager also indicated that one of his goals in the future is to have a Facilities
Improvement Plan.
William Gordon made a MOTION, seconded by Rosemary Smedile that the Board of Selectmen
accept the FY2016-2020 Capital Improvement Plan reserving the right to make changes as
additional information becomes available and forwarding the document to the Finance Committee
for their review. Vote approved 5-0.
LICENSING COMMISSIONERS:
Donald Stewart made a MOTION, seconded by Rosemary Smedile, to open a meeting of the North
Andover Licensing Commission. Vote approved 5-0.
Merrimack College-Change of Manager Request
Nicholas McDonald was present to introduce himself as the new Manager of the college's liquor(wine &
malt) and entertainment licenses.

William Gordon made a MOTION, seconded by Rosemary Smedile that the Board of Selectmen,
acting as Licensing Commissioners, approve a Change of Manager for Merrimack College. Vote
approved 5-0.
License Renewals for Calendar Year 2015
William Gordon made a MOTION, seconded by Rosemary Smedile that the Board of Selectmen, j
acting as Licensing Commissioners, approve and renew the licenses for all of the establishments
listed in the Assistant Town Clerk's memorandum dated December 11, 2014, with the exception of
Smolak Farm's entertainment license and Rolf's entertainment and liquor licenses. Vote approved
5-0.
The Board discussed the violations outlined in the letter to Rolf's Restaurant from the Building Inspector
dated December 12, 2014.
William Gordon made a MOTION, seconded by Donald Stewart, that the Board of Selectmen,
acting as Licensing Commissioners, approve and renew the license for Ro/f's Restaurant
contingent upon the owner of the property repairing the violations noted in the Building
Inspector's letter dated December 12, 2014. Vote approved 5-0.
William Gordon made a MOTION, seconded by Rosemary Smedile, to close the meeting of the
North Andover Licensing Commission. Vote approved 5-0.

A summary of the November 2014 Activity Report from the Fire Department was provided to the Board.
Job Posting/Vacancy Log
A 'Job Posting/Vacancy Log' from the Human Resources Department was provided to the Board.
The Town Manager spoke about the Superintendent search process and explained the process was
open, well laid out, and there was no dispute among the search committee members about which
candidates to recommend as finalists.

CALL TO ORDER: Chairman Richard Vaillancourt called the meeting to order at 8:10 AM at Town Hall
Meeting Room.
ATTENDANCE: The following were present: Chairman Richard Vaillancourt, Donald Stewart, Tracy
Watson, Town Manager Andrew Maylor, Assistant Town Manager Ray Santilli and Executive Assistant,

CONSENT ITEMS:
Approve and sign documents for sale of Bradstreet School
Chairman Vaillancourt explained that the Board needs to vote to sign the documents to transfer the
Bradstreet School property.
Tracy Watson made a MOTION, seconded by Donald Stewart, that the Board of Selectmen vote to
execute, in connection with the disposition of the former Bradstreet School property, a Quitclaim
Deed, Land Development Agreement,Addendum to Land Development Agreement, Power of
Attorney and ancillary documents associated with the transaction. Vote approved 3-0.
Approve and sign determination and consent for representation by Kopelman and Paige, P.C. for
commuter shuttle agreement
Chairman Vaillancourt explained that because Kopelman and Paige, P.C. is General Counsel to the
Merrimack Valley Regional Transit Authority, a determination and consent by the Board is needed so that
Kopelman and Paige, P.C. can represent the Town in the commuter shuttle agreement.
Tracy Watson made a MOTION, seconded by Donald Stewart that it is determined,pursuant to
Rule 1.7 of the Massachusetts Rules of Professional Conduct, that the Town of North Andover
Board of Selectmen consents to Kopelman and Paige, P.C., to advise and negotiate on the Town's
behalf in the matter of a multiparty agreement between the Town, the Merrimack Valley Regional
Transit Authority and Ozzy Properties, for commuter shuttle services as disclosed in a letter to the
Board dated December 16, 2014,notwithstanding that Kopelman and Paige, P.C. serves as
General Counsel to Merrimack Valley Regional Transit'Authority. Vote approved 3-0.

I recently received a phone call from Mary Pelletier the Wife of North Andover's Veteran's
Graves Officer Philip P. Pelletier, explained that due to medical complications, Philip P. Pelletier
must officially resign from his position as Veteran's Graves Officer effective January 1, 2015.

Phil Pelletier has been an exceptional Graves Officer for nearly six years and an outstanding
member of the Patriotic Observance Committee and Festival Committee for even longer,his
commitment to the community was unyielding and our thoughts and prayers are with him and his
family.
With Phil Pelletier resigning as Graves Officer I would like to nominate Army Veteran Neil
Patnaude to assume the duties as North Andover Veteran's Graves Officer. Mr. Patnaude is a
resident of North Andover and meets all requirements as outlined in MGL 115: Section 9 and is
ready to assume the duties immediately.

CHAPTER 115 VETERANS' BENEFITS
Section 9 Care of graves of veterans
Section 9. The mayor of every city and the selectmen of every town shall appoint a resident
of such city or town who shall be a veteran as Jifine' d in clause Forty-third of section seven
of chapter four, as a veterans' graves officer, for a term to be determined by the appointing
authority; provided, however, that said term shall not exceed five years. It shall be the duty of
such veterans' graves officer to cause every veteran's grave within such city or town to be
suitably kept and cared for. Such care shall include the clearing of weeds and other unseemly
growth from said graves; the repairing, replacement and general up-keep of fences around
said graves; the raising and repairing of sunken grave stones and markers and other similar
services that may be necessary to restore and maintain such graves and their surroundings
in an orderly condition. If the cost of such care and maintenance is not paid by private
persons, or by the trustees of the cemeteries where any such grave is situated, it shall be
paid by the city or town; and cities and towns may appropriate money therefor. Money so
appropriated may be expended directly by the city or town or paid over to the trustees or
manager of any cemetery where any such grave is situated; but the sum so paid over in any
year shall not exceed for each grave the sum charged for the annual care and maintenance
of like lots in the same cemetery, or, if no such charge is made in that cemetery, it shall not
exceed the sum charged in other cemeteries in the same city or town for like services. In
cities and towns where there are cemeteries containing the remains of deceased veterans,
such cities and towns shall cause to be placed on such veterans' graves a flag of the United
States on every Memorial day. Upon the approval of the commissioner, compensation for 75
per cent of the cost of such flags, but none of the expenses attending the placement of such
flags shall be paid by the commonwealth to the several cities and towns on or before
November 10 in the year after such expenditures. In cities and towns where there are
cemeteries with mausoleums containing the remains of deceased veterans, each such city or
town shall cause to be placed on each mausoleum a suitable plaque with the names of all
deceased veterans contained therein, and a flag of the United States shall be suitably placed
at each mausoleum on every Memorial day.

TOWN PERFORMANCE EVALUATION
INTRODUCTION
A performance evaluation of the Town Manager can result in substantial increases in municipal productivity. The
evaluation process itself enhances communication with the governing body and strengthens the management team.
A positive or constructive evaluation will instill confidence in the Town Manger and motivate that individual to a
higher level of performance. The evaluation can identify real or perceived problems and give the team an
opportunity for corrective action before the problems cause serious discord.
The evaluation session must reflect the thinking of the entire governing body. A carefully constructed evaluation
process can be a very positive tool; it must be taken seriously and used wisely.
FREQUENCY OF EVALUATION
A comprehensive performance evaluation should take place at least annually. The annual evaluation should be
scheduled well in advance to permit preparation time and to avoid having an evaluation scheduled due to a single
problem.
Ample time should be scheduled for each step in the evaluation process. Hurried sessions will not encourage
communications,team building or the identification or problems.
THE EVALUATION PROCESS

Each member of the Board of Selectmen is to evaluate the Town Manager on each of the items listed'by circling the
